Mesmo diante das outras frases, mantenho minha sugestão. Em legalês brasileiro, "diploma" é "diploma legislativo" (=Lei). O autor do texto-fonte quis dizer que os casos não tratados por a) o contrato e b) a lei aplicável serão disciplinados pela Lei das S.A. A expressão "diploma de regência" (ou "norma aplicável", "estatuto regente", "lei reitora" etc) são comuníssimas na prática jurídica brasileira, e querem todas dizer a mesma coisa: a lei que trata do assunto.
