Deal! Just one little change for the sake of standardization. Since he/she shall be liable and is responsible for performing his/her duties, why not write as a consequence of his/her failure (instead of his or her failure)?

What teamwork! At least at this point, the only change I'd make to Mark's suggestion would be to move the last clause to make that messy middle read /any liability (...) that arose prior to 31 October 2011 as a consequence of failure by him/her.../

Dear Andrew. Here in Goiás, it's 04:39 in the morning, but even at the end of the night, I have the impression that the insurance broker (subject) is declaring (verb) that he/she/it has certain responsibilities. Since it's highly unlikely that anyone would sign a 22-23-month contract, a problem most likely arose on 31 October 2011. In other words, some info is still missing - or whoever wrote this was thinking about something else at the time. In such cases, it's safer to ask the client for clarification than to guess and lose him/her/it.

Thks everyone's feedback, I think u all on the right tract. Mark's suggestion certainly makes sense and is what I would have gone for myself, although I dont see how the actual port. wording gives one this, unless this is a sort of in house terminonolgy or legaleez?
Precisamos de mais contexto, mas tenho a impressão que o sujeito do verbo "tenha se orginado" será o inadimplamento/incumprimento do contrato, "por sua açao ou omissao". Nesse caso a resposta certa será "occurred prior to".
Explanation: The round date of 31 August looks like a term date of the contract and on which it expires cf. the preposition zum in DE - give notice to terminate or quite on one date which is effective or expes on another date a few months ahead.
The EN may look strange, but so - from the comments - does the PO, execpt it crops up in the example sentence below.
