"Quanto à representatividade do sistema, a Constituição em nada se reportou, inicialmente pelo fato de que não se trata de órgãos estatais, pois são sociedades civis de direito privado, e também pelo fato de que a OCB e suas organizações estaduais nunca tiveram qualquer função de autorização ou fiscalização das sociedades cooperativas, bem como não possuíam poder de intervir no seu funcionamento. E mesmo que tivessem tal poder, ainda assim a vedação constitucional recairia apenas sobre órgãos estatais.
A exigibilidade legal de registro na OCB, fator no qual subsiste a aplicabilidade da unicidade, possui duas teorias explicativas de sua NATUREZA EFICACIAL CONSTITUTIVA. A primeira delas diz respeito ao fato de este registro configurar-se como requisito de revestimento da natureza jurídica de sociedade cooperativa; já a segunda explica o registro como sendo tão-somente elemento regulador da criação da sociedade na forma "cooperativa", nos mesmos moldes do cadastro nos órgãos reguladores da atividade profissional, ou, até mesmo, em extremo exemplo ao CNPJ - Ministério da Fazenda ou arquivamento da Junta Comercial."
