Russian term or phrase: договор и соглашение

Я прилагаю комментарий по положениям договора купли-продажи акций (Договор) и соглашения о дополнительном платеже (Соглашение)

Как разграничить на английском "Договор" и "Соглашение"? В первом случае - явно share purchase agreement (the "Agreement")

как назвать во втором? additional payment agreement (contract, arrangement (the "Contract")? контракт, по-моему, не подходит...

Explanation:
Covenant - a written document in which signatories either commit themselves to do a certain thing, to not do a certain thing or in which they agree on a certain set of facts. They are very common in real property dealings and are used to restrict land use such as amongst shopping mall tenants or for the purpose of preserving heritage property. For example, a coventor to a mortgage commits themself to pay the mortgage if the mortgagor defaults.

Another version could be "arrangement".

As for "stipulation" - according to reference sources it is mostly used in relation to judicial proceedings as opposed to business deals.

Слово contract больше подходит для первого случая. Но на самом деле, из того, что мне призодилось видеть и читать, грань между этими двумя понятиями стерта, как в русском, так и в английском.

Мне представляется, что contract - документ более конкретный, каксающийся некоей сделки, а agreement - более общий и рамочный, который может касаться подходов к деятельности или серии сделок.

Кстати, к переводу этих двух слов можно подойти чисто формально, сказав в одном случае contract, а в другом agreement, чтобы для двух русских слов употребить два английских.

There is no difference, just select whatever two terms you are most comfortable with and use them consistently throughout. There is no problem calling them both Agreemment, that's what I would do. Or, if one of the documents is clearly and Appendix to the other one, call it so.

Michael Tovbin: поспорил бы насчет "stipulation". Это, скорее, не весь документ и не документ вовсе, а отдельный пункт соглашения, отдельная договоренность.+Нет, конечно. Случайно зашел, не разобрался и ляпнул Вам "neutral" из общей вредности характера.
