Насчет "Conflict of interest":
заинтересованность в сделке может присутствовать и при этом не обязательно будет существовать конфликт интересов.

Explanation:
This is a standard term for what your reference link describes. The reason is that someone in a position to approve the deal also stands to profit directly or indirectly as/from the other side of the contract, deal, agreement or whatever it is.

This means that there is a risk they will be "less than diligent" in pursuing the best interest of the company. Hence - conflict of interest.

This is very much frowned upon in corporate and legal world, is allowed only under special circumctances and under special rules - exactly as per you reference.
