"Board of Directors Resolution No. XXX was approved immediately by the Meeting..." (presumably the (Annual) Meeting of Shareholders),

but the alternative is even clumsier: "Resolution No. XXX, as issued by the Board of Directors, was approved [or "passed"] immediately..."
