From a Panamanian Foundation Charter document:

Los Fundadores, al momento de crear la Fundación, deberán emitir el Reglamento de la Fundación, el cual podrá contener:
1. La forma en que se administrará el patrimonio de la Fundación.
2. Los Beneficiarios de la Fundación, o la forma en que se deberán designar.
3. La forma en que los Beneficiarios podrán ser excluidos o adicionados.
4. Los beneficios que corresponderán a los Beneficiarios.
5. La forma en que el Consejo informará a los Beneficiarios sobre el patrimonio de la Fundación
6.La forma de entrega a los Beneficiarios de la Fundación de los bienes o productos que se hayan establecido a su favor.
7. Las facultades del Consejo.
8. El nombramiento de un Protector o cualesquiera órganos de fiscalización y sus facultades y funciónes.

If established in the Foundation Charter, he can freely remove the members of the Foundation Council and appoint new members. In order to keep confidentiality about the identity of the Protector, his appointment can be done through the Regulations of the Foundation, which is a private document not registered at any public office. The Protector can be someone close to the Founder, the Founder himself or any third party."
