Special Purpose Vehicle. From the URL below, it seems that Bombonera is a company that existed merely in name since its factory closed in 2005. Lacasa made the purchase via Bombonera, and allowed partners in on the deal by letting them purchase shares of Bombonera. That kept them out of the capital of the Lacasa parent company and also on a level in which they are not shareholders of the chocolate production company itself. |
