En virtud de esta escritura, XXX absorbió a las sociedades XXX y XXX, adoptando posteriormente la company name de la Compañía absorbida XXX. Se trata de una FUSION IMPROPIA, regulada en el Artículo 250 de la Ley de Sociedades Anónimas, en la cual las sociedades absorbidas estaban directa o indirectamente íntegramente participadas por la sociedad absorbente, y no se procedió a aumentar el capital social de la Compañía absorbenteni a efectuar canje alguno de acciones.

"Se trata de una FUSION IMPROPIA, regulada en el Artículo 250 de la Ley de Sociedades Anónimas, en la cual las sociedades absorbidas estaban directa o indirectamente íntegramente participadas por la sociedad absorbente, y no se procedió a aumentar el capital social de la Compañía absorbenteni a efectuar canje alguno de acciones."

The absorbing company held shares in the absorbed companies. Hence, to begin with, the relationship between absorbing and absorbed companies is either SUBSIDIARY (more than 50% of the shares) or AFFILIATE (less than 50%).

The shares are worth a figure which, it seems, was not accounted for upon the merger; to that extent, it was "impropia" from an accounting point of view.

It MIGHT HAVE BEEN A TAKEOVER, to the extent that a holding company can take over a subsidiary/affiliate, but at this point, XXX, "adoptando posteriormente la company name de la Compañía absorbida XXX", makes it clear that it is not exercising as a holding.

También denominada fusión impropia. Es un fenómeno de concentración de empresas con diversos aspectos: fiscales, contables, jurídicos financieros y empresariales. Consiste en la disolución de una o más sociedades , cuyos patrimonios pasan a una sociedad preexistente y se procede , además, salvo otra opción compensada, a integrar a los socios de las sociedades disueltas . FUSIÓN

Supuesto de unión de empresas mediante la disolución de una o más sociedades y la creación de una nueva sociedad que se hace cargo del patrimonio de las disueltas y en donde se integran los socios de aquéllas.

La regulación de la fusión de Sociedades Anónimas se contiene los artículos 233 y siguientes del Texto Refundido de la Ley de Sociedades Anónimas aprobado por Real Decreto Legislativo 1564/1989 de 22 de diciembre (B.O.E. núm. 310 de 27 de diciembre ) y la fusión de Sociedades Limitadas en el artículo 94 de su Ley. Su normativa registral se halla en los artículos 226 a 234 del vigente Reglamento de Registro Mercantil.
