Las obligaciones que sólo están respaldadas de forma general por los activos de la empresa emisora se llaman bonos u obligaciones simples (en inglés "debentures"). Los derechos de los titulares de una primera emisión de bonos simples tienen preferencia sobre los derechos de los titulares de una siguiente emisión que, por lo tanto, se llama "subordinada"; es decir, en caso de quiebra de la empresa, los titulares de obligaciones subordinadas (en inglés "subordinated debentures") cobrarán después que lo hayan hecho los titulares de las obligaciones primeramente emitidas.
