Responsabilizarse de cualquier queja, demanda, juicio o controversia que inicie cualquier Persona con motivo del presente Contrato y/o de la información, datos, bienes y/o servicios que integren a los Contenidos, ya sea que las presente en contra de X o de Y, por lo que este último se obliga a mantener indemne y, en su caso, indemnizar a X de cualquier reclamación, demanda o querella que se relacione con la comercialización de los Contenidos, o bien con la información, datos, bienes y/o servicios que integren a éstos, siempre y cuando dicha reclamación, demanda o querella sea por causas imputables a Y, en el entendimiento de que el incumplimiento de este último a lo anterior facultará a X a suspender el transporte de los Contenidos, rescindir por culpa de Y este Contrato e iniciar las acciones legales correspondientes. Los supuestos anteriores aplicarán, siempre que Y sea notificado de la acción en el menor tiempo posible, sea llamado en garantía al proceso, en el caso que se le permita y se le proporcione la asistencia solicitada para la defensa de la misma, en la medida de sus posibilidades.

This third party may be ultimately liable, in whole or in part, for the damages the plaintiff is seeking in the underlying action. For example, a motorist who is sued by another for injuries sustained in an accident caused by his faulty brakes may seek to implead the automobile shop that recently repaired the brakes in a negligent manner. A motion to implead a third party into an existing civil action is governed by Rule 14 of the federal rules of civil procedure.
