pre-emption clause

or first refusal clause. Affärsekonomiskt Ordlista gives pre-emption clause, first refusal clause and option clause for hembudsklausul. FARS also gives pre-emption clause.

Pre-emption clause has 55,700 Google hits, first refusal clause has 195,000 hits, but I think that it refers to various different contexts, such as one result about an NFL contract I saw. The results for pre-emption clause seem to more predominantly refer to contexts that have to do with shares.
