2. Redomiciliación de una sociedad constituida en el exterior
La redomiciliación en Uruguay de una sociedad extranjera es posible y supone, más allá de ciertas demoras adicionales derivadas de la traducción y legalización de documentación emitida en el exterior, un trámite similar a la constitución de una sociedad uruguaya.
Un primer aspecto que debe considerarse es si la legislación del país de origen admite la redomiciliación en el exterior de las sociedades constituidas en esa jurisdicción, extremo que pudo corroborarse para B.V.I. y que, en principio, no ofrecería dificultades.
Desde el punto de vista práctico, la redomiciliación de Raymond James Global Securities de B.V.I. a nuestro país, sería equivalente a la constitución por acto único de una sociedad anónima uruguaya, donde sus fundadores son la sociedad extranjera y sus representantes. En tal sentido, debe existir un Acta del órgano competente de la sociedad de B.V.I. donde se resuelva la redomiciliación de la sociedad y se transcriba el estatuto que regirá a la nueva sociedad. El estatuto a adoptar deberá estar conforme a las leyes uruguayas, tanto en cuanto a objeto, capital y demás aspectos institucionales de la sociedad.

2. Change of domicile for a corporation established overseas
The change to a Uruguay domicile for a foreign corporation is possible and involves, beyond certain additional delays derived from the translation and legalization of foreign-issued documentation, a proceeding similar to that for the establishment of a Uruguayan corporation.
An initial aspect to be considered is whether the laws of the country of origin admit changing the domicile to another country for the corporations established in said jurisdiction, which in the case of B.V.I was verified to be the case, and which in principle would present no difficulties.
From a practical point of view, changing the domicile of XXX Global Securities from B.V.I. to Uruguay would be equivalent to, in a single act, establishing a Uruguayan stock corporation, whereby its founders would be the shareholders and their attorneys. To that end, XXX would be required to submit the Minutes from the competent body of the B.V.I. corporation resolving the change of domicile of the corporation and transcribing the articles of incorporation that will govern the new corporation. The Articles of Incorporation to be adopted will have to be in accordance with the Uruguayan law, both in terms of purpose and capital as well as regarding other institutional aspects of the corporation.
