1. Garantiscono i cedenti, ciascuno per quanto di rispettivo interesse, che le quoti sociali, come sopra vendute, sono nella loro piena ed esclusiva titolarita' e nella loro libera disponibilita', non sono state prima d'ora cedute o date in pegno a terzi e non sono gravate da sequestri, pignoramenti o vincoli pregiudizievoli.
2.Per effetto delle cessioni che precedono, l'acquirente subentra in ogni diritto o ragione ai cedenti spettanti nei confronti della Societa e cosм in particolare, del diritto a partecipare agli utili dalla data odierna, ed alla divisione del patrimonio sociale alla cessazione della Societa, nonche dell'obbligo di assumere gli eventuali oneri e passivita.

1.Учредители товарищества подтверждают, что они являются единственными владельцами вышеуказанных квот в уставном капитале товарищества, передача прав на квоты уставного капитала не ограничена, вышеуказанные квоты не были до этого проданы либо отданы под залог третьим лицам, не стоят под арестом и не обременены иными обязательствами.
2.Согласно с вышеуказанной продажей квот уставного капитала товарищества, с момента заключение данного договора покупатель вступает во владение товариществом и может пользоваться всеми правами, которые относятся к этому товариществу, участвовать в распределении доходов, пользоваться имуществом товарищества и принимать решения о передаче либо продаже долей капитала и также берет на себя ответственность за соответствующие расходы, долги и недостачи.
3.Продавцы подтверждают, что на момент заключения данного договора за товариществом нет никаких долгов, задолженностей, и несут всю материальную ответственность за прошлую деятельность товарищества и также за те задолженности, которые на сегодняшний день могут быть неизвестны, и подлежат ликвидации или взысканию.
