Paragraph 4 of the Agreement shall apply to the Transaction as amended to read as follows:
“4. Margin Maintenance
(a) Upon the occurrence of a Potential Trigger Event or a Potential Additional Trigger Event, Seller may at its option make a Margin Transfer (in cash only) to Buyer in an amount in USD determined by Seller (such amount a “Potential Trigger Event Margin Amount” and the aggregate of all such Potential Trigger Event Margin Amounts, less any part thereof which has been applied in accordance with paragraph 9.9.3 of the relevant Confirmation, the “Aggregate Potential Trigger Event Margin Amount”).
(b) A payment of Cash Margin shall give rise to a debt owing from the party receiving such payment to the party making such payment. Such debt shall bear interest at such rate, payable at such times (if any) as may be specified in the relevant Confirmation and shall be repayable or applied subject to and in accordance with the terms of this Agreement as amended and supplemented by the Confirmation.”

This Memorandum and the Placement are only addressed to and directed at persons in member states of the European Economic Area (“EEA”), who are “qualified investors” within the meaning of Article 2(l)(e) of the Directive 2003/7l/EC (“Prospectus Directive”) (“Qualified Investors”). Для целей настоящего Соглашения под Сделкой РЕПО понимается совокупность двух заключаемых одновременно взаимосвязанных последовательно исполняемых сделок купли-продажи Ценных бумаг (как определено ниже). При этом первая по времени исполнения сделка купли-продажи считается первой частью Сделки РЕПО (далее – «Первая часть РЕПО»), а вторая по времени исполнения, соответственно, – второй частью Сделки РЕПО (далее – «Вторая часть РЕПО»). Сделки купли-продажи признаются взаимосвязанными и являются единой Сделкой РЕПО, если обязательства Сторон по сделке купли-продажи, являющейся Второй частью РЕПО, возникают при условии исполнения Первой части РЕПО.
При наступлении какого-либо События изменения условий, как указано в подпункте XXX настоящего Соглашения, за исключением случая неперечисления Стороной Компенсационного взноса и случая неисполнения одной из Сторон или обеими Сторонами обязательства по поставке Ценных бумаг/уплате покупной цены по Второй части РЕПО, Затронутая сторона обязана направить Незатронутой стороне уведомление о наступлении такого События изменения условий.

For purposes hereof, a REPO Transaction shall mean a sequence of two simultaneously concluded and successively executed Securities sale and purchase transactions (as defined below). Moreover, the first executed sale and purchase transaction shall constitute the first leg of the REPO Transaction (hereinafter, the “First REPO Leg”), and the second executed sale and purchase transaction shall constitute the second leg of the REPO Transaction (hereinafter, the “Second REPO Leg”), respectively. These sale and purchase transactions shall be deemed interrelated and constitute a single REPO Transaction, if the Parties’ obligations under the transaction being the Second REPO Leg arise as a consequence of the settlement of the First REPO Leg.
Upon occurrence of any Trigger Event, as set forth in subclauses XXX hereof, except for failure to pay by any Party of the Margin Call, or failure by any Party or both of them to deliver Securities/pay the purchase price under the Second REPO Leg, the Affected Party shall forward to the Non-Affected Party the relevant notice with the information on the occurrence of the Trigger Event.
If any of the Parties fails to perform under the Second REPO Leg, such Party shall pay to the other Party, both fixed and variable compensation in the order provided for in the MICEX Rules (hereinafter, “Default Settlement”), and such payment shall constitute the default settlement for the purposes of Article 282 of the Tax Code of the Russian Federation.

Расчет фактических долей будет основываться на коэффициентах трансформации (отношение рыночной цены банка к его капиталу по МСФО). Применяются следующие принципы
1. Датой расчета фактических долей для Сделки считается [XXX], поскольку это наиболее вероятная последняя отчетная дата перед проведением корпоративных процедур по объединению.
2. Для целей расчетов будет использована неаудированная отчетность двух банков на [XXX].
3. Для целей оценки XXX и YYY средства, привлеченные в капитал в ходе SPO и конверсии субординированного кредита, будут учитываться на основе принципа «доллар-за-доллар». Кроме того, переоценка основных средств, проведенная после XXX, учитываться не будет.
4. Основываясь на рыночной стоимости XXX высчитывается коэффициент трансформации для XXX.
5. Для получения оценки XXX на дату расчета фактических долей коэффициент трансформации применяется к капиталу ХХХ (до SPO) плюс величина SPO.
6. При условии выполнения плановых показателей по прибыли в пределах 10%, коэффициент трансформации для YYY высчитывается из оценки XXX на дату расчета фактических долей таким образом, чтобы, в результате его применения фактические доли стали равны a%/b%
7. В случае, если имеет место существенное отклонение фактического капитала YYY в сторону уменьшения, коэффициент трансформации YYY корректируется следующим образом:
a. Отклонение фактической величины капитала, связанное с невыполнением запланированных показателей по торговому доходу, не учитывается в расчетах.
b. При недовыполнении прибыли в интервале 10%-20% от полной, коэффициент трансформации для YYY высчитывается из оценки XXX на дату расчета фактических долей таким образом, чтобы, в результате его применения фактические доли стали равны a%/b% на нижнюю границу интервала

The calculation of the actual interest shall be based on market-to-book ratios (market value of the bank to its capital determined in accordance with IFRS). The following principles shall apply:
1. The date of the actual interest calculation for the purposes of the Transaction shall be [XXX], since it is the most probable last accounting date prior to any corporate procedures to approve the merger.
2. For purposes of calculation the parties shall use their unaudited financial statements as of [XXX].
3. For the purposes of XXX and YYY evaluation, any proceeds from SPO and subordinated loans conversion shall be valued on the “dollar-for-dollar” basis. Moreover, the results of fixed assets re-evaluation undertaken after XXX shall not be taken into account.
4. The market-to-book ratio of XXX shall be calculated on the basis of the bank’s market value.
5. XXX shall be evaluated as of the date of the actual interest calculation by the application of the market-to-book ratio to its capital (prior to SPO) and by addition thereto of SPO value.
6. Subject to profit performance within 10% of the target, the market-to-book ratio for YYY shall be calculated proceeding from the evaluation results of XXX as of the date of actual interest calculation so, that its application makes the interest distribution equal a%:b%.
7. In case of material downward deviation of YYY capital value, YYY’ market-to-book ratio shall be adjusted as follows:
a. deviation of the actual capital value caused by the failure to ensure target trade returns shall not be taken into account;
b. in case of 10%-20% profit underperformance YYY’ market-to-book ratio shall be calculated proceeding from the evaluation results of XXX as of the date of actual interest calculation so, that its application makes the interest distribution equal a%:b% based upon the lower interval limit;
c. in case of more than 20% profit underperformance – proceeding from the actual distribution of interest a%:b% based upon the lower interval limit.
