Source text - German [Version 1] Kreditvereinbarung zwischen AAA AG, als Kreditgeber (nachstehend "AAA" genannt) der "Kreditgeber" sowie BBB Holding AG (nachstehend "BBB " genannt) der "Kreditnehmer" Präambel Die Kreditvereinbarung vom 19.12.1997 (inkl. Zusatzvereinbarungen vom 24.12.1997 sowie 4.3.1998) zwischen der AAA und der BBB bildet einen integrierenden Bestandteil der vorliegenden Kreditvereinbarung. Definition Konzerngesellschaften: BBB Holding AG sowie alle Tochtergesellschaften* [Handwritten: jedoch ohne Joint Ventures und minderheits beteilig] (vgl. Beilage 1) in einer konsolidierten Betrachtung. Kreditverhältnis 1. Kreditlimite Der Kreditgeber gewährt dem Kreditnehmer einen Immobilien Bridge Loan über maximal CHF 15'000'000.00. 2. Verwendungszweck Finanzierung eines Teiles der Eigenmittel des Hotelprojektes CCC in DDD, sowie Finanzierung der Transaktionsko¬sten. 3. Benützung Revolvierend, in Form von maximal 3 festen Vorschüsse mit Laufzeiten von 1 bis 12 Monaten, längstens jedoch bis zum Verfall der Kreditlimite. Die Mindesttranche pro Vorschuss beträgt CHF 2'000'000.00, die Erhöhungs- ¬oder Reduktionsbeträge jeweils CHF 1,000,000.00. BBB kann die Laufzeit und die Höhe der einzelnen Vorschüsse im Rah¬men der vorstehenden Bestimmungen mittels schriftlicher Mitteilung (mittels Brief, Fax oder geschlüsseltem Telex) festlegen, die jeweils bis spätestens um 12.00 Uhr des zweitletzten Bankwerktages vor Kreditauszahlung bzw. dem Ver¬fall eines Vorschusses bei der AAA eintreffen muss. Fehlen besondere Instruktionen werden fällig werdende Vorschüsse von der AAA im Rahmen der Limite im gleichen Betrag um 3 Monate verlängert innerhalb der Kreditlaufzeit. 4. Verfall Die Laufzeit dieser Kreditlimite ist fest bis 31.12.1999; vorbehalten bleibt eine vorzeitige Kündigung gemäss Ziff.xx. 5. Zwingende Amortisationen Zwingende Amortisationen sind zu leisten, aus: Immobilienverkaufserlösen gemäss Beilage 2; Erlösen aus (wobei 75 % der Erlöse für die Amortisationen verwendet werden müssen): einem IPO oder einer sonstigen Refinanzierungs- / Kapitaltransaktion einer Konzerngesellschaft und / oder der EEE Holding AG, FFF dem Verkauf von Aktiven und/oder Aktien der Konzerngesellschaften und / oder der EEE Holding AG, FFF 75 % des Excess Cash Flows der BBB konsolidiert definiert als EBITDA - Investitionen /-Veränderungen Netto-Umlaufsvermögen bezahlte Steuern bezahlter Zinsaufwand Vereinbarte Rückzahlungen der in der Kreditvereinbarung vom 19.12.1997 vereinbarten Rückzahlungen der Fazilitäten "GGG Loan" und "HHH Operating" mit folgender Reihenfolge: GGG Loan und HHH Operating aus der Kreditvereinbarung vom 19.12.1997 Fazilität unter dieser Vereinbarung. 6. Freiwillige Amortisationen BBB hat das Recht, unter 30-tägiger Voranzeige auf den Verfall von Vorschüssen die Fazilität ganz oder teilweise zurückzuzahlen. 7. Zinsen/Marge Der Zinssatz der festen Vorschüsse basiert auf dem CHF-LIBOR zuzüglich einer Marge von 450 Basispunkten p.a. netto. Die Abrechnung mit Zinsbelastung bei Vorschüssen mit einer Laufzeit von mehr als 6 Monaten erfolgt vierteljährlich auf das Ende des Kalenderquartals ( 31. März, 30. Juni, 30. September und 31. Dezember) bzw. per Endverfall. Die Abrechnung mit Zinsbelastung bei Vorschüssen mit einer Laufzeit von weniger oder gleich 6 Monaten erfolgt per Endverfall der jeweiligen Vorschüsse. Fällt das Ende des Kalenderquartals auf einen Tag, der kein Bankwerktag ist, so ist der Fälligkeitstag der nächste Bankwerktag. Bei der Zinsberechnung gelangt die Internationale Usanz zur Anwendung, 365/360, d.h. effektive Anzahl Tage pro Monat auf ein 360-Tage-Jahr. 8. Commitment Fee Ab Datum der Unterzeichnung dieser Vereinbarung hat BBB eine Commitment Fee von 50 % der Marge über LIBOR auf dem unbenutzten Teil der Kreditlimite zu bezahlen gem. Ziffer 6. Die Commitment Fee ist jeweils viertel¬jährlich nachschüssig zahlbar. Der unbenutzte Teil der Kreditlimite verfällt am 30.06.1999. 9. Upfront Fee 1.50 % auf dem Gesamtbetrag der Kreditlimite, einmalig zahlbar zum Zeitpunkt der ersten Kreditauszahlung. Die bei Unterzeichnung des Term Sheets geleisteten CHF 150'000.-- werden an die Upfront Fee angerechnet. 10. Sicherheiten Die nachfolgend aufgeführten Sicherheiten haften der AAA zu gesamter Hand für sämtliche Forderungen unter dieser Kreditvereinbarung mit Einschluss von sämtlichen verfallenen und laufenden Zinsen, Kommissionen etc.: sämtliche Sicherheiten gemäss Kreditvereinbarung vom 19.12.1997 zwischen AAA und BBB; Abtretung der Nettoverkaufserlöse der Immobilienverkäufe gemäss Beilage 2; Die AAA entscheidet im Falle einer Beanspruchung der Sicherheiten über den Umfang und die Reihenfolge ihrer Verwertung nach eigenem Ermessen. Der Verwertungserlös wird zur Rückführung der unter diesem Vertrag bestehenden Ausstände verwendet. 11. Bedingungen für die Unterzeichnung der Kreditvereinbarung Folgende Bedingungen müssen vor der Unterzeichnung der Kreditvereinbarung zur Zufriedenheit der AAA erfüllt sein: Vorliegen der definitiven Kreditbewilligung durch die AAA; Abschluss einer detaillierten Due Diligence (v.a. klare Kostenbeschränkung und Finanzierungszusage für das Projekt "The Resort at GGG, DDD") bestehend aus Positiver Vertragsabschluss mit KKK (u.a. mit einem maximalen zu¬sätzlichen Kostenblock von $ 23 Mio, sowie der Zusage, dass die Hoteleröffnung per 30.04.1999 erfolgt), inklusive einer legal opinion einer angesehenen Rechtsanwaltskanzlei, welche die Verbindlichkeit des Abschlusses bestätigt; Bindendes Commitment der III Financial Corporation-JJJ, DDD, für Leasinggeschäfte über $ 15 Mio (Capital Lease), $ 13 Mio (Operating Lease) sowie für die unsecured credit line über $ 5 Mio; Legal opinion einer angesehenen Rechtsanwaltskanzlei, welche bestätigt, dass im Credit Agreement zwischen u.a. "The Resort at GGG, L.P." und "LLL Bank Plc as administrative agent" vom 30. Dezember 1997 keine Covenants verletzt sind, und die Auszahlung der ausstehenden $ 40 Mio gewährleistet ist; Verbindliche Kosteneinschränkungen für "Fixture Furniture and Equip- ment" durch das US-Management "The Resort at GGG, L.P." unter- zeichnet. 12. Bedingungen für die Beanspruchung der Kreditlimite Die unter dieser Kreditvereinbarung eingeräumte Kreditlimite kann erst bean¬sprucht werden, wenn folgende Bedingungen erfüllt sind: die rechtsgültige Unterzeichnung dieser Vereinbarung vor dem [Handwritten: bis spätestens am] 24. Dezember 1998; Allgemeine Geschäftsbedingungen (AGB) der AAA sind unterzeichnet; die rechtsgültige Bestellung sämtlicher gemäss Ziffer 10 dieser Kreditverein¬barung vereinbarten Sicherheiten sowie die Erfüllung der übrigen in diesem Zusammenhang bestehenden Verpflichtungen; keine materielle finanzielle Veränderung seit dem letzten vorliegenden Zwischenabschluss der Konzerngesellschaften; keine weiteren existierenden Verpfändungen und / oder Belehnungen von Aktiven der Konzerngesellschaften ausser den gemäss Beilage xx bestehen¬den. 13. Gewährleistungen bei jeder Beanspruchung der Kreditlimite BBB bestätigt (auch für die Konzerngesellschaften) durch Unterzeich¬nung dieser Kreditvereinbarung, dass die Rechtsstellung der BBB gegeben ist; alle Bestimmungen dieser Kreditvereinbarung eingehalten worden sind und eingehalten werden; alle Bewilligungen zum Geschäftsbetrieb vorhanden sind; alle Gesetze eingehalten worden sind und eingehalten werden; alle abgeschlossenen Verträge rechtsgültig und durchsetzbar sind; keine Rechtsverfahren hängig sind; keine Verzugsfälle eingetreten sind oder einzutreten drohen; h) keine materielle Verschlechterung der Vermögenslage oder Ertragslage ein- getreten ist oder einzutreten droht; i) sämtliche Verpflichtungen und Eventualverpflichtungen bei der Buchführung und bei der Bildung von Rückstellungen berücksichtigt worden sind. Diese Gewährleistungen werden von BBB vor jeder Beanspruchung der Kreditlimite bestätigt. 14. Negative Verpflichtungen BBB verpflichtet sich (auch für die Konzerngesellschaften) während der gesamten Dauer des Kreditverhältnisses ohne vorgängige schriftliche Zu¬stimmung der AAA: keine Aktivenverkäufe und -transfers, Kreditgewährungen an Dritte (inklusive Personal), Fusionen, Joint-Ventures, Investitionen ausserhalb der normalen Geschäftstätigkeit vorzunehmen; kein Verkauf von Konzerngesellschaften vorzunehmen; weder bestehende noch künftige eigene oder fremde Verpflichtungen in ir¬gendeiner Form zu besichern, oder falls bereits Sicherheiten bestellt worden sind, zusätzlich zu besichern, davon ausgeschlossen ist die Sicherstellung von Verpflichtungen aus dem normalen täglichen Geschäftsgebaren (z.B. Miet¬zinskautionen, übliche Eigentumsvorbehalte aus Lieferungen); keine zusätzlichen Kreditverbindlichkeiten und Eventualverbindlichkeiten ein¬zugehen, die den Betrag von kumuliert CHF 2'000'000.00 p.a. übersteigen (gilt auch für EEE Holding AG und deren Tochtergesellschaften); keine Veräusserung von Konzernaktiven vorzunehmen, die den Betrag von kumuliert CHF 1,000,000.00 p.a. übersteigen; keine Geschäfte mit Derivaten ausserhalb der normalen Geschäftstätigkeit vorzunehmen; Investitionen der BBB AG, FFF, die über dem mittelfristigen Finanzplan vom 16.12.1998 liegen (Beilage 4), der AAA vorzulegen und von dieser genehmigen zu lassen; h) keine Zahlungen durch die Konzerngesellschaften in die BBB of America Inc. oder deren Tochtergesellschaften vorzunehmen, um finanzielle Belange des "The Resort at GGG, LP." zu unterstützen, bzw. keine anderen Quersubventionierungen innerhalb der Konzerngesellschaften vor- zunehmen; i) keine Rückzahlung von Aktienkapital oder subordinierten Aktionärsdarlehen innerhalb der BBB vorzunehmen; j) keine Rückzahlungen von Darlehen ausserhalb der BBB vorzuneh¬men; k) keine Gewinnausschüttungen oder andere Zahlungen an die Aktionäre und / oder Verwaltungsräte mit Ausnahme der Tantiemen der BBB vor¬zunehmen; I) keine Zahlungen irgendwelcher Natur an die Familie Hans R. Jecklin vorzu¬nehmen, die den Betrag von kumuliert CHF 1'500'000.00 p.a. übersteigen; m) kein Abschluss von Geschäften ohne entsprechende Gegenleistungen vorzu-nehmen; n) keine materiellen Änderungen der Bilanzierungsgrundsätze sowie der Statu-ten und / oder Eigenkapitalverhältnisse vorzunehmen, soweit dies nicht ge-setzlich vorgeschrieben wird (inkl. Veränderung Bilanzstichtag); o) keine Veränderungen der Struktur der BBB vorzunehmen; p) keine Verpfändung von Spiellizenzen. MMM und NNN verpflichten sich, keine weitere Verschuldung und Eventualverbindlichkeiten einzugehen (zur Zeit ma¬ximal CHF 10 Mio Solidarbürgschaft von Herrn Hans R. Jecklin zu Gunsten AAA). 15. Positive Verpflichtungen BBB verpflichtet sich (auch für die Konzerngesellschaften) während der gesamten Dauer des Kreditverhältnisses dafür besorgt zu sein, sich die von der BBB AG, FFF, von der BBB International B.V., Den Haag, Holland und der BBB of America Inc. erwirtschafteten Gewinne resp. Cash Flows soweit möglich und gesetzlich zulässig für den Schuldendienst an die AAA zwingend als Divi¬denden oder in anderer geeigneter Form an die BBB ausschütten zu lassen; das Geschäft und die Aktiven mindestens im bestehenden Rahmen im Sinne der heute formulierten Geschäftsstrategie zu unterhalten; sämtliche Transaktionen innerhalb der Konzerngesellschaften zu Marktkondi-tionen durchzuführen; einen angemessen Versicherungsschutz mindestens in dem bei Unterzeich¬nung dieser Vereinbarung bestehenden Umfange aufrechtzuerhalten; die AAA sofort schriftlich über Erteilung bzw. Verlust von Spiellizenzen zu in-formieren; die AAA sofort zu informieren, falls: - von BBB oder gegen BBB Gerichts-, Verwaltungs-, Schieds- oder Betreibungsverfahren im Betrag von gesamthaft mehr als CHF 500'000.00 oder Gegenwert eingeleitet werden, oder JECK0019465 sich Vorkommnisse ereignen, die Einfluss auf die Fähigkeit einer Kon¬zergesellschaft haben könnten, die Verpflichtungen gegenüber der AAA zu erfüllen, oder sich sonst wesentliche Veränderungen abzeichnen oder ereignen, die Grund für eine ausserordentliche Kündigung bilden können. g) der AAA die Ermächtigung zu Betriebsbesuchen sowie zur Einsichtnahme in die Buchhaltung der Konzerngesellschaften zu gewähren; h) dafür besorgt zu sein, dass ihre Verpflichtungen unter dieser Vereinbarung mindestens im gleichen Rang (pari-passu) stehen wie aller anderen direkten, nicht dinglich gesicherten und nicht nachrangigen Schuldverpflichtungen, die sie gegenüber anderen Gläubigern eingegangen ist; i) dass Kapitalerhöhungen von Konzerngesellschaften (exklusive der vorliegen- den Transaktion) die einen Cashzufluss an die Aktionäre der Swiss HHHs und / oder der BBB AG, FFF, bewirken, zur vorzeitigen Amortisation der vorliegenden Fazilität verwendet werden, wobei immer zu- erst die Verpflichtungen aus der Kreditvereinbarung vom 19.12.1997 zwi- schen AAA und BBB bedient werden; j) die zur Aufrechterhaltung des Schutzes von Immaterialgüterrechten (Patente, Lizenzen, etc.) notwendigen Handlungen vorzunehmen. 16. Financial Covenants Für die Dauer des Kreditverhältnisses verpflichtet sich die BBB bzw. BBB AG, FFF die geforderten Relationen immer einzuhalten.Es wird ein vierteljährlicher Test auf rollender Basis für die jeweils vergangenen 4 Quartale durchgeführt, erstmals per 31.03.1999 (Definition vgl. Beilage 5) a) Verschuldungsgrad Zinstragende Schulden dividiert durch EBITDA <4.00x bis 31.12.1999 <3.50x bis 31.12.2000 <3.00x bis 31.12.2001 <2.50x bis 31.12.2002 < 2.00x danach b) Zinsdeckungsgrad EBIT dividiert durch Zinskosten >2.50x bis 31.12.2000 >3.00x bis 31.12.2001 >3.50x bis 31.12.2002 >4.00x danach c) Eigenkapitalisierung Swiss HHHs > CHF 43 Mio BBB AG, FFF > CHF 20.Mio Einzelheiten über die Berechnungsweise der Financial Covenants [Handwritten: Stufe definieren!] sind in der Beilage 5 geregelt. BBB und BBB AG, FFF verpflichten sich, den Nachweis über die Einhaltung de Financial Covenants der AAA jeder¬zeit auf Verlangen und unaufgefordert anlässlich der Vorlage der Quartalsab¬schlüsse in der in Beilage 5 aufgeführten Form zu bestätigen (mit rechtsgültiger Unterschrift des entsprechenden Finanzchefs). Bei Uneinigkeit über die Berech¬nungsweise gelten die von der AAA angewandten Grundsätze. Auf Basis der revidierten Abschlusszahlen 1998 bzw. nachfolgenden Jahren können zusätzliche sinnvolle Financial Covenants vereinbart werden. 17. Informationsverpflichtungen BBB verpflichtet sich während der gesamten Dauer des Kreditver¬hältnisses der AAA folgende Informationen, unter Einhaltung bzw. Erfüllung al¬ler relevanten rechtlichen und buchhalterischen Anforderungen und Standards, zur Verfügung zu stellen; konsolidiert für die Swiss HHHs, die BBB AG, BBB of America Inc. und BBB International B.V.: je ein Exemplar des unrevidierten Quartalsabschlusses (Erfolgsrechnung, Cash Flow Ausweis und Bilanz mit Vergleich der aktuellen Zahlen mit den Vorjah¬reswerten sowie den Budgetzahlen) bis spätestens 45 Kalendertagen nach Ende des Kalenderquartals; eine Bestätigung, dass sämtliche Kreditvertragsbestimmungen eingehalten worden sind, inklusive der Berechnung der Financial Covenants bis späte¬stens 45 Kalendertagen nach Ende des Kalenderquartals; je ein Exemplar des geprüften Jahresabschlusses (einzeln und konsolidiert, Er¬folgsrechnung, Cash Flow Ausweis und Bilanz) mit Bericht der Revisionsstelle bis spätestens 120 Tage nach jedem Geschäftsjahresende (auch auf Stufe al¬ler Einzelgesellschaften); eine durch die Revisionsstelle geprüfte Berechnung der Financial Covenants bis spätestens 120 Tage nach Ende jedes Geschäftsjahrs; ein Budget, einen Businessplan für das kommende Geschäftsjahr mit Infor¬mationen über die Geschäftsstrategie bis spätestens 30 Tage vor Ablauf des jeweiligen Geschäftsjahres; auf Anfrage der AAA weitere Informationen im Zusammenhang mit den ge¬schäftlichen Aktivitäten. 18. Defaults / vorzeitige Kündigung Die AAA kann nach ihrem Ermessen die Kreditlimite, wie auch einzelne oder alle Benützungen (inkl. Kapital, inkl. aufgelaufene Zinsen, Kommissionen, Gebühren etc.) darunter jederzeit per sofort kündigen und zur Rückzahlung fällig stellen, falls (gilt auch für die Konzerngesellschaften): a) BBB eine Bestimmung dieser Vereinbarung verletzt oder eine Be- dingung dieser Kreditvereinbarung nicht erfüllt, z.B.: bei Verzug einer Zins-, Kommissions- und/oder Kapitalrückzahlung um mehr als 15 Kalendertage, oder falls eine Kreditüberschreitung nicht in¬nert der von der AAA gesetzten Frist durch Zahlung zurückgeführt oder angemessen sichergestellt wird; oder bei Verletzung einer anderen Verpflichtung oder Gewährleistung unter dieser Kreditvereinbarung ohne dass - sofern möglich und sinnvoll - innert 30 Tagen eine nachträgliche Erfüllung erfolgt; die BBB ihre rechtliche oder wirtschaftliche Struktur ohne vorherige schriftliche Zustimmung der AAA ändert, wie zum Beispiel durch Liquidation, Veräusserung eines wesentlichen Teils der Aktiven, Aenderung des Gesell¬schaftszwecks bzw. der Geschäftstätigkeit, Fusion oder Restrukturierung; von der Revisionsstelle der BBB in den geprüften Jahresabschlüssen gemäss Ermessen der AAA wesentliche Vorbehalte angebracht werden oder die Revisionstelle ohne vorgängige schriftliche Zustimmung der AAA gewechselt wird; JECK0019467 d) wichtige Gründe vorliegen, namentlich bei einer nach Ermessen der AAA er- heblichen Verschlechterung der Ertrags- oder Vermögenslage der Swiss Casi- nos, z.B.: wenn BBB seine Zahlungen einstellt, oder BBB beim zuständigen Gericht ein Begehren auf Konkurser¬öffnung, Konkursaufschub oder Nachlassstundung einreicht oder solche Begehren von dritter Seite eingereicht werden. e) Kredite oder anderweitige Verpflichtungen einer oder mehrerer Konzernge- sellschaften aufgrund von Verzugs- oder Fälligkeitsklauseln gekündigt wer- den oder Gefahr laufen, aufgrund von Nichteinhalten von Vertragsbedingun- gen vorzeitig gekündigt oder fällig gestellt zu werden, oder falls derartige Verpflichtungen bei Fälligkeit nicht erfüllt werden und der vertragsmässige Zustand innerhalb 20 Bankwerktagen nicht wieder hergestellt wird; Werden feste Vorschüsse durch die AAA vor Ablauf ihrer ordentlichen Laufzeit in Anwendung dieser Ziffer 16 zur Rückzahlung fällig erklärt, haftet die BBB der AAA gegenüber für alle ihr dadurch entstehenden Nachteile und Kosten, namentlich für die etwaige Differenz zwischen dem vertraglichen Zins (einschliesslich Marge) und dem Zins, den die AAA für eine anderweitige Anlage für die Restlaufzeit erhalten könnte. 19. Verzugszinsen Falls einer der Kreditnehmer eine Zahlung bei Fälligkeit nicht termingerecht lei-stet, hat der betreffende Kreditnehmer eine zusätzliche Marge von 200 Ba-sispunkten p.a. ab Datum des Verzugs bis zum Tag der tatsächlichen Zahlung zu zahlen. 20. Erhöhung der Kreditkosten Sollten sich die Kreditkosten der AAA aufgrund behördlicher Vorschriften, na-mentlich durch die Einführung von Mindestreserven, Kreditsteuern oder die Än-derung von Eigenmittelunterlegungssätzen, erhöhen, sind diese zusätzlichen Kosten von der BBB zu tragen. Die AAA ist berechtigt, die Zinssätze vom nächstfolgenden Zinstermin an, jedoch unter Voranzeige von mindestens 30 Tagen, entsprechend zu erhöhen. Muss die AAA die Zinssätze aus diesem Grund erhöhen, steht der BBB das Recht zu, den gesamten dann noch ausstehenden Kredit (Benützungen), einschliesslich aller Zinsen auf den nächstfolgenden Zinstermin, jedoch unter Einhaltung einer Voranzeigefrist von mindestens 10 Tagen zurückzuzahlen, so¬wie die Limite zu kündigen. Die Kosten einer solchen vorzeitigen Rückzahlung sind nach Massgabe von Zif¬fer 16 dieser Vereinbarung von der BBB zu tragen. 21. Allgemeine Geschäftsbedingungen Die Allgemeinen Geschäftsbedingungen, von denen jeder Kreditnehmer ein Exemplar erhalten hat, gelten als integrierender Bestandteil dieses Vertrags. 22. Entschädigungen Die BBB verpflichtet sich, der AAA (nach Rücksprache mit der Swiss HHHs) die Kosten der internen und externen Berater (inkl. Rechtsberater) im Zusammenhang mit der Aushandlung, dem Abschluss und dem Vollzug dieser Vereinbarung sowie der damit zusammenhängenden Verträge, wie etwa Pfandverträge zu ersetzen. Ferner verpflichtet sich die BBB zum Ersatz sämtlicher Kosten, die der AAA zwecks Erfüllung und Durchset¬zung dieser Vereinbarung und der damit zusammenhängenden Verträge ge¬genüber der BBB allenfalls anfallen, einschliesslich der Rechtsko¬sten; Für den Fall, dass die AAA die Refinanzierung von Kreditbenützungen auf die Veranlassung der BBB in die Wege geleitet hat, und die Transaktion dennoch nicht zustande kommt, haftet die BBB der AAA für alle ihr dadurch entstehenden Nachteile und Kosten; 23. Uebertragbarkeits-Klausel Die AAA ist berechtigt, unter Voranzeige von 20 Kalendertagen ihre Rechte und Pflichten unter diesem Kreditvertrag jederzeit auf irgendeine andere Geschäfts¬stelle oder Tochtergesellschaft oder auf Dritte zu übertragen, bzw. die Kredite durch eine andere Geschäftsstelle oder Tochtergesellschaft zu gewähren. Der BBB steht es frei, innert 10 Kalendertagen nach Erhalt der Mitteilung begründeten Widerspruch anzumelden. Stillschweigen gilt als Zustimmung. Die BBB verpflichtet sich, im gegebenen Fall zur Vornahme der notwendi¬gen Mitwirkungshandlungen. 24. Vertragsänderungen Aenderungen und Ergänzungen dieses Vertrags haben schriftlich zu erfolgen. 25. Anhänge Sämtliche Anhänge dieses Vertrags bilden integrierende Bestandteile desselben in ihrer jeweiligen Fassung. Sollten zwischen den Anhang dieses Vertrages bil¬denden Pfand- und Zessionsvereinbarungen sowie der "Allgemeinen Geschäfts¬bedingungen" und diesem Vertrag Widersprüche bestehen, so geht dieser Ver¬trag vor. 26. Anwendbares Recht/Gerichtsstand Der vorliegende Vertrag untersteht ausschliesslich schweizerischem Recht. Er¬füllungsort, Betreibungsort, letzterer nur für Personen mit Domizil im Ausland, sowie ausschliesslicher Gerichtsstand für alle im Zusammenhang mit der vor¬liegenden Vereinbarung stehenden Streitigkeiten ist Zürich. Die AAA ist jedoch befugt, ihre Rechte auch am Domizil der BBB oder vor jeder anderen zuständigen Behörde geltend zu machen, wobei ausschliess¬lich schweizerisches Recht anwendbar bleibt. 27. Dahinfallen des Vertrags Werden die unter Ziff. 15 enthaltenen Bedingungen nicht vollumfänglich vor dem 31. Dezember 1998 erfüllt, wird dieser Kreditvertrag gegenstandslos. Da¬bei wird die Abschlussgebühr gemäss Ziffer 8.1 an diesem Datum zur Zahlung fällig, sofern das Dahinfallen des Kreditvertrages nicht von der AAA zu vertreten ist. Utilization Revolving, in the form of a maximum of 3 firm advances for terms of between 1 and 12 months, but no longer than the expiration of the credit limit. The minimum tranche per advance is CHF 2,000,000.00, with increments or reductions of CHF 1,000,000.00 each time. BBB can specify the term and amount of the individual advances pursuant to the foregoing terms and conditions in writing (in a letter, fax or coded telex), which must be received in each case by AAA no later than 12.00 p.m. on the second last bank business day before drawdown and / or expiration of an advance. Loan Agreement BBB Holding AG In the absence of specific instructions, advances approaching maturity will be extended by 3 months for the same amount by the AAA during the term of the loan within the scope of the limit. 4. Expiration This credit limit expires on 12/31/1999. The right to terminate before maturity is reserved pursuant to Clause xx. 5. Mandatory Amortization Mandatory amortizations are to be made from: 1. Proceeds from property sales pursuant to Annex 2; 2. Proceeds (whereby 75% of the proceeds must be used for the amortizations) from: a) an IPO or another kind of refinancing / capital transaction by an affiliated corporation and / or EEE Holding AG, FFF b) the sale of assets and / or stock of the affiliated corporations and / or EEE Holding AG, FFF c) 75% of BBB’ excess cash flows consolidated and defined as EBITDA - Investments /- Changes in net assets – current assets  Taxes paid  Interest paid  Agreed repayments of repayments of the “GGG Loan” and “HHH Operating” facilities stipulated in the loan agreement of 12/19/1997 in the following order of priority: a) GGG Loan and HHH Operating from the loan agreement of 12/19/1997 b) Facilities arranged under this agreement. 6. Voluntary Amortizations BBB has the right to repay the facility either in full or in part with thirty days advance notice upon expiration of advances. 7. Interest / Margin The interest rate for the firm advances is based on the CHF-LIBOR plus a margin of 450 basis points p.a. net. Interest charges for advances with a term greater than 6 months are invoiced on a quarterly basis at the end of the calendar year quarter (March 31, June 30, September 30 and December 31) and / or on the final expiration date. Interest charges for advances with a term less than or equal to 6 months are invoiced on the final expiration date of the respective advances. If the end of the calendar year quarter falls on a day which is not a bank business day then the effective date is the next bank business day. The international usage of 365 / 360, i.e. the effective number of days per month based on a 360 day year, applies when calculating interest. 2 Loan Agreement BBB Holding AG 8. Commitment Fee BBB has to pay a commitment fee of 50% of the margin over LIBOR on the unused tranche of the credit limit from the date of signature of this agreement pursuant to Clause 6. The commitment fee is payable each time in arrears on a quarterly basis. The unused tranche of the credit limit expires on 06/30/1999. 9. Upfront Fee 1.50% of the total amount of the credit limit, payable as a one-off at the time of the first drawdown. The CHF 150,000.00 paid upon signing the Term Sheet will be offset against the upfront fee. 10. Securities The securities listed below are held jointly and severally by the AAA in respect of all claims pursuant to this loan agreement including all overdue and outstanding interest, commissions, etc.: a) all securities pursuant to the loan agreement of 12/19/1997 between AAA and BBB; b) Assignment of the net proceeds from property sales pursuant to Annex 2; The AAA will decide, at its own discretion, in the event of a claim on the securities, on the extent and order of their liquidation. The proceeds from the liquidation will be used to repay the outstanding debts arising under this contract. 11. Terms and Conditions relating to Signing the Loan Agreement The following terms and conditions must be met to the satisfaction of the AAA before the loan agreement is signed: a) Definitive granting of the loan by the AAA; b) Finalization of a detailed due diligence report (in particular clear cost restrictions and financing commitments for the “Resort at GGG , DDD” project) consisting of • Definite contractual agreement with KKK (inter alia with a maximum additional pool of costs of $23 million, as well as an undertaking that the Hotelwill open by 04/30/1999), including a legal opinion from a reputable legal firm which confirms the binding force of the transaction; • Binding commitment from the PDS Financial Corporation-Nevada, 6171 McLeod Drive, Las Vegas, NV 89120, for leasing activities for $15 million (Capital Lease), $13 million (Operating Lease) and $5 million for the unsecured credit line; • Legal opinion from a reputable legal firm which confirms that, in the credit agreement between, inter alia, "The Resort at GGG , L.P." and "LLL Bank Plc as administrative agent" of December 30, 1997, no covenant has been violated and payment of the outstanding $40 million is guaranteed; 3 Loan Agreement BBB Holding AG • Binding cost restrictions for "Fixture Furniture and Equipment" are signed by the US Management of "The Resort at GGG, L.P.". 12. Terms and Conditions for Using the Credit Limit The credit limit granted under this loan agreement can only be used when the following terms and conditions have been met: a) The legally valid signing of this agreement before the [Handwritten: no later than] December 24, 1998; b) Signing of the AAA General Terms and Conditions; c) The legally valid assignment of all the securities agreed on pursuant to Clause 10 of this loan agreement as well as performance of the other obligations pertaining thereto; d) no material financial change since the last interim financial statement to date of the affiliated corporations; e) no further pledging and / or mortgaging of the affiliated corporations’ assets other than that arising pursuant to Annex xx. 13. Guarantees for each Use of the Credit Limit BBB affirms (also on behalf of the affiliated corporations) through the signing of this loan agreement that a) The legal status of BBB has been provided; b) All terms and conditions of this loan agreement have been and will be observed; c) All approvals for business activities are available; d) All laws have been and will be observed; e) All concluded contracts are legally binding and enforceable; f) No legal proceedings are pending; g) No events of default have occurred or are impending; h) No material deterioration in the net worth or profit situation has occurred or is impending; i) All liabilities and contingent liabilities have been taken into consideration in the accounts and provisions made. These guarantees are affirmed by BBB every time the credit limit is used. 14. Negative Obligations BBB undertakes (in respect of the affiliated corporations as well) during the entire duration of the loan agreement: a) Not to carry out any assets sales or transfers, not to grant credit to third parties (including personnel), not to carry out mergers, joint ventures or investments outside normal business operations; b) Not to sell affiliated corporations; c) Not to supply security for either existing or future internal or external obligations in any form whatsoever or, in the event of securities already having been created, not to supply additional security, with the exception of guaranteeing obligations from normal everyday business operations (e.g. rental bonds, normal reservations of proprietary rights with regard to deliveries); d) Not to enter into any additional liabilities or contingent liabilities which exceed the accumulated amount of CHF 2,000,000.00 p.a. (this also applies to EEE Holding AG and its subsidiaries); 4 Loan Agreement BBB Holding AG e) Not to dispose of group assets which exceed the accumulated amount of CHF 1,000,000.00 p.a.; f) Not to carry out any derivative transactions outside normal business activities; g) To submit any investments by BBB AG, FFF, which extend beyond the medium term budget of 12/16/1998, to the AAA for approval by the latter; h) Not to make any payments by the affiliated corporations into the BBB of America Inc. or its subsidiaries to subsidize the financial interests of “The Resort at GGG , L.P.”, and / or any other cross-subsidizations within the affiliated corporations; i) Not to make any repayment of stock capital or subordinated shareholder loans within BBB; j) Not to repay loans outside BBB; k) Not to make any capital gains distributions or other payments to the shareholders and / or Boards of Directors with the exception of BBB’ directors’ fees; l) Not to make any kind of payments to the Hans R. Jecklin family which exceed the accumulated amount of CHF 1,500,000.00 p.a.; m) Not to conclude any business transactions without appropriate considerations; n) Not to make any material changes to the accounting principles, statutes and / or equity capital ratios in so far as this is not prescribed by law (including changes to the statement of financial position’s reporting date); o) Not to make any changes to BBB’ structure; p) Not to pledge gambling licenses without the prior written consent of the AAA. MMM and NNN undertake not to enter into any more debt or contingent liabilities (currently a maximum of CHF 10 million joint and several guarantee from MMM in favor of AAA). 15. Positive Obligations BBB undertakes (also in respect of the affiliated corporations) during the entire duration of the loan agreement a) To ensure that the profits resp. cash flows generated by BBB AG, FFF, BBB International B.V., The Hague, Holland and BBB of America Inc. are mandatorily distributed as dividends or in another appropriate form to BBB as far as is possible and lawfully permitted for servicing the AAA debt; b) To maintain the business and assets at least at the existing scale according to the spirit of the business strategy formulated today; c) To carry out all transactions within the affiliated corporations according to market conditions; d) To maintain appropriate insurance coverage at least to the extent existing at the time of signing this agreement; e) To immediately advise the AAA in writing of the issuing and / or loss of gambling licenses; f) To inform the AAA immediately, in the event of: - Legal, administrative, arbitration or writ of account proceedings being initiated by or against BBB for a total amount greater than CHF 500,000.00 or equivalent, or 5 Loan Agreement BBB Holding AG - Incidents arising which could have an impact on the capacity of an affiliated corporation to fulfill its obligations vis-à-vis the AAA, or - Other important changes emerging or arising which can constitute grounds for an extraordinary termination. g) To grant AAA the authority to carry out a business inspection as well as to examine the accounts of the affiliated corporations; h) To ensure that their obligations under this agreement are at least ranked equally (pari-passu) with all other direct, unsecured by a property lien or unsubordinated debt which they have taken out with other creditors; i) That capital increases by affiliated corporations (excluding the present transaction) which produce a cash inflow for the shareholders of BBB and / or BBB AG, FFF, are employed for the accelerated amortization of this facility, whereby the obligations under the loan agreement of 12/19/1997 between AAA and BBB are always attended to first; j) To carry out the requisite actions to maintain protection of intangible property rights (patents, licenses, etc.). 16. Where disagreement arises over the calculation method, the principles applied by the AAA shall prevail. Additional sensible financial covenants can be agreed upon on the basis of the audited accounting data for 1998 and / or subsequent years. 6 Loan Agreement BBB Holding AG 17. Information Obligations BBB undertakes, during the entire duration of the loan agreement with AAA, to provide the following information, while observing and / or complying with all relevant legal and accounting requirements and standards, in consolidated form for BBB, BBB AG, BBB of America Inc. and BBB International B.V.: a) A copy of each unaudited quarterly statement of accounts (profit and loss statement, cash flow statement and statement of financial position with a comparison of current figures with the previous year’s and budget’s figures) no later than 45 calendar days after the end of the calendar quarter; b) Affirmation that all the loan agreement’s terms and conditions have been observed, including calculation of the financial covenant, no later than 45 calendar days after the end of the calendar quarter; c) A copy of each audited financial statement (individual and consolidated, profit and loss statement, cash flow statement and statement of financial position) with the auditor’s report no later than 120 days after the end of each business year (also at the level of all the individual companies); d) A calculation of the financial covenant, audited by the auditors no later than 120 days after the end of each business year; e) A budget, a business plan for the forthcoming business year with information concerning the business strategy no later than 30 days before the end of the respective business year; f) Additional information with regard to business activities upon request from AAA 18. Defaults / Termination before Maturity The AAA can terminate the credit limit with immediate effect, at any time, at its discretion, as well as individual or all utilizations (including capital, accrued interest, commissions, fees etc.) pertaining thereto and declare it due for repayment, in the event of (this also applies to the affiliated corporations): a) BBB breaching a term or condition of this agreement or failing to fulfill a provision of this loan agreement, e.g.: • Defaulting on an interest, commission and / or capital repayment for more than 15 calendar days, or becoming overdrawn and not repaying this or making appropriate provision for same within the timeframe set down by the AAA; or • Where another obligation or guarantee under this loan agreement is breached without same – in so far as is possible and reasonable – being subsequently discharged within 30 days; b) BBB changing its legal or financial structure without the prior written consent of AAA, as for example through liquidation, disposal of a substantial part of the assets, change in the company’s purpose and / or business activities, merger or restructuring; c) Significant reservations being included in the audited financial statements by BBB’ auditors in the estimation of AAA or 7 Loan Agreement BBB Holding AG the auditors being changed without the prior written consent of the AAA; d) Good cause exists, in particular in the case of a significant deterioration in BBB’ revenue or assets, in the estimation of AAA, e.g.: • If BBB suspends its payments, or • BBB brings a petition before the court with jurisdiction with regard to adjudication in bankruptcy, a deferment of bankruptcy or stay of bankruptcy or such petitions are filed by third parties. e) Loans or other liabilities of one or more of the affiliated corporations are terminated because of default or acceleration clauses or are in danger of being terminated before maturity or declared due because of non-compliance with contractual provisions, or in the event of these kinds of obligations not being honored upon maturity and conformity with the contract not being restored within 20 bank business days; If firm advances are declared due for repayment by the AAA before expiration of their regular term in application of this Clause 16 [sic], BBB is liable vis-à-vis AAA for all the disadvantages and costs incurred thereby by the latter, in particular for any difference between the contractual interest (including margin) and the interest which the AAA could receive for an investment elsewhere for the term to maturity. 19. Interest on Arrears In the event of a borrower not making a payment on time, then the respective borrower has to pay an additional margin of 200 basis points p.a. from the date of default until the date of actual payment. 20. Increase in credit costs Should the AAA’ cost of credit increase because of government regulations, in particular through the introduction of minimum reserves, credit taxes or a change in capital reserves securitization rates, then these additional costs are to be borne by BBB. The AAA is entitled to increase the interest rates accordingly from the next interest due date but with at least 30 days advance notice. If the AAA has to increase the interest rates for this reason, BBB has the right to repay all the loan still outstanding (utilizations), including all interest, on the next interest due date, while complying with a period of advance notice of at least 10 days, as well as to terminate the credit limit. The costs of such a repayment before maturity are to be borne by BBB in accordance with Clause 16 of this agreement. 21. General Terms and Conditions The General Terms and Conditions, a copy of which has been received by each borrower, constitute an integral part of this contract. 8 Loan Agreement BBB Holding AG 22. Damages a) BBB undertakes to reimburse AAA (after consultation with BBB) the costs of internal and external advisers (including legal advisers) in connection with the negotiation, conclusion and completion of this agreement and the contracts thereto pertaining, such as pledge agreements. BBB also undertakes, if need be, to repay all costs incurred by AAA with regard to the performance and enforcement of this agreement and the contracts thereto pertaining in respect of BBB, including legal costs; b) In the event of the AAA arranging refinancing of credit requirements on behalf of BBB, and the transaction not however materializing, then BBB is liable to AAA for all disadvantages and costs it thereby incurs. 23. Transferability Clause The AAA is entitled at any time, with 20 calendar days’ advance notice, to transfer its rights and obligations under this loan agreement to any other branch or subsidiary or third party, and / or to grant the loan through another branch or subsidiary. The BBB is entitled to raise well founded objections within 10 calendar days of receipt of notice. Silence is deemed to imply consent. BBB undertakes, should the situation arise, to conduct the necessary collaborative negotiations. 24. Amendments to the Contract Amendments and additions to this contract must be made in writing. 25. Annexes All the annexes to this contract constitute an integral part of the same in its current form. Should inconsistencies exist between the pledge and transfer agreements or “General Terms and Conditions” comprising the annexes of this contract and this contract, then the latter shall prevail. 26. Applicable Law / Court of Jurisdiction The present contract is exclusively subject to Swiss law. The place of performance, place of execution, the latter only for parties with their domicile outside Switzerland, as well as the exclusive court of jurisdiction for all disputes arising in connection with this agreement, is Zurich. The AAA is however also authorized to enforce its rights in the domicile of BBB or before any other appropriate authority, whereby Swiss law remains exclusively applicable. 9 Loan Agreement BBB Holding AG 27. Voiding of the Contract If the terms and conditions cited in Clause 15 are not completely met before December 31, 1998, then this loan agreement becomes redundant. DDD, Rechtsanwalt, 8001 Zürich Gegenstand Summarisches Verfahren betreffend Präliminarien (Anweisung an den Schuldner und ev. Gesuch um Erlass einer vorläufigen Massnahme) -2- Der Gerichtspräsident entnimmt den Akten: 1. Die Parteien heirateten am 31. August 2001 in ZZZ. Aus der Ehe gingen die Kinder EEE, geb. 31.08.1997, FFF, geb. 30.04.1999, und GGG, geb. 30.06.2005, hervor. Die Partei¬en leben seit dem 30. April 2005 getrennt. Das Gerichtspräsidium WWW erklärte mit Urteil SU.2005 vom 28. Februar 2006 die Parteien für berechtigt, den gemeinsamen Haushalt aufzuheben und ordnete die erforderlichen Eheschutzmassnahmen an (nachfolgend Urteil 1). 2. 2.1. Die Klägerin stellt folgende Schlussanträge (act. 2): 1. Der Arbeitgeber des Beklagten sei anzuweisen, die der Klägerin im Urteil des Gerichtspräsidiums WWW vom 28.02.2006 zugesprochenen monatli¬chen und jährlichen Unterhaltsbeiträge und Kinderzulagen (inkl. die nachbe¬zahlten Kinderzulagen für EEE) ab sofort und bis auf weiteres direkt an die Klägerin auf folgendes Konto zu überweisen: Credit Suisse, 5401 Baden, Pri¬vatkonto 892908-60-1, It. auf die Klägerin. 2. Der Beklagte sei zu verpflichten, für die Nachzahlung und die Fortsetzung der Ausrichtung der Kinderzulagen für Soleda zu sorgen. 3. Dem Beklagten sei höchstens eine kurze nicht erstreckbare Frist zur Erstat¬tung einer Antwort anzusetzen. Eventualiter: Ziffer 1 hiervor sei gestützt auf § 294 ZPO als vorläufige Massnahme sofort zu verfügen. 4. Der Beklagte sei zu verpflichten der Klägerin eine Kostenvorschuss von CHF 2'500.00 zu bezahlen. 5. Da das Verfahren über die Scheidungsfolgen noch rechtshängig ist und die Parteien im Zeitpunkt der Anhängigmachung des Verfahrens über die Scheidungsfolgen Wohnsitz im Bezirk WWW hatten bzw. der Beklag¬te immer noch hat, ist das Gerichtspräsidium WWW zum Erlass von -3- Massnahmen und deren Abänderungen für die Dauer des Verfahrens über Scheidungsfolgen i.S.v. Art. 137 des Schweizerischen Zivilgesetzbu¬ches vom 10. Dezember 1907 (ZGB; SR 210) örtlich und sachlich zustän¬dig (Art. 15 des Bundesgesetzes über den Gerichtsstand in Zivilsachen vom 24. März 2000 [Gerichtsstandsgesetz, GestG; SR 272]). Die übrigen Prozessvoraussetzungen sind ebenfalls erfüllt, weshalb auf die Klage ein-zutreten ist. 2. 2.1. Vernachlässigt die verpflichtete Person die Erfüllung der Unterhaltspflicht, so kann das Gericht gemäss Art. 132 ZGB ihre Schuldner anweisen, die Zahlungen ganz oder teilweise an die berechtigte Person zu leisten. Vor-aussetzung für die Anordnung einer Anweisung ist, dass ein vollstreckba¬rer Rechtstitel vorliegt und der Schuldner die Erfüllung seiner Unterhalts¬pflicht vernachlässigt. Das Erfordernis der Vollstreckbarkeit ist allerdings insoweit zu relativieren, als der Drittschuldner einmal angewiesen wird, bis zur gegenteiligen Anordnung den jeweiligen Betrag direkt an die be¬rechtigte Person zu leisten. In diesem Sinn erfasst die Anweisung auch künftige, im Zeitpunkt ihrer Anordnung noch nicht fällige Unterhaltsbeiträ¬ge. Demgegenüber kann die Anweisung in keinem Fall rückständige Un-terhaltsbeiträge erfassen. Eine Vernachlässigung liegt dann vor, wenn der Unterhaltsbeitrag wiederholt nicht, nicht vollständig und/oder unpünktlich bezahlt wird und zu befürchten ist, dass dies auch in Zukunft geschehen wird. Auf den Grund für die nicht gehörige Erfüllung kommt es dabei nicht an. Ein Verschulden seitens des Pflichtigen ist nicht erforderlich. Der Ein-griff muss verhältnismässig sein und darf nicht bereits schon bei jeder ge-ringfügigen Verzögerung oder ausnahmsweisem Ausbleiben der Leistung erfolgen. Erforderlich ist vielmehr, dass die Ansprüche des Unterhaltsbe-rechtigten ernstlich gefährdet sind (SCHWENZER, FamKommentar Schei-dung, Bern 2005, N 2 zu Art. 132 ZGB; SUTTER/FREIBURGHAUS, Kommen-tar zum neuen Scheidungsrecht, Zürich 1999, N5 und 7 zu Art. 132 ZGB). 2.2. Im Urteil 1 wurden Geldbeträge festgesetzt, welche der Beklagte an den Familienunterhalt zu leisten hat. Die Klägerin bringt vor, der Beklagte ha¬be anfänglich während 4 1/2 Monaten gar nicht und anschliessend nur teil-weise und häufig verspätet bezahlt. Die Zahlungen aus den Boni habe der Beklagte nie bezahlt. Bis Ende Oktober 2007 belaufe sich die geschuldete Summe auf Fr. 60‘000.00 plus Anteil Bonus (Klage S. 4). Der Beklagte erstattete innert erstreckter Frist keine materielle Antwort, so dass androhungsgemäss von der Anerkennung der klägerischen Sach-verhaltsdarstellung unter Einredenverzicht auszugehen ist (act. 12). Die Strafanzeige der Klägerin vom 18. Dezember 2007 gegen den Beklagten wegen des Verdachts der Vernachlässigung der Unterhaltspflichten ge-mäss Art. 217 des Schweizerischen Strafgesetzbuches vom 21. Dezem- -4- ber 1937 (StGB; SR 311.0; vgl. Beilage 2 zur klägerischen Eingabe vom 19.12.2007) erhärtet ihre Sachverhaltsdarstellung. Der Beklagte lässt im Gegenzug nichts ausführen, was darauf schliessen lässt, dass die Unterhaltsbeiträge zur Zeit in unzulässiger Weise sein ge-schütztes Existenzminimum schmälern. Zwar verlangt er mit Klage vom 14. September 2007 (summarisches Verfahren SF.2007.46) die Herab¬setzung der Unterhaltsbeiträge, begründet dies jedoch zur Hauptsache mit den angeblich tieferen Lebenshaltungskosten der Klägerin in ZZZ. Nach dem Gesagten besteht von Amtes wegen keine Veranlassung, wei-tere Prüfungen vorzunehmen. Das Begehren 1 istgutzuheissen. Da die Klägerin aktenkundig infolge fehlender Liquidität zur Zeit mittellos ist, ist die Dringlichkeit der Anweisung an den Arbeitgeber des Beklagten gemäss § 294 ZPO glaubhaft dargelegt. Der Eventualantrag 3 ist eben¬falls gutzuheissen. 2.3. Stattzugeben ist infolge Säumnis schliesslich dem Antrag, den Beklagten zu verpflichten, für die Nachzahlung und die Fortsetzung der Ausrichtung der Kinderzulagen für Soleda zu sorgen (klägerischer Antrag 2). Dieser Antrag ist entsprechend umzuformulieren, damit er vollstreckbar wird. 3. 3.1. Bei diesem Verfahrensausgang obsiegt die Klägerin. Weil der Beklagte dieses Verfahren unnötig verursacht hat, wird er kosten- und entschädi-gungspflichtig. Vom Grundsatz der Halbierung der Verfahrenskosten und der Wettschlagung der Parteikosten gemäss § 113 lit. c ZPO ist insofern abzuweichen. 3.2. Grundsätzlich verfügen die Parteien über genügend finanzielle Mittel in der Schweiz, um die Verfahrens- und Parteikosten selber zu tragen. Da sie zur Zeit wegen einer richterlichen Verfügungsbeschränkung nicht dar¬über verfügen können und - zumindest in diesem Verfahren - kein Antrag auf teilweise Aufhebung dieser Kontensperre gestellt wurde, um die Par-teikosten daraus zu finanzieren, hat die Beklagte als bedürftig zu gelten, so dass ihr die unentgeltliche Rechtspflege zu gewähren ist. Das Ge-richtspräsidium behält sich vor, künftig Gesuche um Gewährung der un-entgeltlichen Rechtspflege im Sinne der Erwägungen vertieft zu prüfen. Nach § 131 Abs. 1 ZPO sind die Parteikosten der Rechtsvertreterin der Klägerin zuzusprechen. -5- Der Gerichtspräsident erkennt: 1. 1.1. In Gutheissung der Klage wird die Arbeitgeberin des Beklagten, die HHH AG, Antriebe, Postfach, 5300 Turgi angewiesen, ab sofort die mit Urteil SU.2005 des Gerichtspräsidiums WWW vom 28. Feb¬ruar 2006 festgesetzten Unterhaltsbeiträge von insgesamt Fr. 4'100.00 zuzüglich Kinderzulagen für die Kinder EEE (geb. 31.08.1997), FFF (geb. 30.04.1999) und GGG (geb. 30.06.2005) auf das Konto der Klägerin bei der Credit Suisse in 5401 Baden (Privatkonto 999) zu über¬weisen. Diese Anweisung wird als vorläufige (superprovisorische) Massnahme gemäss § 294 ZPO erlassen und bestätigt. 1.2. In Gutheissung der Klage wird die Arbeitgeberin des Beklagten, die HHH AG, Antriebe, Postfach, 5300 Turgi angewiesen, ab sofort allfäl¬lige Boni des Beklagten gemäss Ziff. 7.2. des Urteils SU.2005 des Gerichtspräsidiums WWW vom 28. Februar 2006 abzurechnen und den der Klägerin zustehenden Anteil auf deren Konto bei der Credit Suis¬se in 5401 Baden (Privatkonto 999) zu überweisen. Ziff. 7.2. des zitierten Urteils lautet wie folgt: Allfällige Bonuszahlungen weiterer Jahre werden vorab zur Deckung des Fehlbetrags der Beklagten in der Höhe von jährlich Fr. 8'870.00 verwendet. Der restliche Bonus wird unter den Parteien im Verhältnis 1/3 (Kläger) zu 2/3 (Beklagte) aufgeteilt. Der Kläger wird verpflichtet, der Beklagten den entsprechenden Betrag zu überweisen. Anmerkung: Die Beklagte gemäss Ziff. 7.2. des zitierten Urteils ist die heutige Kläge¬rin, der dortige Kläger der heutige Beklagte. Diese Anweisung wird als vorläufige (superprovisorische) Massnahme gemäss § 294 ZPO erlassen und bestätigt. 2. 2.1. Der Beklagte wird verpflichtet, innert 10 Tagen bei der HHH AG zu Händen der zuständigen Ausgleichskasse ein Gesuch um Ausrichtung der Kinderzulage für EEE (geb. 31 Januar 1991, ZZZ Staatsangehörige, Schülerin, zur Zeit wohnhaft in ZZZ, AHV-Nr. 888) ab August 2007 zu erwirken und die erforderli¬chen Erklärungen und Dokumente beizubringen. 2.2. Falls ein Anspruch auf Ausrichtung der Kinderzulage für EEE besteht, wird die Arbeitgeberin hiermit angewiesen, die Kinderzu- -6- lage direkt der Klägerin auf deren Konto bei der Credit Suisse in 5401 Ba-den (Privatkonto 999) zu überweisen. 3. Der Klägerin wird für das vorliegende Verfahren die unentgeltliche Rechtspflege bewilligt und lic. iur. BBB, Rechtsanwältin in WWW, zu ihrer unentgeltlichen Rechtsvertreterin bestellt. 4. As the proceedings in respect of the legal consequences of the divorce are still sub judice and the Parties at the time the legal proceedings in relation to the legal consequences of the divorce were initiated were resident in the WWW district and the Defendant is still a resident there, the WWW Court Presidium has local jurisdiction -3- and jurisdiction as regards the subject matter (Article 15 of the Federal Law on Jurisdiction in Civil Matters of 24 March 2000 [GestG , SR 272]) for decreeing measures and amendments to same for the duration of the proceedings in relation to the legal consequences of the divorce within the meaning of Article 137 of the Swiss Code of Civil Law of 10 December 1907 (ZGB ; SR 210). The remaining procedural prerequisites having also been met, the action is hereby to be heard. 2. 2.1. If the party under an obligation to pay maintenance neglects to fulfil said obligation, then the Court can order said debtor to make the payments either wholly or in part to the entitled party pursuant to Article 132 ZGB. The prerequisite for arranging an order is the existence of an enforceable legal entitlement and that the debtor has neglected to fulfil his obligation to provide maintenance. The requirement for enforceability becomes in any case relative in this respect, when the garnishee is first ordered to pay the respective amount directly to the entitled party until otherwise instructed. In this sense, the order also includes future maintenance payments which are still not payable at the time of its arrangement. On the other hand, the order cannot in any way include maintenance payments in arrears. Neglect exists then when maintenance payments are repeatedly not paid, not paid in full and/or not paid in a timely manner and it is to be feared that this will also occur in the future. The reason for not duly discharging this obligation is immaterial. Fault on the part of the obliged party is not required. The intervention must be commensurate and cannot ensue from every minor delay or default of payment by way of exception. The requirement is much more that the entitlements of the party entitled to maintenance be seriously endangered (SCHWENZER, FamKommentar Schei¬dung , Berne 2005, N 2 zu Art. 132 ZGB; SUTTER/FREIBURGHAUS, Kommen¬tar zum neuen Scheidungsrecht [Commentary on new Divorce Law], Zurich 1999, N 5 und 7 zu Art. 132 ZGB). 2.2. Amounts were fixed in Decision 1, which the Defendant has to pay as maintenance. The Plaintiff submits that the Defendant initially did not pay anything for 4 ½ months and afterwards only partial payments which were frequently late. The Defendant has never made the payments from the bonuses. Up until the end of October 2007, the sums owed came to CHF 60,000.00 plus the bonus contributions (Action, p. 4). The Defendant made no substantive response during the extended time period so that, in accordance with the penalty, acknowledgement of the Plaintiff’s presentation of the facts of the case may to be presumed given the lack of objection (File 12). The Plaintiff’s complaint of 31 December 2007 against the Defendant in respect of suspicion of neglect of obligation to provide maintenance pursuant to Article 217 of the Swiss Code of Civil Law of 21 December -4- 1937 (StGB , SR 311.0; cf. Enclosure 2 to the Plaintiff’s petition of 28/12/2007) substantiates her presentation of the facts of the case. The Defendant makes no counter-argument, which leads to the conclusion that the maintenance payments currently do not reduce his protected minimum living wage in an excessive way. While he did in fact request in his action of 30 September 1007 (summary proceedings SF.2007) that the maintenance payments be reduced, he based this on the main claim that the Plaintiff’s cost of living in ZZZ was allegedly lower. According to what was said, there is ex officio no reason to undertake further investigations. Motion 1 is to be approved. As the Plaintiff is on record as being currently without means as a result of deficient liquidity, the urgency of the instruction to the Defendant’s employer pursuant to § 294 ZPO is demonstrably credible. Subsidiary motion 3 is also to be approved. 2.3. The motion to oblige the Defendant (Plaintiff’s motion 2) to pay the arrears and future payments of child benefit for EEE is finally to be granted by default. This motion is to be appropriately reworded so that it is enforceable. 3. 3.1. The Plaintiff has prevailed in these proceedings. As the Defendant needlessly caused these proceedings, he is liable to pay costs and damages. Pursuant to § 113 letter c ZPO, the principle of halving the costs of the proceedings and the parties paying their own costs is overruled in this respect. 3.2. In principle, the Parties have sufficient financial resources in Switzerland at their disposal to pay their own costs and the costs of the proceedings. As they cannot currently dispose of these resources because of a judicial restraint on disposal and – at least in these proceedings – no motion was filed for partial suspension of this blocking of accounts to finance the parties' costs out of same, the Defendant is deemed to be in need, so that pro bono administration of justice is granted to same. The Court Presidium reserves the right in future to examine requests for the granting of pro bono administration of justice more closely in terms of the reasons. Ansprüche der Beklagten Unterlassungsanspruch Die beklagte Partei hat in ihrem Schriftsatz Nr. 1 zu Punkt 2. folgendes Begehren gestellt: "Den Klägern sei zu verbieten, bis zum 31. Dezember 2008 einzeln oder gemeinschaftlich mit der XXX GmbH direkt oder indirekt im Bereich der Herstellung und des Verkaufs von WWW-Produkten sowie in der Herstellung und im Vertrieb von ZZZmaterial in Wettbewerb zu treten und/oder ein zu der XXX GmbH in Wettbewerb stehendes Unternehmen zu betreiben/oder sich an einem solchen Unternehmen zu beteiligen und/oder für ein solches Unternehmen in irgendeiner Form tätig zu sein." Wie das Schiedsgericht oben zu Punkt 6.2. ausführlich begründet hat, ist das Wettbewerbsverbot gemäß Punkt 11 des Kaufvertrages unwirksam. Der Unterlassungsanspruch der Beklagten wird daher abgewiesen. Schadenersatzanspruch bei Ungültigkeit des Wettbewerbsverbotes Der Beklagten steht keine Anpassung des Kaufpreises wegen der Ungültigkeit des Wettbewerbsverbotes zu. Einleitung Die Beklagte hat unter anderem folgendes Rechtsbegehren gestellt: "Eventualiter (zum klägerischen Feststellungsbegehren Ziffer 2), für den Fall, dass das Schiedsgericht die ganze oder teilweise Nichtigkeit des in Ziffer 11 des Kaufvertrages vom 30. September 2003 vereinbarten Wettbewerbsverbotes feststellen sollte: Es seien die Kläger zu verurteilen, an die Beklagte einen vom Schiedsgericht nach Durchführung der Beweisaufnahme festzusetzenden Betrag, mindestens jedoch € 1.000.000 zuzüglich Zinsen zu bezahlen." (Siehe dazu SSK 7, Seite 3). Wie das Schiedsgericht in Punkten 6.2. und 6.3. dieses Schiedsspruches festgestellt hat, war das in Punkt 11 des Kaufvertrages enthaltenen Wettbewerbsverbots ungültig und unwirksam. Das Schiedsgericht beschäftigt sich daher in der Folge mit dem oben dargestellten Begehren der Beklagten. Wie schon in Zusammenhang mit der Gültigkeit des Wettbewerbsverbots an sich, haben beide Parteien ein umfangreiches Vorbringen zu diesem Thema erstattet, das im Folgenden nur in den wesentlichen Grundzügen dargestellt wird. Vorbringen der Beklagten Die Beklagte führte aus, dass, sollte das Schiedsgericht das im Kaufvertrag enthaltene Wettbewerbsverbot wegen Sittenwidrigkeit insgesamt oder teilweise als nichtig betrachten, eine Anpassung des Kaufvertrages durch Anpassung des Kaufpreises wegen Wegfalls der Geschäftsgrundlage auf Grund gemeinschaftlichen Motivirrtums gemäß § 313 BGB vorzunehmen wäre (siehe SSB 1, Rz 52). Die gleiche Rechtsfolge würde sich bei Anwendung der salvatorischen Klausel in Ziffer 20.5 des Kaufvertrages ergeben, wonach bei Unwirksamkeit einer Bestimmung des Vertrages die Parteien zur Vereinbarung einer dem Sinn und Zweck des Vertrages entsprechenden Regelung verpflichtet seien (siehe SSB 1, Rz 52). Die Parteien seien bei Abschluss des Kaufvertrages gemeinsam von der Wirksamkeit des vereinbarten Wettbewerbsverbots ausgegangen und hätten daran insbesondere die Höhe des Kaufpreises orientiert. Die gemeinschaftliche irrige Annahme der Wirksamkeit des vereinbarten Wettbewerbsverbots durch beide Parteien falle unter die ursprünglich von der Rechtsprechung entwickelte Fallgruppe "gemeinschaftlicher Motivirrtum", die nunmehr in § 313 Abs 2 BGB gesetzlich geregelt sei (siehe SSK 1, Rz 54). Der gemeinschaftliche Motivirrtum führe gemäß § 313 Abs 1 BGB nicht zur Auflösung des Vertrages, sondern zur Anpassung des Inhalts an die veränderten Bedingungen. Die Beklagte habe den Wert des Wettbewerbsverbots in ihren Kaufpreisverhandlungen dabei mit mehreren Mio. Euro angesetzt, mindestens jedoch mit € 2,02 Mio. (SSK1, Rz 59 f). Fehleinschätzungen der Rechtslage würden gemäß § 313 Abs 2 BGB auf beide Parteien gleich verteilt. So habe der BGH unter anderem in einer Entscheidung die Anpassung eines Gesellschaftsvertrages wegen Rechtsirrtums gewährt (siehe SSK1, Rz 55). Eine wesentliche Rolle bei der Annahme eines beachtlichen gemeinschaftlichen Motivirrtums spiele der Umstand, inwieweit die Parteien die rechtlichen Voraussetzungen oder Folgen untereinander erörtert hätten. Einseitige Erwartungen oder das faktische Aufzwingen eines Vertrags durch eine Partei könnten ausschließlich in deren Risikosphäre fallen (SSK1, Rz 56). Vorliegend sei es die gemeinsame Erwartung der Parteien gewesen, dass die Kläger nach Abschluss der Kaufvertrages und nach Austritt von Herrn YYY aus der Gesellschaft einem Wettbewerbsverbot unterstehen. Aus steuerlichen Gründen sei das im Geschäftsführervertrag enthaltene (nachvertragliche) Wettbewerbsverbot auf ausdrücklichen Wunsch von Herrn YYY aus dem Geschäftsführervertrag herausgenommen worden, und die "Zusatzzeit" für die Zeit nach dem Ausscheiden als Geschäftsführer auf das Wettbewerbsverbot im Kaufvertrag addiert worden. Die Parteien seien dabei gemeinsam von der Wirksamkeit des Wettbewerbsverbots ausgegangen und hätten diesen Umstand den Vertragsverhandlungen zu Grunde gelegt (SSK 1, Rz 57). Die Vertragsverhandlungen über den Kaufvertrag seien überdies zwischen den Klägern und der Beklagten als gleichberechtigte Partner geführt worden (SSB 3, Rz 23). Die Parteien hätten bis zum Vertragsabschluss am 30. September den Kaufvertrag und den Geschäftsführervertrag eingehend besprochen, wobei Herr SSS als Rechtsbeistand der Kläger eine Reihe von Änderungswünschen hinsichtlich wesentlicher Bestandteile des Vertrages gemacht habe (SSB 3, Rz 37). Herr TTT habe Herrn SSS in seiner e-Mail vom September 2003 (Beilage B18) auf die Streichung des nachvertraglichen Wettbewerbsverbots im Geschäftsführervertrag und die Gründe dafür hingewiesen und in diesem Zusammenhang auch auf das im Kaufvertrag enthaltene Wettbewerbsverbot verwiesen (SSB 3, Rz 38 ff). Weder Herr YYY noch Herr SSS hätten an der von der Beklagten vorgelegten Version des Wettbewerbsverbots Änderungswünsche angemeldet oder dessen Wirksamkeit in Frage gestellt (SSB 3, Rz. 38 ff). Bei den Vertragsverhandlungen seien zu keinem Zeitpunkt kritische Äußerungen in Bezug auf die Existenz, geschweige denn den Umfang oder die Dauer des Wettbewerbsverbots gemacht worden (SSB 3, Rz. 420). Die Verantwortung von Herrn SSS, dass er sich zur Wirksamkeit des Wettbewerbsverbots angeblich keine Gedanken gemacht habe, sei kaum glaubhaft (SSB 3, Rz 42). Die Vereinbarung eines Wettbewerbsverbots für Herrn YYY sei eine der wesentlichen Bedingungen für den Erwerb der Gesellschaft gewesen. Der Vertrieb und insbesondere der Einkauf von Rohstoffen sei in großem Umfang von der Person von Herrn YYY abhängig gewesen (SSB 3, Rz 415 ff). Die Wichtigkeit der Vereinbarung des Wettbewerbsverbots für beide Parteien zeige sich auch an dem Umstand, dass die Kläger gemäß Ziffer 2 des Kaufvertrages dazu bereit waren, die Bezahlung eines Betrages von € 3 Mio. unter anderem von der Einhaltung des Wettbewerbsverbots abhängig zu machen (SSB3, Rz 419). Sollte das Schiedsgericht der Ansicht sein, dass das vereinbarte Wettbewerbsverbot im Ganzen oder zu Teilen unzulässig war, würden sich die wesentliche gemeinsame Vorstellungen der Parteien in Bezug auf das Wettbewerbsverbot im Nachhinein als falsch herausstellen (SSB3, Rz. 24). Das Risiko, dass sich die gemeinsame Vorstellung der Parteien im Falle einer anderen Beurteilung durch das Schiedsgericht als falsch herausstellt, dürfe der Beklagten nicht alleine auferlegt werden (SSB 3, Rz 430). Der Wert des fünfjährigen Wettbewerbsverbots könne, ausgehend von einem potentiellen Umsatzverlust auf Grund einer konkurrenzierenden Tätigkeit von Herrn YYY, mit € 2,5 bis € 5 Mio. angesetzt werden (SSB 3, Rz 433). Schließlich sei aus der Tatsache, dass die Kläger die Klausel zur Kenntnis genommen und keine Änderungsvorschläge angebracht hätten, zu schließen, dass sie von der Sachgerechtigkeit eines nachvertraglichen Wettbewerbsverbots anlässlich eines Unternehmensverkaufes überzeugt waren und der Regelung zugestimmt haben (SSB 6, Rz 349). Der BGH habe die sich daran anschließende Rechtsfolge, nämlich Herabsetzung des Kaufpreises, in einem ähnlich gelagerten Fall deutlich bestätigt. In diesem Fall seien sich zwei Parteien einig gewesen, dass der Verkäufer eines Unternehmens nach dem Verkauf keine konkurrenzierende Tätigkeit aufnehmen sollte. Sie verzichteten jedoch in der Folge darauf, diese Verpflichtung in den Vertrag aufzunehmen. Nach erfolgreichem Verkauf übte der Verkäufer bei anderen Unternehmen eine konkurrenzierende Tätigkeit aus. Der BGH sah darin eine Störung der Geschäftsgrundlage und nahm die Notwendigkeit der Herabsetzung des Kaufpreises an (SSB 6, Rz 353).	Translation - English 1. Respondents’ Claims Claim for injunctive relief The Respondent has made the following request in its Pleading No. 1 regarding Point 2: “That the Claimants be prohibited from competing with XXX GmbH, either directly or indirectly, individually or jointly, within the fields of manufacturing and selling WWW products or manufacturing and distributing ZZZ materials and/or from operating a company competing with XXX GmbH /or acquiring an interest in such a company and/or acting for such a company in any way up to 31 December 2008.” As the Arbitral Tribunal established in detail above with regard to Point 6.2., the prohibition of competition is inoperative pursuant to Clause 11 of the Purchase Agreement. The Respondent’s claim for injunctive relief is therefore dismissed. Claim for damages due to invalidity of prohibition of competition The Respondent is not entitled to any adjustment to the purchase price on account of the prohibition of competition being invalid. Introduction The Respondent has, inter alia, filed the following request for legal remedy: “Alternatively (to the Claimant’s Request for a Finding No. 2), in the event of the Arbitral Tribunal declaring the total or partial invalidity of the prohibition of competition agreed upon in Clause 11 of the Purchase Agreement of 30 September 2003: That the Claimants be ordered to pay the Respondent an amount to be fixed by the Arbitral Tribunal following the taking of evidence, but not less than € 1,000,000 plus interest“(cf. SSK 7, p. 3). As the Arbitral Tribunal established in Points 6.2 and 6.3 of this award, the prohibition of competition contained in Clause 11 of the Purchase Agreement is invalid and inoperative. The Arbitral Tribunal will therefore concern itself hereafter with the Respondent’s request described above. As both Parties have already filed extensive submissions in connection with the validity of the prohibition of competition per se, only the essentials of same are described below. Respondent’s submissions The Respondent argued that, should the Arbitral Tribunal consider the non-competition clause contained in the Purchase Agreement to be either totally or partly invalid on the grounds of unconscionability, an adaptation of the Purchase Agreement should be undertaken vis-à-vis adjusting the purchase price, on account of the frustration of contract based on the joint mistake in the inducement pursuant to S. 313 BGB (cf. SSB 1, Margin No. 52). The same legal consequences would result from application of the severability clause in Clause 20.5 of the Purchase Agreement, according to which the Parties are obliged, in the event of a condition of the contract being inoperative, to agree on a provision which corresponds with the intention and purpose of the agreement (cf. SSB 1, Margin No. 52). The Parties had jointly assumed the effectiveness of the agreed prohibition of competition upon entering into the Purchase Agreement and orientated the amount of the purchase price in particular on same. The joint erroneous assumption by both Parties of the validity of the agreed prohibition of competition comes under the category of cases “joint mistake in the inducement” originally developed from case law, which at this point is legally laid down in S. 313, ss. 2, BGB (cf. SSK 1, Margin No. 54). The joint mistake in the inducement does not lead to the dissolution of the contract pursuant to S. 313, ss. 1, BGB but to adaptation of the content to the changed conditions. The Respondent fixed the value of the prohibition of competition during its purchase price negotiations at several million Euros, but no less than € 2.02 million (SSK 1, Margin No. 59 f). Misjudgements concerning the legal position should be divided equally between both Parties pursuant to S. 313, ss. 2, BGB. The BGH thus allowed, inter alia, the adaptation of a partnership agreement in a decision on account of an error in law (cf. SSK 1, Margin No. 55). The extent to which the Parties discussed the legal prerequisites or consequences with one another, plays an important role in the acceptance of a significant joint mistake in the inducement. Unilateral expectations or the de facto enforcement of a contract by a party could fall exclusively in said party’s sphere of risks (SSK 1, Margin No. 56). In the present case, it was the Parties’ joint expectation that the Claimants were subject to a prohibition of competition after entering into the Purchase Agreement and after Mr YYY left the company. The (post contractual) prohibition of competition included in the Managing Director Agreement was taken out of the Managing Director Agreement at the express request of Mr YYY for tax purposes and the “supplementary period” for the period after he retired as Managing Director was added on to the non-competition clause in the Purchase Agreement. The Parties thereby jointly assumed that the non-competition clause was operative and based the contract negotiations on this factor (SSK 1, Margin No. 57). Negotiations concerning the Purchase Agreement were moreover conducted between the Claimants and the Respondent as partners of equal standing (SSB 3, Margin No. 23). The Parties discussed the Purchase Agreement and the Managing Director Agreement in detail before entering into the agreement on 30 September, with Mr SSS, as the Claimants’ legal adviser, making a series of amendment requests concerning important components of the contract (SSB 3, Margin No. 37). Mr TTT drew Mr SSS’s attention to the deletion of the post contractual non-competition clause in the Managing Director Agreement and the reasons for this in his email of September 2003 (Exhibit B18) and also referred in this context to the non-competition clause included in the Purchase Agreement (SSB 3, Margin No. 38 ff). Neither Mr YYY nor Mr SSS made any amendment requests concerning the version of the non-competition clause presented by the Respondent or questioned its validity (SSB 3, Margin No. 38 ff). At no time during the contract negotiations was the existence of the non-competition clause criticised, not to mention its extent or duration (SSB 3, Margin No. 420). Mr SSS’s responsibility (sic – Translator’s note – should perhaps read “answer”) that he allegedly did not think about the validity of the non-competition clause, is scarcely credible (SSB 3, Margin No. 42). Agreement on a non-competition clause for Mr YYY was one of the material conditions for acquiring the company. The distribution and in particular the purchase of raw materials were dependent to a large extent on the person of Mr YYY (SSB 3, Margin No. 415 ff). The importance of the agreement on the non-competition clause for both parties was also evident in the fact that the Claimants were prepared, pursuant to Clause 2 of the Purchase Agreement, to make the payment of € 3 million dependent, inter alia, on adherence to the non-competition clause (SSB 3, Margin No. 419). Should the Arbitral Tribunal be of the opinion that the agreed non-competition clause was either wholly or partly inadmissible, then the Parties’ material joint views in relation to the non-competition clause would in retrospect prove to be false (SSB 3, Margin No. 24). The risk that the Parties’ joint view turns out to be false, in the event of a different assessment by the Arbitral Tribunal, cannot be imposed solely on the Respondent (SSB 3, Margin No. 430).The value of the five year non-competition clause, assuming potential loss of turnover on the basis of Mr YYY’s competitive activities, can be fixed at € 2.5 to € 5 million (SSB 3, Margin No. 433). Apart from this, the fact that the Claimants were aware of the clause and did not propose any amendments indicates that they were convinced of the technical correctness of a post contractual non-competition clause in relation to a company sale and agreed with the provision (SSB 6, Margin No. 349). The BGH clearly confirmed the associated legal consequences, i.e. a reduction in the purchase price, in a similar case. In this case, the two parties were agreed that the vendor of a company should not undertake any competing activities after the sale. They subsequently dispensed with including this obligation in the contract, however. After a successful sale, the vendor undertook competitive activities in another company. The BGH considered this to be interference with the basis of the contract and accepted the necessity for a reduction in the purchase price (SSB 6, Margin No. 353). La renonciation à l'exercice d'un droit, consenti par l'une des parties pour l'autre partie à l'Entente de groupe, ne doit jamais s'interpréter comme une renonciation à l'exercice de tout autre droit, ici consenti, à moins que le texte d'une disposition de l'Entente de groupe n'indique exceptionnellement la nécessité d'un tel choix. 0.04.03 Échéances Toutes les échéances indiquées dans les présentes sont de rigueur à moins d'indication contraire dans le texte. Lors du calcul d'une échéance, les règles suivantes doivent s'appliquer : a) le jour qui marque le point de départ n'est pas compté, mais celui de l'échéance l'est; b) lorsque la date d'échéance est un jour non ouvrable (samedi, dimanche ou un jour férié), celle-ci est prorogée au premier jour ouvrable suivant; et c) le terme «mois» désigne les mois du calendrier. Toute tentative de dérogation, dans le texte d'une Soumission, constitue un motif de rejet de celle-ci, sans autre avis ou formalité. 1.01 Capacité Le Soumissionnaire a tous les pouvoirs requis par la loi et a pris toutes les mesures légales nécessaires pour être autorisé à signer les présentes, ainsi que l'Entente de groupe ou document présent ou futur qui y est reliée. De plus, il n'est parti à aucun contrat qui lui interdit d'être partie aux présentes. Il a également tous les pouvoirs nécessaires afin de poursuivre toute entreprise dans laquelle il est engagé au jour de la signature de l'Entente de groupe, d'exercer les droits lui revenant et de se soumettre aux obligations lui incombant en vertu de cette dernière. 1.02 Conflit d'intérêts Le Soumissionnaire déclare qu'autant qu'il sache, il n'est pas en situation de conflit d'intérêts avec le MANDATAIRE et que, si l'Entente de groupe lui est attribuée, il s'engage à ne pas se placer dans une telle situation pendant son exécution. 1.03 Élection de domicile et lois applicables L'entente de groupe est régie par le droit applicable au CCC et, en cas de contestation, les tribunaux du CCC seront les seuls compétents. L'entente de groupe à intervenir est considérée à toutes fins que de droit comme étant dans le district judiciaire de BBB. Toute poursuite en justice qui peut découler du présent appel d'offres et du contrat à intervenir doit être instituée dans le district judiciaire de BBB et est assujettie aux lois en vigueur dans la province de CCC. À cette fin, le soumissionnaire déclare élire domicile au bureau du protonotaire de la cour supérieure du district judiciaire de BBB. 1.04 Divulgation de l'information Par la signature et le dépôt de sa Soumission, le Soumissionnaire accepte que l'information contenue dans sa Soumission soit divulguée aux autres Soumissionnaires conformes dans le cadre de cet Appel d'offres. 1.05 Bonne foi Le soumissionnaire certifie que sa soumission est préparée de bonne foi, sans aucune communication ni entente avec un autre soumissionnaire ou autre concurrent possible, soit directement, soit par l'entremise d'un tiers. 1.06 Loi antidumping et produits usagés En aucun cas, le soumissionnaire ne doit offrir des produits usagés ou des démonstrateurs. Le soumissionnaire s'engage à respecter la loi MMM en regard du « dumping ». 1.07 Endossement et garantie du fabricant Si le soumissionnaire n'est pas lui-même le fabricant de l'équipement, il devrait être endossé par écrit par le fabricant. Cet endossement devra être déposé avec la soumission et porter sur les points suivants : > Le fabricant reconnaît le soumissionnaire comme agissant à titre de représentant au CCC; > Le fabricant supporte le soumissionnaire dans l'exercice de la garantie et du service après-vente et qu'à défaut de celui-ci, le fabricant exécute directement ladite garantie et le service après-vente; > Le fabricant endosse les modifications dans les équipements qui pourraient être effectuées par le soumissionnaire dans l'exercice de la garantie et dans service après-vente, au même titre que si ces modifications avaient été effectuées par ses services d'entretien; > Le fabricant approvisionne le soumissionnaire, dans l'exercice de la garantie et du service après-vente, en pièces requises au maintien en bon état des équipements; > Le fabricant s'engage à maintenir et à rendre disponible durant la vie utile de l'équipement, un inventaire des pièces ou produits requis pour maintenir en bon état de fonctionnement ledit équipement; > Le fabricant précise l'échéance du contrat qui le lie avec le soumissionnaire; > Le soumissionnaire est mandaté par une résolution appropriée pour agir et pour signer tout document au nom du fabricant. 1.08 Acceptation finale L'acceptation finale se fera 30 jours de bon fonctionnement. L'acceptation finale doit être consignée dans un document signé conjointement par l'établissement et l'adjudicataire. 1.09 Acceptation provisoire L'acceptation provisoire se fera après l'installation et la mise en marche de l'équipement par la compagnie. 1.10 Homologation de l'équipement Le Soumissionnaire déclare que, au moment du dépôt de sa Soumission, les Équipements soumissionnés et toutes les composantes rencontrent les exigences de Santé MMM et sont dûment homologués lorsque requis. 1.11 Conformité et certifications des Équipements Le Soumissionnaire déclare que, au moment du dépôt de sa Soumission, les Équipements offerts respectent la norme III de la JJJ et sont approuvés par un organisme MMM reconnu par la Régie du bâtiment du CCC. 2.00 OBLIGATIONS DU SOUMISSIONNAIRE 2.01 Examen des documents Le Soumissionnaire doit examiner tous les documents de l'Appel d'offres, afin de se rendre compte des exigences de l'Entente de groupe à intervenir. À moins d'avis contraire de sa part, avant l'ouverture des Soumissions, il est présumé que tous les documents nécessaires lui sont parvenus. Si le Soumissionnaire considère qu'il y a ambiguïté, oubli, contradiction ou doute quant à l'interprétation du contenu des documents, il doit en aviser le MANDATAIRE par écrit au moins SEPT (7) jours avant l'expiration du délai accordé pour le dépôt des Soumissions. Par le dépôt de sa Soumission, le Soumissionnaire reconnaît avoir pris connaissance de chacune des clauses de l'Appel d'offres. Il accepte les obligations stipulées, sans restriction ni réserve d'aucune sorte. 2.02 Langue des documents Le fournisseur doit produire sa soumission en français. Il est également tenu de fournir en français l'étiquetage, la facture, la documentation, le mode d'emploi, l'emballage, le certificat de garantie relatif à un bien et doit satisfaire à toute autre exigence linguistique spécifiée dans l'appel d'offres. De plus, lorsque requis dans l'appel d'offres, le soumissionnaire doit joindre à sa soumission, copie des documents précités démontrant qu'il respecte les exigences prescrites. Le soumissionnaire s'assure que les dispositions de la Charte de la langue française et ses règlements sont suivis. 2.03 Frais de Soumission Le Soumissionnaire doit assumer tous les frais relatifs à la préparation, au dépôt et, si requis, à la présentation de sa Soumission. 2.04 Respect de la procédure Outre les obligations prévues dans la présente partie, le Soumissionnaire doit se conformer à la procédure indiquée à la partie 3.00 intitulée « Régie de l'Appel d'offres ». 2.05 Spécifications, devis et caractéristiques Le soumissionnaire s'engage à fournir les produits visés dans les documents d'appel d'offres conformément aux spécifications, devis ou caractéristiques joints. Le fournisseur devra répondre à la soumission selon les caractéristiques spécifiées aux documents d'appel d'offres. Toutefois, s'il suggère d'autres produits, il devra fournir toutes les précisions, caractéristiques, documents, vignettes ou photos dans un document annexé à la soumission initiale. Chaque soumissionnaire est invité à décrire toutes options qui permettent d'augmenter l'efficacité du système de base en y inscrivant le prix pour chacune (voir annexe 2.05). 3.00 RÉGIE DE L'APPEL D'OFFRES 3.01 Durée de l'Entente de groupe à intervenir L'entente de groupe émise sera en vigueur tant et aussi longtemps qu'au moins un (1) établissement participant sera détenteur d'un contrat de service pour un appareil attribué selon les termes du présent appel d'offres. > Pout tous les ajouts d'équipements additionnels au cours des cinq (5) prochaines années, le ou les fournisseurs devront offrir le meilleur prix offert au cours des douze (12) derniers mois dans un établissement de santé et de services sociaux du CCC 3.01.01 Prix fermes Les prix de l'entente de groupe seront fermes pour une période de deux (2) ans à compter de la date d'attribution pour les établissements nommés à l'appel d'offres. De plus, s'il devait y avoir d'autres appels d'offres (demande de prix) dans le projet SARDM, les établissements participants au présent appel d'offres bénéficieraient du meilleur prix au moment de l'acquisition. Les prix des contrats de service seront fermes pour la période proposée. 3.02 Dépôt et réception des Soumissions Enveloppe pour le dépôt de la soumission : Le soumissionnaire transmet sa soumission dans deux emballages scellés sur chacun desquels est apposée une enveloppe identifiée de la façon suivante : DEVIS/QUALITÉ À défaut de retourner sa soumission dans un emballage identifié selon ces instructions, le soumissionnaire dégage la DDD de toute responsabilité en regard des dispositions de réception des soumissions. A not for profit organization acting herein in the capacity of AUTHORIZED AGENT of Participating Members with its registered office at EEE Hereafter referred to for the purpose of the Invitation to Tender as “the AUTHORIZED AGENT”; Tender File Managers Name: FFF PREAMBLE DDD is authorized by the health and social services establishments to carry out a purchasing programme in conjunction with the group of health and social services establishments located in CCC. The DDD is acting as the authorized agent of these establishments and is not personally liable in respect of third parties. The technical specifications and characteristics are stipulated in Annex 2.05. Each company can only make a bid in respect of a single system. The system must be designed and envisaged to supply an ergonomic repository for medications with secure access available at all times to nursing personnel. Several types of drawers with different levels of security must be offered to respond to all classes and forms of medication. A dedicated console, linking the decentralised, computerised medication cabinets to one another, must be provided. Each establishment is individually bound by the supply agreement which can be entered into following the present invitation to tender, and each establishment must pay for goods after having requested delivery of same by means of its purchase order. TO THIS END, THE AUTHORIZED AGENT LAUNCHES THE FOLLOWING INVITATION TO TENDER: GGG 0.00 INTERPRETATION 0.01 Terminology For the purposes of the Invitation to Tender, the following words and expressions, starting with a capital letter, when they appear in any documentation relating to same, are to be interpreted, unless otherwise implied or explained in the text, in terms of the definitions they are given below: 0.01.01 Addenda refers to any additional details or modification(s) made to the Invitation to Tender Document, of which the Bidders are informed before submitting their bids; 0.01.02 Invitation to Tender refers to a procedure calling for competitive bids from several suppliers, inviting them to submit a bid or proposal for the supply of Products or Services; 0.01.03 Successful Bidder refers to the Bidder(s) accepted by the AUTHORISED AGENT following the negotiation process; 0.01.04 Approvision.hhh refers to the website, developed by the DDD, which serves as the preferred link between the Corporation, its Members and the suppliers; 0.01.05 Distributor refers to a supplier which is authorised to carry out distribution of the Products; 0.01.06 Invitation to Tender Document refers to the contract documents drawn up by the AUTHORISED AGENT which comprise a list of clauses for executing a Group Agreement. It refers to all the requirements mentioned in the instructions relating to the Invitation to Tender, the Invitation to Tender, including the Bid Application Form, the specifications and quotes, and as well as their annexes and Addenda; 0.01.07 Group Agreement refers to the outcome of the Invitation to Tender process; 0.01.08 Bid Application Form refers to the document (paper or electronic) stipulated by the AUTHORISED AGENT and used by the Bidder to submit its offer; 0.01.09 Tender File Manager refers to the person authorised by the AUTHORISED AGENT, who is responsible for managing and monitoring the file which pertains to the Invitation to Tender; 0.01.10 Participating Establishments refers to the establishments which have given the DDD authority to negotiate in their names in the context of this Invitation to Tender and whose names appear in Annex 0.01.10; 0.01.11 Work All the support needed by the establishments from the companies during the 3 stages:  Pre-installation  Installation  Post-installation  Up to final acceptance of the project Pre-installation:  Lodgement by the company of an installation plan with schedule  Appointment of a project manager per establishment -> work committee  Verification of the locations for installing the equipment (space management, IT infrastructure)  Training for creating the database of medications to be imported into the console  Training for creating the database of user profiles with different categories of access  Training in relation to the configuration of the cabinets (different types of compartments for the secure drawers)  Development of policies and procedures for using the cabinets: clinical use, maintenance …  Interfaces: with the establishment’s IT service: development, tests, corrections, if necessary  Establishment of various options in respect of training, the program and training schedule  Training of users of the pharmacy and nursing personnel: administrators and super users Installation:  Clinical training of users by the super users (1st session with the company in attendance, if required)  Initial supplies for the cabinets  Go-Live Support: present during the Day, Evening, Night for HOW long (minimum of 1 week): test care unit and other care units after at the pharmacy Post-installation:  General monitoring  FREE reconfiguration of drawers, if required (amount of time the establishment has to decide if it is necessary to change the types of compartments of the secured drawers: 3 – 6 months) 0.01.12 Price refers, unless otherwise specified, to the price “free on board” (F.O.B.) at the point of delivery of Participating Members; 0.01.13 Bid refers to an offer submitted by a supplier on the Bid Application Form, as well as any other annexes, if applicable, in reply to the Invitation to Tender; 0.01.14 Bidder refers to any entity which lodges, within the specified time period, a Bid which complies with the Invitation to Tender for the supply of a Product or Service. 0.02 Priority 0.02.01 Differences In the event of a contradiction between the group agreement and the Invitation to Tender documents, priority must be given to the following documents, in descending order: Purchase Order; Group Agreement; Addenda; Instructions to Bidders; 0.03 Jurisdiction 0.03.01 Adaptation If a provision of the Group Agreement contravenes a law, it must be interpreted, if necessary, in a way which renders it compliant with the latter or, failing this, in the way most likely to respect the intentions of the parties, without departing from its requirements. 0.03.02 Governing Law The Group Agreement, its interpretation, execution, application, validity and its effects are subject to the laws and regulations in force in the province of CCC and in MMM, which govern, either totally or in part, all the provisions which it contains. 0.03.03 Applicable Law Any court proceedings which can ensue from the Invitation to Tender and the future Group Agreement must be initiated in the judicial division of BBB and are subject to the laws in force in the province of CCC. 0.03.04 Waiver A party’s silence, negligence or delay in exercising a right or right of recourse to which it is entitled by virtue of this Group Agreement must never be interpreted, against such a party, as a waiver of its rights and right of recourse, so long as the conventional or legal prescription, stipulated for exercising such a right or right of recourse, has not expired. 0.04 General 0.04.01 Communications It is agreed that only written communications, duly signed by authorised persons between the AUTHORISED AGENT, the Bidders, the Successful Bidders and their Distributors, if applicable, will be recognised under the terms of this negotiation and the future Group Agreement. 0.04.02 Accumulation All the rights mentioned in the Group Agreement are cumulative and not alternative. Waiving the exercise of a right, agreed by one of the parties for the other party to the Group Agreement, must never be interpreted as waiving the exercise of any other right hereby agreed upon, unless the wording of a provision of the Group Agreement indicates the necessity of such a choice, by way of exception. 0.04.03 Due dates All the due dates indicated in the present instrument are mandatory unless otherwise indicated in the text. The following rules must be applied when calculating the due date: a) the day which marks the starting point is not included in the calculation but the due date is; b) when the due date is a non business day (Saturday, Sunday or a public holiday), this is extended to the first business day after that, and c) the term “month” refers to calendar months. If a precise calendar date is mentioned, and this date refers to a non business day, the due date then becomes the first business day following the date indicated. 0.04.04 Financial References All the sums of money specified in the present instrument refer to MMM currencies. 0.04.05 Gender and number If required in terms of understanding the text, a word expressed in the male gender includes the feminine and vice versa; the same applies to a word expressing a number, in that the singular includes the plural and vice versa. Any phrase containing multi-purpose words of this nature must be read, when the meaning of the text so requires, in a way which accommodates the appropriate version of such a word with the grammatical changes imposed to give logical meaning to the phrase concerned. 0.04.06 Titles The titles used in the present instrument do not have any interpretive value; they only serve as an element of classification and identification of the provisions constituting the agreement between the parties. 0.04.07 Grant in lieu of taxes “Pursuant to Article 88 of the Ministry of Revenue Act, when the supplier owes an amount payable under the provisions of a taxation law, the ministry or purchasing organisation, in the event of the latter being a public body as defined in Article 77 of this law, can, if so requested by the Minister of Revenue, send the latter all or part of the amount payable in respect of the present agreement so that the Minister can allocate this amount either wholly or in part towards payment of this debt”. 1.00 BIDDER’S ATTESTATIONS The following attestations are for the benefit of Participating Members 0.01.10 and form an integral part of any Bid lodged in respect of the Invitation to Tender. Any attempted exemption, in the wording of a Bid, constitutes a reason for rejecting the Bid without other notification or formality. 1.01 Capacity The Bidder has all the powers required by law and has taken all the legal measures needed to be authorised to sign the present instrument, as well as the Group Agreement or any present or future document associated with same. In addition, it is not a party to any contract which prohibits it from becoming a party to the present instrument. It also has all the powers needed to perform any contract to which it commits itself on the date of signature of the Group Agreement, to exercise the rights to which it is thereby entitled and to abide by the obligations for which it is responsible by virtue of said Group Agreement. 1.02 Conflict of Interest The Bidder declares that, as far as it is aware, it is not in a position of conflict of interest with the AUTHORISED AGENT and that, if the Group Agreement is awarded to it, it undertakes not to place itself in such a position for the term of the agreement. 1.03 Address for Service and Applicable Laws The Group Agreement is governed by the applicable law in CCC and, in the event of a dispute, only the courts of CCC will have jurisdiction. The future Group Agreement is considered for all legal purposes as being in the judicial division of BBB. Any court proceedings which might ensue from the present Invitation to Tender and the future contract must be instituted in the judicial division of BBB and are subject to the laws in force in the province of CCC. To this end, the Bidder declares that its address for service will be the office of the protonotary of the Superior Court of the judicial division of BBB. 1.04 Disclosure of Information By signing and lodging its Bid, the Bidder accepts that the information contained in its Bid may be disclosed to other conforming Bidders in the context of this Invitation to Tender. 1.05 Good Faith The Bidder certifies that its Bid is prepared in good faith, without any communication or agreement with another Bidder or other possible competitor, either directly or through the intermediary of a third party. 1.06 Antidumping Act and Used Goods Under no circumstances can the Bidder offer used goods or demonstration models. The Bidder undertakes to comply with MMM law with respect to “dumping”. 1.07 Manufacturer’s Endorsement and Warranty If the Bidder is not itself the manufacturer of the equipment, it must be endorsed in writing by the manufacturer. This endorsement must be lodged with the Bid and refer to the following points:  The manufacturer recognises the Bidder as acting in the capacity of representative in CCC;  The manufacturer supports the Bidder in the execution of the warranty and after sales service and, should the latter fail to supply same, the manufacturer will execute the aforesaid warranty and after sales service itself directly;  The manufacturer endorses modifications to the equipment which might be carried out by the Bidder while executing the warranty and after sales service, in the same way as if these modifications had been carried out by its maintenance services;  The manufacturer will supply the Bidder, in the execution of the warranty and after sales service, with parts required to maintain the equipment in good condition;  The manufacturer undertakes to maintain and make available, during the equipment’s useful life, a list of parts or products required to maintain the aforesaid equipment in good operating condition.  The manufacturer specifies the expiration date of the contract it has entered into with the Bidder;  The Bidder is authorised by means of an appropriate resolution to act and sign any document in the name of the manufacturer. 1.08 Final Acceptance Final acceptance will occur after 30 days of trouble free operations. Final acceptance must be recorded in a document signed jointly by the establishment and the Successful Bidder. 1.09 Provisional Acceptance Provisional acceptance will occur after installation and start up of the equipment by the company. 1.10 Certification of the Equipment The Bidder declares that, at the time it launched its Bid, the Equipment offered and all the components met the requirements of Santé MMM [MMM Department of Health] and are duly certified as required. 1.11 Equipment’s Compliance and Approval The Bidder declares that, at the time it lodged its Bid, the Equipment offered complied with Standard III of the JJJ [Standards Association] and was approved by a MMM body recognized by the RBC (Régie du bâtiment du CCC [CCC Building Authority]). 2.00 BIDDER’S OBLIGATIONS 2.01 Examination of Documents The Bidder must examine all the documents of the Invitation to Tender to take into account the requirements of the future Group Agreement. Unless otherwise advised by same before the opening of the Bids, it is presumed that all the necessary documents were received by it. If the Bidder considers that there is ambiguity, omission, contradiction or doubt in respect of the interpretation of the documents’ contents, it must advise the AUTHORISED AGENT of same in writing at least SEVEN (7) days before the expiry of the time period allowed for lodging the Bids. By launching its Bid, the Bidder acknowledges that it has taken due note of each of the clauses of the Invitation to Tender. It accepts the stipulated obligations without restriction or reservation of any kind. 2.02 Language of the Documents The supplier must lodge its Bid in French. It is also required to provide labelling, billing, documentation, operation manual, packaging and the certificate of guarantee relating to goods in French and must satisfy any other linguistic requirement specified in the Invitation to Tender. In addition, when required in the Invitation to Tender, the Bidder must attach copies of the above-mentioned documents to its Bid proving that it has complied with the specified requirements. The Bidder ensures compliance with the provisions of the Charter of the French language and its regulations. 2.03 Bid Costs The Bidder must bear all costs relating to the preparation, lodgement and, if required, presentation of its Bid. 2.04 Compliance with procedure Apart from the obligations specified in the present section, the Bidder must comply with the procedure mentioned in section 3.00 entitled “Administration of the Invitation to Tender”. 2.05 Specifications, Quotes and Characteristics The Bidder undertakes to provide the products mentioned in the documents of the Invitation to Tender in compliance with the attached specifications, quotes or characteristics. The supplier’s Bid must be based on the characteristics specified in the documents of the Invitation to Tender. In any event, if it suggests other products, it must provide all particulars, characteristics, documents, manufacturer’s labels or photos in a document attached to the initial Bid. Each Bidder is invited to describe any options which help increase the effectiveness of the basic system by including the price for each one (see Annex 2.05). 3.00 ADMINISTRATION OF THE INVITATION TO TENDER 3.01 Term of the future Group Agreement The Group Agreement issued will be in force so long as at least one (1) participating establishment holds a service contract for a piece of equipment allocated according to the terms of the present Invitation to Tender. For all additional upgrades to the equipment during the next five (5) years, the supplier(s) shall offer the best price offered during the course of the last twelve (12) months in a health or social services establishment of CCC. 3.01.01 Fixed Prices The prices in the Group Agreement will be fixed for a period of two (2) years with effect from the date of allocation for the establishments mentioned in the Invitation to Tender. In addition, if there should be other invitations to tender (price requests) in the SARDM (système automatisé et robotisé de distribution des médicaments [computerised and robotic medication distribution system]) project, the establishments participating in the present Invitation to Tender will benefit from the better price at the time of acquisition. The prices of the service contracts will be fixed for the proposed period. 3.02 Lodgement and Receipt of Bids Envelope for lodgement of the Bid: The Bidder will send its Bid in two sealed packages to which envelopes identified in the following manner will be attached: * If not returning its Bid in a package identified according to these instructions, the Bidder releases the DDD of any liability in respect of the provisions regarding receipt of the bids. Procedure for Lodging Bids: The DDD will accept bids at the location and up until the date and time of closure for lodgement of bids mentioned hereafter: * Only the time and date published by the DDD are accepted for determining the time and date on which the bid was received. All of the above in accordance with the Health Services and Social Services All bids received after the stipulated deadline are not acceptable and will be returned to the Bidders without having been opened. By signing and lodging its bid, the Bidder accepts that the information contained in its Bid may be disclosed and waives by so doing even taking advantage of any privileges awarded by the Act respecting Access to Documents held by Public Bodies and the Protection of Personal Information, Articles 23 and 24, in particular. 3.03 Duration of the Bid’s Period of Validity Any Bid remains valid for a period of ninety (90) days with effect from the opening date. The AUTHORISED AGENT reserves the right to request an extension of the Bid’s validity if it considers it to be appropriate.

Sont punis de la peine prévue pour l'infraction consommée: 1° l'ordre, même non suivi d'effet, de commet¬tre l'une des infractions prévues par les arti¬cles I36bis, 136ter et 236quater; 2° la proposition ou l'offre, de commettre une telle infraction et l'acceptation de pareille pro¬position ou offre; 3° la provocation à commettre une telle in¬fraction, même non suivie d'effet; 4° la participation, au sens des articles 66 et 67, à une telle infraction, même non suivie d'ef¬fet; 5° l'omission d'agir dans les limites de leur possibilité d'action de la part de ceux qui avaient connaissance d'ordres donnés en vue de l'exécution, d'une telle infraction ou défaits qui en commencent l'exécution, et pouvaient en empêcher la consommation ou y mettre fin; 6° la tentative, au sens des articles 52 à 53, de commettre une telle infraction.] 11. [136octies. §1er. Sans préjudice des exceptions énoncées aux points 18°, 22° et 23° de l'arti¬cle I36quater, § 2", aucun intérêt, aucune né¬cessité de nature politique, militaire ou nationale ne peut justifier les infractions définies aux articles 236bis, 236ter, 236quater, 136sexies et 236septies, même si celles-ci sont commises à titre de représailles. § 2. [§.1er [Tout Belge ou toute personne ayant sa résidence principale sur le territoire du Royaume) qui, hors au territoire du royaume, se sera rendu coupable d'un fait qualifié crime ou délit par la loi belge pourra être poursuivi en Belgique si le fait est puni par la législation du pays où il a été commis. § 2. [1°bis une violation grave du droit international humanitaire visée au livre II, titre Ibis du Code pénal, commise contre une personne qui, au montent des faits, est un ressortissant belge, [ou un réfugié reconnu en Belgique et y ayant sa résidence habituelle, au sens de la Convention de Genève de 1951 relative au statut des réfugiés et son Protocole additionnel,] ou une personne qui, depuis au moins trois ans, séjourne effectivement, habituellement et légalement en Belgique. L'étranger coauteur ou complice d'un crime commis hors du territoire du royaume, par un Belge, pourra être poursuivi en Belgique, conjointement avec le Belge inculpé, ou après la condamnation de celui-ci. 34. 12. Conformément au Statut de la Cour pénale internationale, le crime contre l'humanité s'entend de l'un des actes ci-après commis dans te cadre d'une attaque géné¬ralisée ou systématique lancée contré une popu¬lation civile et en connaissance de cette attaque: 1° meurtre; 2° extermination; 3° réduction en esclavage; 4° déportation ou transfert forcé de popula¬tion; 5° emprisonnement ou autre forme de priva¬tion grave de liberté physique en violation des dispositions fondamentales du droit internatio¬nal; 6° torture; 7° viol, esclavage sexuel, prostitution forcée, grossesse forcée, stérilisation forcée et toute autre forme de violence sexuelle de gravité com¬parable; 8° persécution de tout groupe ou de toute col¬lectivité identifiable pour des motifs d'ordre po¬litique, racial, national, ethnique, culturel, reli¬gieux ou sexiste ou en fonction d'autres critères universellement reconnus comme inadmissibles en droit international, en corrélation avec tout acte visé dans les articles 136bis, 136ter et 136quater; 40. 9° disparitions forcées de personnes; 10° crime d'apartheid; 11° autres actes inhumains de caractère analogue causant intentionnellement de grandes souffrances ou des atteintes graves à l'intégrité physique ou à la santé physique ou mentale. [Apart from the cases referred to in Articles 6 and 7, §1, a foreigner who has committed the following outside the Kingdom's territory can be prosecuted in Belgium for:] (1) [a crime or offence against State security;] 27. [(1-bis) a serious violation of international humanitarian rights referred to in Book II, Title I- bis of the Criminal Code, committed against a person who, at the time of the act, was a Belgian national [or a refugee recognised in Belgium with his habitual place of residence therein, within the meaning of the Geneva Convention of 1951 relating to the status of refugees and its additional Protocol,] or a person who has actually been living habitually and legally in Belgium for at least three years. [Prosecution, including investigations, can only be initiated at the request of the Crown Prosecutor, who assesses any complaints.] Apprised of a complaint pursuant to the preceding clauses, the Crown Prosecutor asks the investigating judge to investigate this complaint unless: (1) the complaint is manifestly unfounded; or (2) the facts stated in the complaint do not correspond to a legal definition of the offences included in Book II, Title I-bis of the Criminal Code; or (3) admissible criminal proceedings cannot ensue from this complaint; or (4) according to the material circumstances of the case, in the interests of the due administration of justice, and in compliance with Belgium's international obligations, this case should be brought either before the international courts or before the court with jurisdiction where the act was committed, or before the court of the State, of which the perpetrator is a national, or that of the location where he can be found, and in so far as this court displays the qualities of independence, impartiality and equity as can, in particular, come within the scope of the relevant international commitments binding Belgium to this State. [Any person can be prosecuted in Belgium who commits the following outside the territory of the Kingdom: (1) one of the offences set out in Articles 379, 380, 381 [, 383bis, §§ 1 and 3, 433- sexies, 433-septies and 433-octies of the Criminal Code]; (2) one of the offences set out in Articles 372 to 377 and 409 of the same Code if the act was committed on the person of a minor; (3) one of the offences set out [in Articles 77-ter, 77-quater and 77-quinquies], of the Law of 15 December 1980 on access to the territory, residency, establishment and departure of 31. foreigners and by Articles 10 to 13 of the Law of 9 March 1993 aimed at regulating and controlling the activities of marriage brokerage companies;]] [(4) one of the offences set out in Articles 137, 140 and 141 of the Criminal Code, committed against a Belgian national or institution, or against an institution of the European Union or a body created in accordance with the Treaty establishing the European Community or the Treaty on the European Union, and which has its registered office in the Kingdom of Belgium.] 32. [10-quater. [§ 1. Any person can be prosecuted in Belgium who commits the following outside the territory: (1) an offence set out in Articles 246 to 249 of the Criminal Code; (2) an offence set out in Article 250 of the same Code, when the person holding public office in a foreign State or in an organisation of public international law is Belgian or when the organisation of public international law in which the person holds public office has its registered office in Belgium. § 2. Any Belgian or person having his principal place of residence on the territory of the Kingdom of Belgium, who becomes guilty of an offence set out in Article 250 of the Criminal Code outside the territory of the kingdom, can be prosecuted in Belgium, on condition that the act is punishable by the legislation of the country where it was committed. 33. 11. A foreigner, who is the co-author or accomplice of a crime committed outside the territory of the kingdom by a Belgian, can be prosecuted in Belgium together with the accused Belgian or after the latter has been convicted. 34. 12. [Except in cases set out in [Article 6, (1), (1-bis) and (2), Article 10, (1), (1-bis) and (2) and Article 12-bis], as well as Article 10-bis, prosecution of the offences, to which the present Chapter pertains, will only occur if the accused is found in Belgium.] [However, when the offence has been committed in wartime, prosecution can occur, if the accused is Belgian, in all cases, even if he is not found in Belgium, and, if the accused is a foreigner, in addition to the cases set out in Clause 1, if he is found in an enemy country or if his extradition can be obtained.] 35. [12bis. [[Apart from the cases set out in Articles 6 to 11, the Belgian courts also have jurisdiction] to know of offences committed outside the territory of the Kingdom and specified by a [rule of international conventional or customary law] [or a rule of law derived from the European Union] binding Belgium, when [this rule] obliges it, in any manner whatsoever, to submit the matter to its appropriate authorities to institute proceedings.]] [[The proceedings, including investigations, can only be undertaken at the request of the Crown Prosecutor, who assesses any complaints.] Apprised of a complaint pursuant to the preceding clauses, the Crown Prosecutor asks the investigating judge to investigate this complaint unless: (1) the complaint is manifestly unfounded; or (2) the facts stated in the complaint do not correspond to a legal definition of the offences included in Book II, Title I-bis of the Criminal Code [or to any other international crime made an offence by a treaty binding Belgium]; or (3) admissible criminal proceedings cannot ensue from this complaint; or (4) according to the material circumstances of the case, in the interests of the due administration of justice, and in compliance with Belgium's international obligations, this case should be brought either before the international courts or before the court with jurisdiction where the act was committed, or before the court of the State, of which the perpetrator is a national, or that of the location where he can be found, and in so far as this court displays the qualities of independence, impartiality and equity as can, in particular, come within the scope of the relevant international commitments binding Belgium to this State. [If the Crown Prosecutor is of the opinion that one or more of the conditions stated in Clause 3; (1), (2) and (3) have been met, he will make submissions to the Indictment Court of the Court of Appeal of Brussels aimed, depending on the case, on having a declaration made that there are no grounds for prosecution or that criminal proceedings are not appropriate. The Crown Prosecutor is given a private hearing. When the Indictment Court notes that none of the conditions stated in Clause 3, (1), (2) and (3) has been met, it appoints the investigating judge with territorial jurisdiction and indicates the facts on which the investigation should proceed. 36. The proceedings are then conducted in accordance with common law. The Crown Prosecutor has the right to lodge an appeal with the Court of Cassation against decisions made pursuant to Clauses 4 and 5. In all cases this appeal shall be lodged within 15 days from pronouncement of the decision. In the case set out in Clause 3, (3), the Crown Prosecutor notifies the Minister for Justice of the Indictment Court’s decision when this decision is no longer subject to appeal. When the act has been committed after 30 June 2002, the Minister for Justice advises the International Criminal Court of the facts. In the case set out in Clause 3, (4), the Crown Prosecutor discontinues the proceedings and notifies the Minister for Justice of his decision. [Except as far as crimes and offences committed during wartime are concerned, the preceding provisions will not apply when the accused, tried in a foreign country on charges relating to the same offence, is acquitted or when, after being found guilty, he has served his sentence or it lapses [or he is pardoned or granted amnesty]. Any imprisonment in a foreign country following an offence which gives rise to a conviction in Belgium will always be deducted from the length of any prison sentence.] 38. 14. In all cases provided by the present Chapter, the accused will be prosecuted and tried according to the provisions of Belgian law. 39. [136-ter. Crimes against humanity, as defined below, constitute a crime of international law and are punished according to the provisions of the present title, whether it was committed during peace time or war. In accordance with the Statute of the International Criminal Court, a crime against humanity encompasses one of the acts below committed in the context of a generalised or systematic attack launched against a civil population, and in awareness of this attack: 1) murder; 2) extermination; 3) reduction to slavery; 4) deportation or forced transfer of population; 5) imprisonment or other form of serious deprivation of physical liberty in violation of the fundamental provisions of international law; 6) torture; 7) rape, sexual slavery, forced prostitution, forced pregnancy, forced sterilisation and any other form of sexual violence of comparable severity; 8) persecution of any identifiable group or community for reasons of a political, racial, national, ethnic, cultural, religious or sexist nature or as part of other criteria universally recognised as inadmissible in international law, in correlation with any act included in Articles 136-bis, 136-ter and 136-quater; 40. 9) forced disappearance of people; 10) crime of apartheid; 11) other inhuman acts of a similar nature intentionally causing great suffering or serious assault causing bodily harm or physical or psychological duress.]

Source text - French OFFRE TECHNIQUE DE BASE Prospect d’AAA (Cuivre) I. INTRODUCTION Conformément à l'article 15 du «Cahier des Charges» relatif à l'exploration du prospect d' AAA et suite aux discussions tenues avec le soumissionnaire la commission d'évaluation des plis des offres techniques en date du 06.05.2008, l'BBB a arrêté l'Offre technique de base, que le SOUMISSIONNAIRE s'engage à réaliser, s'il venait à être retenu pour son offre commerciale. II. TRAVAUX CONSTITUTIFS DE L'OFFRE TECHNIQUE DE BASE Ces travaux comprennent les types et travaux suivants : II.1 LES TRAVAUX D'EXPLORATION Sur le prospect de cuivre, d’AAA, étudié dans les années 1978 à 1980, il a été réalisé des travaux de cartographie, de tranchées, de forage et de géophysique au sol. Ainsi, il a été délimité des zones minéralisées dont des ressources ont été estimées. Afin de définir si le prospect est économiquement viable il est par conséquent nécessaire de réaliser des travaux complémentaires qui seront sanctionnés par un rapport sur les résultats obtenus à l'issue de cette phase d'exploration. Ce rapport devra être conforme aux normes internationales NI-43-101 et au JORC (Joint Ore Reserves Code). II.1.2 TYPES DE TRAVAUX Le SOUMISSIONNAIRE est tenu de réaliser les travaux comprenant les phases suivantes : Phase A a- Synthèse et numérisation de tous les travaux effectués dans la région du gisement sous ArcView (v.3) ou Maplnfo (v.5). Cette synthèse doit inclure les potentialités aquifères de la région et les possibilités d'alimentation en eau de la future exploitation. b- Acquisition et interprétation des photos aériennes et satellites de la région, c- Travaux de terrain sur 618.8 Km2. Les travaux de terrain doivent comprendre : a- Travaux de reconnaissance au 1/50 000 sur 618.8 Km2 ; b- Un levé géologique au 1/10 000 sur 60Km2 ; c- Des travaux de tranchées afin de préciser les paramètres des zones minéralisées en surface. d - Les tranchées doivent être réalisées de manière à recouper ces zones sur toute leur puissance ; e- Des travaux de forage afin de préciser la géométrie, les paramètres et l'extension en profondeur des zones minéralisées ; f- Des travaux de géophysique destinés à délimiter les zones minéralisées et d'en reconnaître celles qui sont éventuellement aveugles. Ils doivent comprendre, en surface, des travaux de Magnétisme PP (IP) et de Gravimétrie et de diagraphie dans les sondages ; g- Des travaux de géochimie comprenant de la lithogéochimie en roche en surface et dans les carottes des sondages ; h- Des travaux de topographie (levé, rattachement) ; i- Des travaux analytiques ; j- Une étude hydrogéologique ; k- Un calcul des ressources selon les exigences du JORC (Joint Ore Reserves Code). Phase B Durant cette phase devront être réalisés les travaux suivants : Une étude de faisabilité comprenant entre autre : a- Un calcul des réserves conforme au JORC (Joint Ore Reserves Code) ; b- des essais de laboratoire et de traitement à une échelle approprié ; c- Un flow-sheet ; d- Type et dimensionnement des équipements ; e- Besoin en eau ; f- Coûts de traitement ; g- Un plan de développement de la future exploitation avec détermination des paramètres d'exploitation (perte, dilution, capacité de production annuelle, type d'équipement, coûts de production par tonne) ; h- Calcul du cash-flow, du TRI (IRR), de la VAN (NPV) et Analyse de sensibilité. Phase C A l'issue des phases A et B, le SOUMISSIONNAIRE s'engage à réaliser : a- une étude d'impact environnemental ; b- un plan de gestion environnementale ; c- une étude des risques. Ces études devront être réalisées conformément à la législation en vigueur en CCC relative à la protection de l'environnement et notamment les décrets N°93-74 et 90-78 et la loi minière N°01-10 du 03.07.2001 A l'issue de chaque phase, le soumissionnaire devra remettre à l'BBB un rapport sur l'état d'avancement des travaux. III-TYPE ET VOLUMES DES TRAVAUX A REALISER Les types et volumes minimum que le SOUMISSIONNAIRE s'engage à réaliser figurent dans le tableau ci-après. II. WORKS COMPRISING THE STANDARD TECHNICAL PROPOSAL These works comprise the following operations: 11-1 EXPLORATION WORKS Work was carried out in terms of cartography, trenches, drilling and geophysics on the ground of the AAA copper prospect between 1978 and 1980. Ore-bearing zones were thus delineated and their reserves estimated. To ascertain whether the prospect is economically viable, supplementary works need to be carried out which will form the basis of a report on the results obtained at the end of this exploration phase. This report must comply with international standards NI-43-101 and the JORC (Joint Ore Reserves Code). 11-1-2 TYPES OF WORKS The TENDERER will be responsible for carrying out the works included in the following phases: Phase A A – Synthesis and digitisation of all operations conducted in the ore deposit region using ArcView (v.3) or MapInfo (v.5). This synthesis must include the region’s aquifer potential and capabilities for supplying water for future mining operations. B – Acquisition and interpretation of aerial and satellite photos of the region, C – Field work over an area of 618.8 Km2. The field work must include: A – Exploration works at a scale of 1:50,000 over 618.8 Km2; B – Geological surveying at a scale of 1:10,000 over an area of 60Km2; C – A detailed geological survey at a scale of 1:1,000 of the ore bearing zones over an area of 7 Km2; D – Trench works to specify the parameters of the ore bearing zones on the surface. The trenches must be made in such a way as to intersect the total thickness of these zones; E – Drilling operations to specify the geometry, parameters and depth of the ore-bearing zones; F– Geophysical operations designed to delineate the ore-bearing zones and to find any blind ones. They must include Magnetism PP (IP), Gravimetry and borelog operations in the drill holes on the surface; G – Geochemical operations comprising lithogeochemistry in rock on the surface and in the core samples of the drill holes; H – Topography works (surveying, ties); I – Analytical operations; J – A hydro-geological study; K – A calculation of reserves according to JORC (Joint Ore Reserves Code) requirements. Phase B The following works should be carried out during this phase: A feasibility study including, inter alia: A – A calculation of reserves in accordance with JORC (Joint Ore Reserves Code) B – Laboratory and processing tests at an appropriate scale; C – A flow-sheet; D – Type and dimensions of the equipment, E – Water requirements; F – Processing costs; G – A development plan for future mining operations determining the operating parameters (loss, dilution, annual production capacity, type of equipment, production costs per tonne); H – Calculation of cash-flow, Internal Rate of Return (IRR), Net Present Value (NPV) and Sensitivity Analysis. Phase C At the end of phases A and B, the TENDERER undertakes to carry out: A – An environmental impact study; B – An environmental management plan; C – A hazard study. These studies must be carried out in compliance with the legislation in force in CCC pertaining to protection of the environment and in particular Decrees No. 99 and 98 and Mining Law No. 100. The tenderer shall submit a work progress report to BBB at the end of each phase. III – TYPE AND VOLUME OF WORKS TO BE CARRIED OUT The minimum types and volumes [of work] which the TENDERER undertakes to perform appear in the table below. IV – COMPLETION COSTS AND SCHEDULE The TENDERER shall give an estimate calculated in US dollars for all the works it undertakes to perform. The time periods for completing the three phases must not exceed thirty-six (36) calendar months with effect from the date the mining exploration licence is obtained. Source text - French Le livret individuel de plongée Avant propos Nous n’avions pas jusqu’à présent l’obligation de remplir un livret individuel de plongée. Les plongées réalisées par nos équipes sont consignées dans nos rapports de terrains que nous tenons à votre disposition. Les plongeurs scientifiques seront munis d’un livret individuel de plongée. Il sera rempli après chaque intervention par le plongeur. Le livret individuel de plongée fera apparaître toutes les plongées effectuées dans l’établissement ou à l’extérieur de celui-ci, qu’elles soient de travail, d’entraînement, de loisirs ou de toute autre nature. Les paramètres des plongées minimums suivants figureront sur le livret individuel : date, lieu, profondeur, temps de plongée, durée des paliers, nature des travaux, conditions de plongée rencontrées, observations particulières. Ce livret sera présenté systématiquement au médecin du travail à l’occasion de toute visite ou aux agents de contrôle sur leur demande. Le médecin fera figurer sur le livret les dates de visites médicales et ses conclusions d’aptitude. A cet effet, les registres concernant les équipements utilisés seront à la disposition du client. Le matériel d’assistance et de secours Les pratiquants ont à leur disposition sur les lieux de plongée: - un moyen de communication permettant de prévenir les secours; - une couverture iso thermique; - le matériel de premier secours adapté aux risques de l’activité et notamment de l’aspirine non effervescente et une réserve d’eau douce potable. - un système permettant de réaliser une oxygénothérapie normobar selon les normes médicales couramment admises, pendant le temps nécessaire à l’intervention des secours médicalisés. - des tables de plongée correspondant au type de plongée réalisée. - si la plongée se déroule à une profondeur supérieure à 9 mètres, ils disposent également d’une réserve d’air immergeable alimentant au moins deux détendeurs. En situation de plongée sur zone, chaque embarcation est équipée de ce matériel. Les procédures de plongée Les tables de plongée utilisées sont déterminées par le chef de plongée en fonction du profil de la plongée, (utilisation de l’ordinateur ou des tables agréées par le Ministère du Travail selon les efforts à fournir lors de la plongée). Dans le cas de plongées nécessitant des paliers, la présence d’un caisson est accessible dans un délai de trois heures. Pendant les deux heures qui suivent la fin de l’immersion, l’activité des plongeurs est limitée aux tâches qui n’exigent pas d’efforts physiques soutenus. Les plongées seront exécutées par une équipe composée d’au moins deux plongeurs se surveillant mutuellement de façon continue et d’un directeur de plongée dont la présence en surface sur le site de plongée est obligatoire. Il appartient à AAA de prendre toutes les mesures pour assurer la sécurité des ses plongeurs. Le directeur de plongée, les plongeurs ou le pilote peuvent à tout moment suspendre leurs activités de plongée s’ils estiment que les conditions de sécurité ne sont pas suffisantes. De plus, AAA interdit à ses plongeurs et intervenants la pratique de l’apnée durant un délai de huit heures après la dernière plongée. Les registres obligatoires L’employeur tiendra à jour un registre de plongée comportant: - Les dates des visites médicales des plongeurs avec avis du médecin - Les certificats médicaux d’inaptitude temporaire à la plongée -Les dates de révision des détendeurs y compris celui du matériel d’oxygénothérapie, effectuée selon les prescriptions du constructeur par une personne habilitée. - Les dates de ré épreuves des bouteilles de plongée L’employeur tient à jour un registre concernant l’entretien et l’utilisation du compresseur et des autres éléments de la station de gonflage. Dives conducted by our teams are recorded in our field reports which are at your disposal. Scientific divers will be given an individual dive log book. It will be filled out after each operation by the diver. The individual dive log book will show all dives carried out within or outside the organisation, whether they are for work, training, pleasure or whatever. The following minimum dive details will be recorded in the individual log book: date, location, depth, length of dive, duration of decompression stops, type of work, dive conditions encountered, special comments. This log book will be systematically presented to the occupational health physician at each visit, or to inspectors at their request. The doctor will record the dates of medical visits and his/her fitness assessments in the log book. To this end, records for equipment used are at the client's disposal. Emergency and First Aid Equipment Practitioners have the following at their disposal at the diving sites: - means of communication for summoning help; - isothermal blanket; - first aid equipment modified to cover diving hazards and including non-effervescent aspirin and a tank of potable fresh water in particular. - a system for carrying out normobaric oxygen therapy according to currently approved medical standards when emergency medical intervention is required. - dive tables for the type of dive to be carried out. - if the dive is to be at a depth greater than 9 metres, they will also have a submersible reserve air tank feeding at least two regulators. When diving on site, each boat is fitted with this equipment. Diving procedures The dive tables used are chosen by the diving manager as part of the dive profile, (using a computer or tables approved by the Ministry for Employment according to the effort required for the dive). For dives which require decompression stops, a decompression chamber is accessible within three hours. For two hours after the end of a dive diver activities are limited to tasks which do not require sustained physical effort. Dives will be carried out by a team composed of at least two divers who will continually monitor one another and a diving manager, whose presence at the dive site's surface is compulsory. AAA is responsible for taking all measures required to ensure the safety of its divers. The diving manager, divers or pilot can suspend their diving activities at any time if they consider safety conditions to be inadequate. Moreover, AAA does not allow its divers and employees to go snorkelling for a period of eight hours after the last dive. Compulsory record keeping The employer will keep an up to date dive register comprising: - dates divers visit the doctor with the doctor's reports - medical certificates for temporary incapacity to dive - service dates for regulators, including the one for the oxygen therapy equipment, carried out according to the manufacturer's instructions by an authorised person. - dates for re-inspecting the compressed air tanks The employer shall keep an up to date record of maintenance and use of the compressor and other components of the air fill station. This record includes, for each use, the name of the user and his/her signature, the date, the exact duration of use, the total duration of compressor use and any comments. It also includes service dates and the results of air analysis performed at least once a year. AAA will ensure that inspection and service time frames are complied with. Quality of air for divers The compressor sucks in air away from all sources of pollution, especially gas exhaust fumes from motors, oil or hydrocarbon vapour, carbon dioxide or carbon monoxide. The compressor is maintained and serviced according to the manufacturer's instructions. The quality of the air is analysed on an annual basis. Source text - French En Nouvelle-Calédonie, les chauves-souris constituent les seuls mammifères terrestres indigènes à l’archipel (Chiroptèrofaune). Les Renards-volants ou roussettes sont des chauves-souris frugivores et nectarivores de grande taille (Mégachiroptères). On rencontre 2 genres de roussettes dans le pays : le genre Pteropus comprend 3 espèces (dont 2 sont endémiques) et le genre Notopteris est constitué d’une seule espèce endémique (le genre ne comprend d’ailleurs que 2 espèces, l’autre étant présente au Vanuatu et Fidji). Les roussettes constituent un élément important de la culture et des traditions néo-calédoniennes : animal mythique dans la société mélanésienne, il représente aujourd’hui une viande de brousse très prisée par les différentes communautés. Avant la fin de la phase de renouvellement du projet AAA (fin septembre XXXX), la société AAA SAS a sollicité l’IAC (qui a acquis des compétences en matière d’étude des roussettes ces dernières années pour le compte des Provinces Nord et Sud), pour la réalisation d’un travail préliminaire (30 jours terrain compte tenu de notre disponibilité au cours de la période souhaitée par AAA) concernant l’inventaire de la Mégachiroptérofaune dans les sites sous l’emprise du projet minier (convention d’étude n° 999). A l’origine, un appel d’offre pour l’étude des Chiroptères en général avait été lancé par la société AAA mais n’a pas abouti faute de spécialistes français disponibles sur la partie Microchiroptères. Les deux espèces de roussettes les plus susceptibles d’être rencontrées dans le périmètre étudié correspondent aux « grandes roussettes », espèces gibiers, qui sont les plus communes en Nouvelle-Calédonie: Pteropus tonganus ou roussette noire (indigène, classée « risque faible » selon les critères IUCN) et Pteropus ornatus ou roussette rousse (endémique, classée vulnérable par l’IUCN) qui vivent la plupart du temps de manière sympatrique. Il est possible que Pteropus vetulus, la roussette des cailloux, (endémique, considérée par l’IUCN comme « risque faible ») qui est beaucoup plus discrète et essentiellement forestière puisse fréquenter la zone, ainsi que les notoptères ou roussettes à queue, (Notopteris neocaledonica), endémiques (et dont le statut est évalué « vulnérable » comme N. macdonaldii avant différenciation en deux espèces distinctes (Kirsh et al, 2002)) ; les deux seules colonies connues à ce jour sont entièrement cavernicoles. L’Annexe 1 résume les statuts des espèces ; ceux-ci ont été revus par Kirsh et al (2002) qui proposent un statut local renforcé, de « en danger » pour les notoptères à « vulnérable » pour les trois autres espèces. Rappel des objectifs A- Inventorier et géoréférencer les colonies permanentes (« nids ») et temporaires « campements » de grandes roussettes connues dans la zone d’étude (colonies présentes et passées) ; B- Identifier les stations d’observation favorables et caractériser les colonies : espèces, caractéristiques de l’habitat, voies de passages préférentielles ; C- Eventuellement, rechercher la présence de Pteropus vetulus et Notopteris neocaledonica en milieu forestier ; D- Réaliser un état de la bibliographie sur l’impact de la lumière et du bruit sur les populations de Mégachiroptères et identifier les autres facteurs de menaces (« facteurs externes ») prévisibles induits par le projet sur ces chauves-souris frugivores 7 Inventaire de la Mégachiroptérofaune du Massif du Koniambo Institut Agronomique néo-Calédonien (IAC) - Programme Elevage et Faune Sauvage (notamment envisager l’effet de l’augmentation de la fréquentation de la zone et des activités annexes face à l’arrivée de populations nouvelles) ; E- Etablir des recommandations en termes de protection et/ou de mesures de compensation et proposition d’un programme de suivi moyen/long terme de l’évolution des effectifs et de l’occupation de l’espace. Conformément à l’article 6 de la convention IAC / AAA, le présent rapport fait état du travail mené.	Translation - English Introduction Bats represent the only indigenous land mammals on the archipelago in New Caledonia (Chiroptera fauna) Flying foxes are large nectar eating or fruit bats (Megachiroptera). There are 2 genera of flying foxes in the country: the genus Pteropus includes 3 species (2 of which are endemic) and the genus Notopteris comprises a single endemic species (the genus only consists of 2 species, moreover, the other being found on Vanuatu and Fiji). Flying foxes constitute an important element of New Caledonian culture and traditions: a mythical animal in Melanesian society, today it represents a bush meat highly valued by the different communities. Before the end of the AAA project’s restructuring phase (end September XXXX), the company AAA SAS asked the IAC (which has acquired the skills for studying flying foxes over the last few years on behalf of the North and South Provinces), to carry out a preliminary study (30 field days given our availability during the period specified by AAA) on the inventory of Megachiroptera fauna on the mining project sites (Study Agreement No 999). Originally, a call for tender for the study of Chiroptera in general was made by AAA but did not succeed due to lack of availability of French specialists on Microchiroptera. The two species of flying foxes most likely to be encountered within the perimeter studied correspond to “great flying foxes”, a game species, which are the most common in New Caledonia: Pteropus tonganus or the Tongan Fruit Bat (indigenous, classified as being “low risk” according to IUCN criteria) and Pteropus ornatus or the Ornate Flying Fox (endemic, classified as vulnerable by the IUCN) which lives most of the time in a sympatric manner. It is possible that Pteropus vetulus, the New Caledonian Flying Fox, (endemic, considered “low risk” by the IUCN) which is much quieter and essentially forest dwelling might inhabit the zone, as well as notoptera or the New Caledonian Long-Tailed Fruit Bat (Notopteris neocaledonica), endemic (and whose status is assessed as “vulnerable” like N. macdonaldii before being differentiated into two distinct species (Kirsch et al, 2002); the only two colonies known to date are exclusively cave dwellers. Appendix 1 summarises the status of the species; their status was reviewed by Kirsh et al (2002) who suggested a stronger local status of “endangered” for the notoptera to “vulnerable” for the other three species. Reminder of objectives A – To create an inventory of and georeference the permanent (“nests”) and temporary “camps” of known great flying fox colonies in the study zone (current and past colonies); B - To identify favourable observation posts and characterise the colonies: species, characteristics of the habitat, preferred passage routes; C – Possibly to research the presence of Pteropus vetulus and Notopteris neocaledonica in the forest environment; D – To conduct a review of the literature on the impact of light and noise on Megachiroptera populations and identify other foreseeable threats (“external factors”) to these fruit bats presented by the project. ____________________________________________________________________7 Inventory of the Megachiroptera fauna of the Koniambo Massif New Caledonian Institute of Agronomy (IAC) – Animal Husbandry and Wild Fauna Programme (in particular to gauge the effect of an increase in activity in the zone and associated activities because of the arrival of new populations); E – To make recommendations with regard to protection and/or compensation measures and to propose a medium / long term schedule for monitoring the development of population numbers and space occupation. I'm an advanced professional translator French to English and German to English and professional translator Italian to English (NAATI accredited) located in Sydney, Australia. My native tongue is English and I am a highly qualified and experienced freelance translator. My first degree was a BA (Double Honours) in Interpreting and Translating, French and German, from Bradford University in the UK and I then obtained a second BA at the Australian National University in Canberra majoring in Italian and Psychology.

As well as working full-time as a freelance translator for the last 5 years, and for years prior to that after finishing my first degree, I have worked in both the public and private sectors in administration and policy areas, construction, biotechnology, finance and accounting.
