Con la riforma del 2006, il comitato dei creditori è diventato uno snodo della procedura e organo decisivo ai fini del corretto svolgimento della stessa.
Lo scopo di questo lavoro è ripercorrere l’iter storico del comitato, dalla sua introduzione nel Codice di commercio (col nome di “delegazione”, come baluardo degli interessi esclusivi dei creditori), alla legge fallimentare del 1942, nel vigore della quale si è assistito ad una “mortificazione” dell’organo attraverso uno svuotamento di funzioni e un cattivo utilizzo delle poche rimanenti.
Col D.Lgs. 16 gennaio 2006, n. 5 si è avuta una decisiva inversione di marcia: esso ha puntato il faro sul comitato dei creditori come protagonista della procedura, mediante il trasferimento di poteri e funzioni da parte del curatore e del giudice delegato al comitato stesso. La maggiore incisività (in alcuni casi, addirittura necessarietà) dell’operato del comitato, secondo le disposizioni legislative, lo ha reso lo snodo cruciale della procedura e saranno oggetto di questo lavoro proprio le principali novità della riforma del 2006 (nomina, funzioni, compensi, modalità di funzionamento, responsabilità, con particolare attenzione per gli art. 104, 104-bis e 104-ter) e le loro concrete e possibili ripercussioni pratiche.
Infine, si farà una breve panoramica sulle recenti prospettive di riforma sul “nuovissimo” comitato dei creditori.
| Translation - English The role of the creditors’ committee in the bankruptcy law
The creditors’ delegation at first, then the creditor’s committee, played a minor role and they were of little importance between 1882 (year of its foundation) and 1942 (year of the Royal Decree no. 267).
With the reform of 2006 the creditors’committee turned into a decisive component of the procedure and into a crucial body for its correct progress.
The aim of this work is to follow the historical path of the committee, since its insertion in the Commercial Code (at that time it was named delegation and it was intended as a bulwark of the interests of creditors) until the 1942 law on bankruptcy, that caused a “mortification” of the body through a decrease and a bad performance of its duties.
A critical change of direction took place with the legislative decree No.5 of 16 January 2006: it highlighted the role of the creditors’ committee as a protagonist of the procedure, through the transfer of power and duties from the trustee in bankruptcy and the bankruptcy judge to the committee. The greater incisiveness (sometimes even necessity) of the work of the committee, in accordance with the above-mentioned decree, made it a decisive factor of the procedure. The main changes introduced by the reform of 2006 (appointment, duties, remunerations, functioning procedures, responsibility, with particular reference to the art. 104, 104-bis and 104-ter), with their actual and possible practical consequences, are exactly the subject of my work.
Finally we will describe in outline the possibility of a future reform of the “very new” creditors’ committee.

Besides the experience I have in the specific field of translations and interpeting I had also the opportunity to improve my foreign languages knowledge by working abroad, especially in the U.S., Northern Europe and France. |
