Time charter agreement
This Time Charter Agreement (“this Agreement”) entered into on this 25th day of September, 1999 between A (hereinafter referred to as “Operator”) and B (hereinafter referred to as “Charterer”)
WITNESSETH:
Whereas charterer, from time to time, desires to time charter tankers from operator;
Now, therefore, the parties hereto mutually agree as follows:
This agreement together with all exhibits hereto shall govern the respective rights and duties of operator and charterer. The reference to this agreement herein shall be deemed to include a reference and incorporate all terms and conditions of all exhibits hereto.
Charterer has delivered to operator by wire transfer the sum of $25,000, which amount is deemed to be a prepayment and credit on the first invoice for charter hire of operator to charterer.
Charter hire shall be payable at the rates and for the time periods as set forth on exhibit A hereto. In the event of any dispute regarding any invoice, the undisputed portion of any invoice shall be paid and only the disputed portion shall remain unpaid pending the settlement of the dispute.
Charterer represents and warrants to operator as follows:
a) charterer is a corporation duly organized and validly existing;
b) charterer has the corporate power and authority to enter into this agreement and grant the assignments and security interests herein;
Operator agrees at its sole cost and expense to procure and continuously maintain in full force and effect throughout the term of this agreement, and with reliable insurance companies satisfactory to charterer, all due insurance coverages.
Neither charterer, its officers, employees, successors and assigns, nor the underwriters of the foregoing insurance shall have any responsibility or liability for any claims, debts and losses involving damage to or loss of the vessel or resulting from, arising out of or in any manner occasioned by a breach or inaccuracy of any warranty or representation of operator set forth or contained in this agreement, and operator shall defend, indemnify and hold harmless charterer, its officers and employees from and against any such claims, debts and losses, whether groundless or not, and whether caused by the negligence or faults of indemnitees. It is expressly understood that operator shall insure its obligations assumed under this paragraph. Contrato de fletamento por tiempo
Este contrato de fletamento por tiempo (“este contrato”) se ha formalizado el 25 de septiembre de 1999 entre A (de ahora en adelante “operario”) y B (de ahora en adelante “fletador”)
DAN FE:
Considerando que el fletador ocasionalmente refleja la intención de fletar por tiempo buques-cisterna del operario;
Las partes ahora, por lo tanto, acuerdan mutuamente lo siguiente:
Este contrato y todas las pruebas instrumentales que aquí se presentan rigen los derechos y deberes respectivos del operario y el fletador. La referencia a este contrato deberá incluir una referencia e incorporar todas las condiciones de todas las pruebas instrumentales.
El fletador ha entregado al operario mediante transferencia telegráfica la cantidad de 25.000$. Esta cantidad está considerada como un prepago y crédito de la primera factura por el beneficio del fletamento, que efectúa el operario a favor del fletador.
El beneficio del fletamento deberá pagarse por los precios y durante el periodo expuesto en la prueba instrumental A aquí adjunta. En caso de controversia en cuanto a las facturas, la parte fuera de controversia de la factura deberá pagarse, y sólo la parte en controversia permanecerá sin pagar hasta que ésta se resuelva.
El fletador afirma y garantiza al operario lo siguiente:
a) el fletador es una sociedad debidamente organizada y con existencia válida;
b) el fletador tiene la facultad y autoridad corporativas de llegar a un acuerdo sobre este contrato y otorgar las correspondientes cesiones y derechos de garantía;
El operario acuerda, por gasto propio, obtener y mantener de manera continua todas las coberturas del seguro en vigor y a efectos plenos durante todo el periodo de este acuerdo, y con compañías de seguro formales que satisfagan al fletador.
Ni el fletador, sus oficiales, empleados, sucesores o asignados, ni los aseguradores mencionados anteriormente serán responsables de las demandas, deudas y pérdidas por daños o pérdida del barco o como resultado de, u ocasionados en manera alguna por un incumplimiento o inexactitud de una garantía o afirmación del operario expuesta o contenida en este acuerdo. Asimismo, el operario defenderá, indemnizará y eximirá de responsabilidad de tales demandas, deudas y pérdidas, tanto sin como con fundamento, al fletador, sus oficiales y empleados, y tanto si fueron causadas por negligencia como por culpa de los indemnizados. Se entiende expresamente que el operario cubrirá sus obligaciones, asumidas en este apartado. La parte que habrá de indemnizar tendrá, a elección propia, el derecho de comprometer y defender cualquier materia sobre cualquier responsabilidad mediante un abogado de su propia elección. |
