Dieser Vertrag unterliegt deutschem Recht.

Soweit der Vertrag in andere Sprachen übersetzt wird und Ungleichheiten bzw. Auslegungsfragen auftreten, hat die deutsche Fassung Vorrang vor allen Übersetzungen.
Der Notar hat die Beteiligten darauf hingewiesen, daß
- der Erwerber für die durch den Veräußerer noch nicht erbrachten Geldeinlagen unbeschränkt haftet
- der Veräußerer für die vor der Anmeldung der Abtretung nach § 16 GmbHG fälligen Leistungen weiterhin haftet.
Auf die Gefahren von Vorausleistungen wurde hingewiesen. Eine Sicherung wurde nach Belehrung nicht gewünscht.
Eine Beratung über die steuerlichen Auswirkungen dieser Urkunde durch den Notar erfolgte nicht und wurde ausdrücklich nicht gewünscht.
Alle Genehmigungen zu dieser Urkunde sollen wirksam werden mit ihrem Eingang bei dem Notar.
Sollte eine Bestimmung dieser Urkunde unwirksam sein, so sollen die übrigen in ihr enthaltenen Erklärungen dennoch wirksam sein.

§ … Rangrücktritt
(1) Der Darlehensgeber tritt mit seinen Ansprüchen auf Tilgung und Verzinsung aus diesem Vertrag gegen den Darlehensnehmer hinter die Forderungen aller gegenwärtigen und zukünftigen Gläubiger des Darlehensnehmers dergestalt zurück, daß sein Anspruch auf Tilgung und Verzinsung des Darlehens erst nach Befriedigung sämtlicher Gesellschaftsgläubiger und – bis zur Abwendung einer Krise – auch nicht vor, sondern nur zugleich mit dem Einlagerückgewähranspruch der Gesellschafter befriedigt wird, also so behandelt wird, als handele es sich bei dem Darlehen und Zinsen um statuarisches Eigenkapital.
(2) Der Darlehensgeber verpflichtet sich, seine nachrangigen Ansprüche gegenüber dem Darlehensnehmer solange nicht geltend zu machen, wie deren Befriedigung zu einer Überschuldung i. S. v. § 19 InsO des Darlehensnehmers führen würde.
(3) Tilgung, Zinsen und Kosten der im Rang zurückgetretenen Forderung kann der Darlehensgeber nur verlangen, wenn die Leistung aus einem Bilanzgewinn (Jahresüberschuß zzgl. Ergebnisvortrag), einem etwaigen Liquidationsüberschuß oder aus sonstigem freien Vermögen, das das zur Erhaltung des Stammkapitals erforderliche Vermögen übersteigt, möglich ist.
(4) Im Falle einer Insolvenz ist der im Rang Zurückgetretene nur an dem Überschuß beteiligt, der nach § 199 InsO zur Verteilung an die Gesellschafter zur Verfügung steht. Dies gilt unabhängig davon, ob der Darlehensgeber als Nachranggläubiger zu diesem Zeitpunkt Gesellschafter ist oder nicht.

§ … Debt Subordination
(1) The lender will relinquish all priority claims on the borrower for the repayments due together with interest arising from this agreement in favour of claims of all current and future creditors of the borrower (priority claims), and that the lender’s claim towards repayments due to him and interest thereon on amount lent shall not precede those priority claims, even after fulfilment of those claims, and taking preventive measures for avoiding such a crisis situation. Only the claim (entitlement) of the Partner on capital refund is complied with and it is treated the same way for the lendings and interests that is applicable for the statutory equity capital.
(2) The lender does hereby expressly undertake not to enforce his subordinated claims as against the borrower to the extent the fulfilment (settlement) of this obligation, leads to over indebtedness of the borrower as defined by Section 19 of the German Insolvency Code (InsO).
(3) The lender can only demand for the repayments, interests and charges of the subordinated claims when there is profit (annual surplus inclusive of unappropriated net income), from a surplus liquidity, or from surplus assets, i.e. which makes possible the maintenance of the required original capital.
(4) In the event of insolvency, the subordinated claims can only participate in the surpluses which is available for distribution to the partners as defined by Section 199 of the German Insolvency Code. This is applicable independently, whether the lender, as a subordinated claimant is a partner at this point of time or not.

I also benefitted from the opportunity to sharpen my language skills while I served the Indian Government, stationed at Frankfurt for over 5 years.
In my current capacity, I work with Moser Baer India, the world's largest manufacturer of optical, magnetic media. The company has also interests in photo-voltaic, hydro and thermal energy. Working on such diverse fields has also broadened my outlook towards patents/copyrights and technical aspects of the German language.
