保証金差入契約書
ABC社 (以下甲という)と株式会社XYZ (以下乙という) との間で本契約を締結する。
第１条 甲が乙に対し現在及び将来負担する一切の債務を担保するため、甲は乙に対して保証金金5,000,000円也（以下単に保証金という）を差入れ乙はこれを受領した。
第２条 保証金に対して利息は付さないものとする。
第３条 甲は乙に対して甲乙間の取引継続期間中は原則として保証金の一部又は全部の返還請求をすることが出来ない。ただし、甲から乙に対する保証金返還の申出があった場合は協議するものとする。
第４条 (1) 甲において、以下に該当する事実が発生した場合は、乙から通知催告がなくても 甲は期限の利益を失い、乙は保証金を甲の乙に対する債務との対等額にて債務の弁済に充当することができる。
① 甲が本契約又は個別契約に違反したとき
② 甲が支払いを停止し、又は手形、小切手を一度でも不渡りとしたとき
③ 甲が仮差押、仮処分、強制執行若しくはこれに準ずる処分を受けたとき
④ 甲が破算、和議、会社整理、特別精算、会社更正手続開始等の申立を受け若しくは自らこれらの申立をなしたとき、又は甲に於てこれらの原因となる事実が生じたとき
⑤ 甲が営業の廃止若しくは休止、又は解散の決議をしたとき
⑥ 甲の資産状態が著しく悪化し、又はその虞れありと認むる相当の理由あるとき
⑦ 住所変更の届出を怠るなど甲の責めに帰すべき事由によって乙に対しての甲の所在が不明となったとき
(2) 乙は、甲との取引関係が終了し、かつ甲が乙に対し負担する一切の債務を弁済したときは、速やかに甲に保証金を返還するものとする。
(3) 前項の取引終了時に、甲の乙に対し負担する残債務がある時は、乙は当該債務相当額を保証金から控除しその残額を返還することができる。
第５条 甲乙取引期間中において、甲が乙に対する債務弁済の履行を怠ったときは、 乙おいて保証金の全部または一部を当該債務に充当されても甲は異議がないものとする。
第６条 (1) 乙はこの保証金をもって自己の他の債務にあてることはできないし、甲の債務の保証以外いかなる目的にも使用することもできない。
(2) 乙は必要と認めたとき追加担保として保証金の差し入れを請求することができる。
(3) 甲の保証金返還請求権は、乙の承諾を得ずして、譲渡・質入・担保提供その他一切の処分ができない。
本契約の成立を証するため、本書２通を作成し、甲乙記名捺印のうえ、各１通を保有する。 | Translation - English
Security Deposit Agreement
This Agreement is made and entered into by and between ABC Co. (hereinafter called "ABC") and XYZ Inc. (hereinafter called "XYZ").
Article 1 For ABC to guarantee XYZ any and all the liabilities assumed currently and in the future, ABC has deposited to XYZ, and XYZ has received, security of five million (5,000,000) yen (hereinafter simply called "Security").
Article 2 No interest shall be allowed on the Security.
Article 3 For the duration of business transactions between the parties hereto,ABC may not demand that XYZ return the whole or any part of the Security, in principle; provided, however, that in case XYZ offers to return the Security to ABC, the parties shall hold a consultation.
Article 4 (1) The term of this Agreement shall be accelerated without any notice of demand from XYZ and XYZ may apply the Security of an amount equivalent to ABC's liabilities to XYZ to cover the payment thereof in the event that:
(i) ABC is in breach of this Agreement or any individual agreement;
(ii) ABC stops payment or has any single bill or check dishonored;
(iii) any measure such as provisional seizure, provisional disposition, compulsory execution or similar is taken against ABC;
(iv) the institution of proceedings for bankruptcy, composition, corporate liquidation, special liquidation, corporate reorganization is filed against or by ABC, or there arises against ABC any facts that may cause any of the above events;
(v) ABC passes a resolution for cessation or suspension of operations, or dissolution;
(vi) ABC's financial standing has worsened remarkably, or there is a reasonable reason to deem this situation possible; or
(vii) ABC's whereabouts is unknown to XYZ due to a cause attributable to ABC such as ABC's failure to give notice of its change of address.
(2) When business transactions between the parties hereto have terminated and ABC has completed payment of any and all its liabilities assumed to XYZ, XYZ shall return the Security to ABC as soon as possible.
(3) In case of any liabilities outstanding assumed by ABC to XYZ at the time of termination of the business transactions stated in the preceding paragraph, XYZ may return the amount remaining after deducting the amount equivalent to such liabilities from the Security.
Article 5 In the event that ABC fails to fulfill any obligations to pay to XYZ during business transactions between the parties hereto, ABC shall make no objection to XYZ applying the whole or any part of the Security to such liabilities.
Article 6 (1) XYZ may neither apply the Security to any other liabilities of its own, nor use it for any other purpose than security against ABC's liabilities.
(2) XYZ may request extra security money as additional collateral in case XYZ deemes it necessary.
(3) ABC's right to demand return of the Security may not be transferred, pledged, offered as security, or otherwise disposed of without the approval of XYZ.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement in duplicate by placing their signatures and seals thereon, each party retaining one copy thereof, respectively. |
