EL Franchising o franquicia comercial, es un contrato por medio del cual el franquiciante o franquiciador cede a la otra parte denominada franquiciatario o franquiciado, el derecho a explotar una franquicia, lo que involucra comercializar un producto y/o servicio utilizando su marca.
En los últimos años esta modalidad se convirtió en una respuesta adecuada para aquellas personas con escasa experiencia empresarial, que desean encarar una actividad comercial rentable.
El franquiciante enseña cómo hacerlo y presta asistencia comercial o técnica durante el convenio, mediante el pago de un derecho de entrada y/o regalías periódicas. Pero como en Argentina no existe aún legislación específica sobre el tema, esto lo convierte en un contrato atípico y, se le aplican las normas correspondientes a las figuras contenidas en los Código Civil, de Comercio, legislación sobre patentes, marcas, modelos, etc.

Franchising is a contract by means of which the franchisor transfers to the other part, named franchisee, the right to exploit a franchise, which involves trading with a product and/or service using the franchisor’s trademark.
During the last few years, this modality became the appropriate answer to those people with little business experience wishing to get into a profitable commercial activity.
The franchisor provides the know-how and commercial or technical assistance during the life of the contract, through a down payment or/and periodical royalties. There is no specific legislation on this subject in Argentina, so it becomes an atypical contract where the provisions from the civil legislation, commercial code, patents, trademarks, and so on, apply.

ESCENA 1
INTERIOR–CELDA–NOCHE.
Un fósforo se enciende iluminando una mano. La pequeña llama se acerca a la pared, iluminando un viejo recorte de revista pegado en la pared. El fósforo se apaga casi quemando la punta de los dedos del hombre. Se escucha el sonido del encendido de otro fósforo que ahora si, deja ver con claridad la imagen pegada en la pared: Un extenso campo sembrado. Alguien tose repetidamente desde otra celda.
El rostro de un hombre apenas se deja entrever entre las sombras.
ESCENA 2
PORTON SALIDA DE CARCEL-CALLE-DIA.
Daniel, un hombre rubio de ojos claros, de unos cuarenta y cinco años, un poco excedido de peso sale por la puerta principal del penal. Lleva el pelo y las patillas de un auténtico rockabilly pasado de moda. Está vestido con saco y una camisa blanca.
Su aspecto es pulcro, salvo por las gastadas zapatillas de lona que calza, y un bolsito de plástico marinero que se cae a pedazos. Apenas traspone el portón, camina recto hacia delante sin mirar atrás.
ESCENA 3
EXTERIOR-CENTRO DE BUENOS AIRES –DIA
Daniel camina sin rumbo entre la gente. Su paso cansino contrasta con el ritmo ciudadano. En medio de la gente se para a encender un cigarrillo. Alguien lo choca levemente. Fuma un par de pitadas ajeno a todo.

INDOORS–CELL–NIGHT
The glow of a lit match lights a hand. The little flame gets closer to the wall, illuminating an old magazine cut-out stuck to the wall. The match goes out almost burning the tips of the fingers of the man. The sound of another match being lit can be heard, now allowing to see the image stuck to the wall: an extensive sown field. Someone coughs repeteadly from another cell.
The face of another man barely appears amongst the shadows.
SCENE 2
JAIL EXIT GATE-STREET-DAY TIME
Daniel, a blond man with clear eyes, about forty five years old and a little overweight leaves through the prison’s main gate. His hair and sideburns are those of a true out-of-date rockabilly. He’s dressed with a jacket and a white shirt. His appearance is neat, except for the worn off cloth trainers he’s wearing, and his little plastic duffel bag falling apart.
As soon as he steps out of the gate he walks straight ahead without looking back.
SCENE 3
OUTDOORS -DOWNTOWN BUENOS AIRES –DAY TIME
Daniel walks aimlessly through the crowds. His lethargic walk contrasts the rythm of the city. He stops in the middle of the crowd to light a cigarrete. Someone runs into him lightly. He draws a couple of puffs, alien to it all.
