I.
Úvodní ustanovení
Žalobce podal u Obvodního soudu pro Prahu 8 žalobu, kterou se na žalovaných domáhá, aby společně a nerozdílně uhradili částku ve výši 530.195,- Kč spolu s úroky z prodlení ve výši odpovídajícími ročně výši repo sazby stanovené ČNB zvýšené o sedm procentních bodů z této částky ode dne podání žaloby do zaplacení, a dále, aby společně a nerozdílně měsíčně hradili částku ve výši 26.172,- Kč, a to počínaje dnem 1.3.2008 a náklady právního zastoupení. Dále se žalobce na žalovaném č. 4 domáhá, aby zaplatil částku ve výši 626.267,- Kč spolu s úroky z prodlení ve výši odpovídajícími ročně výši repo sazby stanovené ČNB zvýšené o sedm procentních bodů z této částky ode dne podání žaloby do zaplacení, a to společně a nerozdílně se žalovanými 1) – 3), jejichž povinnost zaplatit tuto částku byla stanovena rozsudkem Městského soudu v Praze ze dne 6. srpna 2007, spis. zn. xxxxxxxxxxxxx ve spojení s rozsudkem Vrchního soudu v Praze ze dne 29. listopadu 2007, spis. zn. xxxxxxxxxxxxx.
Dne 19. května 2008 bylo žalovanému č. 4 doručeno Usnesení Obvodního soudu pro Prahu 8, č.j. xxxxxxxxxxxxx, ze dne 7. května 2008, kterým byl žalovaný č. 4 vyzván, aby se ve lhůtě 30 dnů k výše uvedené žalobě písemně vyjádřil.
II.
Vyjádření k žalobě
S ohledem na výše uvedenou výzvu činí žalovaný č. 4, prostřednictvím svého právního zástupce, toto vyjádření k podané žalobě.
Žalovaný č. 4 nejprve veškeré nároky, které vůči němu žalobce v podané žalobě uplatňuje neuznává, a to ani částečně, považuje je za neoprávněné a z uvedeného důvodu tak navrhuje, jak je uvedeno v závěrečném návrhu tohoto vyjádření, aby vůči němu byla podaná žaloba v plném rozsahu zamítnuta a byla mu přiznána náhrada nákladů řízení, když v uvedeném případě je žaloba vůči žalovanému č. 4 podána zcela zjevně neoprávněně a nedůvodně, což musí být žalobci, který je právně zastoupen, známo.
1) Dle ustanovení § 420 zákona č. 40/1964 Sb., občanský zákoník, ve znění pozdějších předpisů (dále jako "občanský zákoník"), které upravuje objektivní odpovědnost za škodu, se vyžaduje porušení právní povinnosti, vznik škody, příčinná souvislost mezi porušením právní povinnosti a vznikem škody a zavinění škůdce, jež se předpokládá.
Tyto předpoklady musí být splněny kumulativně, a pokud jeden z nich není splněn, odpovědnost za škodu, a to ani objektivní odpovědnost, nenastává. Škůdce je povinen nahradit poškozenému pouze tu újmu, jež je způsobena následky jeho protiprávního jednání, nikoliv i újmu, jež je způsobena jinými okolnostmi než těmi, za které škůdce odpovídá. Samotná okolnost, že žalovaný č. 3 byl v době páchání trestné činnosti zaměstnancem žalovaného č. 4., automaticky nezakládá domněnku o příčinné souvislosti mezi porušením právní povinnosti a vznikem škody a zaviněním škůdce.
Odpovědnost právnické osoby dle ustanovení § 420 odst. 2 občanského zákoníku je tedy dána pouze v případě, že osoba, jejíž jednání je v příčinné souvislosti se vznikem škody, jednala v rámci svých pracovních povinností, dle pokynů nadřízeného či v rámci vlastní iniciativy, kterou lze objektivně považovat za iniciativu směřující ke plnění pracovních či jiných úkolů právnické osoby. Pro posouzení, zda-li došlo ke škodě v rámci provozní (obchodní) činnosti právnické osoby, je rozhodující místní, časový a především věcný (vnitřní, účelový) vztah činnosti, při níž byla škoda způsobena, k provozní (obchodní) činnosti zaměstnavatele, tedy zda objektivně šlo o činnost konanou pro zaměstnavatele.
Uvedené zcela jednoznačně plyne i z konstantní soudní judikatury, když uvést je možno např. rozhodnutí Nejvyššího soudu České republiky spis. zn.: 25 Cdo 482/2005, ve kterém Nejvyšší soud České republiky judikoval, že: "Pro posouzení, zda škoda byla způsobena v rámci činnosti fyzické osoby či právnické osoby jejím zaměstnancem (§ 420 odst. 2 občanského zákoníku.), je rozhodující místní, časový a především věcný (vnitřní, účelový) vztah činnosti, při níž byla škoda způsobena, k provozní (obchodní) činnosti zaměstnavatele, tedy zda objektivně šlo o činnost konanou pro zaměstnavatele ...". Z uvedeného rozhodnutí je zcela jednoznačně zřejmé, že jednání zaměstnance musí přímo souviset s výkonem jeho pracovní činnosti a odpovědnost zaměstnavatele, v daném případě pak žalovaného č. 4, není dána v případě, že se jedná o exces, který není možno považovat za výkon pracovní činnosti.
V případě, že jednání zaměstnance vybočuje při plnění jeho pracovních úkolů z rámce provozní (obchodní) činnosti zaměstnavatele, jedná se tedy jednoznačně o exces, na jehož základě nemůže vzniknout třetí osobě, v daném případě žalobci, žádná škoda uplatnitelná vůči žalovanému č. 4 a tato tedy nemůže být požadována po zaměstnavateli, v daném případě po žalovaném č. 4, z titulu odpovědnosti za škodu dle ustanovení § 420 odst. 2 občanského zákoníku.
Plnění pracovních úkolů je výkon pracovních povinností vyplývajících z pracovního poměru. Jelikož je předmětem obchodní činnosti žalovaného č. 4 provozování kasina a provozování výherních hracích automatů, tak pracovní úkoly žalovaného č. 3 jako zaměstnance žalovaného č. 4 byly stanoveny v mezích této provozní činnosti. Jednání žalovaného č. 3, jenž zakládalo jeho trestněprávní odpovědnost, nespadá do pracovních úkolů, a to ani do přímé souvislosti s nimi. Informování třetích osob o výhrách jednotlivých návštěvníků v provozovně žalovaného č. 4 nelze považovat za jednání v rámci výkonu pracovních povinností, naopak se žalovaný č. 3 svým trestněprávním jednáním dopustil zvlášť hrubého porušení pracovní kázně, s čímž byl srozuměn, a které bylo důvodem pro okamžité zrušení jeho pracovního poměru s žalovaným č. 4 dle příslušných ustanovení zákoníku práce. Současně je nutno zmínit, že žalovaný č. 3 nejednal ani na pokyn svého zaměstnavatele, žalovaného č. 4, ba přímo byl takovýto pokyn žalovaným č. 4 vyloučen.
Žalovaný č. 3 tedy jednal mimo rámec plnění pracovních úkolů a jde tak o exces, za který z hlediska náhrady škody odpovídá výlučně sám. Z uvedeného důvodu tak není možno na případnou odpovědnost žalovaného č. 4 aplikovat ustanovení § 420 odst. 2 občanského zákoníku.
Jelikož pasivní věcná legitimace je stav vyplývající z hmotného práva, je nutno při posouzení splnění procesních podmínek, včetně pasivní legitimace žalovaného č. 4, vycházet právě z hmotněprávní úpravy obsažené, v daném případě, v občanském zákoníku. Z důvodu zcela jednoznačného excesu žalovaného č. 3, není podle hmotně právních ustanovení žalovaný č. 4 subjektem tvrzené povinnosti nahradit žalobci škodu, která mu vznikla a žaloba proti němu vedená nemůže být proto úspěšná. To ovšem nevylučuje úspěšnost žaloby vůči ostatním žalovaným tak, jak je žalobcem navrhováno.
2) "Exkulpační důvody" zakládající liberaci žalovaného č. 4 dle ustanovení § 420 odst. 3 občanského zákoníku.
I pokud by soud dospěl k závěru, že jednání žalovaného č. 3 v daném případě nenaplňovalo znaky excesu, jsou v posuzovaném případě zcela evidentně dány i liberační důvody, vylučující odpovědnost žalovaného č. 4, a to dle ustanovení § 420 odst. 3 občanského zákoníku.
Porušením právní povinnosti je totiž míněn objektivně vzniklý rozpor mezi tím, jak osoba skutečně jednala (případně opomenula jednat), a tím, jak jednat měla, aby dostála povinnosti ukládané jí právním předpisem či jinou právní skutečností, tedy jednání, které je v rozporu s objektivním právem. Protiprávní jednání, vznik škody a příčinná souvislost mezi nimi musí být v každém případě prokázána. Zavinění se předpokládá, ale za podmínek stanovených ustanovením § 420 odst. 3 občanského zákoníku, se škůdce může odpovědnosti zprostit.
Bez ohledu na výše uvedené pod bodem 1) tedy žalovaný č. 4 vynaložil veškerou odbornou péči, kterou po něm lze spravedlivě požadovat, pro prověření osobních údajů a minulosti žalovaného č. 3 při jeho přijímání do pracovního poměru. Za účelem prověření trestní bezúhonnosti si vyžádal výpis z rejstříku trestů žalovaného č. 3. V průběhu tříměsíční zkušební doby i po jejím uplynutí nadále monitoroval loajalitu zaměstnance a v neposlední řadě žalovaného č. 3 důkladně seznámil s předpisy pro zajištění bezpečnosti, s organizačním řádem zaměstnavatele, dále s pravidly hry, herním řádem, popisem pracovní činnosti a instrukcemi pro jeho pracovní zařazení.
Dle pracovní smlouvy žalovaného č. 3 ze dne 30. listopadu 2004 ve znění pozdějších dodatků č. 1 až 3, uzavřené mezi žalovaným č. 4, jako zaměstnavatelem a žalovaným č. 3, jako zaměstnancem, si žalovaný č. 3 byl vědom, což potvrdil svým vlastnoručním podpisem, že jakékoliv předávání interních informací o činnosti zaměstnavatele třetí osobě je přísně zakázáno a dále si byl vědom zákazu porušení důvěry při vedení obchodních záležitostí zaměstnavatele. Jednání žalovaného č. 3 tak bylo jednáním, které nespadalo do rámce jeho pracovních povinností a naopak bylo s těmito povinnostmi žalovaného č. 3 v příkrém rozporu. Žalovaný č. 4 tak splnil vše, co po něm mohlo být spravedlivě požadováno k tomu, aby vzniku škody na straně žalobce předešel.
III.
Závěrečný návrh
S ohledem na výše uvedené žalovaný č. 4, prostřednictvím svého právního zástupce, tím to navrhuje, aby soud vůči žalovanému č. 4 vydal tento:
Rozsudek
I. Žaloba se vůči žalovanému č. 4 v plném rozsahu zamítá.
II. Žalobce je povinen uhradit žalovanému č. 4 náhradu nákladů řízení v plné výši, a to k rukám společnosti xxxxxxxxxxxxx.

Opening Provisions
The Plaintiff filed a petition with the District Court in Praha 8, claiming that the Defendants are ordered to jointly and severally pay the Plaintiff the amount of CZK 530,195.00, plus interests on late payments in an amount corresponding to the annual repo rate determined by the Czech National Bank plus seven percentage points, from the date of the petition filing to the date of payment, and that the Defendants are ordered to jointly and severally pay monthly cash benefit in the amount of CZK 26,172.00, from 1 March 2008, plus the cost of the legal representation. Furthermore, the Plaintiff claims that Defendant 4 is ordered to pay the Plaintiff an amount of CZK 626,267.00 , plus interests on late payments in an amount corresponding to the annual repo rate determined by the Czech National Bank plus seven percentage points, from the date of the petition filing to the date of payment, jointly and severally with Defendants 1 - 3, whose obligation to pay this amount was determined in a verdict of the Municipal Court in Praha of 6 August 2007, file No. xxxxxxxxxxxxx, in combination with a verdict of the High Court of Justice in Praha dated 29 November 2007, file No. 2 To 83/2007.
On 19 May 2008 Defendant 4 was delivered an Order of the District Court for Praha 8, ref. No. xxxxxxxxxxxxx, of xxxxxxxxxxxxx, in which Defendant 4 was requested to submit a written statement regarding the petition concerned, within a 30-day period.
II.
Statement regarding Petition
With respect to the request specified above, Defendant 4 hereby renders through its legal representative the following statement regarding the petition filed.
Primarily, Defendant 4 hereby states that it does not accept any of the claims raised by the Plaintiff against Defendant 4 in the petition concerned, whether wholly or in part, considers the claims unjustified and therefore suggests – as specified in the final proposal herein – that the petition filed against Defendant 4 is rejected in full, and that Defendant 4 is awarded compensation for the cost of the proceedings, as the petition against Defendant 4 had been obviously filed without due justification and rationale, of which the Plaintiff acting through a legal representative must be aware.
1) The provisions of Section 420 of Act 40/1964 Coll., Civil Code, as amended by subsequent regulations (hereinafter the “Civil Code”), regulating objective liability for damages, require that liability for damages may be claimed where the following occurs: the violation of one’s legal duties, the occurrence of damages, a causal connection between the violation of one’s legal duties and the occurrence of the damages, and the liability of the person causing the damages.
These conditions need to be fulfilled in accumulation, and if any one of them is not fulfilled, liability for damages, including objective liability, is not constituted. The person causing the damage is only obliged to compensate the victim for the detriment caused by the consequences of the unlawful conduct, not the detriment caused by other circumstances than those for which the person causing the damage is responsible. The fact that Defendant 3 was at the time of the crime an employee of Defendant 4 does not automatically support the hypothesis regarding the causal connection between the violation of legal duties and the occurrence of the damage, and the responsibility of the person causing the damage.
According to the provisions of Section 420 (2) of the Civil Code, a corporation (legal entity) is only liable if the person whose conduct is in causal connection with the occurrence of the damage acted in the fulfilment of their work commitments, in accordance with instructions given by a supervising employee or under their own initiative which can objectively be considered as initiative towards the fulfilment of the corporation’s work or other commitments. In order to establish whether the damage occurred within the corporation’s operations (activity of a commercial character), it is necessary to analyse the local, time and especially material (internal, objective) relationship of the activity during which the damage was caused to the operations (activity of a commercial character) of the employer, i.e. to see whether this was objectively an activity conducted for the employer.
This is also evident from the consistent court decisions, for instance, the order of the Supreme Court of the Czech Republic, file No.: 25 Cdo 482/2005, in which the Supreme Court of the Czech Republic decided that: “To judge whether the damage was caused within the scope of individual’s or a corporation’s operations by an employee (Section 420 (2) of the Civil Code), it is necessary to analyse the local, time and especially material (internal, objective) relationship of the activity during which the damage was caused to the operations (activity of a commercial character) of the employer, i.e. to see whether this was objectively an activity conducted for the employer ...”. It is absolutely obvious from the decision above that the employee’s activity must be directly related to the performance of their job and that the employer, in our case Defendant 4, is not liable if the activity concerned constitutes an excess which cannot be considered the performance of one’s job.
If the employee’s activities deviate, during the performance of the employee’s job, from the framework of the employer’s operations (activity of a commercial character), this clearly constitutes an excess on the basis of which a third party, in this case the Plaintiff, cannot incur any damages that may be claimed against Defendant 4, and therefore the employer, in this case Defendant 4, cannot be ordered to compensate for the damages under the liability for damages according to the provisions of Section 420 (2) of the Civil Code.
Fulfilment of job tasks means the performance of employee’s duties arising from the employment relationship. Because the subject of enterprise of Defendant 4 includes the operation of a casino and the operation of gambling machines, the job tasks of Defendant 3 acting as the employee of Defendant 4 were stipulated within the range of the subject of the enterprise. The activity of Defendant 3 establishing his criminal-law responsibility, does not fall within the definition of the job tasks and is not in direct connection therewith either. Informing third parties about the amounts won by individual visitors to the gaming premises of Defendant 4 cannot be considered as an activity falling under the definition of the employee’s duties; on the contrary, by conducting the criminal offence, Defendant 3 grossly violated the applicable work rules of which Defendant 3 was aware and which constituted a reason for an immediate termination of his employment with Defendant 4 in accordance with the applicable provisions of the Labour Code. It is also necessary to state that Defendant 3 did not act in accordance with the employer’s instructions (i.e. that of Defendant 4) and that such action was directly forbidden by Defendant 4.
Defendant 3 therefore acted outside the scope of his job tasks and this constitutes an excess for which Defendant 3 is exclusively responsible as regards compensation for damages. For this reason, the responsibility of Defendant 4 cannot be established subject to the application of Section 420 (2) of the Civil Code.
Because passive material legitimacy is a condition arising from the material law, it is necessary to base the consideration of the fulfilment of procedural conditions, including the passive legitimacy of Defendant 4, on the material-law provisions defined in the Civil Code in this case. Owing to the absolutely clear excess of Defendant 3, Defendant 4 is not – according to the applicable material law provisions – subject to the claimed obligation to compensate the Plaintiff for the damages incurred and the petition against Defendant 4 cannot be successful. However, this does not exclude the success of the petition against other Defendants, as proposed by the Plaintiff.
2) “Exculpation reasons” substantiating the exclusion of Defendant 4 according to the provisions of Section 420 (3) of the Civil Code.
Even if the court comes to a conclusion that the actions of Defendant 3 did not constitute an excess in the case concerned, the case considered obviously still merits excluding the liability of Defendant 4, pursuant to the provisions of Section 420 (3) of the Civil Code.
The violation of the legal obligation means the objective discrepancy between the actual behaviour of the person concerned (or the omission) and the behaviour expected to ensure compliance with the obligation defined in the applicable legal regulations or other legal circumstances, i.e. action in conflict with the objective law. The unlawful action, occurrence of damage and the causal connection between them must in every case be proven. The guilt is assumed but under the conditions defined in the provisions of Section 420 (3) of the Civil Code, the person causing the damage may be relieved of liability.
Irrespective of what has been said in clause 1) Defendant 4 made every professional effort that may be reasonably expected to check the personal data and history of Defendant 3 when recruiting him for employment. To verify his criminal history, Defendant 3 was asked to submit an extract from the criminal register. During the three-month trial period and upon the expiry thereof, the employee’s loyalty was monitored on an on-going basis and moreover, Defendant 3 was thoroughly informed of security-related regulations, the employer’s organizational rules, the rules of the game, game regulations, job description and further instructions applicable to his job position.
According to the employment contract signed by Defendant 3 on 30 November 2004, and amended by Amendments 1 to 3, entered into between the employer and Defendant 3 (the employee), Defendant 3 was aware – which he confirmed by attaching his signature – that any sharing of internal information regarding the employer’s activities to third parties is strictly forbidden, and was further aware of the banned breach of confidentiality with respect to the employer’s business matters. The action of Defendant 3 was thus outside the framework of his work duties and was in direct conflict with the obligations of Defendant 3. Defendant 4 thus fulfilled everything that could have been reasonably expected to prevent damages to the Plaintiff.
III.
Final Proposal
With respect to the what has been said above, Defendant 4 hereby proposes, through its legal representative, that the court issues the following verdict with respect to Defendant 4:
Verdict
I. The petition against Defendant 4 is hereby refused to its full extent.
II. The Plaintiff is obliged to refund the cost of the proceedings to Defendant 4 in full, i.e. to xxxxxxxxxxxxx, within three days of the legal force of this verdict.
