3. RESPONSIBILITIES
3.1 Of the Procurement Department
The Procurement Department (hereinafter “Procurement”) will be defined as the area in charge of the procurement process in all cases, with the exception of the procurement of goods and services detailed in section 2.2, “Goods and Services Outside the Scope”, and decentralized purchases, according to section 5.2 “Classification of Purchases” herein.
The procurement department will be responsible for the timely supply of the goods and services with the quality and in the quantities required by the Company, and at the lowest cost. Moreover, it is the procurement area’s responsibility to keep all documents related to the purchase, according to the retention term set in the good and service purchasing procedures.
3.2 Users
The users are employees that make decisions on the Company’s needs, so that the procurement process can start. They are involved in the process from the start and they should previously define, in accordance with Procurement, the criteria for supplier selection.
Also, users are responsible for submitting and approving all requests through the system (benchmark price and purchase price requests) as soon as possible, so Procurement can efficiently complete the procurement process. They are also responsible for establishing in a clear and detail fashion the technical specifications of the good or service required.
It is understood that Procurement will NOT initiate the procurement process without a Purchase Order properly approved through the Management System.
In addition, since the users use the goods and services acquired, they are responsible for the collection and input of the relevant documentation into the management system, while verifying its quality.
Users will be responsible for being updated with respect to changes and/or updates to the Procurement Policy, which will be available in the public directory of the Company (and under the custody of Procurement).
It is considered a very serious breach to this policy to engage in the purchase, delivery and/or receipt of a good or service with a supplier, without a previously approved Purchase Order. The Finance Department and the Internal Audit Committee will match the invoice dates against the dates of the purchase orders, in order to monitor the fulfillment of this obligation, which will then be reported to the Control Committee and the Board for illustration purposes.
3.3 Foreign Trade Area
The Area of Foreign Trade is responsible for any event, either internal or with a supplier, concerning the import or export of goods, as well as the study and analysis thereof, in accordance with the procurement objectives, international agreements, customs and exchange & tariff regulations.
They must inform Procurement on new international treaties that become effective, their scope and operative methodology, as well as the means to apply them in the procurement process.
3.4 Administrative Area
The administrative area is responsible for coordinating, advising, writing and approving all the Company’s Contracts and Letters of Offer, in accordance with the following paragraphs.
In addition, it is responsible for reviewing and assessing the fiscal impact the Letters of Offer or Contracts submitted by the users may have. Additionally, it is responsible for the payment of the relevant Stamp Taxes, if applicable.
3.5 Accounts Payable Area
It is responsible for ensuring suppliers are paid in accordance with the terms set forth in the Purchase Order, complying with tax regulations and the law, and observing the Payment Policy.
3.6 IT Area
The IT Area is responsible for controlling access to transactions made in relation with the procurement process.
3.7 HR Area
The Human Resource area is responsible for ensuring adherence of new employees to this policy when they join the Company, and for keeping the signed copy.

3. RESPONSABILIDADES
3.1 Del Departamento de Compras
El Departamento de Compras (en adelante “Compras”) se definirá como el área que se encarga de los procesos de compra, en todos los casos con excepción de la compra de los bienes y servicios que se detallan en el punto 2.2, “Bienes y Servicios fuera del alcance”, y las compras descentralizadas según el punto 5.2, "Clasificación de compras", de la presente política.
El área de compras será responsable de garantizar el suministro oportuno de los bienes y servicios necesarios para la Compañía, con la calidad y cantidad requeridos y al menor costo. Además, el área de compras tiene la responsabilidad de conservar todos los documentos relacionados con la compra, según el período de retención establecido en los procedimientos de compras de bienes y servicios.
3.2 Usuarios
Los usuarios son empleados que deciden sobre las necesidades de la compañía, con el fin de dar inicio al proceso de compras. Participan en la etapa inicial de cualquier proceso de Compras y deberán definir previamente, de acuerdo con este departamento, los criterios para la selección de proveedores.
Además, los usuarios tienen la responsabilidad de presentar y aprobar todas las solicitudes a través del sistema (tanto solicitudes de un precio de referencia como de un precio de compra) tan pronto como sea posible, de forma tal que Compras puede completar el proceso de compras de manera eficiente. También tienen la responsabilidad de establecer las especificaciones técnicas de los bienes y servicios que se solicitan en forma clara y detallada.
Compras NO iniciará el proceso de compras sin una Orden de Compra correctamente aprobada a través del Sistema de Gestión.
Además, debido a que los usuarios utilizan los bienes y servicios que se contratan, son responsables de recopilar e ingresar la documentación correspondiente al sistema de gestión y al mismo tiempo verificar su calidad.
El usuario tendrá la responsabilidad de mantenerse informado acerca de los cambios y/o actualizaciones que se efectúen a la Política de Compras, que estará disponible en el directorio público de la Compañía (y bajo el control y cuidado de Compras).
Se considera una violación seria a la presente política contratar la compra, entrega y/o recepción de un bien o servicio con un proveedor sin la previa aprobación de la Solicitud de Compra. El Departamento de Finanzas y el Comité de Auditoria Interna compararán las fechas de las facturas con las fechas de las órdenes de compras para controlar el cumplimiento de esta obligación, que luego se informará al Comité de Control y al Directorio a fines ilustrativos.
Área de Comercio Exterior
El Área de Comercio Exterior es responsable ante cualquier situación, ya sea interna o con un proveedor, relacionada con la importación o exportación de bienes, y del estudio y análisis, de acuerdo con los objetivos de compras, tratados internacionales, y normas aduaneras, de cambio y tarifarias.
Deberán informar a Compras acerca de los nuevos tratados internacionales que entren en vigencia, su alcance y metodología operativa, así como también los medios para aplicarlos en el proceso de compras.
Área Administrativa
El área administrativa tiene la responsabilidad de coordinar, asesorar, elaborar y aprobar los Contratos y Cartas de Oferta de la Compañía según lo que se establece en los párrafos siguientes.
Además, tiene la responsabilidad de revisar y evaluar el posible impacto fiscal de las Cartas de Oferta y los Contratos presentados por los usuarios Tiene es responsable por el pago de impuestos de sellos, si corresponde.
3.5 Área de Cuentas por Pagar
Es el área responsable de garantizar el pago a proveedores según lo acordado en la Orden de Compra, cumpliendo con las normativas fiscales y las leyes y de acuerdo con la Política de Pago.
3.6 Área de IT
El Área de IT tiene la responsabilidad de controlar el acceso a las transacciones que se realizan en relación con los procesos de compras.
3.7 Área de RR.HH.
El área de Recursos Humanos tiene la responsabilidad de hacer que los nuevos empleados firmen la presente política cuando ingresan a la Compañía y de conservar la copia firmada.
