CONFIDENTIALITY AGREEMENT
This CONFIDENTIALITY AGREEMENT (this “Agreement”) is made on May 14, 2009, (“Effective Date”) by and between XXX ("XXX") with its principal place of business at XXX and YYY (“YYY”) with its principal place of business at YYY (collectively the “Parties” and each individually, a “Party”).
Purpose
The Parties wish to engage in discussions with respect to one or more potential projects involving the construction of tire recycling facilities in Greece (the “Transaction”) using the technology of XXX in the course of which each Party (in such context, the “Disclosing Party”) may disclose information to the other Party (in such context, the “Receiving Party”) for its use in connection with evaluation and performance of the Transaction.
Definitions and Rules of Interpretation
Capitalized terms used but not otherwise defined in this Agreement have the meanings set forth in this Section:
“Affiliate” means any Person that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with a Party.
For purposes of this definition, “control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities or otherwise.
“Confidential Information” means any and all information directly or indirectly disclosed (whether before or after the Effective Date) by or on behalf of Disclosing Party to Receiving Party or any of its Representatives which, if disclosed in writing, is clearly marked “Confidential” and, if disclosed orally or visually, is reduced to a writing clearly marked “Confidential” within a period of ten (10) days after disclosure.
Other Undertakings of the Parties
Without the prior written consent of the other Party, neither Party nor any of its Representatives shall disclose to any Person (a) the fact that Confidential Information has been made available to Receiving Party, or (b) the fact that discussions are or may be taking place with respect to the Transaction, or (c) any of the terms, conditions or other facts relating to the Transaction.

ΣΥΜΒΑΣΗ ΕΜΠΙΣΤΕΥΤΙΚΟΤΗΤΑΣ
Η παρούσα ΣΥΜΒΑΣΗ ΕΜΠΙΣΤΕΥΤΙΚΟΤΗΤΑΣ (εφεξής καλούμενη η «Σύμβαση») συνάπτεται τη 14η Μαΐου 2009 (εφεξής καλούμενη η «Ημερομηνία έναρξης ισχύος») από και μεταξύ της XXX (εφεξής καλούμενη «XXX») με έδρα επί της οδού ΧΧΧ και της ΥΥΥ (εφεξής καλούμενη «ΥΥΥ») με έδρα επί της οδού ΥΥΥ (εφεξής καλούμενες συλλήβδην οι «Συμβαλλόμενοι» και κατά μόνας ο «Συμβαλλόμενος»).
Σκοπός
Οι Συμβαλλόμενοι επιθυμούν να προβούν σε διαβουλεύσεις σχετικά με ένα ή περισσότερα εν δυνάμει έργα αντικείμενο των οποίων θα είναι η κατασκευή εγκαταστάσεων ανακύκλωσης ελαστικών στην Ελλάδα (εφεξής καλούμενη η «Συναλλαγή») χρησιμοποιώντας τις τεχνολογίες της XXX. Κατά τη διάρκεια εκτέλεσης των εργασιών για την εκπλήρωση του ανωτέρου σκοπού, κάθε Συμβαλλόμενος (εφεξής καλούμενος όπου αυτό προκύπτει από τα συμφραζόμενα το «Γνωστοποιούν Μέρος») δύναται να αποκαλύψει στον έτερο Συμβαλλόμενο (εφεξής καλούμενος, όπου αυτό προκύπτει από τα συμφραζόμενα, το «Παραλαμβάνον Μέρος») για δική του χρήση σε σχέση με την αξιολόγηση και την περαίωση της συναλλαγής.
Ορισμοί και κανόνες ερμηνείας
Οι όροι με κεφαλαίο αρχικό γράμμα που χρησιμοποιούνται αλλά δεν ορίζονται καθ’ οιονδήποτε άλλον τρόπο στην παρούσα Σύμβαση θα ερμηνεύονται σύμφωνα με την έννοια που τους αποδίδεται στην παρούσα ενότητα:
Ως «Συνδεδεμένη εταιρεία» νοείται κάθε πρόσωπο το οποίο με άμεσο ή έμμεσο τρόπο, μέσω ενός ή περισσότερων διαμεσολαβητών, ελέγχει, ελέγχεται ή τελεί υπό κοινό καθεστώς ελέγχου με κάποιο Συμβαλλόμενο.
Στο πλαίσιο επεξήγησης του ανωτέρου ορισμού, ως «έλεγχος» νοείται η έμμεση ή άμεση εξουσία καθοδήγησης ή υποκίνησης της καθοδήγησης της διοίκησης και των πολιτικών ενός Προσώπου, μέσω της κατοχής χρεογράφων με δικαιώματα ψήφου ή με άλλον τρόπο.
Ως «Εμπιστευτικές Πληροφορίες» νοείται κάθε και όλες οι πληροφορίες που αποκαλύπτονται άμεσα ή έμμεσα, ανεξάρτητα από το εάν η εν λόγω αποκάλυψη έχει πραγματοποιηθεί πριν ή μετά την Ημερομηνία έναρξης ισχύος, από ή εκ μέρους του Γνωστοποιούντος Μέρους στο Παραλαμβάνον μέρος ή οιονδήποτε εκ των Εκπροσώπων του και οι οποίες, εφόσον αποκαλύπτονται εγγράφως, φέρουν τη σαφή και διακριτή ένδειξη «Εμπιστευτικό» και σε περίπτωση που αποκαλύπτονται προφορικά ή με οπτικό μέσο, θα απαιτείται απλώς ένα έγγραφο με τη σαφή και διακριτή ένδειξη "Εμπιστευτικό" εντός διαστήματος δέκα (10) ημερών από την αποκάλυψη.
Λοιπές δεσμεύσεις των Συμβαλλομένων
Χωρίς την πρότερη συγκατάθεση του έτερου Συμβαλλομένου, ουδείς εκ των Συμβαλλομένων ή των Εκπροσώπων αυτών θα αποκαλύπτει σε οιοδήποτε Πρόσωπο α) το γεγονός ότι οι Εμπιστευτικές Πληροφορίες τέθηκαν στη διάθεση του Παραλαμβάνοντος Μέρους ή β) το γεγονός ότι πραγματοποιούνται ή ενδέχεται να πραγματοποιηθούν διαβουλεύσεις σχετικά με τη Συναλλαγή ή γ) οιονδήποτε εκ των όρων, προϋποθέσεων ή άλλων γεγονότων που σχετίζονται με τη Συναλλαγή.
