Mandalas are familiar to many people as colorful “new age” circular shaped artworks occurring in both spiritual and secular encounters. The concept of the mandala is ancient. On the spiritual side they are psychologically powerful architectural constructions that are employed in Buddhist teaching, building and meditation practice. Tibetans characterize certain holy places such as the revered Mt. Kailas as natural mandalas and make their circumambulations and devotions at such power places as they would when mentally traveling through a painted meditative mandala. In recent years many people around the world have attended events where Tibetan monks create mandalas made of intricately applied colored sand particles. Audiences exposed to these creations are quite surprised and then refreshed when at the completion of the monk’s extended efforts and after the prescribed prayers have been offered, the same monks sweep up the sand; destroying the mandala, thereby emphasizing the impermanence and fragility of the human condition. The huapai (decorative panels) used in celebratory ceremonies by ritual communities are examples of folk painting. 8. MISCELLANEOUS PROVISIONS
8.1 Ownership of intellectual property
8.1.1 All IPR’s in the Artwork is and remains the property of the Artist.
8.1.2 For the avoidance of doubt, all other intellectual property rights in and arising out of the Website is and remains the sole property of the Company.
8.1.3 The Artist asserts his or her moral rights to be recognised by the Company as the author of the Artwork.
8.2 Confidentiality
8.2.1 Neither party shall at any time disclose any information relating to the other party that was obtained in circumstances giving rise to a duty of confidentiality, whether or not such information was marked confidential.
8.3 Notice
8.3.1 Any notice required to be given pursuant to this Agreement shall be in writing and shall be given by delivering the notice by hand, or by sending the same by prepaid first class post, to the address of the relevant party set out in this Agreement or such other address as either party notifies to the other from time to time. Any notice given according to the above procedure shall be deemed to have been given at the time of delivery (if delivered by hand) or when received (if sent by post).
8.4 No Partnership
8.4.1 Nothing in this Agreement is intended to or shall operate to create a partnership between the parties. Art-e-World may at times, and by mutual agreement with the Artist, suggest opportunities to the Artist To exhibit their work or to develop their skills or suggest opportunities of benefit to one or both parties. The Artist may on occasion be invited by the Company to represent Art-e-World at events such as a trade Fairs, etc. Other than such occasions, when clear instructions will be given as to the extent of their representation of the Company, the Artist shall not have authority to act in the name of or on behalf of or otherwise to bind the Company in any way (including but not limited to the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).
8.5 Non-Solicitation
8.5.1 Notwithstanding the provisions contained in clause 7 above, the Artist agrees that the Artist shall not for a period of 12 months from the termination of this Agreement directly or indirectly solicit orders from any Customer of the Company or from any person, firm or company who or which has been at any time within the twelve months prior to termination of this Agreement a Customer PROVIDED that nothing herein contained shall prevent the Artist from supplying the Artist’s own customers with artwork.
8.5.2 The restrictions contained in clause 8.5.1 have been carefully considered by the Artist who accepts that they are reasonable for the proper protection of the goodwill of the business of the Company but in the event that any such restriction shall be found to be unenforceable for whatever reason but would be valid if some part thereof were deleted such restriction shall apply with such modification as may be necessary to make it valid and effective and the remaining restrictions shall continue to bind the Artist.
8.6 Entire Agreement and Severability
8.6.1 This Agreement and the Schedule constitute the entire understanding between the Parties with respect to the subject matter of this agreement and supersedes all prior agreements, negotiations and discussions between the Parties relating to it.
8.6.2 If any clause of this Agreement is held invalid or unenforceable, that clause shall be severed from this Agreement, and the remaining clauses shall remain in full force and effect.

8. 雜項條文
8.1 知識產權的所有權
8.1.1 藝術品的所有知識產權權利一直為藝術家的財產。
8.1.2 為免生疑問，網頁上或因網頁而產生的其他所有知識產權權利皆一直為公司獨有的財產。
8.1.3 藝術家堅稱其精神權利以獲公司承認為藝術品的作者。
8.2 保密
8.2.1 凡在產生保密責任情況下所取得的有關另一方的資料，不論其是否標明為保密資料，任何一方在任何時候皆不得向外披露。
8.3 通知
8.3.1 凡依據本協議所需而發出的通知，須以書面形式發出，並須由專人交付，或以預繳郵費的一等郵件寄往本協議所列相關一方的地址或其與另一方不時互相通知的地址。任何按上述程序所發通知的發出時間，須以交付（如由專人交付）或收件（如郵寄）時間為準。
8.4 不存在合夥關係
8.4.1 本協議並無令雙方產生合夥關係的意圖或作用。在與藝家達成雙方協議的情況下，Art-e-World有時可提出機會予藝術家展覽其作品或發展其技巧，或提出惠澤一方或雙方的機會。藝術家間或會獲公司邀請在貿易展覽等活動中代表Art-e-World。在該等場合中，藝術家作為公司代表的限度將有明確指示。除該等場合外，藝術家在任何方面（包括但不限於：提出任何陳述或保證、承擔任何義務或法律責任，以及行使任何權利或權力方面）皆無權以公司的名義或代表公司行事，或以其他形式約束公司。
8.5 禁止招攬定單
8.5.1 儘管上述第7條另有規定，在本協議不得阻止藝術家向其本身的客戶供應藝術品的前提下，藝術家同意於本協議終止日起12個月內不得直接或間接地向公司任何客戶，或向在本協議終止日前12個月任何時間內曾乃公司客戶的人士、商號或公司，招攬定單。
8.5.2 藝術家已認真考慮第8.5.1條所規定的限制，並接受其為適當保護公司商譽的合理限制。該等限制中任何一項如不論因任何理由而不能強制執行，但在部份內容删除後將有效者，則該項限制須按需要作出修改，以使其得以生效及施行，而其餘限制對藝術家的約束力維持不變。
8.6 整份協議及條款分割情況
8.6.1 就標的物而言，本協議及附表係雙方達成的全部諒解，並取代雙方在此之前所有相關的協議、洽商及協商。
8.6.2 如本協議中任何條款被視為無效或不能強制執行，該條款須自本協議分割出來，而餘下條款保持有效。
