9.1 Performance. Throughout the term of this Agreement, ABC shall (i) manufacture the Products and sell them to Distributor on the terms and conditions specified herein, (ii) make commercially reasonable efforts to ensure that such Products are manufactured in accordance with the specifications supplied to Distributor for purposes of promoting such Products’ sales and marketing, (iii) provide and support such technical and other training to Distributor and its customers regarding the Products as the parties hereto may mutually agree to be appropriate, (iv) provide to Distributor, without charge, reasonable quantities of literature, catalogs, price lists and descriptive information concerning the Products, and (v) otherwise perform such commercially reasonable functions as are necessary to permit Distributor’s effective promotion and sales of the Products in the Territory. Καθ’ όλη τη διάρκεια ισχύος της παρούσας Σύμβασης, η ABC υποχρεούται (i) να κατασκευάζει και να διαθέτει τα προϊόντα στο Διανομέα σύμφωνα με τους όρους και τις προϋποθέσεις που ορίζονται στην παρούσα, (ii) να καταβάλλει επιχειρηματικά εύλογες προσπάθειες, ώστε να διασφαλίζεται ότι η κατασκευή των εν λόγω προϊόντων είναι σύμφωνη με τις τεχνικές προδιαγραφές που παρέχονται στο Διανομέα, με στόχο την προώθηση των πωλήσεων και της εμπορίας των εν λόγω προϊόντων, (iii) να παρέχει και να υποστηρίζει σχετική τεχνική και άλλη κατάρτιση στο Διανομέα και τους πελάτες αυτού σχετικά με τα Προϊόντα, σύμφωνα με τα όσα συνομολογούν στο πλαίσιο της παρούσας αμφότερα τα συμβαλλόμενα μέρη, (iv) να παρέχει στο Διανομέα, χωρίς χρέωση, εύλογες ποσότητες ενημερωτικού υλικού, καταλόγων, τιμοκαταλόγων και περιγραφικών πληροφοριών σχετικά με τα προϊόντα, και (v) άλλως να προβαίνει σε επιχειρηματικά εύλογες ενέργειες που κρίνονται απαραίτητες, ώστε να καταστεί για το Διανομέα αποτελεσματική η προώθηση και η πώληση των Προϊόντων στην Περιοχή. Der Strafantrag kann jederzeit zurückgenommen werden; ein erneuter Strafantrag ist dann nicht mehr zulässig.

Ορισμένες αξιόποινες πράξεις διώκονται μόνο σε περίπτωση που υποβληθεί σχετική μηνυτήρια αίτηση. Η προθεσμία υποβολής ανέρχεται κατά κανόνα σε τρεις μήνες και αρχίζει να ισχύει από τη στιγμή που ο δικαιούμενος υποβολής ενημερωθεί σχετικά με την πράξη και το δράστη. Δικαιούμενοι υποβολής είναι οι ζημιούμενοι, συγγενείς ή ασκούντες τη γονική μέριμνα του ζημιούμενου και πρόσωπα που έχουν λάβει σχετική εντολή από το δικαιούμενο υποβολής. Η αίτηση υποβολής μήνυσης δύναται να ανακληθεί ανά πάσα στιγμή. Απαγορεύεται η εκ νέου υποβολή μηνυτήριας αίτησης. Υπάρχει γενικά η δυνατότητα παραίτησης από το δικαίωμα υποβολής μήνυσης.
