The Working Group welcomes the initiative of the Chinese lawmaker to draft a first comprehensive legislation on property rights. The new property law should strengthen the protection of property rights and improve legal certainty/predictability of court and arbitration decisions. Nevertheless the Working Group would like to address several concerns and requests for clarification that have been voiced by the members. We would like to point out that the list of comments set out below is not exhaustive; it only reflects the concerns raised by the members in one meeting and was carried out under great time restraints.
General Comments:
The current draft contains various general terms like “interested persons” or “reasonable compensation”. Such terms may lead to uncertainty and inconsistency in terms of implementation/enforcement.
In various articles reference is made to existing other laws. Some of the existing laws, e. g. the Secured Interests Law, indeed address the same issues that are also covered in the draft Property Law. We recommend that in the process of promulgation the relation between the Property Law and other laws and regulations is clarified in more detail.
Further it is not clear which authorities (or courts?) will be designed to be in charge of implementing/enforcing the new Property law. A respective clarification may be helpful.
We welcome the new registration system of immovables and would like to recommend that a similar system is considered to be created for movables. According to the current regulations there are a number of different authorities that are in charge of registration for movables making the procedure complicated and the ownership structure intransparent.
In previous drafts of the Property Law for the PRC, provisions concerning secured interests by way of ownership transfer without change of possession were included. In the current draft these regulations have been omitted. Moreover, in part four possible types of secured interests like mortgage and pledge are enumerated. From this one might conclude that other types of secured interests are not accepted. Is this the intention of the legislator?

5. Transferor represents and warrants to Transferee that each of the representations and warranties set out in this Section 5 is true and accurate in all material respects and is not misleading as of the date of this Agreement and will be true and accurate in all material respects and not misleading as of the Transfer Date:
5.1 This Agreement is a valid and legally binding agreement of Transferor, enforceable against it in accordance with its terms. Neither the execution and delivery of this Agreement by Transferor, nor the performance by Transferor of its obligations hereunder, nor the consummation of the transactions contemplated hereby, will violate any statute or law or any judgment, decree, order, regulation or rule of any court or governmental authority to which Transferor is subject.
5.2 The execution, delivery and performance of the obligations of this Agreement and the consummation of the transactions contemplated hereunder shall not contravene any of Transferor’s obligations to any person under any contract, security document, undertaking, agreement, instrument or otherwise.
5.3 Transferor is both the legal and beneficial owner of the Equity Interest of record; save and except as written agreed by WFOE in advance, Transferor has not granted, issued nor agreed to grant or issue any option, right to acquire, mortgage, charge, pledge, lien or other form of security or encumbrances on, over or affecting any part of the Equity Interest.
5.4 Transferor will not dispose of the Equity Interest in any manner without the prior written consent of the Transferee, notwithstanding any contradicting provisions in any other agreements between the Transferor and the Transferee.
5.5 Company A is duly incorporated in its place of incorporation and is validly existing under the laws of the PRC.
5.6 Company A has the requisite corporate power and authority to own and operate its properties and assets and to carry on its business as set forth in its business license.
5.7 Company A has obtained all requisite franchises, licences, consents, permits, exemptions and approvals to carry on advertising business and its other business in all the places and in the manner in which such business is now conducted and it can obtain, without undue burden or expense, any similar authority for the conduct of such business as proposed to be conducted. | Translation - Chinese

第6条 违约责任
6.1 如果甲方提供的部分信息由于甲方与第三方的协议约束或者可能存在的版权问题争议而致使乙方不能使用，甲方需提前3日以书面或电子邮件的形式通知乙方，但如在甲方通知前或通知后，该第三方因乙方使用而向乙方提出任何索赔或诉讼等事宜，甲方应当就乙方为此遭受的直接经济损失承担赔偿责任。
6.2 除本协议第7条所述的情况之外，任何一方不履行、不完全履行、不适当履行、不及时履行本协议，且经另一方关于违约行为进行书面通知之日起14日内仍未纠正的，守约方有权要求违约方按本协议约定履行协议条款或立即终止本协议，并有权要求违约方赔偿直接经济损失。
6.3 本协议任一方由于不可抗力导致不能履行、不能完全履行本协议，就受不可抗力影响部分不承担违约责任（法律另有规定的除外）。受不可抗力影响的一方应及时通知对方，以减轻可能给对方造成的损失，并应当在合理期限内提供相关证明。

6. Liabilities for Breach of Duties
6.1 In case Party B cannot use the Information provided by Party A due to contractual constraints between Party A and third party or possible copyright disputes, Party A shall notify Party B of the same in writing or through email 3 days in advance. However, if the said third party files claims or litigations against Party B for its use of the said Information prior to or after Party A’s issuance of the notice, Party A shall compensate for the direct economic losses incurred by Party B.
6.2 Except as provided in Article 7 hereof, if either Party fails to perform or fails to perform entirely, properly or timely this Agreement and fails to correct the same 14 days after the other Party delivers written notice concerning such defaults, the non-defaulting Party shall have the right to request the defaulting Party to perform this Agreement pursuant to the provisions hereof or terminate this Agreement immediately, and shall have the right to request compensation from the defaulting Party for direct economic losses.
6.3 In case any Party hereto fails to perform or entirely perform this Agreement due to force majeure, such Party will be exempted from liabilities for breach of contract related to the force majeure (unless otherwise provided by law). The Party affected by force majeure shall inform the other Party in time to reduce the losses such Party may incur and shall provide relevant evidence in a reasonable period of time. |
