Las sanciones administrativas por incumplimiento de distintas normas de Derecho Público son un terreno complicado en el ordenamiento jurídico español. La importancia de las regulaciones administrativas en ciertos sectores de la economía, como por ejemplo el financiero o el energético, son un buen ejemplo de a qué se enfrentan las empresas y, por ende, sus consejeros y directivos, cuando se aborda una actividad regulada. La coexistencia de distintos organismos y Administraciones Públicas –con una fuerte y en ocasiones poco clara división de poderes entre el Estado y las Comunidades Autónomas-, supone que una empresa debe tener siempre muy en cuenta el posible riesgo de que su actividad la pueda enfrentar con la Administración, posibilidad que, por el planteamiento adoptado en la moderna normativa española, se extiende peligrosamente a las personas físicas que dirigen las empresas. Un buen ejemplo es el de la Ley General Tributaria española, que posiciona como responsables del pago de las deudas tributarias a administradores de hecho y de derecho de personas jurídicas, incluso bajo ciertas circunstancias pese a que suceda que hayan cesado en el cargo.
El moderno Derecho español de Seguros y, sobre todo, las prácticas aseguradoras, han superado ya el debate de si resultan asegurables o no aquellos hechos derivados de actuaciones culposas del asegurado; no en toda conducta negligente, y por tanto culposa, hay un ánimo de defraudar, por lo que en general, salvo pactos expresos en sentido contrario, los daños derivados de actuaciones culposas de los asegurados son cubiertos en los productos de responsabilidad civil –si bien no es infrecuente encontrar exclusiones al respecto en los condicionados más comunes en la práctica aseguradora española-. Evidentemente, hablar de culpa y, sobre todo, delimitarla, es de por sí una cuestión compleja para el asegurador. Tradicionalmente viene sosteniéndose que la culpa no tiene un contenido intencional, mientras que el dolo si; determinar si ante un hecho estamos ante conducta intencional o conducta negligente sería el examen básico a realizar por el asegurador; pese a la confusión actual de ciertos Jueces y Tribunales en España, la responsabilidad procedente de dolo está excluida ex lege del ámbito de cobertura de las pólizas.
Sin embargo, la calificación de la conducta es un segundo paso para el asegurador español, pues el primero ha de partir del análisis cuidadoso del fondo de las sanciones administrativas que pueden imponerse a consejeros y directivos, y su calificación como sanciones protectoras del orden público general –y por tanto, con un carácter penal o punitivo-, o como sanciones preventivas de naturaleza patrimonial –y por tanto, con un carácter puramente reparador-. Las primeras, en puridad, no deberían ser objeto de cobertura por un seguro, mientras que en las segundas sería posible amparar la sanción que recayese sobre el consejero o directivo con la cobertura del seguro. Esta diferencia, por ejemplo, es compleja pero posible si se examina el régimen administrativo y disciplinario de las entidades de crédito en España –Bancos, Cajas de Ahorros, etc.-, donde puede trazarse efectivamente en grandes líneas esa distinción. Por ejemplo, una infracción impuesta a un consejero o directivo por una actuación fraudulenta en un proceso de fusiones o adquisiciones –que ocupan el primer apartado dentro de las posibles infracciones muy graves-, parece claramente protectora del orden público y no puramente preventiva y patrimonial, por lo que debería quedar excluida del ámbito de cobertura del seguro.
En el pasado, las coberturas de D&O comercializadas en España simplemente no cubrían las multas que pudieran ser impuestas por la Administración, en general, a los consejeros y directivos de una entidad, por cuanto sin mayor análisis de la cuestión, el asegurador entendía que estábamos ante sanciones de naturaleza punitiva en todos los casos. Podía prestarse asistencia jurídica incluso en el frecuentemente muy complejo procedimiento administrativo sancionador que se siguiese contra el consejero o directivo (así como en los procedimientos judiciales posteriores), pero en cuanto a la multa en sí misma, se consideraba la misma excluida del ámbito de cobertura. Hoy, la tendencia es bien distinta. Las compañías aseguradoras han pasado a ofrecer habitualmente coberturas de multas administrativas, con alguna notable excepción, si bien frecuentemente se sigue excluyendo la cobertura de la responsabilidad tributaria que pueda recaer sobre consejeros y directivos (lo que ha aprovechado algún competidor que se ha decidido a concederla, al menos en cuanto a la responsabilidad subsidiaria de los administradores, haciendo de esa cobertura un producto estrella). Una exclusión frecuente, en la que parece que va a haber también un cambio de actitud por los movimientos de algunos competidores, es la relativa a responsabilidades administrativas laborales. Estos cambios de tendencia tienen, como es lógico, un lado positivo y negativo. Aquellos aseguradores que no cubren este tipo de responsabilidad han de prestar especial cuidado en la redacción de los condicionados, puesto que la tendencia judicial va a ser a denegar su exclusión en aras de la protección de los terceros perjudicados; por otra parte, quienes se han animado a conceder tal cobertura, deben analizar tanto la construcción de la póliza como las normas administrativas en concurso, puesto que determinado tipo de sanciones, como se ha dicho, tienen un componente punitivo que debería dejarlas fuera de cobertura en todas las circunstancias.

Administrative penalties for non-compliance with different rules of Public Law represent complicated territory in Spanish common law. The importance of administrative regulations in certain sectors of the economy, such as finance and energy for example, are a good example of what companies and therefore their board members and directors have to face when dealing with regulated activity. The co-existence of different bodies and Public Administrations – with a strong and at times unclear division of powers between the State and Autonomous Communities – means that a company must always bear in mind the possible risk that its activity could cause with Administration, a possibility that, because of the approach adopted in modern Spanish rules, is dangerously extended to individuals who run companies. A good example is that of Spanish General Tax Law, that places individuals as responsible for the payment of tax debts to administrators in fact or in law, even under certain circumstances despite the fact that they may have been removed from the post.
Modern Spanish Insurance law and, above all, insurance practice, have already overtaken the debate about whether those facts arising from unlawful actions by the insured party are insurable or not; not in all negligent and therefore unlawful behaviour is there a will to defraud, meaning that in general, except for express agreements to the contrary, damages arising from unlawful acts by the insured party are covered by the products of civil liability – although it is not uncommon to find exceptions regarding the most common terms in Spanish insurance practice. Evidently, talking about guilt and above all, delimiting it, is in itself a complex question for the insurer. Traditionally, it has been maintained that guilt does not have an intentional content, while bad faith does; determining when faced with a fact if we are dealing with intentional or negligent conduct would be a basic test to be carried out by the insurer; despite the current confusion of certain Judges and Courts in Spain, liability arising from bad faith is excluded ex lege from the scope of cover of policies.
However, the classification of conduct is a second step for the Spanish insurer, since the first must be based on careful analysis of the background of administrative penalties that may be imposed on board members and directors and their classification as protective penalties of general public order – and therefore, criminal or punitive in nature – or as preventative patrimonial penalties – and therefore purely reparative penalties. The first, strictly speaking, should not be the object of insurance cover, while the second could possibly be covered by the penalty that falls upon the board member or director using the insurance cover. This difference for example, is complex but not impossible if the administrative and disciplinary system is studied of credit institutions in Spain – Banks, Savings Banks etc. – where in broad strokes this distinction can be drawn. For example, an infringement imposed on a board member or director for fraudulent activity in the process of mergers and acquisitions - that occupy the first section within very serious offences – appears to be a clearly protective penalty for public order and not purely preventative and patrimonial, meaning that it should be excluded from the scope of insurance cover.
In the past, cover of D&Os marketed in Spain would simply not cover fines that could have been imposed by the Administration, in general, against board members and directors of an institution, insofar as without greater analysis of the question, the insurer considered that we were facing punitive penalties in all cases. Legal assistance could be used even in the frequently very complex administrative penalty proceedings taken against the board member or director (as well as in later criminal proceedings), but regarding the fine itself, it was considered as excluded from the scope of cover. Nowadays, the trend is very different. Insurance companies have begun to habitually offer cover for administrative fines, with some notable exceptions, although tax liability that could fall upon board members and directors is frequently excluded (which some competitors have seized upon and have decided to grant, at least regarding the secondary liability of administrators, making this type of cover a star product). A common exclusion is that which appears to show a change in attitude in the movement of some competitors, that related to administrative industrial liability. These changes have, naturally, a positive and negative side. Insurers that do not cover this type of liability have to take special care in the drafting of terms, since the legal trend is going to be to deny exclusion in the name of the protection of injured third parties; on the other hand, those who have decided to grant said cover, must analyse both the construction of the policy as well as the administrative rules in force, since certain types of penalties, as has been stated, have a punitive component that should be left out of the cover under all circumstances.

3. Bases de presentación de las cuentas anuales consolidadas
a) Imagen fiel-
Las cuentas anuales consolidadas del ejercicio 2009 se presentan de acuerdo con las normas establecidas en el Real Decreto 1514/2007, de 16 de noviembre, por el que se aprueba el Plan General de Contabilidad y, en el Real Decreto 1815/1991, de 20 de diciembre, por el que se aprueban las Normas para la Formulación de Cuentas Anuales Consolidadas modificado por la Nota del Instituto de Contabilidad y Auditoría de Cuentas (ICAC) relativa a los criterios aplicables en la formulación de cuentas anuales consolidadas según los criterios del Código de Comercio para los ejercicios que comiencen a partir del 1 de enero de 2008, y han sido obtenidas a partir de los registros de contabilidad individuales de Sociedad Anónima de Obras y Servicios, Copasa y de las Sociedades Dependientes (detalladas en la Nota 2) que componen el Grupo Copasa (en lo sucesivo “Grupo Copasa” o “el Grupo”), de forma que muestran la imagen fiel del patrimonio consolidado y de la situación financiera del Grupo, así como de los resultados consolidados de sus operaciones y de los flujos de efectivo consolidados habidos durante el presente ejercicio. Además, dado que su actividad principal es la construcción, se han seguido las normas contables contenidas en la Orden del Ministerio de Economía de 27 de enero de 1993, por la que se aprueban las Normas de Adaptación del Plan General de Contabilidad a las empresas constructoras, en todo aquello que no contravenga la nueva normativa contable.
Las cuentas anuales consolidadas e individuales de Sociedad Anónima de Obras y Servicios, Copasa y de cada una de las restantes sociedades incluidas en el perímetro de consolidación, correspondientes al ejercicio 2009, formuladas por los respectivos Consejos de Administración, se encuentran pendientes de aprobación por las respectivas Juntas Generales de Accionistas o de Socios. No obstante, los Administradores de Sociedad Anónima de Obras y Servicios, Copasa consideran que dichas cuentas anuales serán aprobadas sin ninguna modificación.
b) Principios contables no obligatorios aplicados-
No se han aplicado principios contables no obligatorios. Los Administradores de la Sociedad Dominante han formulado estas cuentas anuales consolidadas teniendo en consideración la totalidad de los principios y normas contables de aplicación obligatoria que tienen un efecto significativo en las cuentas anuales consolidadas.
c) Principios de consolidación-
Las cuentas anuales consolidadas correspondientes al ejercicio anual terminado el 31 de diciembre de 2009 se han obtenido a partir de las cuentas anuales individuales de Sociedad Anónima de Obras y Servicios, Copasa y de las Sociedades Dependientes, participadas de manera directa e indirecta, en las que el Grupo posee el control efectivo y son gestionadas bajo su dirección. Las Sociedades incluidas en el perímetro de consolidación al 31 de diciembre de 2009 se detallan en la Nota 2.
Sociedades dependientes-
La consolidación de las “sociedades dependientes”, sobre las que el Grupo tiene un dominio efectivo, es decir, cuando la Sociedad Dominante ostente o pueda ostentar, directa o indirectamente el dominio y control sobre las sociedades dependientes, se ha realizado por el método de integración global.
Los principios y normas de consolidación empleados en el método de integración global han sido las siguientes:
1. Todos los saldos y transacciones significativos entre las sociedades consolidadas, así como los resultados significativos por operaciones internas no realizados frente a terceros, han sido eliminados en el proceso de consolidación.
2. En el proceso de consolidación se han introducido, en su caso, los ajustes y reclasificaciones necesarios para homogeneizar los principios contables y criterios de valoración utilizados por las distintas sociedades.
3. En el momento de la adquisición de una sociedad dependiente, sus activos, pasivos y pasivos contingentes se registran a sus valores razonables en la fecha de adquisición. Las diferencias positivas entre el precio de adquisición y los valores razonables de los activos netos identificables adquiridos se reconocen como “Fondo de comercio”, en tanto que las diferencias negativas se imputan a resultados en la fecha de adquisición.
4. La participación de los socios o accionistas minoritarios en los beneficios o pérdidas y en el patrimonio neto de las sociedades dependientes, se determina en base a los derechos de voto existentes en dicho momento, sin considerar el posible ejercicio o conversión de los derechos de voto potenciales. La participación de los socios externos se establece en la proporción de los valores razonables de los activos y pasivos reconocidos de la menoria. Cualquier pérdida aplicable a los socios externos que supere el valor en libros de dichos intereses minoritarios se reconoce con cargo a las participaciones de la Sociedad Dominante, salvo que los minoritarios tengan una obligación vinculante de cubrir una parte o la totalidad de las pérdidas, y siempre que tengan capacidad para realizar la inversión adicional necesaria.
5. El valor de la participación de los socios o accionistas minoritarios en el patrimonio y en los resultados de las sociedades dependientes se presenta dentro del patrimonio neto consolidado del Grupo, en el capítulo “Socios Externos” del balance consolidado, y en el epígrafe “Resultado atribuido a Socios Externos” de la cuenta de pérdidas y ganancias consolidada, respectivamente.
6. La consolidación de los resultados generados por las sociedades dependientes adquiridas en un período se realiza tomando en consideración, únicamente, los correspondientes al período comprendido entre la fecha de adquisición y la fecha del balance. Paralelamente, la consolidación de los resultados generados por las sociedades dependientes enajenadas en un período se realiza tomando en consideración, únicamente, los relativos al período comprendido entre el inicio del período y la fecha de enajenación.
7. Las adquisiciones a socios minoritarios de sus participaciones en sociedades dependientes en las que previamente el Grupo ya tenía el control efectivo de las mismas y, por lo tanto, únicamente se produce un aumento del porcentaje de participación del Grupo en dichas sociedades, constituyen, desde un punto de vista consolidado, operaciones con títulos de patrimonio, por lo que, de acuerdo con lo establecido en la NRV 9ª, apartado 4, del Plan General de Contabilidad, se reduce el saldo del capítulo “Socios Externos” y se ajustan las reservas consolidadas por la diferencia entre el valor de la contrapartida entregada por el Grupo y el importe por el que se ha modificado el saldo del capítulo “Socios Externos”, no registrándose “Fondo de comercio” alguno por esta operación, y sin que se modifique el importe del “Fondo de comercio” que, en su caso, estuviera reconocido, ni el de otros activos o pasivos del balance consolidado.
8. Se consideran dividendos internos los registrados como ingresos del ejercicio de una sociedad del Grupo que hayan sido distribuidos por otra perteneciente al mismo. Los dividendos recibidos por sociedades del Grupo correspondientes a beneficios distribuidos de ejercicios anteriores se eliminan considerándolos reservas de la sociedad perceptora, y se incluyen dentro de las cuentas “Otras reservas” o “Reservas en sociedades consolidadas”, dentro del capítulo “Patrimonio Neto - Fondos Propios” del balance consolidado, dependiendo de que la sociedad que percibe el dividendo sea sociedad matriz o sociedad filial. Los dividendos a cuenta se eliminan contra la cuenta deudora representativa de los mismos en la sociedad que los distribuyó.
La moneda funcional de Grupo Copasa es el euro. En consecuencia todos los saldos y transacciones denominados en monedas diferentes al euro se consideran denominados en moneda extranjera. La conversión de los estados financieros de las Sociedades Dependientes con moneda funcional distinta del euro se realiza del siguiente modo:
a. Todos los bienes, derechos y obligaciones se han convertido a la moneda funcional utilizando el tipo de cambio vigente en la fecha de cierre a que se refieran las cuentas de la sociedad extranjera a integrar en la consolidación.
b. Las partidas de la cuenta de pérdidas y ganancias se han convertido utilizando los tipos de cambio existentes en las fechas en que se realizaron las correspondientes operaciones.
c. El Patrimonio neto se mantiene a tipo de cambio histórico a la fecha de su adquisición (o al tipo de cambio medio del ejercicio de su generación, tanto en el caso de los resultados acumulados como de las aportaciones realizadas), según corresponda.
Las diferencias resultantes de la aplicación de este método de conversión se incluyen en los fondos propios del balance consolidado en el epígrafe “Diferencias de conversión” deducida, en su caso, la parte de dicha diferencia que corresponde a los socios externos, que se presenta en el capítulo “Socios Externos” del patrimonio neto consolidado.
Empresas multigrupo-
La consolidación de las “empresas multigrupo” se ha realizado por el método de integración proporcional, que consiste en incorporar los bienes, derechos y obligaciones y los ingresos y gastos de la citada sociedad en la proporción que corresponde al porcentaje de participación que el Grupo tiene en el capital de la misma.
Las cuentas anuales consolidadas no incluyen el efecto fiscal que, en su caso, pudiera derivarse de incorporar al patrimonio de la Sociedad Dominante las reservas y los beneficios no distribuidos de las sociedades dependientes consolidadas, dado que se estima que no se efectuarán transferencias de reservas no sujetas a tributación en origen, por considerarse que estas reservas serán utilizadas como fuente de autofinanciación en cada sociedad consolidada.
Empresas asociadas-
La participación de las empresas asociadas, las cuales se registran en el epígrafe “Participaciones puestas en equivalencia” de los balances consolidados adjuntos, se presenta por el procedimiento de puesta en equivalencia, es decir, aplicando el porcentaje de participación sobre el valor razonable de los activos adquiridos y pasivos asumidos, incluyendo en su caso la diferencia positiva (fondo de comercio) entre el coste de la participación y el valor anterior existente en el momento de adquisición. Posteriormente este valor se ajustará por las variaciones habidas en el patrimonio neto de la sociedad puesta en equivalencia, así como por las correcciones valorativas por deterioro que pueda haber tanto del valor de la participación como del fondo de comercio. Dichas correcciones se calculan como la diferencia entre su valor en libros y el importe recuperable, entendido éste como el mayor importe entre su valor razonable menos los costes de venta y el valor actual de los flujos de efectivo futuros derivados de la inversión. Salvo mejor evidencia del importe recuperable, se toma en consideración el patrimonio neto de la entidad participada, corregido por las plusvalías tácitas existentes en la fecha de la valoración, incluyendo el fondo de comercio, si lo hubiera.
En el caso de transacciones realizadas con una empresa asociada, las pérdidas o ganancias obtenidas se eliminan en el porcentaje de participación que tiene el Grupo en su capital.
d) Responsabilidad de la información y estimaciones realizadas -
La información incluida en estas cuentas anuales consolidadas es responsabilidad de los Administradores de la Sociedad Dominante.
En la elaboración de estas cuentas anuales consolidadas se han utilizado estimaciones realizadas por los Administradores de la Sociedad Dominante para valorar algunos de los activos, pasivos, ingresos, gastos y compromisos que figuran registrados en ellas. Básicamente estas estimaciones se refieren a:
- La evaluación de posibles pérdidas por deterioro de determinados activos (véase Nota 4-b).
- La vida útil de los activos intangibles, materiales (véanse Notas 4-a y 4-b).
- El cálculo de provisiones (véase Nota 4-j y 4-k.)
- El cálculo de deterioro de los fondos de comercio.
- Los activos por impuesto diferido registrados en el balance consolidado.(Nota 16).
- El valor de mercado de determinados instrumentos financieros.
- Clasificación de los arrendamientos como operativos o financieros.
- La determinación del grado de realización de las obras.
A pesar de que estas estimaciones se han realizado sobre la base de la mejor información disponible al cierre del ejercicio 2009, es posible que acontecimientos que puedan tener lugar en el futuro obliguen a modificarlas (al alza o a la baja) en los próximos ejercicios, lo que se realizaría, en su caso, de forma prospectiva.
e) Agrupación de partidas-
Determinadas partidas del balance consolidado, de la cuenta de pérdidas y ganancias consolidada, del estado de cambios en el patrimonio neto consolidado y del estado de flujos de efectivo consolidado se presentan de forma agrupada para facilitar su comprensión, si bien, en la medida en que sea significativa, se ha incluido la información desagregada en las correspondientes Notas de la Memoria consolidada.
f) Comparación de la información-
La información relativa al ejercicio 2008 que se incluye en esta Memoria consolidada se presenta, única y exclusivamente, a efectos comparativos con la información del ejercicio 2009.
4. Normas de registro y valoración
Las principales normas de registro y valoración utilizadas en la elaboración de estas cuentas consolidadas han sido las siguientes:
a) Inmovilizado intangible-
Como norma general, el inmovilizado intangible se valora inicialmente por su precio de adquisición o coste de producción. Posteriormente se valora a su coste minorado por la correspondiente amortización acumulada y, en su caso, por las pérdidas por deterioro que haya experimentado, conforme al criterio mencionado en la Nota 4.b. Dichos activos se amortizan en función de su vida útil.
El Grupo utiliza los siguientes criterios para la contabilización de su inmovilizado intangible:
Investigación y desarrollo. Los gastos de investigación y desarrollo se contabilizan cuando se incurren, por su precio de adquisición, en la partida “Servicios exteriores” de la cuenta de pérdidas y ganancias consolidada. No obstante, el Grupo registra los mismos en la partida “Inmovilizado Intangible- Desarrollo” del balance consolidado cuando se cumplen las siguientes condiciones:
a. Estén específicamente individualizados por proyectos y su coste claramente establecido para que pueda ser distribuido en el tiempo.
b. Los Administradores de la Sociedad Dominante tienen motivos fundados del éxito técnico y de la rentabilidad económico-comercial de los proyectos de los que se trate.
Los gastos de investigación y desarrollo capitalizados se amortizan linealmente a lo largo de su vida útil en un período máximo de cinco años, dependiendo del proyecto que se trate, a partir de la fecha de su activación o a partir de la fecha de finalización de los proyectos, respectivamente. No obstante, cuando existen dudas razonables sobre el éxito técnico o la rentabilidad económico-comercial de un proyecto, los gastos capitalizados por el mismo se imputan directamente a los resultados del ejercicio en el que esta situación se pone de manifiesto.
Concesiones administrativas. Las concesiones administrativas incluyen los costes incurridos para la obtención de las mismas. El Grupo iniciará la amortización de dicha concesión a partir del momento en que se encuentre en condiciones de uso y funcionamiento. Las concesiones administrativas se amortizan de forma lineal en los años de explotación de las mismas.
Los costes por intereses directamente imputables de inmovilizado intangible, que precisan de un período de tiempo sustancial para estar preparados para su uso o venta previstos, se añaden al coste de dichos activos hasta el momento en que los activos están sustancialmente preparados para su uso o venta. En el caso de que la financiación se haya obtenido específicamente para dichos activos, el importe de los intereses y otras cargas financieras activados corresponde a los costes reales incurridos durante el período, menos los ingresos obtenidos en la inversión temporal de los préstamos específicos que todavía no se hubieran invertido en activos cualificados. En el caso de que la financiación tenga un carácter genérico, el importe de los intereses capitalizados se determina aplicando el tipo de capitalización que corresponde a la media ponderada de los costes por intereses aplicables a la financiación media distinta de la específica que ha estado pendiente en el ejercicio.
No obstante, la capitalización de intereses se suspende durante los períodos en los que se interrumpe el desarrollo del activo, siempre que se extiendan de manera significativa en el tiempo.
Los demás costes por intereses se imputan a resultados en el período en el que se incurren.
Aplicaciones informáticas. El Grupo registra en esta cuenta los costes incurridos en la adquisición y desarrollo de programas de ordenador, estas se amortizan en un período de 3 años, siguiendo un método lineal, a partir de su entrada en funcionamiento. Los períodos de amortización han sido establecidos teniendo en cuenta la vida útil estimada de las aplicaciones.
Los costes de mantenimiento de las aplicaciones informáticas se registran en la cuenta de pérdidas y ganancias consolidada del ejercicio en que se incurren.
Siempre que existen indicios de pérdida de valor, el Grupo procede a estimar, mediante el denominado “test de deterioro”, la posible existencia de pérdidas de valor que reduzcan el valor recuperable de dichos activos intangibles a un importe inferior al de su valor en libros. El importe recuperable se determina como el mayor importe entre el valor razonable menos los costes de venta y el valor en uso.
b) Inmovilizado material-
El inmovilizado material se valora inicialmente por su precio de adquisición o coste de producción, y posteriormente se minora por la correspondiente amortización acumulada y las pérdidas por deterioro que hayan experimentado los bienes. En este sentido, siempre que existen indicios de pérdida de valor, el Grupo procede a estimar, mediante el denominado “test de deterioro”, la posible existencia de pérdidas de valor que reduzcan el valor recuperable de dichos activos a un importe inferior al de su valor en libros. El importe recuperable se determina como el mayor importe entre el valor razonable menos los costes de venta y el valor en uso.
De forma similar, cuando existen indicios de que se ha recuperado el valor de un activo material deteriorado, el Grupo registra la reversión de la pérdida por deterioro contabilizada en ejercicios anteriores, con abono a la cuenta de pérdidas y ganancias, y se ajustan, en consecuencia, los cargos futuros en concepto de su amortización. En ningún caso la reversión de la pérdida por deterioro de un activo puede suponer el incremento de su valor en libros por encima de aquél que tendría si no se hubieran reconocido pérdidas por deterioro en ejercicios anteriores.
Los gastos de conservación y mantenimiento de los diferentes elementos que componen el inmovilizado material se imputan a la cuenta de pérdidas y ganancias del ejercicio en que se incurren. Por el contrario, los importes invertidos en mejoras que contribuyen a aumentar la capacidad o eficiencia o a alargar la vida útil de dichos bienes se registran como mayor coste de los mismos.
Los trabajos que el Grupo realiza para su propio inmovilizado se registran al coste acumulado que resulta de añadir a los costes externos, los costes internos, determinados en función de los consumos propios de materiales, la mano de obra directa incurrida y los gastos generales de fabricación calculados según tasas de absorción similares a las aplicadas a efectos de la valoración de existencias.
El Grupo amortiza el inmovilizado material siguiendo el método lineal, aplicando porcentajes de amortización anual calculados en función de los años de vida útil estimada de los respectivos bienes, según el siguiente detalle:

Los derechos derivados de los contratos de arrendamiento financiero, con la aplicación de los criterios establecidos por el Plan General Contable, se contabilizan según la naturaleza del bien. Por lo tanto no se registran los gastos financieros de la operación anticipadamente como “Gastos a Distribuir en Varios Ejercicios” y la deuda financiera se reconoce por el principal pendiente de restituir a la entidad financiera. La amortización de los derechos sobre bienes en régimen de arrendamiento financiero seguirá el mismo plan sistemático de amortización que se aplicaba anteriormente, pero la amortización acumulada se contabiliza en el epígrafe del inmovilizado de acuerdo con la naturaleza del bien al que está asociada.
Asimismo se reflejan bajo este epígrafe las inversiones realizadas por el Grupo en las instalaciones que tiene arrendadas y que se incorporan al inmueble de forma definitiva. Se registran por el importe satisfecho. La amortización de estos bienes se realiza en el periodo del contrato de arrendamiento, o en el plazo de vida útil estimado del activo si este fuese menor.
Para aquellos inmovilizados que necesitan un periodo de tiempo superior a un año para estar en condiciones de uso, los costes capitalizados incluyen los gastos financieros que se hayan devengado antes de la puesta en condiciones de funcionamiento del bien y que hayan sido girados por el proveedor o correspondan a préstamos u otro tipo de financiación ajena, específico o genérico, directamente atribuible a la adquisición o fabricación del mismo.
Asimismo, se registran los costes totales incurridos en la construcción de cuatro áreas de servicio (véase Nota 6) explotadas en régimen de concesión administrativa, y que se amortizan en el número de años del período concesional o vida útil de los activos, el menor de ambos, de modo que los Administradores de la Sociedad Dominante no estiman preciso la constitución de fondo de reversión por los citados activos.
Costes por intereses
En los bienes de inmovilizado que necesiten un periodo de tiempo superior a un año para estar en condiciones de uso, se incluirán en el precio de adquisición o coste de producción los gastos financieros que se hayan devengado antes de la puesta en condiciones de funcionamiento del inmovilizado material y que hayan sido girados por el proveedor o correspondan a préstamos u otro tipo de financiación ajena, específica o genérica, directamente atribuible a la adquisición, fabricación o construcción. Los demás costes por intereses se imputan a resultados en el período en el que se incurren.
Los gastos financieros capitalizados por la Sociedad Dominante como “Inmovilizado material” durante el ejercicio 2009 han ascendido a 86.162 euros (17.483 euros en el ejercicio 2008).
c) Fondo de comercio de sociedades consolidadas-
La diferencia positiva existente en la fecha de adquisición entre el coste de la participación en el capital de la sociedad dependiente y la parte proporcional de los valores razonables de los activos identificables adquiridos y de los pasivos asumidos atribuible a la participación adquirida, se registra en el activo del balance consolidado, como “Fondo de comercio”.
Los fondos de comercio sólo se registran cuando han sido adquiridos a título oneroso, se asignan a una o más unidades generadoras de efectivo específicas y representan pagos anticipados realizados por la empresa adquiriente sobre los beneficios económicos futuros derivados de los elementos patrimoniales de la empresa adquirida que no sean individual y separadamente identificables y reconocibles.
Los fondos de comercio no se amortizan. Sin embargo, de acuerdo con la Disposición Transitoria Primera del Real Decreto 1514/2007, de 16 de noviembre, por el que se aprueba el Plan General de Contabilidad, el Grupo optó por valorar todos los elementos patrimoniales incluidos en el balance de apertura conforme a los principios y normas vigentes con anterioridad a la entrada en vigor de la Ley 16/2007, de 4 de julio, de reforma y adaptación de la legislación mercantil en materia contable para su armonización internacional con base en la normativa de la Unión Europea, salvo los instrumentos financieros que se valoran por su valor razonable, y por este motivo los “Fondos de comercio” adquiridos a título oneroso con anterioridad al 1 de enero de 2008 (fecha de transición a las nuevas normas contables) figuran registrados netos de las amortizaciones practicadas hasta el 31 de diciembre de 2007.
El procedimiento implantado por la Dirección del Grupo para la realización del “test de deterioro” de los fondos de comercio del inmovilizado material e inmaterial, es el siguiente:
• Los valores recuperables se calculan para cada unidad generadora de efectivo, si bien en el caso del inmovilizado material, siempre que sea posible, los cálculos de deterioro se efectúan elemento a elemento, de forma individualizada.
• La Dirección del Grupo prepara anualmente para cada unidad generadora de efectivo su plan de negocio por mercados y actividades, abarcando, al menos, un espacio temporal de cinco ejercicios. Los principales componentes de dicho plan son:
- Proyecciones de resultados.
- Proyecciones de inversiones y capital circulante.
• Otras variables que influyen en el cálculo del valor recuperable son:
- Tipo de descuento a aplicar, entendiendo éste como la media ponderada del coste de capital, siendo las principales variables que influyen en su cálculo, el coste de los pasivos y los riesgos específicos de los activos.
- Tasa de crecimiento de los flujos de caja empleada para extrapolar las proyecciones de flujos de efectivo más allá del período cubierto por los presupuestos o previsiones.
Las proyecciones son preparadas sobre la base de la experiencia pasada y en función de las mejores estimaciones disponibles, siendo éstas consistentes con la información procedente del exterior.
Los planes de negocio así preparados son revisados y finalmente aprobados por el Consejo de Administración de la Sociedad Dominante.
En el caso de que se deba reconocer una pérdida por deterioro de una unidad generadora de efectivo a la que se hubiese asignado todo o parte de un fondo de comercio, se reduce en primer lugar el valor contable del fondo de comercio correspondiente a dicha unidad. Si el deterioro supera el importe de éste, en segundo lugar se reduce, en proporción a su valor contable, el del resto de activos de la unidad generadora de efectivo, hasta el límite del mayor valor entre los siguientes: su valor razonable menos los costes de venta, su valor en uso y cero.
Cuando una pérdida por deterioro de valor revierte posteriormente (circunstancia ésta no permitida en el caso específico de los fondos de comercio), el importe en libros del activo o de la unidad generadora de efectivo se incrementa en la estimación revisada de su importe recuperable, pero de tal modo que el importe en libros incrementado no supere el importe en libros que se habría determinado de no haberse reconocido ninguna pérdida por deterioro en ejercicios anteriores. Dicha reversión de una pérdida por deterioro de valor se reconoce como ingreso.
Ninguno de los fondos de comercio registrados ha sufrido pérdida por deterioro de valor durante el ejercicio 2009, en base a los análisis realizados por la Dirección del Grupo.
Diferencia negativa-
En el supuesto de que a la fecha de adquisición de una sociedad dependiente se ponga de manifiesto una diferencia negativa entre el coste de la participación en el capital de la misma y la parte proporcional de los valores razonables de los activos identificables adquiridos y de los pasivos asumidos atribuible a la participación adquirida, la citada diferencia negativa se registra como un ingreso en la cuenta de pérdidas y ganancias consolidada del ejercicio en el que tiene lugar la adquisición, bajo el epígrafe “Diferencia negativa de consolidación de sociedades consolidadas”.
d) Arrendamientos-
Los arrendamientos se clasifican como arrendamientos financieros siempre que las condiciones de los mismos se deduzcan que se transfieren al arrendatario sustancialmente los riesgos y beneficios inherentes a la propiedad del activo objeto del contrato. Los demás arrendamientos se clasifican como arrendamientos operativos.
Arrendamiento financiero-
En las operaciones de arrendamiento financiero en las que el Grupo actúa como arrendatario, se presenta el coste de los activos arrendados en el balance según la naturaleza del bien objeto del contrato y, simultáneamente, un pasivo por el mismo importe. Dicho importe será el menor entre el valor razonable del bien arrendado y el valor actual al inicio del arrendamiento de las cantidades mínimas acordadas, incluida la opción de compra, cuando no existan dudas razonables sobre su ejercicio. No se incluirán en su cálculo las cuotas de carácter contingente, el coste de los servicios y los impuestos repercutibles por el arrendador. La carga financiera total del contrato se imputa a la cuenta de pérdidas y ganancias del ejercicio en que se devenga, aplicando el método del tipo de interés efectivo. Las cuotas de carácter contingente se reconocen como gasto del ejercicio en que se incurren.
Los activos registrados por este tipo de operaciones se amortizan con criterios similares a los aplicados al conjunto de los activos materiales, atendiendo a su naturaleza.
Arrendamiento operativo-
Los arrendamientos que se clasifican como arrendamientos operativos son aquellos en los que no se transfieren los riesgos y beneficios inherentes a la propiedad del activo objeto de estos contratos. Los gastos derivados de los acuerdos de arrendamiento operativo se cargan a la cuenta de pérdidas y ganancias en el ejercicio en que se devengan.
Cualquier cobro o pago que pudiera realizarse al contratar un arrendamiento operativo, se tratará como un cobro o pago anticipado que se imputará a resultados a lo largo del periodo del arrendamiento, a medida que se cedan o reciban los beneficios del activo arrendado.
e) Instrumentos financieros
Un “instrumento financiero” es un contrato que da lugar a un activo financiero en una entidad y, simultáneamente, a un pasivo financiero o instrumento de capital en otra entidad.
Un “derivado financiero” es un instrumento financiero cuyo valor cambia como respuesta a los cambios en una variable observable de mercado (tal como un tipo de interés, de cambio, el precio de un instrumento financiero o un índice de mercado), cuya inversión inicial es muy pequeña en relación a otros instrumentos financieros con respuesta similar a los cambios en las condiciones de mercado y que se liquida, generalmente, en una fecha futura.
Un “instrumento de capital” es un negocio jurídico que evidencia una participación residual en los activos de la entidad que lo emite, una vez deducidos todos sus pasivos.
1. Activos financieros
Los activos financieros que posee el Grupo se clasifican en las siguientes categorías:
a) Activos financieros disponibles para la venta: Corresponden con inversiones a largo y corto plazo en derechos sobre el patrimonio neto y acciones con o sin cotización en un mercado regulado u otros valores, tales como, participaciones en instituciones de inversión colectiva, o participaciones en sociedades que no tienen la consideración de partes vinculadas.
b) Préstamos, partidas a cobrar a largo y corto plazo: Constituidos por activos financieros originados en la venta de bienes o en la prestación de servicios por operaciones de tráfico de la empresa, o los que no teniendo un origen comercial, no son instrumentos de patrimonio ni derivados y cuyos cobros son de cuantía fija o determinable y no se negocian en un mercado activo.
c) Inversiones mantenidas hasta el vencimiento: Valores representativos de deuda, con fecha de vencimiento fijada y cobros de cuantía determinable, que se negocian en un mercado activo sobre los que la sociedad manifiesta su intención y capacidad para conservarlos en su poder hasta la fecha de su vencimiento.
d) Fianzas entregadas: Activos financieros entregados vinculados básicamente a los arrendamientos operativos.
Valoración inicial-
Los activos financieros se valorarán inicialmente por su valor razonable, que, salvo evidencia en contrario, será el precio de la transacción, que equivaldrá al valor razonable de la contraprestación entregada más los costes de transacción que les sean directamente atribuibles. No obstante, los créditos por operaciones comerciales con vencimiento no superior a un año y que no tengan un tipo de interés contractual, así como los anticipos y créditos al personal, los dividendos a cobrar y los desembolsos exigidos sobre instrumentos de patrimonio, cuyo importe se espera recibir en el corto plazo, se podrán valorar por su valor nominal cuando el efecto de no actualizar los flujos de efectivo no sea significativo.
En particular, las fianzas entregadas se valoran al importe desembolsando.
Valoración posterior-
Los activos financieros disponibles para la venta se valoran a su valor razonable registrándose en el Patrimonio Neto el resultado de las variaciones en dicho valor razonable, hasta que el activo se enajena o haya sufrido un deterioro de valor (de carácter estable o permanente), momento en el cual dichos resultados acumulados reconocidos previamente en el Patrimonio Neto pasan a registrarse en la cuenta de pérdidas y ganancias. En este sentido, se considera que existe deterioro (carácter permanente) si se ha producido una caída de más del 40% del valor de cotización del activo, durante un período de un año y medio, sin que se haya recuperado el valor. En el supuesto de que el valor razonable dejase de ser fiable estos activos se valoran por su precio de adquisición, considerando a efectos de las oportunas correcciones valorativas, el patrimonio neto corregido por las plusvalías tácitas existentes en el momento de la valoración.
Los préstamos, partidas a cobrar a corto y largo plazo e inversiones mantenidas hasta el vencimiento se valoran por su coste amortizado, calculado mediante la utilización del método del “tipo de interés efectivo”, que es el tipo de actualización que iguala el valor inicial de un instrumento financiero a la totalidad de sus flujos de efectivo estimados por todos los conceptos a lo largo de su vida remanente. No obstante, los créditos por operaciones comerciales con un vencimiento no superior a un año, que de acuerdo con lo comentado anteriormente, se valoren inicialmente por su valor nominal, continuarán valorándose por dicho importe, salvo que se hubieran deteriorado.
Las fianzas se valoran por su valor nominal dado que el efecto de no actualizar los flujos de efectivo futuros no es significativo.
Al menos al cierre del ejercicio el Grupo realiza un test de deterioro para los activos financieros que no están registrados a valor razonable. Se considera que existe evidencia objetiva de deterioro si el valor recuperable del activo financiero es inferior a su valor en libros. Cuando se produce, el registro de este deterioro se registra en la cuenta de pérdidas y ganancias. En particular, y respecto a las correcciones valorativas relativas a los deudores comerciales y otras cuentas a cobrar, la Sociedad obtiene el importe de dichas correcciones valorativas mediante el estudio individualizado sobre la recuperación económica de las cuentas a cobrar a 31 de diciembre de 2009, dotando las respectivas provisiones en función del riesgo que presentan las posibles insolvencias con respecto a su cobro.
El Grupo da de baja los activos financieros cuando expiren o se hayan cedido los derechos sobre los flujos de efectivo del correspondiente activo financiero y se hayan transferido sustancialmente los riesgos y beneficios inherentes a su propiedad.
Por el contrario, el Grupo no da de baja los activos financieros, y reconoce un pasivo financiero por un importe igual a la contraprestación recibida, en las cesiones de activos financieros en las que se retengan sustancialmente los riesgos y beneficios inherentes a su propiedad.
2. Instrumentos financieros derivados
Algunas de las U.T.E.S en las que participa la Sociedad Dominante utilizan instrumentos financieros derivados para disminuir su exposición a los riesgos de tipo de interés, por la fluctuación del tipo variable Euribor al cual están referenciadas sus deudas bancarias.
Operaciones de cobertura: Se utilizan productos financieros derivados como parte de su estrategia para limitar la volatilidad de la carga financiera de algunos de sus pasivos financieros. Cuando estas operaciones cumplen determinados requisitos, dichas operaciones son consideradas como de “cobertura”.
Cuando se designa una operación como de cobertura, se hace desde el momento inicial de la misma, documentando dicha operación de cobertura de manera adecuada. En la documentación de estas operaciones de cobertura se identifican adecuadamente el instrumento o instrumentos cubiertos y el instrumento o instrumentos de cobertura, además de la naturaleza del riesgo que se pretende cubrir, así como los criterios o métodos seguidos por las U.T.E.S. para valorar la eficacia de la cobertura a lo largo de toda la duración de la misma, atendiendo al riesgo que se pretende cubrir.
Cada una de la U.T.E.S. en las que participa la Sociedad Dominante y que tiene contratados estos instrumentos financieros, sólo consideran como operaciones de cobertura aquellas que se consideran altamente eficaces a lo largo de la duración de las mismas. Una cobertura se considera altamente eficaz si durante el plazo previsto de duración de la misma las variaciones que se produzcan en el valor razonable atribuidas al riesgo cubierto en la operación de cobertura del instrumento o de los instrumentos financieros cubiertos son compensados en su práctica totalidad por las variaciones en el valor razonable del instrumento o de los instrumentos de cobertura.
Para medir la eficacia de las operaciones de cobertura definidas como tales, las U.T.E.S analizan si desde el inicio y hasta el final del plazo definido para la operación de cobertura se puede esperar, prospectivamente, que los cambios en el valor razonable de la partida cubierta que sean atribuibles al riesgo cubierto sean compensados casi completamente por los cambios en el valor razonable del instrumento o instrumentos de cobertura y que, prospectiva y retrospectivamente, los resultados de la cobertura hayan oscilado dentro de un rango de variación del ochenta al ciento veinticinco por ciento respecto al resultado de la partida cubierta.
Las operaciones de cobertura que tienen las U.T.E.S se clasifican en la siguiente categoría:
- Coberturas de flujos de efectivo. Cubren la variación de los flujos de efectivo que se atribuye a un riesgo particular asociado con un activo o pasivo financiero o una transacción prevista altamente probable, siempre que pueda afectar a la cuenta de pérdidas y ganancias consolidada.
En estas Coberturas de Flujos de Efectivo, las diferencias de valor surgidas en la parte de cobertura eficaz de los elementos de cobertura se registran en el epígrafe “Ajustes por cambios de valor - Operaciones de cobertura” y no se reconocen como resultados hasta que las pérdidas o ganancias del elemento cubierto se registren en los resultados o hasta la fecha de vencimiento del elemento cubierto.
Las diferencias en valoración del instrumento de cobertura correspondientes a la parte ineficiente de las operaciones de cobertura de flujos de efectivo se registran directamente como resultados financieros en la cuenta de pérdidas y ganancias consolidada.
Las U.T.E.S. interrumpen la contabilización de las operaciones de cobertura como tales, cuando el instrumento de cobertura, vence o es vendido, cuando la operación de cobertura deja de cumplir los requisitos para ser considerada como tal o cuando se procede a revocar la consideración de la operación como de cobertura.
Cuando, de acuerdo a lo dispuesto en el párrafo anterior, se produzca la interrupción de la operación de cobertura de flujos de efectivo, el resultado acumulado del instrumento de cobertura registrado en el epígrafe “Ajustes por Cambios de Valor – Operaciones de cobertura” del Patrimonio neto del balance permanecerá registrado en dicho epígrafe hasta que la transacción prevista cubierta ocurra, momento en el cual se procederá a imputar a la cuenta de pérdidas y ganancias o corregirá el coste de adquisición del activo o pasivo a registrar, en el caso de que la partida cubierta sea una transacción prevista que culmine con el registro de un activo o pasivo financiero.
3. Pasivos financieros
Son pasivos financieros aquellos débitos y partidas a pagar que tiene el Grupo y que se han originado en la compra de bienes y servicios por operaciones de tráfico de la empresa, o también aquellos que sin tener un origen comercial, no pueden ser considerados como instrumentos financieros derivados.
Los débitos y cuentas a pagar se valoran inicialmente al valor razonable de la contraprestación recibida, ajustada por los costes de la transacción directamente atribuibles. No obstante, los débitos por operaciones comerciales con vencimiento no superior a un año y que no tengan un tipo de interés contractual, así como los desembolsos exigidos por terceros sobre participaciones, cuyo importe se espera pagar en el corto plazo, se podrán valorar por su valor nominal cuando el efecto de no actualizar los flujos de efectivo no sea significativo.
Con posterioridad, dichos pasivos se valoran a su coste amortizado, calculado mediante la utilización del método del “tipo de interés efectivo”, tal y como se ha indicado con anterioridad. No obstante, los débitos con vencimiento no superior a un año que, de acuerdo con lo dispuesto en el párrafo anterior, se valoren inicialmente por su valor nominal, continuarán valorándose por dicho importe.
El Grupo da de baja los pasivos financieros cuando se extinguen las obligaciones que los han generado.
f) Instrumentos de patrimonio-
Las acciones propias de la Sociedad Dominante se registran, por el valor de la contraprestación entregada a cambio, directamente como menor valor del Patrimonio neto. Los resultados derivados de la compra, venta, emisión o amortización de los instrumentos de patrimonio propio, se reconocen directamente en Patrimonio neto consolidado, sin que en ningún caso se registre resultado alguno en la cuenta de pérdidas y ganancias consolidada.
g) Existencias-
Las existencias se valoran a su precio de adquisición, coste de producción o valor neto realizable, el menor. Los descuentos comerciales, las rebajas obtenidas, otras partidas similares y los intereses incorporados al nominal de los débitos se deducen en la determinación del precio de adquisición.
El coste de producción incluye los costes de materiales directos y, en su caso, los costes de mano de obra directa y los gastos generales de fabricación.
El valor neto realizable representa la estimación del precio de venta menos todos los costes estimados para terminar su fabricación y los costes que serán incurridos en los procesos de comercialización, venta y distribución.
El Grupo determina el precio de coste de acuerdo con los siguientes criterios:
1. Las materias primas y auxiliares y los materiales para consumo y reposición se valoran a coste de adquisición o valor de mercado, el menor.
2. El Grupo contabiliza los gastos iniciales de anteproyecto o proyecto, anteriores a su adjudicación, como existencias, dentro de la partida “Obra en curso”. Dichos gastos son valorados por los costes realmente incurridos, hasta que no se conozca si el proyecto ha sido o no adjudicado. De no serlo, se imputan a resultados del ejercicio y, en caso de serlo, se imputan durante el período de realización del proyecto adjudicado, en función del grado de avance del mismo.
3. Los terrenos y solares se valoran a su precio de adquisición, los de derribo de construcciones, así como otros gastos relacionados con la compra (impuestos no recuperables de la hacienda pública, gastos de registro, etc.). Dicho importe no superará en ningún caso su valor razonable.

3. Basis of presentation of the consolidated annual accounts
a) True and fair view-
The consolidated annual accounts for the 2009 financial year are presented in accordance with the regulations established in Royal Decree 1514/2007 of 16 November, which approves the General Accounting Plan and Royal Decree 1815/1991 of 20 December, which approves the Rules for the Preparation of Consolidated Annual Accounts modified by the Amendment from the Institute of Accounting and Account Audits (ICAC) regarding the applicable criteria in the preparation of consolidated annual accounts according to the criteria of the Code of Commerce for financial years that start after 1 January 2008, and that have been prepared based on the individual accounting records of Sociedad Anónima de Obras y Servicios, Copasa and the Subsidiary Companies (listed in Note 2) that comprise the Copasa Group (hereinafter “the Copasa Group” or “the Group”), so that they show a true and fair view of the consolidated equity and the financial position of the Group, as well as of the consolidated results from its transaction and of the consolidated cash flows generated during this financial year. Also, given that its main activity is construction, the accounting rules defined in the Order from the Ministry of the Economy of 27 January 1993, which approves the Adaptation Regulations of the General Accounting Plan for construction companies have been followed, to the extent that they do not contravene the new accounting rules.
The consolidated and individual annual accounts of Sociedad Anónima de Obras y Servicios, Copasa and of each of the other companies included within the scope of consolidation, relating to the 2009 financial year, prepared by their respective Boards of Administration, are pending approval by the respective General Shareholders’ or Partners’ Meetings. However, the Directors of Sociedad Anónima de Obras y Servicios, Copasa consider that said annual accounts will be approved without any modifications.
b) Non-mandatory accounting principles applied-
Non-mandatory accounting principles have not been applied. The Directors of the Parent Company have prepared these consolidated annual accounts taking into consideration all of the mandatory, applicable accounting principles and rules that have a significant effect on the consolidated annual accounts.
c) Consolidation principles-
The consolidated annual accounts relating to the financial year that ended on 31 December 2009 have been prepared based on the individual annual accounts of Sociedad Anónima de Obras y Servicios, Copasa and of its Subsidiary Companies in which it has a direct or indirect stake, in which the Group has effective control and which are managed by it. The Companies included in the scope of consolidation at 31 December 2009 are listed in Note 2.
Subsidiary companies-
The consolidation of the subsidiary companies over which the Group has effective control, that is, whenever the Parent Company has or may have, directly or indirectly, command and control over subsidiary companies, has been carried out using the full consolidation method.
The consolidation principles and rules used in the full consolidation method were as follows:
1. All significant balances and transactions between the consolidated companies, as well as significant results due to internal operations not carried out with third parties, have been eliminated in the consolidation process.
2. The relevant adjustments and reclassifications needed to standardise the accounting principles and valuation criteria used by the different companies have been made in the consolidation process.
3. At the time of the acquisition of a subsidiary company, its assets, liabilities and contingent liabilities are recorded at their reasonable value on the acquisition date. The positive differences between the acquisition price and the reasonable values of the acquired identifiable net assets are recorded as “Goodwill”, and the negative differences are entered against results on the acquisition date.
4. The share of minority shareholders or partners in the profits or losses of the equity of the subsidiary companies is determined based on their existing voting rights at the time, without considering the financial year or the conversion of potential voting rights. The share of external partners is established based on the proportion of the reasonable values of the assets and liabilities recognised from the ¿?. Any loss that is applicable to the external partners that exceeds the book value of said minority interests is entered against the stakes of the Parent Company, unless the minorities have a binding obligation to cover part or all of the losses, and provided that they have the capacity to make the necessary additional investment.
5. The value of the share of minority partners or shareholders in the equity and in the results of the subsidiary companies is presented within the consolidated equity of the Group in the section “External Partners” of the consolidated balance sheet and under the heading “Result attributed to External Partners” of the consolidated profit and loss account respectively.
6. The consolidation of the results generated by subsidiary companies acquired in a certain time period is carried out solely taking into consideration those related to the period between the acquisition date and the balance sheet date. Likewise, the consolidation of the results generated by subsidiary companies disposed of in a certain time period is carried out solely taking into consideration those related to the time between the start of the period and the disposal date.
7. The acquisitions from minority partners of their stakes in subsidiary companies in which the Group already had effective control and that therefore solely cause an increase in the stake percentage of the Group in said companies, constitute, from a consolidated point of view, transactions involving equity securities, meaning that, in accordance with the contents of the Recording and Valuation Norms (NRV) point 9, section 4 of the General Accounting Plan, the balance of the “External Partners” section is reduced and the consolidated reserves are adjusted by the difference between the value of the counterpart entry made by the Group and the amount at which the balance of the “External Partners” section has been modified, not entering any “Goodwill” at all for this operation and without modifying the amount of any “Goodwill” that may have been recorded, nor that of other assets or liabilities of the consolidated balance sheet.
8. Internal dividends are considered as those recorded as income for the financial year of any Group company that have been distributed by another company belonging to the Group. Dividends received by Group companies relating to the distribution of profits from previous financial years are deleted, being considered as reserves of the beneficiary company and are included within the accounts “Other Reserves” or “Reserves in Consolidated Companies” in the section “Equity – Shareholders’ Equity” of the consolidated balance sheet, depending on whether the company that receives the dividend is a parent or subsidiary company. Interim dividends are eliminated against the debtor account representing them in the company that distributed them.
The working currency of the Copasa Group is the euro. Consequently, all balances and transactions entered in currencies other than the euro are considered as being entered in foreign currency. The conversion of the financial statements of the Subsidiary Companies with a working currency different to the euro is carried out as follows:
a. All the assets, rights and obligations have been converted to the working currency using the exchange rate in force on the closing date of the accounts of the foreign company to be included in the consolidation.
b. The profit and loss entries have been converted by using the existing exchange rate on the date when the relevant transactions were carried out.
c. The equity is maintained at the recorded exchange rate on the date of its acquisition (or at the average exchange rate of the financial year of the transaction, both in the case of accumulated results and of the contributions made) as appropriate.
The differences resulting from the application of this conversion method are included in the shareholders’ equity of the consolidated balance sheet under the heading “Exchange Rate Differences”, the part of said difference that relates to external partners being deducted, which is then presented in the section “External Partners” of the consolidated equity.
Multi-group companies-
The consolidation of multi-group companies has been carried out using the proportional consolidation method, which consists of including the assets, rights and obligations and the income and expenditure of the aforementioned companies in the same proportion as the stake percentage that the Group has in their capital.
The consolidated annual accounts do not include the tax effect that, where appropriate, may be derived from including the non-distributed reserves and profits of the consolidated subsidiary companies in the equity of the Parent Company, given that it is accepted that the transfer of funds not subject to tax at source will not be made, as it is considered that these reserves will be used as a source of self-financing in each consolidated company.
Associated companies-
Stakes in associated companies, which are entered under the heading “Stakes Consolidated by the Equity Method” of the attached consolidated balance sheets, are presented by the equity method, that is, by applying the stake percentage to the reasonable value of the assets acquired and liabilities assumed, including where appropriate the positive difference (goodwill) between the cost of the stake and the prior value at the time of acquisition. Later this value will be adjusted by the changes in the equity of the company consolidated by the equity method, as well as by the valuation corrections due to any impairment that may exist, both of the value of the stake and of the goodwill. Said corrections are calculated as the difference between their book value and the recoverable amount, this being understood as the highest amount between their reasonable value minus the sales costs and the current value of the future cash flows derived from the investment. Subject to the recoverable amount, the equity of the investee company is taken into consideration, corrected by the tacit gains that exist on the valuation date, including the goodwill, if there is any.
In the case of transactions carried out with associated companies, the obtained profits or losses are deleted from the stake percentage that the Group has in their capital.
d) Responsibility for the information and estimates made-
The information included in these consolidated annual accounts is the responsibility of the Directors of the Parent Company.
Estimates made by the Directors of the Parent Company have been used in the preparation of these consolidated annual accounts, by valuing some of the assets, liabilities, income, expenditure and commitments that are recorded therein. These estimates basically refer to:
- The valuation of possible losses due to the impairment of certain assets (see Note 4-b).
- The useful life of the tangible and intangible assets (see Notes 4-a and 4-b).
- The calculation of provisions (see Notes 4-j and 4-k.)
- The calculation of the impairment of goodwill.
- The tax deferred assets recoded in the consolidated balance sheet (Note 16).
- The market value of certain financial instruments.
- The classification of leasings as operational or financial.
- The determination of the degree of execution of works.
Despite the fact that these estimations have been made on the basis of the best information available at the close of the 2009 financial year, it is possible that events that may take place in the future will make their modification necessary (upwards or downwards) in the coming financial years, which would be done, if necessary, prospectively.
e) Grouping of items-
Certain entries of the consolidated balance sheet, of the consolidated profit and loss account, of the statement regarding changes in the consolidated equity and of the statement regarding consolidated cash flows are presented grouped together in order to facilitate their understanding, although, whenever the information is significant it is included separately in the relevant consolidated Notes to the consolidated Report.
f) Comparison of the information-
The information related to the 2008 financial year that is included in this consolidated Report is solely and exclusively presented for the purposes of comparison with the information from the 2009 financial year.
4. Recording and valuation norms
The main recording and valuation norms used in the presentation of these consolidated accounts were as follows:
(a) Intangible fixed assets-
As a general rule, the intangible fixed assets are initially valued at their acquisition price or production cost. They are later valued at their cost reduced by the relevant accumulated amortization and, when appropriate, by any losses due to impairment that they have suffered, in accordance with the criterion mentioned in Note 4.b. Said assets are amortized depending on their useful life.
The Group uses the following criteria for the recording of its intangible fixed assets:
Research and development. The expenses of research and development are entered as they are incurred at their acquisition price, under the entry “External Services” in the consolidated profit and loss account. However, the Group records them under the entry “Intangible Fixed Assets – Development” in the consolidated balance sheet when the following conditions are fulfilled:
a. They are specifically separated by projects and their cost is clearly established so that it can be distributed over time.
b. The Directors of the Parent Company have justified reasons regarding the technical success and regarding the economic-commercial profitability of the projects in question.
The capitalised research and development expenses are amortized linearly throughout their useful life within a maximum period of five years, depending on the project in question, from the date of their activation or from the finalization date of the projects respectively. However, when there are reasonable doubts regarding the technical success or the economic-commercial profitability of a project, the capitalised expenses of the project are allocated directly to the results of the financial year in which this situation becomes clear.
Administrative concessions. The administrative concessions include the costs incurred in the obtaining of the concessions. The Group will begin the amortization of said concessions from the time when they are ready to be used and operated. The administrative concessions are amortized linearly throughout their operating years.
The costs due to interest that are directly attributable to the intangible fixed assets that need a substantial period of time to be prepared for their use or sale, are added to the cost of said assets until the assets are generally ready for their use or sale. In the event that financing has been obtained specifically for said assets, the amount of the interest and other activated financial charges is included in the real costs incurred during the period, minus the income obtained from the temporary investment of the specific loans that have still not been invested in certain assets. In the event that the financing is general, then the amount of capitalised interest is determined by applying the capitalization rate related to the weighted average of the applicable interest costs to the average financing other than the specific financing that is pending in the financial year.
However, the capitalisation of interest is suspended during times when the development of the asset is interrupted, whenever the interest is significantly extended over time.
Other interest costs are allocated to results in the period in which they are incurred.
Computer applications. The Group records the costs incurred in the acquisition and development of computer programs in this entry and they are amortized linearly over a period of three years from being put into operation. The amortization periods have been established taking into account the estimated useful life of the programs.
The maintenance costs of the computer programs are recorded in the consolidated profit and loss account of the financial year in which they are incurred.
Whenever there are signs of loss of value, the Group will proceed to estimate, through what is known as the impairment test, the possible existence of losses of value that reduce the recoverable value of said intangible assets to an amount lower than their book price. The recoverable amount is determined as the highest amount between the reasonable value minus the sales costs and the value in use.
b) Tangible fixed assets-
Tangible fixed assets are initially valued by their acquisition price or production cost, and are later reduced by the relevant accumulated amortization and any losses due to impairment that the assets have suffered. In this regard, whenever there are signs of loss of value, the Group will proceed to estimate, through what is known as the impairment test, the possible existence of losses of value that reduce the recoverable value of said assets to an amount lower than their book price. The recoverable amount is determined as the highest amount between the reasonable value minus the sales costs and the value in use.
Similarly, when there are signs that the value of impaired tangible assets has been recovered, the Group records the reversion of the loss due to impairment entered in previous financial years, by crediting the profit and loss account and, consequently, the future charges are adjusted regarding their amortization. Under no circumstances can the reversion of a loss due to impairment mean an increase in its book value over the value that it would have if losses had not been recorded due to impairment in previous financial years.
The upkeep and maintenance costs of the various elements that comprise the tangible fixed assets are allocated to the profit and loss account of the financial year in which they are incurred. In contrast, the amounts invested in improvements that contribute to an increase in the capacity or efficiency or to extending the useful life of said assets are recorded as their increased cost.
The work that the Group carries out for its own fixed assets are recorded at the accumulated cost that results from adding the external costs, the internal costs, determined depending on the Group’s consumption of its own materials, the direct labour costs incurred and the general manufacturing costs calculated based on absorption rates similar to those applied for the purposes of stock valuation.
The Group amortizes its tangible fixed assets linearly, applying annual amortization percentages that are calculated depending on the estimated useful life of the respective assets, in accordance with the following list:

The rights derived from financial leasing contracts are recorded according to the type of asset, by applying criteria established by the General Accounting Plan. Therefore, the financial expenses of the transaction are not recorded in advance as “Expenses to Be Distributed over Several Financial Years” and the financial debt is recognized as the principal sum pending repayment to the financial entity. The amortization of the rights on assets under financial leasing will follow the same amortization system as was applied before, but the accumulated amortization is entered under the heading for fixed assets depending on the type of asset with which it is associated.
The investments made by the Group in installations that it has leased and are definitively added as property are also recorded under this heading. They are recorded at the price paid. The amortization of these assets is carried out during the term of the leasing contract or within the useful life time period of the asset if this is shorter.
For those fixed assets that need a time period of over one year in order to be ready to use, the capitalised costs include any financial expenses that have been incurred before the preparation for use of the asset and that have been drawn by the supplier or relate to loans or other kinds of external financing, either specific or general, that are directly attributable to the acquisition or manufacture of the asset.
The total costs incurred in the construction of four service areas are also recorded (see Note 6), which are managed as an administrative concession and that are amortized within the number of years of the concessionary period or useful life of the assets, whichever is shorter, and therefore the Directors of the Parent Company do not consider the establishment of a reversion fund to be necessary for the aforementioned assets.
Interest costs
For any fixed assets that need a time period of over one year in order to be ready to use, the acquisition price or cost of production will include any financial expenses that have been incurred before the preparation for use of the tangible fixed asset and that have been drawn by the supplier or relate to loans or other kinds of external financing, either specific or general, that are directly attributable to the acquisition, manufacture or construction of the asset. Other interest costs are allocated to results in the period in which they are incurred.
The financial expenses capitalised by the Parent Company as “Tangible Fixed Assets” during the 2009 financial year stood at 86,162 euros (17,483 euros in the 2008 financial year).
c) Goodwill of consolidated companies-
The positive difference on the acquisition date between the cost of the stake in the capital of the subsidiary company and the proportional part of the reasonable values of the acquired identifiable assets and of the assumed liabilities that are attributable to the acquired stake is recorded in the assets of the consolidated balance sheet as “Goodwill”.
The goodwill is only recorded when it has been acquired for a good and valuable consideration, is assigned to one or more specific cash generators and represents advance payments made by the acquiring company regarding future economic benefits derived from the equity elements of the acquired company that are not individual and separately identifiable and recognizable.
Goodwill is not amortized. However, in accordance with the First Transitional Provision of Royal Decree 1514/2007 of 16 November, which approves the General Accounting Plan, the Group decided to value all the equity elements included in the opening balance in accordance with the principles and rules in force before the entry into force of the 16/2007 Act of 4 July, regarding the reform and adaptation of commercial legislation in accounting matters for its international harmonisation based on European Union legislation, except for financial instruments that are valued at their reasonable value, and therefore the “Goodwill” acquired for a valuable consideration before 1 January 2008 (the transition date to the new accounting regulations) are recorded without the amortizations carried out until 31 December 2007.
The procedure introduced by the Management of the Group for the execution of the impairment test of the goodwill entries of the tangible and intangible fixed assets is as follows:
• The recoverable values are calculated for each cash generating unit, although in the case of tangible fixed assets, whenever possible, the impairment calculations are carried out element by element, individually.
• The Management of the Group prepares its business plan by market and activities for each cash generating unit, including a time horizon of at least five financial years. The main components of said plan are:
- Result projections.
- Investment and working capital projections.
• Other variables that influence the calculation of the recoverable value are:
- The discount rate to be applied, this being understood as the weighted average of the cost of capital, with the main variables that influence the calculation being the cost of liabilities and the specific risks of assets.
- The growth rate of the cash flows used to extrapolate the cash flow projections beyond the period covered by budgets or forecasts.
The projections are prepared based on past experience and depending on the best available estimates, these being consistent with information supplied from outside.
The prepared business plans are reviewed and finally approved by the Board of Directors of the Parent Company.
In the event that a loss needs to be recorded due to the impairment of a cash generating unit to which all or part of a goodwill entry has been allocated, the book value of the goodwill connected to said unit is reduced first. If the impairment exceeds this amount, then the other assets of the cash generating unit are reduced in proportion to their book value up to the limit of the highest value among the following: their reasonable value minus the sales costs, its value in use and zero.
When a loss due to impairment later reverts (something that is not permitted in the specific case of goodwill), the book price of the asset or of the cash generating unit in increased by the reviewed estimate of its recoverable amount, but in such a way that the increased book value does not exceed that book value that would have been determined if no loss due to impairment had been recognised in previous financial years. Said reversion of a loss due to impairment of value is recorded as income.
None of the recorded goodwill entries has suffered a loss due to impairment of value during the 2009 financial year, based on the analysis carried out by the Management of the Group.
Negative difference-
In the event that on the acquisition date of a subsidiary company it becomes clear that there is a negative difference between cost of the stake in its capital and the proportional part of the reasonable values of the acquired identifiable assets and of the assumed liabilities that are attributable to the acquired stake, said negative difference is recorded as income in the consolidated profit and loss account of the financial year in which the acquisition takes place, under the heading “Negative Consolidation Difference of Consolidated Companies”.
(d) Leasings-
Leasings are classed as financial leasings provided that it can be derived from their conditions that the risks and benefits inherent in the ownership of the asset subject to the contract are substantially transferred to the lessee. Other leasings are classified as operational leasings.
Financial leasing-
In the financial leasing transactions in which the Group acts as the lessee, the cost of the leased assets is presented in the balance sheet in accordance with the type of the asset subject to the contract and a liability for the same amount is also recorded. Said amount will be the lowest amount between the reasonable value of the leased asset and the actual value of the minimum agreed amounts at the start of the leasing, including the purchase option, whenever there are no reasonable doubts regarding its exercise. The contingent rent payments, the cost of services and the taxes payable by the lessor will not be included. The total financial burden of the contract is allocated to the profit and loss account of the financial year when it accrues, applying the effective interest rate. The contingent rent payments are recorded as an expense in the year in which they are incurred.
The assets recorded by this type of transaction are amortized using similar criteria to those applied to the tangible assets as a whole, depending on their type.
Operational leasing-
Leasings that are classed as operational leasings are those in which the risks and benefits inherent to the ownership of the asset subject to these contracts are not transferred. The expenses derived from the operational leasing agreements are charged to the profit and loss account in the financial year in which they are incurred.
Any receipt or payment that may be made when contracting operational leasing will be treated as an advance receipt or payment that will be allocated to results throughout the leasing period, to the extent that the benefits of the leased asset are not ceded or received.
(e) Financial instruments
A financial instrument is a contract that creates a financial asset in an entity and also a financial liability or capital instrument in another entity.
A financial derivative is a financial instrument whose value changes in response to changes in an observable market variable (such as an interest rate, exchange rate, the price of a financial instrument or a market index), and whose initial investment is very small compared to other financial instruments with a similar response to changes in market conditions and which is, generally speaking, liquidated at a future date.
A capital instrument is a legal transaction that shows a residual stake in the assets of the entity that issues it, once all its liabilities are deducted.
1. Financial assets
The financial assets that the Group has are classed into the following categories:
a) Financial assets available for sale: These are short and long-term investments in rights to the equity and listed or unlisted shares on a regulated market or other securities, such as stakes in collective investment institutions or stakes in companies that are not considered as being related parties.
b) Loans and receivables in the long and short-term: These are financial assets arising from the sale of goods or the provision of services for trade operations of the company, or those not being of a commercial origin, are not equity nor derivatives and whose fees are fixed determinable and are not traded in an active market.
c) Investments held until maturity: Debt securities with fixed maturity date and collection of determinable amounts to be traded in an active market in which the company states its intention and ability to hold them in their power until maturity.
d) Surrendered securities: Surrendered financial assets related primarily to operating leases.
Initial assessment-
Financial assets are initially measured at their fair value which, unless there is evidence to the contrary, will be the price of the transaction, which equates to a fair value of the services delivered plus transaction costs directly attributable to them. However, the loans for trade operations with a maturity not exceeding one year and not having a contractual interest rate, as well as advances and loans to personnel, dividends receivable and the expenditure required on equity instruments whose value is expected in the short-term, may be valued at par value when the effect of not discounting cash flow is not significant.
In particular, the submitted securities are valued at the amount paid.
Subsequent assessment-
Financial assets available for sale are measured at the fair value recorded in the equity that results from changes in the fair value until the asset is disposed of or has suffered a loss of value (either stable or permanent in nature), at the time in which such earnings previously recognised in equity are to be recorded in the profit and loss account. In this sense, it is considered impaired (permanent) if there has been a drop of more than 40% of the market value of the asset during a period of one and a half years, without any recovery in the value. In the event that the fair value ceases to be reliable, these assets are valued at purchase price, taking into account the effects of appropriate valuation adjustments, the equity adjusted by the unrealised gains at the time of valuation.
Loans and receivables in the short and long-term and investments held to maturity are measured at their amortized cost, calculated by using the "effective interest rate" method, which is the rate that is equals to the initial value of a financial instrument to all its estimated cash flows from all sources over its remaining life. However, commercial loans with a maturity not exceeding one year, according to that stated above, are initially measured at their nominal value, and will continue to be valued up to that level unless they had deteriorated.
Securities are valued at their face value, given that the effect of not discounting future cash flows is not significant.
At least at year end the Group performs an impairment test for assets that are not recorded at fair value. It is considered that objective evidence exists of impairment if the financial asset’s recoverable amount is less than its book value. When this occurs, this impairment is recorded in the profit and loss account. In particular, regarding the valuation adjustments relating to Commercial debtors and other receivables, the Company obtains the amount of such value adjustments by the individual study of the economic recovery of accounts receivable at 31 December 2009, giving the respective provisions depending on the risk that the possible insolvency presents compared to its collection.
The Group retires financial assets when they expire or when they have surrendered the rights to cash flows on the corresponding financial assets and having transferred substantially all risks and benefits inherent to their ownership.
In contrast, the Group retires financial assets and recognises a financial liability at an amount equal to the consideration received, in the assignments of financial assets under which it substantially retains the risks and benefits inherent to their ownership.
2. Derivative Financial Instruments
Some of the U.T.E.s in which the Parent Company participates use derivative financial instruments to reduce its exposure to interest rate risks, by the fluctuation of the Euribor which is referenced by their bank debts.
Hedge transactions: Derivative financial products are used as part of its strategy to limit the volatility of the financial burden of some of its liabilities. When these transactions meet certain requirements, such operations are considered as a "hedge transaction".
When a transaction is designated as a hedge, this is done from its beginning, properly documenting the stated hedge transaction. In the documentation of these hedge transactions, the instrument or hedged instruments and the instrument or hedging instruments are properly identified, as well as the nature of the risk to be hedged and the criteria or methods followed by the U.T.E.s to assess the effectiveness of the hedge for its term, considering the risks to be hedged.
Each of the U.T.E.s in which the Parent Company participates and that has contracted these financial instruments are only considered as hedges when they are considered highly effective throughout their term. A hedge is considered highly effective if, during its expected life, the changes that occur in fair value attributable to the risk covered in the hedging instrument or the financial instruments hedged are almost entirely offset by changes in the fair value of the instrument or hedging instruments.
To measure the effectiveness of hedging transactions as defined, the U.T.E.s analyse them from the beginning to the end of the period defined for the expected hedging, prospectively, that the changes in the fair value of hedged item be attributable to the hedged risk are offset almost entirely by changes in the fair value of hedging instrument or instruments and that, prospectively and retrospectively, the results of the hedge are within a range of variation of eighty to one hundred and twenty-five per cent regarding the outcome of the hedged item.
Hedging that the U.T.E.s have is classed in the following category:
- Cash flow hedges. These cover the variation in cash flows attributed to a particular risk associated with a financial asset or liability or a highly probable forecast transaction, if it could affect the consolidated profit and loss account.
In these Cash Flow Hedges, the differences in value arising from the efficient part of coverage of the hedging are recorded under the heading "Adjustments Due To Changes In Value - Hedging Transactions" and not recognised as income until the losses or gains on the hedged item are recorded in the results or until the date of maturity of the hedged item.
The differences in valuation of the hedging instrument relating to the inefficient part of the hedge transaction cash flows are recorded directly as financial results in the consolidated profit and loss accounts.
The U.T.E.s interrupt the accounting for hedges as such, when the hedging instrument expires or is sold, when the hedge transaction no longer meets the requirements to be considered as such or the consideration of the transaction as hedging is revoked.
When, in accordance with the provisions of the preceding paragraph there is an interruption of the operation of cash flow hedges, the cumulative result of the hedge instrument is recorded under the heading "Adjustments Due To Changes In Value - Hedging Transactions" of the Equity of the balance sheet recorded in that section, which will remain recorded under the heading until the hedged forecast transaction occurs, at which time it shall be allocated to the profit and loss account or will correct the cost of acquiring the asset or liability to be recorded, in the event that the hedged item is a forecast transaction that results in the recording of a financial asset or liability.
3. Financial liabilities
Financial liabilities are those debits and payables that the Group has and that have resulted in the purchase of goods and services for trade operations of the company, or those which, not having a commercial origin, are not considered financial instrument derivatives.
Debits and payables are initially measured at the fair value of the consideration received, adjusted for directly attributable transaction costs. However, the debits due to trade transactions with a maturity not exceeding one year and not having a contractual interest rate, as well as the expenditure required by third parties on stakes, an amount expected to be paid in the short-term, shall be assessed by their nominal value when the effect of not discounting the cash flows is not significant.
Subsequently, these liabilities are measured at the amortized cost, calculated by using the "effective interest rate" method, as indicated above. However, debits with a maturity not exceeding one year, in accordance with the provisions of the preceding paragraph, will initially be measured at their nominal value and will continue to be valued by that amount.
The Group retires the financial liabilities when the obligations that have been generated become extinct.
f) Equity instruments-
The shares of the Parent Company are recorded by the value of the consideration given in exchange, directly as a lesser value of equity. The results derived from the purchase, sale, issuing or amortization of its own equity instruments, are directly recognised in the consolidated equity, but in any event any result is recorded in the consolidated profit and loss account.
g) Stocks-
Stocks are valued at their acquisition price, production cost or attainable net value, whichever is lower. Trade discounts, rebates, other similar items and incorporated nominal interests of debits are deducted when determining the purchase price.
The cost of production includes direct material costs, any direct labour costs and general manufacturing expenses.
The attainable net value represents the estimated selling price less all estimated costs to complete manufacture and all costs that will be incurred in the process of marketing, sales and distribution.
The Group determines the cost price in accordance with the following criteria:
1. The raw and auxiliary materials and materials for consumption and replacement are valued at cost or market value, whichever is lower.
2. The Group accounts for the initial costs of pre-project or project prior to its award, such as stock, under the heading "Work In Progress". These expenses are valued by the costs actually incurred, whether it is known if the project has been awarded or not. If not, they are allocated as income for the year and, if they are, are allocated during the period for implementation of the awarded project, depending on the degree of progress made on it.
3. Land and plots are valued at the acquisition price, the demolition of buildings as well as other expenses related to the purchase (taxes not recoverable from the public treasury, registration costs, etc.). This amount shall not under any circumstances exceed their fair value.
4. Commercial stocks are valued at the acquisition price, including all additional costs that occur until receipt of the same or at net attainable value, whichever is lower.
The market value is determined, in the case of raw materials and other supplies, by their replacement value and, in the case of finished products or those under manufacture, by their estimated attainable value, deducting marketing expenses and where appropriate, the costs necessary to complete manufacture.
The assessment of obsolete products, that are defective or work slowly, has been reduced to their possible attainable value.
Advances on account to suppliers of future supplies are valued at cost.
