X, in its capacity as a principal shareholder of Y will lend a sum of € xxx to Y to be used as working capital and under the following terms and conditions :
1. The loan will be disbursed by the lender in the tranches convenient to and asked for by the borrower after the approval by BNR - Banca Nationala a Romaniei (to be arranged by the borrower). The amounts will be remitted to the bank acount of the borrower open with Banca yyy, branch z, IBAN ooooooo.
2. The loan carries a simple interest of 7% per annum payable quarterly and if in arrears such arrears will also carry the same amount of interest( Basis of calculation 30 days/360 days- a quarter is three months). No other charges or commissions, by whatever name called, can be charged by the lender to the borrower.
3. It is repayable upon the expiry of thirteen months from the date of receipt of the loan, failing which upon demand anytime thereafter. In other words if the loan is received on 1st November 2004 it will repaid on 1st December 2005 failing which upon demand any day thereafter. Both the principal and interest have to be repaid in Euro.

X, in calitatea sa de acţionar principal al Y, va împrumuta suma de xxx € către Y pentru a fi folosită ca şi capital de lucru în conformitate cu următoarele clauze şi condiţii :
1. Creditul va fi livrat de către creditor în tranşe avantajoase pentru debitor şi după cum sunt solicitate de către acesta, dupa aprobarea de BNR - Banca Naţională a României (în sarcina debitorului). Sumele vor fi remise în contul bancar al debitorului deschis la Banca yyy, filiala z, IBAN ooooooo .
2. Creditul poartă o dobânda simplă de 7 % pe an, plătibilă trimestrial, iar dacă apar restanţe de plată, aceste restanţe vor purta şi ele aceeaşi dobandă (baza de calcul 30 zile/360 zile - un trimestru are trei luni). Nici un alt fel de speze sau comisioane, oricum s-ar numi acestea, nu vor fi cerute debitorului de către creditor.
3. Este rambursabil la expirarea a treisprezece luni de la data primirii creditului, după aceea rambursarea putând fi facută oricând la cerere. Cu alte cuvinte dacă imprumutul este primit pe 1 Noiembrie 2004 va fi rambursat pe 1 Decembrie 2005 după aceea rambursarea putând fi facută oricand la cerere. Atât creditul cât şi dobanda trebuie plătite in Euro.

8 Obligaţiile Debitorului Ipotecar
8.1 Obligaţii pozitive
Debitorul Ipotecar se angajează prin prezentul Contract:
(a) să respecte toate obligaţiile prevăzute în prezentul Contract;
(b) să-şi îndeplinească toate obligaţiile decurgând din sau în legătură cu orice contract care se referă la Proprietatea Grevată;
(c) să apere şi să menţină valabile drepturile Creditorului Ipotecar în baza prezentului Contract împotriva pretenţiilor şi cererilor oricărui terţ, şi, de îndată ce ia cunoştinţă de asemenea pretenţii şi cereri, să comunice Creditorului Ipotecar în scris:
i. orice litigiu, acţiune, investigaţie sau procedură iniţiată împotriva Debitorului Ipotecar, sau în legătură cu Proprietatea Grevată, pentru motive de orice natură, precum şi
ii. orice ameninţare că acestea ar putea fi iniţiate de orice persoană, sau autoritate de stat sau locală sau agenţie de reglementare sau altă autoritate guvernamentală, inclusiv pentru neplata contribuţiilor fiscale şi sociale, precum şi
iii. alte pretenţii formulate către autorităţi publice care ar putea avea un efect negativ asupra capacităţii Debitorului Ipotecar de a-şi respecta obligaţiile în baza oricărui Document de Finanţare sau asupra valabilităţii sau punerii în executare a acestora;
(d) să plătească la timp şi în mod corespunzător oricare şi toate taxele, impozitele, spezele şi obligaţiile de plată (inclusiv taxele de timbru) ce trebuie plătite în legătură cu Proprietatea Grevată cu excepţia situaţiilor în care plata respectivelor taxe, impozite, speze şi obligaţii de plată a fost amânată în mod expres sau a fost supusă unor alte modalităţi de îndeplinire sau achitare de către autorităţile relevante, şi să furnizeze de îndată Creditorului Ipotecar orice documente care pot fi solicitate în mod rezonabil pentru a dovedi o astfel de plată, înţelegându-se că Creditorul Ipotecar nu va suporta nici un cost în baza Ipotecii constituite prin prezentul Contract, iar orice taxe, impozite, deduceri, reţineri la sursă sau alte costuri născute în legătură cu prezenta Ipotecă, prezente şi/sau viitoare, vor fi plătite de Debitorul Ipotecar;
(e) să notifice imediat Creditorului Ipotecar orice acţiune sau inacţiune care ar putea reduce valoarea Proprietăţii Grevate sau a oricărei părţi a acesteia şi să nu se angajeze în nici o astfel de acţiune sau inacţiune fără a avea acordul scris prealabil al Creditorului Ipotecar;
(f) să asigure Creditorului Ipotecar accesul la Proprietatea Grevată, în baza unei notificări scrise prealabile a Creditorului Ipotecar, ori de câte ori acesta este solicitat de către Creditorul Ipotecar, în timpul programului de lucru al Debitorului Ipotecar, în scopul inspectării Proprietăţii Grevate şi să coopereze în totalitate în cursul acestei inspecţii;
(g) să obţină, să respecte şi să menţină în vigoare şi efect toate autorizaţiile, acordurile, avizele şi licenţele necesare în legătură cu Proprietatea Grevată şi cu prezentul Contract;
(h) să tină o evidenţă corectă a Proprietăţii Grevate şi a veniturilor înregistrate în legătură cu aceasta şi cu privire la bunurile înlocuite sau rezultate având legătură cu acestea, dacă există;
(i) în 5 (cinci) Zile Lucrătoare de la data cererii Creditorului Ipotecar să semneze valabil şi să transmită Creditorului Ipotecar oricare şi toate instrumentele şi documentele, ca de exemplu orice înregistrări, formulare, notificări, înregistrări, acte notariale, sau orice altă dovadă, pe care Creditorul Ipotecar le poate solicita pentru a se bucura de toate drepturile şi puterile acordate prin prezentul Contract, inclusiv orice înregistrări care pot fi necesare pentru a menţine sau păstra Ipoteca asupra dobânzilor, potrivit Articolului 1785 din Codul Civil Român; şi
(j) să întreprindă toate acţiunile care sunt necesare pentru a asigura, menţine şi păstra valabilitatea, caracterul executoriu, perfectarea sau prioritatea Ipotecii din prezentul Contract într-o formă şi cu conţinutul satisfăcătoare pentru Creditorul Ipotecar şi în conformitate cu legile române.

8 Mortgagor’s undertakings
8.1 Affirmative undertakings
The Mortgagor hereby undertakes:
(a) to comply with all the obligations set forth in this Agreement;
(b) to fulfil all its obligations under or in connection with any agreement relating to the Charged Property;
(c) to defend and maintain the Mortgagee’s rights hereunder against the claims and demands of any third party, and, promptly upon becoming aware of the same to inform the Mortgagee in writing of:
i. any litigation, action, investigation or proceeding commenced against the Mortgagor, or in relation to the Charged Property for any reason whatsoever, and of
ii. any threat by any person or state or local authority or regulatory agency or other governmental authority to commence the same, including for the non-payment of the fiscal and social contributions, and of
iii. other claims to public authorities which may have an adverse effect on the Mortgagor’s ability to comply with its obligations under any Finance Document or on the validity or enforceability thereof;
(d) to duly and promptly pay any and all taxes, imposts, levies and duties (including stamp duty) payable in respect of the Charged Property unless payment of those taxes, imposts, levies and duties has been specifically deferred or subjected to an alternative means of settlement or discharge by the appropriate authorities and promptly deliver to the Mortgagee any documents it may reasonably request to prove such payment, it being understood that the Mortgagee shall not incur any costs pursuant to the Mortgage created hereunder and any present and/or future taxes, duties, deductions, withholdings or other charges arising in connection with this Mortgage shall be paid by the Mortgagor
(e) to immediately notify the Mortgagee of any act or omission that could reduce the value of the Charged Property or of any part thereof and not to undertake any such act or omission without the prior written consent of the Mortgagee;
(f) to ensure that the Mortgagee has access to the Charged Property, upon prior written notice by the Mortgagee whenever requested by the Mortgagee, during working hours of the Mortgagor, for the purpose of inspecting the Charged Property and to fully cooperate at any such inspection;
(g) to obtain, comply with and maintain in full force and effect all authorisations, consents, approvals and licences required in connection with the Charged Property or this Agreement;
(h) to keep accurate evidence of the Charged Property and of the proceeds thereof, and of the assets in replacement or arising in connection therewith, if any
(i) within 5 (five) Business Days from the date of the request of the Mortgagee to duly execute and deliver to the Mortgagee any and all such further instruments and documents, e.g. any recording, filing, notification, registration, notarisation or other evidence, as the Mortgagee may require in obtaining all the benefits under this Agreement and of the rights and powers herein granted, including any registrations that may be necessary to maintain or preserve the Mortgage over the interest pursuant to Article 1785 of the Civil Code; and
(j) to take such actions as necessary to ensure, maintain and preserve the validity, enforceability, perfection or priority of the Mortgage herein in form and substance satisfactory to the Mortgagee and in accordance with Romanian law.

1.1 Programmability
The CAREL pCO sistema controllers can be programmed using the EasyTools development system, with the following advantages

The possibility to use the same hardware for different applications allows standardisation, with the clear advantages of being able to feature in-circuit and functional testing and burn-in procedures on all of the products and consequently reach a high level of reliability, both overall and in terms of the individual electronic components EasyTools exclusive CAREL development software, easy to use, for the programming, simulation, supervision and definition of pLAN networks using CAREL terminals and pCO programmable controllers.
