18 General
Payments
18.1 All payments under this Agreement will be made on the due date for value on that date in the Cash Account specified in Schedule 1 for the Party receiving payment, in freely transferable funds in Euro (€).
Corporate Governance
18.2 The Seller acknowledges that the Buyer, being a regulated entity in France and licensed with the French Comité des Etablissements de Crédit et des Entreprises d'Investissement under number 17773, abides by all applicable laws, rules and regulations concerning its activities, including, without limitation, in relation to anti-money laundering, anti-terrorism financing, financial marketing and know-your-client.
Notices
18.3 Any notice given pursuant to this Agreement will be in writing in the English language and will be given by the person giving notice or by its duly authorised representative. It may be served by leaving it at or sending it by prepaid recorded delivery post, third party courier service or by facsimile to the address or facsimile number specified in Schedule 1.
18.4 A notice is taken to be received at the following time:
(a) in the case of third party courier service or in the case of notice left at the address, on the date it is delivered;
(b) in the case of prepaid registered post, on the date it is delivered; and
(c) in the case of facsimile, upon a transmission report, indicating a satisfactory transmission, and confirmation of receipt being obtained from the sender's facsimile machine.
18.5 If the deemed receipt does not take place during Business Hours, then the notice is to be deemed to have been received at the start of Business Hours on the next Business Day.
Waiver
18.6 A provision of or a right created under this Agreement may not be waived or varied except in writing signed by the Party or Parties to be bound.
18.7 A failure to exercise or delay in exercising a right or remedy provided by this Agreement or these terms and conditions or by law does not constitute a waiver of the right or remedy or a waiver of other rights or remedies.
18.8 No single or partial exercise of a right or remedy provided by the Agreement or by law prevents further exercise of the right or remedy or the exercise of another right or remedy.
Entire Agreement
18.9 This Agreement constitutes the entire Agreement of the Parties about its subject matter and supersedes all previous Agreements, understandings and negotiations on that subject matter.
Assignment
18.10 The Seller may not assign its rights or novate its obligations under this Agreement without the prior written consent of the Buyer.
18.11 The Buyer may not assign its rights or novate its obligations under this Agreement without the prior written consent of the Seller, such consent not to be unreasonably withheld or delayed.
18.12 Notwithstanding the above, the Buyer may assign any of its rights or novate any of its obligations under this Agreement, without the prior written consent of the Seller, to any entity with investment grade rating of BBB- or above by Standard & Poors.
Third Parties
18.13 No third party shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any terms of this Agreement.
Amendment
18.14 This Agreement may only be amended by agreement in writing signed by Buyer and Seller.
Exclusive Remedies
18.15 The Parties' rights and remedies under this Agreement shall be their sole and exclusive rights and remedies in connection with the transactions contemplated hereby and each Party hereby expressly waives any and all rights and remedies in connection with this Agreement which may exist at law.
Co-operation
18.16 Each Party acknowledges and agrees that it will do anything which the other Party considers necessary to give full effect to the rights of the Buyer and the Seller under this Agreement, including without limitation signing and delivering documents.
Severability
18.17 If any one or more of the provisions of this Agreement is held invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained herein will not in any way be affected or impaired thereby. The Parties will endeavour, in good faith negotiations, to replace any invalid, illegal or unenforceable provision with one or more valid, legal and enforceable provisions, the economic effect of which comes as close as reasonably possible to that of the invalid, illegal or unenforceable provision.
Waiver of Sovereign Immunity
18.18 Each Party hereby irrevocably agrees that, to the extent it or any of its assets or property has or hereafter may acquire any right of immunity as against the other Party or any other person from any legal proceedings to enforce or collect upon this Agreement or related to any of its other liabilities or obligations in connection with this Agreement or the Project, it hereby expressly and irrevocably waives, and agrees not to assert, any such immunity.

通知

18.7 未行使或延迟行使本协议或本协议条款或法律提供的权利或补救措施并不构成对权利或补救措施的豁免，也不构成对其他权利或补救措施的豁免。
18.8 单独或部分行使本协议或法律提供的某项权利或补救措施不会阻止进一步行使该权利或补救措施，也不会阻止对其他权利或补救措施的行使。
完整协议
18.9 本协议构成双方就所议标的事宜达成的完整协议，并代替所有以前就该事宜达成的协议、理解和谈判。
转让
18.10 若事先未经买方书面同意，卖方不得转让其在本协议项下的权利或义务。
18.11 若事先未经卖方书面同意（此种同意不得无故拒不给予或延迟），买方不得转让其在本协议项下的权利或义务。
18.12 尽管如此，买方可以不经事先取得卖方书面同意而将其在本协议项下的权利或义务转让给任何由标准普尔评定为投资评级达 BBB- 或以上的实体。
第三方
18.13 根据合同（第三方权利）法 1999，无任何第三方有权实施本协议的任何条款。
修改
18.14 本协议只可由买方和卖方书面签订的协议进行修改。
专属补救措施
18.15 本协议所规定的双方的权利和补救措施将是与协议预期的交易有关的唯一专属权利和补救措施，双方据此明确表示豁免其他任何可能合法存在的与本协议有关的权利或补救措施。
合作
18.16 各方承认并同意采取另一方认为必要的措施来充分落实买方和卖方在本协议项下的权利，包括但不限于文件的签署和交付。
可分割性
18.17 如果本协议的任何一个或多个条款在某方面无效、非法或不可执行，本协议包含的其余条款的有效性、合法性和可执行性不会因此而受到任何影响或削弱。 双方应通过善意诚信谈判，努力用一项或多项有效、合法及可执行的条款来替代无效、非法或不可执行的条款，新条款的经济效益应在合理条件下尽可能接近于被替代的无效、非法或不可执行的条款的经济效益。
主权豁免的弃权
18.18 各方特此不可撤销地同意，如果一方或其任何资产或财产已经获得或此后可能获得任何豁免权以保护其不被另一方或任何其他人通过法律诉讼、根据本协议或该方与本协议或本项目相关联的任何责任或义务而强制执行或没收，该方特此明确地、不可撤回地放弃并同意不行使任何此类豁免。
