Conditions Générales de Ventes
Article 1 – Application des conditions générales de ventes
Le fait de passer une commande à notre société implique l’adhésion entière et sans réserve à nos conditions générales de vente ci-dessous.
Article 2 – Modification de commande
Toute modification de commande sollicitée par l’acheteur ne peut être prise en considération que ci elle est parvenue avant l’expédition des produits.
Article 3 – Livraison
Le vendeur se réserve le droit d’apporter à tout moment toute modification qu’il juge utile à ses produits. Nos livraisons sont effectuées sous réserve des stocks disponibles. Le vendeur est autorisé à procéder à des livraisons de façon globale ou partielle. Les délais de livraison sont indiqués aussi exactement que possible mais sont fonction des possibilités de transport du vendeur. Les dépassements de délai de livraison ne peuvent donner lieu à dommages-intérêts, retenue ou annulation de commande en cours. L’organisation des livraisons et le choix éventuel de transporteur relèvent de la responsabilité du vendeur.
Article 4 – Réception
Afin de prévenir tout litige portant sur les marchandises, ou les prix, le document accompagnant la livraison doit être lisiblement signé à sa réception par une personne habilitée.
Article 5 – Cas de force majeure
Les cas de force majeure nous exonéreront de nos engagements. Sont considérés comme cas de force majeure les cas de grève chez nous ou nos fournisseurs, incendie total ou partiel de nos établissements, l’insuffisance des récoltes qui provoquerait des cours plus élevés que les marchés. Les livraisons aux termes des marchés sont de rigueur ; passé le terme des marchés, nous nous réservons le droit de maintenir ou d’annuler le marché sans que l’acheteur puisse invoquer contre nous le défaut de mise en demeure de prendre livraison.
Article 6 – Réclamation
Toute réclamation relative au décompte de la facturation (prix – quantité) devra être formulée dans le mois qui suit la réception de la facture.
Après ce délai, aucune réclamation ne pourra être prise en considération en raison de la même nature de la marchandise livrée.
Article 7 – Paiement, modalité
Le règlement de nos factures s’effectue conformément à la loi N° 92-1442 du 31 décembre 1992 concernant les délais de règlement des produits alimentaires périssables. La date d’échéance portée sur la facture correspond à la date d’exigibilité. Le paiement est réputé effectué lorsque le vendeur à la pleine disponibilité des fonds, contrepartie de la vente. Il appartient au client compte tenu des modes de paiement utilisés, de prendre toute disposition, pour que son règlement parvienne dans le délai imparti. Tout paiement anticipé ne donnera pas lieu à escompte.
Le non-paiement d’une facture à son échéance nous donne le droit d’annuler ou de refuser toute commande du client défaillant, sans qu’aucun délai n’ait à être respecté et sans indemnité de quelque nature que ce soit ne puisse être réclamée. Tout litige de livraison ou de facturation n’est pas suspensif du paiement de la facture à l’échéance fixée. A défaut de paiement à l’échéance prévue, il sera appliqué sur les sommes dues, après mise en demeure au préalable, et à compter de la date d’échéance non respectée, une pénalité égale à une fois et demie le taux de l’intérêt légal.
Article 8 – Compétence
Tout litige relatif à la présente vente, même en cas de recours en garantie ou de pluralité de défendeurs, serait à défaut d’accord amiable de la compétence exclusive des tribunaux de la ville d’Aubenas dans le ressort duquel se trouve le siège social du vendeur. L’application de nos conditions générale de ventes s’entend évidemment sous réserve en cas de force majeurs.

General Terms and Conditions of Sale
Article 1 – General provisions
The Terms and Conditions described below are acknowledged upon placing an order and apply for the entire duration of the business relationship.
Article 2 – Order modification
Any order modification requested by the buyer will be taken into consideration only if received before the shipping of the products.
Article 3 – Delivery
The seller reserves the right at any time to modify its products when judged useful. Delivery will be made subject to stocks and availability. The seller is authorized to deliver the goods partially or globally. The delivery dates are as accurate as possible but are given according to the seller’s transport possibilities. The buyer shall not be entitled to use any late delivery as a justification for cancelling the sale, rejecting the goods or claiming any compensation. The seller is responsible for the delivery organization and for the choice of the possible shipping company.
Article 4 – Reception of the goods
In order to prevent any dispute about the goods or the prices, the document coming with the delivery must be legibly signed when received by an authorized person.
Article 5 – Force majeure
In the case of force majeure, we will be excused from the fulfillment of our obligations. Are considered as force majeure cases strikes from our part or from our suppliers, partial or complete fire of our premises, and the shortage of harvest that would cause higher market prices.
Deliveries in the terms of the market are the rule; passed the terms of the market, we reserve the right to maintain or cancel the market without the buyer’s claiming against us for formal demand of delivery acceptance.
Article 6 – Claim
All claims in relation with the counting of the invoicing (price-quantity) shall be expressed during the month following the reception of the invoice. After this delay, no claim will be taken into consideration.
Article 7 – Terms of Payment
The payment of invoices is made in accordance with the law N° 92-1442 of the 31 st of December 1992 concerning the payment time for perishable food products. The maturity date on the invoice tallies with the due date. The payment is considered complete once the seller has the full availability of the funds considered as the compensation for the sale. It is the buyer’s responsibility, concerning the method of payment to ensure the payment is made in time. No discount shall be applied for early payment.
Failing customer to respect the payment terms, we reserve the right to cancel or refuse any order without prior notice nor compensation.
The submission of a transport or an invoicing claim shall not exempt the customer from paying the price of the products within the required payments terms.
In the event of non-payment on the maturity date, the buyer shall be liable on notice, from the day after the maturity date, to a penalty for late payment calculated by applying an interest rate of 1.5 times the legal interest rate to all the sums remaining due.
Article 8 – Governing law and jurisdiction
Any dispute in relation with the present sale, even in case of multiple defendants and in the absence of mutual agreement is to be submitted only to the competent court of Aubenas where the seller’s headquarters are registered. These General Conditions shall apply under the conditions in case of force majeure.
