18. Governing Law. This Agreement, including its interpretation, performance and enforcement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America.
19. Binding Effect. This Agreement shall inure to the benefit of and be binding upon the parties hereto and to their respective successors, assigns and legal representatives.
20. Nonwaiver. No provisions of this Agreement will be waived by any party except in writing. The parties hereto agree that the waiver by any party of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any subsequent breach of that provision by the same party, or any other provision or condition of this Agreement.
21. No Joint Venture. Nothing herein contained shall be construed to place the parties in the relationship of partners, joint venturers or principal and agent and neither party shall have any power to obligate or bind the other party in any manner whatsoever.
22. Severability. If any provision or application of this Agreement shall be held invalid or unenforceable, the remaining provisions and applications of this Agreement shall not be affected, but rather shall remain valid and enforceable.
23. Counterparts and Fax Transmissions. This Agreement may be executed in one or more counterparts with signatures exchanged via fax transmission. Each such signature shall be deemed valid, binding and enforceable and each such counterpart shall be deemed a valid, binding and enforceable original agreement.
24. Entire Agreement. This Agreement constitutes the entire agreement and supersedes any and all other understandings and agreements between the parties with respect to the subject matter hereof and no representation, statement or promise not contained herein shall be binding on either party. This Agreement may be modified only by a written amendment duly signed by persons authorized to sign agreements on behalf of the parties and shall not be supplemented or modified by any course of dealing or trade usage.

18. Legislación aplicable. El presente Contrato, así como su interpretación, ejecución y cumplimiento, estarán regidos y se interpretarán de acuerdo con la legislación del Estado de Carolina del Norte, Estados Unidos de América.
19. Efecto vinculante. El presente Contrato vinculará y redundará en beneficio de las partes y sus respectivos sucesores, causahabientes y representantes legítimos.
20. Renuncia de derechos. Cualquier renuncia de alguna de las disposiciones del presente Contrato por cualquiera de las partes contratantes deberá realizarse por escrito. La omisión por cualquiera de las partes a exigir el cumplimiento de cualquier término del presente Contrato no podrá considerarse en ningún caso una renuncia al ejercicio futuro de dicha disposición contractual ni de ninguna otra condición del mismo.
21. Relación de las partes. Ninguna de las condiciones del presente podrá llevar a concluir que las partes mantienen una relación de socios y asociados o principal y agente, y ninguna de las partes tendrá autoridad alguna para obligar o vincular a la contraria en modo alguno.
22. Autonomía del clausulado. En caso de que alguna de las estipulaciones del presente Contrato o la aplicación del mismo resultaran ser inválidas o inejecutables, ello no afectará a las demás estipulaciones, que conservarán su plena validez y eficacia.
23. Duplicados y Transmisiones de Fax. El presente Contrato podrá ser otorgado en una o más copias mediante el intercambio de firmas a través de transmisiones de fax. Todas las firmas se considerarán válidas, vinculantes y ejecutables, y cada una de las copias constituirá un contrato original válido, vinculante y ejecutable.
24. Integridad del Contrato. El presente contrato contiene el acuerdo completo de las partes y sustituye a todos los pactos o acuerdos entre las mismas en relación con el objeto del mismo, de modo que ninguna manifestación, declaración o promesa no contenida en el presente podrá ser vinculante para ninguna de las partes. El presente contrato sólo podrá modificarse mediante un acuerdo debidamente firmado por las personas autorizadas para suscribir acuerdos en nombre de cada una de las partes y no podrá ser completado ni modificado a través de negociación o uso comercial alguno.
