EMPLOYEE CONFIDENTIALITY AGREEMENT
THIS CONFIDENTIALITY AGREEMENT (“the Agreement”) IS MADE BETWEEN
(1) the undersigned Mr. ………. (hereinafter referred to in the first person or as the Employee); and
(2) XXXXX S.p.A with offices at ____________________ (MI) Italy (hereinafter referred to as "XXXXX").
In consideration of my employment with XXXXX (which for purposes of this Agreement shall be deemed to include any subsidiaries or Affiliates of XXXXX), the receipt of confidential information while associated with XXXXX, and other good and valuable consideration, I, the undersigned individual, agree that:
Term of Agreement.
This Agreement shall continue in full force and effect for the duration of my employment by XXXXX (the "Period of Employment") and shall continue at any time after termination of the Period of Employment, as provided in this Agreement.

IL PRESENTE ACCORDO DI RISERVATEZZA (“l’Accordo”) È STIPULATO TRA
(1) il sottoscritto, Sig. ……………(in seguito denominato il Sottoscritto o il Dipendente); e
(2) XXXXX S.p.A. con sede legale in ______________________ (MI) Italia (nel seguito, “XXXXX”).
Il sottoscritto, in considerazione del suo impiego presso XXXXX (la quale Società dovrà, ai fini del presente Accordo, intendersi comprensiva di ogni società sussidiaria o Affiliata di XXXXX), delle informazioni riservate che gli saranno rivelate nel corso del proprio rapporto dipendente con XXXXX, per altre considerazioni utili e vantaggiose, conviene quanto segue:

JOINT VENTURE AGREEMENT
7. Each Joint Venture shall be bound by any action taken by the Venture Manager in good faith under disagreement. In no event shall any Joint Venturer be called upon to pay any amount beyond the liability arising against him on account of his capital contribution.
8. The Venture Manager shall not be liable for any error in judgment or any mistake of law or fact or any act done in good faith in the exercise of the power and authority as Venture Manager, but shall be liable for gross negligence or wilful default.
9. The relationship between the Joint Venturers shall be limited to the performance of the terms and conditions of this agreement. Nothing herein shall be construed to create a general partnership between the Joint Venturers, or to authorise any Venturer to act as a general agent for another, or to permit any Joint Venture to bind the other except a set forth in this agreement, or to borrow money on behalf of another Joint Venturer, or to use the credit of any Joint Venturer for any purpose.
11. This agreement shall be governed by and interpreted under law of England and Wales. Any claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration in accordance with the Rules of the Chartered Institute of Arbitrators and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
13. This agreement constitutes the entire agreement between the Joint Venturers pertaining to the subject matter contained in it, and supersedes all prior and contemporaneous agreements, representations, warranties and understandings of the parties. No supplement, variation or amendment of this agreement shall be binding unless executed in writing by all the parties hereto. No waiver of any of the provisions of this agreement shall be deemed, or shall constitute, a waiver of any other provision, whether similar or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless in writing signed by the party making the waiver. | Translation - Italian
CONTRATTO DI JOINT VENTURE
7. Ciascuna società partecipante alla Joint Venture sarà tenuta a rispettare ogni decisione che il Venture Manager prenderà in buona fede ai sensi del presente accordo. Ciascuna società potrà in nessun caso essere chiamata a versare qualsivoglia somma, al di là della responsabilità, che insorge in capo alla medesima, della quota di capitale versata.
8. Il Venture Manager non sarà responsabile per qualsivoglia errore di valutazione, qualsivoglia errore di diritto o di fatto, qualsivoglia azione in giudizio promossa in buona fede nell’esercizio del proprio ruolo di Venture Manager e dei poteri da esso derivanti, ma sarà responsabile per colpa grave o omissione intenzionale.
9. I rapporti tra le società partecipanti alla Joint Venture dovranno limitarsi all’adempimento dei termini e delle condizioni del presente contratto. Niente di quanto previsto dal presente contratto dovrà essere inteso a creare accordi di partnership tra le società partecipanti alla Joint Venture, oppure al fine di autorizzare alcuna società ad agire in qualità di agente generale per conto di un’altra parte, oppure al fine di permettere ad alcuna società partecipante alla Joint Venture di vincolare un’altra parte, salvo diversamente previsto nel presente Accordo, oppure di prendere denaro in prestito per conto di un'altra società partecipante, oppure al fine di approfittare della fiducia di alcuna società partecipante alla Joint Venture per qualsivoglia intento.
11. Questo accordo dovrà essere regolato e interpretato in accordo con le leggi dell’Inghilterra e del Galles. Ogni controversia derivante da o in relazione al presente contratto, o la violazione del medesimo, dovrà essere risolta a mezzo di arbitrato in conformità alla disciplina del Chartered Institute of Arbitrators e la pronuncia di lodo arbitrale dovrà essere depositata presso la cancelleria dei tribunali di competenza.
13. Il presente accordo costituisce l’intero accordo tra le società partecipanti alla Joint Venture relativamente all’oggetto del contratto, e sostituisce ogni accordo, dichiarazione, impegno e intesa tra le parti, precedente o contemporaneo allo stesso. Nessuna integrazione, variazione o modifica al presente contratto sarà vincolante, a meno che non sia convalidata per iscritto dalle parti.
La rinuncia a singole disposizioni del presente contratto non sarà considerata, e non comporterà, la rinuncia ad alcuna altra disposizione del medesimo, analoga o meno, e nemmeno potrà avere validità continuativa. Ogni singola rinuncia non potrà essere vincolante a meno che non sia formulata per iscritto e sottoscritta dalla parte rinunciataria.
