Six page translation: Inventory Count Procedures
The translation of this Inventory Count Procedure did not demand many days, however, it resulted to be a difficult one as regards its technical terminology, I had to find the translation not only of many accounting terms but also of terms relating to other fields such as foreign trade, oil industry, machinery, etc.

Source text - English In the Days Preceding the Count
• Each storage shelf should be assigned a number and labeled.
• Physically separate R&D parts from Commercial parts. R&D should not be counted. These items should be marked “R&D – do not count”.
• EM parts do not need to be counted. These assets are owned by the US company
• The only Beaver items that need to be counted are those BVP and BVM items that are delivered to Smith, but not yet billed. Motor Mills are fixed assets and do not need to be counted.
• DPI bits do not need to be counted.
• All non-stocking items should be labeled as “Non-Stocking- Do not Count” through the affixing of red stickers to all non stocking items. The stickers should still be there from our August count.
• Consignment Inventory – All items that are owned by our suppliers should be marked. “Consignment Stock, do not count”.
• In the days preceding the count, we need to close all open work orders that have already been delivered to the warehouse.
• We need to receive all POs in the system, that have been physically received. If we were waiting on correct prices from vendors we may need to receive these items at estimates. All open purchase orders need to be reviewed for items not yet received in the system
• We have already counted inventory at remote locations at November month-end ie Singapore, and Argentina.

• Cada estantería de almacenamiento deberá estar enumerada y rotulada.
• Separar físicamente las piezas de R&D (I&D: investigación y desarrollo) de las piezas Comerciales. No efectuar el recuento de las piezas de R&D. Estos artículos deberán estar rotulados con la siguiente leyenda: “R&D – no efectuar recuento”.
• Las piezas de EM no requieren recuento. Estos activos son propiedad de la compañía norteamericana.

English to Spanish: XXX System Integrator Contract Detailed field: Computers: Systems, Networks
Source text - English Section 2 Duration and Termination
2.1. The term of this Agreement shall be for three (1) year beginning on the effective date of this Agreement, as set forth above; and shall terminate on__ June____, unless terminated earlier as provided under paragraph 2.2 below.
2.2. Notwithstanding paragraph 2.1 above, either party may cancel this Agreement at any time, and for any reason, upon giving six month written notice to the other party.
2.3. Termination of this Agreement shall not release either party from the obligation to make payments of all monies due and payable pursuant to the terms of this Agreement.
2.4. Expiration of this Agreement has to be done in a written form by any of the Parties, which states such a fact.
Section 3 Specific Markets
3.1. System Integrator’s Territory: The System Integrator agrees to provide adequate non-exclusive coverage for the Products it represents in the Territory.
3.2. In recognition of the above, the System Integrator agrees to concentrate its effort in assigned in Section 1 area of activities.
Section 4 Pricing and Payments
4.1. Initial Discounts. XXX suggested System Integrator resale multiplier and/or discount level (collectively, the "Discounts") for XXX Products sales to System Integrator under Section 1, Item 1.1 of this Agreement, is based on Key Discount Chart in EXIBIT A. These Discounts will be applied to XXX Product List Prices at time of order placement resulting in Representative suggested purchase prices. XXX shall establish and maintain Product list prices and shall supply pricing to System Integrator for all products designed by XXX. XXX will provide new prices to System Integrator with minimum thirty days notice prior to effective date. All System Integrator orders received between notification and effective dates will be at the previous prices provided that deliveries are scheduled within the normal factory delivery period.
4.2. If XXX provides a software license directly to a System Integrator’s customer or end-user on the Territory System Integrator will be entitled to receive commission fees in the amount of seventy percent (70%) of the Key Discount Chart for each product listed in the APPLIWARE Products & Services sold for that particular project.

2.1. El plazo del presente Contrato será por un período de tres (1) años a partir de la fecha de entrada en vigencia del presente Contrato, según lo precitado; y finalizará el ___ de junio del ____, salvo que la terminación del mismo se produzca con anterioridad según lo establecido a continuación en el párrafo 2.2.
2.2. No obstante lo precitado en el párrafo 2.1, cualquiera de las partes podrá cancelar el presente Contrato en cualquier fecha, y por cualquier motivo, previa notificación fehaciente por escrito con seis meses de anticipación.
2.3. La Terminación del presente Contrato no eximirá a las partes de la obligación de realizar los pagos de toda suma adeudada de conformidad con los términos del presente Contrato.

Sección 3 Mercados Específicos
3.1. El Territorio del Integrador de Sistemas: el Integrador de Sistemas se compromete a proporcionar una cobertura de carácter no exclusivo con respecto a los Productos que represente en el Territorio.
3.2. En reconocimiento a lo precitado, el Integrador de Sistemas se compromete a concentrar todos sus esfuerzos en el área de las actividades asignadas en la Sección 1.
Sección 4 Precios y Pagos
4.1. Descuentos Iniciales. El nivel de descuento y/o multiplicador de reventas del Integrador de Sistemas sugerido por XXX (conjuntamente, los "Descuentos") para las ventas de Productos XXX al Integrador de Sistemas según la Sección 1, Ítem 1.1 del presente Contrato, se basan en el Gráfico de Descuentos del ANEXO A. Estos Descuentos serán aplicados a los Precios de la Lista de Productos XXX al momento en que se curse el pedido dando como resultado los precios de compra sugeridos por el Representante. XXX fijará y mantendrá los precios de la lista de Productos y proporcionará los precios al Integrador de Sistemas para todos los productos diseñados por XXX. XXX proporcionará los nuevos precios al Integrador de Sistemas mediante notificación que deberá ser entregada como mínimo treinta días previos a la fecha de entrada en vigencia. Todos los pedidos del Integrador de Sistemas recibidos entre la fecha de la notificación y la fecha de entrada en vigencia llevarán los precios previos siempre que las entregas fueren programadas dentro del período normal de entrega de la fábrica.
4.2. En el supuesto en que XXX suministrare una licencia de software directamente al usuario final o al cliente del Integrador de Sistemas en el Territorio, el Integrador de Sistemas tendrá derecho a percibir una comisión del setenta por ciento (70%) del Gráfico de Descuentos para cada producto de la lista en los Productos y Servicios XXX vendidos para tal proyecto en particular.
