Rôle de l'armoire
Les armoires XXX de la famille E300/30 assurent la supervision et la commande des paliers magnétiques actifs (PMA) destinés principalement aux turbomachines de 1 MW à quelques dizaines de MW.
La modularité des armoires de la gamme E300/30 permet de répondre à toutes vos demandes spécifiques (encombrement, alimentation, interfaces, etc.) après définition des adaptations par nos bureaux d'études.

L’armoire E300/30 est l’armoire standard pour toutes les turbomachines. Elle peut être déclinée en d’autres versions.
Choix dans tous les cas par XXX en fonction de la charge machine. Cette gamme se prolonge par d’autres modèles adaptés à tous les types de puissances.

Alimentation sécurisée (UPS)
A partir du secteur (réseau triphasé industriel BT), l'alimentation sécurisée (UPS) fournit les tensions nécessaires au système de contrôle PMA et au système de gestion. Doté d’un pack batteries interne, le système tolère des coupures du secteur pouvant atteindre 10 minutes maximum.
Ce pack batteries (9 batteries acide-plomb AGM 12 V / 24 Ah étanches et sans maintenance) délivre une tension de 120 V assurant l’alimentation des convertisseurs DC/DC lors d’une coupure secteur. Toute perte du réseau provoque une demande d'arrêt de la machine par transmission d'un signal au système superviseur. Les batteries sont maintenues en charge par l'ensemble chargeur de batteries.
Un autotest de capacité du pack batteries est réalisé périodiquement de manière automatique. La périodicité est paramétrable.
Adaptation au secteur (réseau triphasé industriel) par transformateur configurable
L'alimentation sécurisée (UPS) s'adapte à tous les réseaux industriels mondiaux.
La protection de l’armoire E300/30 est assurée par :
• un boîtier CEM pour la protection parafoudres et ondes électromagnétiques,
• un disjoncteur fusible principal (F1) associé à l’interrupteur général (Q1),
• des fusibles (F2 à F10) répartis dans la chaîne énergie.

L'interface électrique autorise la connexion en mode point à point (RS232) ou mode multipoint (RS485/RS422 et boucle de courant 20 mA).
Les signaux de contrôle / commande du système PMA sont accessibles par :

The modular design of each of the E300/30 cabinets ensures that our design offices can customize them to meet all your specific requirements in terms of dimensions, power supply, interfaces, etc.
The E300/30 cabinet, providing currents up to 30 Amps, is the standard model for all types of turbomachinery. It can also be supplied in 8 Amps and 15 Amps versions for special applications.
In each case the choice is made by XXX according to the load of the machine. This product range is extended by other models, suitable for a wide range of power ratings.

Uninterruptible power supply (UPS)
The voltages required by the AMB control system and the data management system are delivered from the mains (low-voltage three-phase industrial supply) by the uninterruptible power supply (UPS). Equipped with an internal battery pack, the system can support power cuts lasting a maximum of 10 minutes.
This battery pack (9 sealed no-maintenance 12 V / 24 Ah AGM lead-acid batteries) supplies a voltage of 120 V, ensuring supply to the DC/DC converters in the event of a power cut. Any loss of the mains supply results in a demand to stop the machine by the transmission of a signal to the supervisor system. The batteries are kept charged by the battery charger assembly.
An autotest of the battery pack capacity is performed periodically. The interval between tests can be programmed

The XXX® protocol is a communication protocol that defines a hierarchical structure (a master and several slaves). It exchanges the data in ASCII and RTU (binary data format) modes. The physical access is based on a half-duplex type serial transmission.
The electrical interface allows a connection either in point-to- point mode (RS232) or multipoint mode (RS485/RS422 and 20 mA current loop).
The control & command signals of the AMB system are accessible through:
• the keyboard / display on the door of the cabinet,
• the LS1 communication port: XXX local service input and YYY:
AMB configuration: rotor control loops, safety thresholds, alarm thresholds, sequence timing, display language, XXX® communication rate,
local measurements via the YYY software (freeware supplied on the handbook CD-ROM).

NOTE SUR LE PROJET DE TRANSFORMATION EN SOCIETE
PAR ACTIONS SIMPLIFIEE
Pour information, le code de commerce consacre plus de 250 articles aux règles de fonctionnement de la société anonyme, règles le plus souvent impératives.
Cette réglementation très contraignante s’explique par le fait que la société anonyme est le support juridique réservé aux entreprises faisant appel public à l’épargne.
De nombreux épargnants personnes physiques investissant dans ce type de société à titre privé, le législateur a instauré un régime très formaliste visant à la protection de cette catégorie d’actionnaires.
De plus, le formalisme ne cesse de se densifier au fil des années, et il en résulte une inflation des obligations à la charge du chef d’entreprise, et corrélativement des responsabilités de plus en plus grandes, pour l’ensemble de l’équipe dirigeante d’une société anonyme.
Si ce formalise se justifie à l’égard des entreprises côtées, il se révèle au contraire être très contraignant en terme de gestion courante pour un dirigeant d’entreprise de taille moyenne ne faisant pas appel public à l’épargne.
A titre d’exemples, la liste n’étant pas exhaustive, voici quelques règles impératives propres à la société anonyme, qui se révèlent être des obstacles quasi quotidien pour le dirigeant en termes de gestion de son entreprise :
Cumul de mandats de direction générale : lorsqu’ils sont exercés dans le cadre d’une société anonyme, une personne ne peut cumuler plus de deux mandats de direction générale au sein du même groupe, étant précisé que le premier mandat doit être exercé dans la société mère, et le second dans une société contrôlée par cette dernière ;
Le nombre de mandats étant limité à deux, il est souvent difficile dans le cadre d’un groupe que la même personne assume la direction générale de l’ensemble des filiales, or une telle situation est souhaitable. De plus, cette règle peut également être un obstacle à la filialisation d’une activité dans l’hypothèse ou le dirigeant en place ne peut plus être titulaire d’autres mandats de direction générale. La sanction du non respect de cette règle est la démission d’office du ou des mandats irréguliers, sauf régularisation sous trois mois.
Formalisme lors de la tenue de l’assemblée générale annuelle : c’est sans doute ici que le formalisme est le plus contraignant : convocation du commissaire aux comptes lors du conseil d’administration arrêtant les comptes de l’exercice, respect des délais en termes de réunion du conseil et de l’assemblée, convocation de l’ensemble des associés par lettre recommandée avec avis de réception, consultation tous les trois ans des actionnaires sur un projet d’augmentation de capital qui serait réservée aux salariés dans le cadre d’un Plan Epargne Entreprise…
Règles impératives en matière de consultation de Conseil d’administration : consultation du conseil et régularisation d’un procès verbal pour l’autorisation préalable des conventions réglementées, autorisation du conseil pour certaines opérations de gestion…
Règles impératives vis à vis du Comité d’entreprise : article L.432-6, alinéa 1 du Code du travail prévoit que deux membres du comité d’entreprise assistent avec voix consultative à toutes les séances du conseil d’administration. S'ils ne sont pas convoqués : sanction pénale pour les dirigeants pour entrave au fonctionnement du comité d’entreprise.
SOLUTION PRECONISEE :
La transformation en société par actions simplifiée
Conscient du caractère handicapant de ce formalisme, le législateur a élargi en 1999 le champ d’application des sociétés par actions simplifiées afin d’en faire la structure adéquate en ce qui concerne le mode de fonctionnement des petites et moyennes entreprises ne faisant pas appel public à l’épargne.
Cette forme sociale permet de faciliter grandement la gestion quotidienne de la société.
Contrairement à la société anonyme, le code de commerce ne réserve que 20 articles au fonctionnement de la société par actions simplifiée : très peu de règles sont donc impératives dans ce type de structure.
Ainsi, une grande liberté est laissée aux associés afin d’établir des statuts sur mesure, et parfaitement conformes aux besoins de fonctionnement de la société : organisation du pouvoir, modalités de transmission des actions…
Le seul organe dirigeant imposé par la Loi est un Président disposant des pouvoirs les plus étendus pour représenter la société à l’égard des tiers.
Doivent impérativement être prises par la collectivité des associés les décisions suivantes :
- opérations sur capital social,
- fusion, scission, apport partiel d’actif,
- nomination des commissaires aux comptes,
- approbation des comptes annuels et convention réglementées,
- dissolution,
- transformation de la société,
Toutes autres décisions relèvent de la seule compétence du Président, à défaut de dispositions statutaires contraires.
Voici les principaux avantages de cette structure :
La SAS ne peut avoir qu’un seul associé, contrairement à la SA où la loi exige un minimum de sept actionnaires.
Cela évite d’avoir à convoquer des « petits porteurs » lors des assemblées générales, et de morceler l’actionnariat aspect pouvant en outre se révéler handicapant lors de la revente d’une entreprise.
De même, une filialisation peut intervenir à hauteur de 100 % du capital.
Le Code de commerce n’impose que très peu de règles impératives au fonctionnement de la SAS, tout le fonctionnement interne est convenu librement par le ou les associés.
Comme précisé ci-dessus, la SAS doit être dirigée par un Président, fonction exercée soit par une personne physique soit par une personne morale, qui dispose des pouvoirs les plus étendus pour représenter la société à l’égard des tiers. Il ne peut y avoir qu’un seul Président.
La Loi a aussi autorisé la présence d’un Directeur Général disposant éventuellement, au choix des associés, d’un pouvoir de représentation vis-à-vis des tiers.
Les statuts peuvent néanmoins prévoir et créer librement tout autre type d’organe dirigeant :
Organe « exécutif » : Directeur Général par exemple, disposant de pouvoir de représentation et figurant à ce titre sur l’extrait K-bis de la société.
Organes « Consultatifs ou délibératifs » : semblables au conseil d’administration ou au conseil de surveillance propre à la société anonyme, avec l’avantage de pouvoir organiser toutes les modalités de fonctionnement de cet organe.
Ce type d’organe peut être nommé librement : conseil d’administration, conseil de surveillance, comité exécutif, comité de direction…
Ces pouvoirs sont librement fixés par les statuts : rapport d’activité mensuel, trimestriel, semestriel de la part du Président ou du Directeur Général ; consultation préalable pour certains types d’opérations hors gestion courante, celle-ci pouvant être simplement consultative ou, au contraire, impérative…
Ces règles ne valent qu’au sein de la société, et ne peuvent être opposées aux tiers.

Ici, tout peut être librement prévu : mode de convocation (lettre, fax, mail…) délai de convocation (possibilité de prévoir même une réunion immédiate avec l’accord de l’ensemble des associés par exemple), mode de réunion (téléphonique, visio-conférence…)
Souplesse des règles vis-à-vis des relations avec le comité d’entreprise
Compte tenu de l’absence de conseil d’administration, les statuts peuvent prévoir auprès de quel organe le comité d’entreprise exercera ses prérogatives habituelles. A défaut, il les exerce auprès du Président. Il est en outre convoqué aux assemblées, comme théoriquement pour les SA.
NB : du fait du caractère récent de la SAS, il n’y a pas à ce jour de jurisprudence sur d’éventuels contentieux relatifs à la restriction des droits du CE dans le cadre d’une SAS. Afin d’éviter tout risque de délit d’entrave, il est conseillé de garder un minimum de relation entre l’organe dirigeant et les membres du CE, notamment lors d’une réunion annuelle au cours de laquelle le Président arrête les comptes de la société.
La SAS peut néanmoins permettre de ne pas avoir à convoquer le CE pour les réunions du comité de direction qui pourrait être créé.
Absence de réglementation sur le cumul des mandats
Il n’y a pas de limite quant au nombre de mandats de Président dont peut être titulaire une personne ; ainsi, l’exécutif peut être le même dans chaque filiale du groupe, sans risque de cumul illicite.
PROCEDURE A SUIVRE EN CAS DE TRANSFORMATION
La société doit avoir au moins deux années d’existence, deux bilans approuvés.
Rapport du commissaire aux comptes : les capitaux propres doivent au moins être égaux au montant du capital social. Ce rapport est établi sur la base d’une situation comptable de moins de 6 mois.
Accord unanime de l’ensemble des actionnaires par AGE sur le projet de statuts.
CONCLUSION
En conséquence, la société anonyme (la Société) remplit toutes les conditions pour être transformée en société par actions simplifiée.
Il pourrait être créé un Comité de Direction dont le rôle pourrait se limiter à l’autorisation d’opérations d’importance significative (à définir).
Les aménagements spécifiques à envisager concernent les pouvoirs de chacun (du Président, du Directeur Générale et de l’éventuel Comité).
Selon les orientations évoquées lors de notre dernière entrevue, nous pourrions envisager la Direction comme suit :
Le Directeur Général aurait tous pouvoirs pour agir vis-à-vis des tiers mais ceux-ci seraient limités à titre de règlement interne (opérations pour lesquelles les sommes engagées dépasseraient 20 000 euros, par exemple).
Le Comité pourrait alors intervenir pour avaliser lesdites opérations.
En revanche, nous pourrions prévoir que seul le Président, ou par délégation le Directeur Général, arrête les comptes annuels de façon à s’affranchir du formalisme d’une réunion annuelle préalable à l’assemblée générale. Cependant, comme nous vous l’indiquons ci-dessus, l’existence du Comité d’Entreprise limite cet allègement.
La réunion pourrait avoir lieu entre le Président, ou du Directeur Général, et les membres du Comité d’Entreprise.
En tout état de cause, les limitations de pouvoirs du Directeur Général (en l’occurrence de Monsieur L) devront être définies en respectant :
- les contraintes liées à son statut social (mandat social – contrat de travail),
- le souhait d’allègement de l’organisation juridique de la société.
La décision de transformation relevant d’un vote unanime des actionnaires actuels, il conviendrait de recueillir, préalablement à la rédaction des statuts, la volonté de chacun et plus particulièrement de la « maison mère ».

NOTES ON THE PROJECT TO CHANGE TO A
"SOCIETE PAR ACTIONS SIMPLIFIEE"
(SIMPLIFIED JOINT-STOCK COMPANY)
More than 250 articles in the commercial code are devoted to the operating rules of public limited companies, which in most cases are mandatory.
These very restrictive regulations are justified by the fact that the public limited company is the legal platform for companies making public issues.
As many people invest in this type of company on a personal basis, legislators have established a very formalistic system aimed at protecting this category of shareholders.
Furthermore, this formality has increased over the years, resulting in a profusion of obligations for company managers, and likewise ever greater responsibilities for the management team of a public limited company.
While this is justified where quoted companies are concerned, it proves on the contrary to be extremely restrictive in terms of day-to-day management for the manager of an average-sized company which does not make public issues.
The following list gives examples, of which others may be found, of mandatory regulations applying to public limited companies, which have been shown to be virtually daily obstacles for managers running a company :
Cumulation of general management positions : in the context of a public limited company, no person may hold more than two general management positions within the same group, with the proviso that the first post must be exercised within the parent company, and the second within a company controlled by the latter ;
As the number of mandates is limited to two, it is often difficult for the same person to take on the general management of all the subsidiaries, whereas this is often desirable. Furthermore, this rule can also be an obstacle to spinning-off a business if the actual manager cannot hold additional management positions. The penalty for failure to respect this regulation is resignation from the irregular mandates, unless the situation is regularized within three months.
Formality during annual general meetings : this is no doubt the area where formalities are most restrictive : convening of the auditor during board meetings to close the year-end accounts, respect of deadlines for board meetings and the general meeting, convening of all share-holders by registered letter with acknowledgement of receipt, three-yearly consultation of shareholders on a project to increase the capital to be reserved for employees within the framework of a Company Savings Scheme (Plan Epargne Entreprise), etc.
Mandatory rules for consulting the Board of Directors : consultation of the Board and preparation of proceedings for the prior authorisation of regulated agreements, authorisation of the Board for some management operations etc.
Mandatory rules regarding the Works Committee : article L.432-6, paragraph 1 of the Labour Code provides that two members of the works committee will be present in a consultative capacity at all meetings of the Board of Directors. If they are not convened, the directors risk penal sanctions for impeding the functioning of the works committee.
RECOMMENDED SOLUTION :
Conversion to a simplified joint-stock company
Aware of the constraints imposed by these formalities, in 1999 legislators broadened the application of simplified joint-stock companies so as to adapt their structure to the operations of small and average sized companies which do not make public issues.
This company structure allows for considerable simplification in the daily management of a company.
Contrary to a public limited company, the commercial code devotes only 20 articles to the functioning of a simplified joint-stock company : accordingly there are very few obligatory rules for this kind of company structure.
Consequently the partners are given considerable freedom to establish the articles of association as they require and in accordance with the needs of the company : organisation of authority, procedures for transfer of shares, etc.
The only management body imposed by law is a Chairman with extensive authority to represent the company to third parties.
The associates or partners acting together must take the following decisions :
- operations on equity share capital,
- consolidation, division, or partial subscription of capital,
- nomination of auditors of corporate accounts,
- approval of annual accounts and regulated agreements,
- winding-up,
- conversion of the company,
All other decisions come within the sole competence of the Chairman, in the absence of statutory measures to the contrary.
The chief advantages of this structure are as follows :
Only one partner is required for a simplified joint-stock company ("simplified JSC"), whereas the legal minimum for a public limited company is seven shareholders.
This avoids convening the small shareholders to General Meetings, and dividing up the shareholding could be a handicap in the case of the resale of a company.
Similarly, spinning-off can extend to 100 % of the capital.
The Commercial Code imposes very few mandatory regulations regarding the functioning of a simplified JSC, all the internal operation being freely agreed by the partner or partners.
As stated above, the simplified JSC must be managed by a Chairman, either a person or a legal entity, with extensive authority to represent the company towards third parties. There can only be one Chairman.
The law also authorises the appointment of a General Manager, who may have power to represent the company to third parties if the partners so decide.
The articles of association may nonetheless provide for and freely create any other type of managerial body :
"Executive function" : For example, a General Manager, with power to represent the company, who appears on the company's "extrait K-bis" (official copy of the company's registration).
"Consultative or authoritative bodies" : similar to the board of directors or supervisory board of a public limited company, with the advantage of being able to organise all the details of operation of that body.
There is no restriction to the name given to this type of body : board of directors, supervisory board, executive committee, management committee etc.
These powers are freely fixed by the articles of association : monthly, quarterly or half-yearly activity report by the Chairman or the General Manager ; prior consultation for certain types of operations outside the scope of daily management, which may be purely consultative or imperative, etc.
These rules are valid only within the company, and cannot be contested with a third party.
The details of convening and meeting for the deliberative body of the simplified JSC are without restriction.
Everything may be freely provided for here : the method of giving notice to attend (letter, fax, e-mail etc), the deadline for convocation (for example, it is even possible to plan an immediate meeting with the agreement of all the partners), the type of meeting (by telephone, visio-conference, etc).
Flexibility of regulations regarding relations with the works committee.
In view of the absence of a board of directors, the articles of association may specify the body with which the works committee will exercise its usual prerogatives. Failing this, it will exercise them with the Chairman. It is also invited to general meetings, as is theoretically the case for public limited companies.
NB : due to the recent nature of the simplified JSC, there is no case law to date regarding possible litigation relating to the restriction of the rights of works committees in a simplified JSC. In order to avoid any risk of the offence of impediment, it is recommended to maintain some relationship between the managing body and the members of the works committee, particularly at the time of an annual meeting during which the Chairman closes the company accounts.
The limited JSC may nonetheless not be obliged to invite the works committee for the meetings of any management committee which may be established.
Absence of regulations concerning the cumulation of general management positions
There is no limit to the number of positions of Chairman that one person may hold ; thus the exective may be the same in each subsidiary of the group, with no risk of illegal mandates.
THE PROCEDURE TO FOLLOW IN THE CASE OF A CONVERSION
The company must have been in existence for at least two years and have two approved balance sheets.
Report of the auditors of corporate accounts : the equity capital must be no less than the nominal capital. This report is based on an accounting position of less then 6 months.
The project must receive the unanimous agreement of all shareholders at an extraordinary general meeting.
CONCLUSION
Consequently, (THE COMPANY) meets all the conditions to be converted into a simplified JSC.
A Management Committee could be created whose role would be limited to the authorisation of important operations (to be defined).
The precise adjustments which need to be considered concern the powers of each member (the Chairman, the General Manager and the possible Committee).
Following the indications we touched on during or last meeting, we could envisage the Management structure as follows :
The General Manager will have all the power necessary to act in relation to third parties but these will be limited on the basis of internal regulations (operations for which the sums involved would not exceed 20 000 Euros, for example).
The Committee could then intervene to endorse the aforementioned operations.
On the other hand, we could provide that only the Chairman, or the General Manager by delegation, may close the annual accounts, so as to free the company from the formality of an annual meeting prior to the General Meeting. However, as we pointed out above, the existence of the Works Committee limits this freedom.
The meeting could take place between the Chairman, or the General Manager, and the members of the Works Committee.
In any case, the limitations to the powers of the General Manager (in this case Monsieur L) should be defined while respecting :
- the constraints associated with his professional status (professional mandate – work contract),
- the desire to simplify the legal organisation of the company.
As the decision to proceed with conversion depends on the unanimous vote of the present shareholders, it would be appropriate to obtain the wishes of each of the parties and especially that of the "parent company" before drafting the articles of association.

1 – Périmètre d’acquisition
Notre acquisition portera sur l’intégralité des parts de la société XXX, SA au capital social de €, ayant son siège à (…) , , identifiée sous le numéro unique ci-après dénommée la « Société ».
2 – Prix offert
Pour l’acquisition des titres de la société, nous vous proposons un prix de 2 500 000 € déterminé sur la base des éléments suivants,
Savoir :
• Un chiffres d’affaires HT facturé en année pleine de 27 600 000 € sur la base des contrats en cours à la date de transfert.
• Une situation nette sur le bilan de référence pour la cession supérieure ou égale à 611 000 euros
• Un résultat d’exploitation pro forma après plan de restructuration et avant BU management costs de 2 %
• Une situation d’endettement/trésorerie nulle sur les comptes de référence pour la cession
• Un montant maximum de valorisation des fonds de commerce de 2,4 millions d’euros au bilan de référence pour la cession
• La finalisation du plan de restructuation (PIP) ou à défaut le provisionnement des éléments non finalisés au bilan de référence pour la cession
3 – Date de réalisation de la cession
La cession sera réalisée au plus tard le .
5 – Substitution
La société YYY pourra se substituer totalement ou partiellement une ou plusieurs de ses filiales dans l’acquisition des titres de la société.
6 – Modalités de paiement du prix
Le prix principal serait payé de la manière suivante :
100 % le jour de la signature des actes matérialisant le transfert des titres de la société.
Le prix sera ensuite ajusté de la situation d’endettement / trésorerie de la société sur le bilan de référence pour la cession.
7 – Acceptation
A compter de votre acceptation des termes de la présente lettre d’intention, YYY fera procéder par un conseil de son choix à un audit juridique, comptable et financier, fiscal et social de la société, sur la base des informations dont une liste vous sera réclamée.
Cet audit aura notamment pour objet de valider :
- le périmètre de chiffre d’affaires repris et sa pérennité sur l’exercice 2005
- le niveau de résultat d’exploitation pro forma après plan de restructuration
- le niveau de recapitalisation nécessaire pour obtenir la situation nette conditionnelle après amortissement des fonds de commerce
- des contrôles usuels comptables, sociaux, juridiques et fiscaux.
Si ces audits révélaient des anomalies sérieuses ou des risques méconnus dans les bilans et comptes de la société et/ou au regard des critères de détermination du prix, deux hypothèses pourront être envisagées, savoir :
• révision à la baisse du prix proposé qui pourra entraîner la renonciation par les vendeurs à la réalisation de l’opération envisagée,
• ou renonciation par YYY à la réalisation de l’opération envisagée.
Les conseils et auditeurs désignés par YYY pour effectuer les audits ci-dessus décrits, auront accès à l’ensemble des documents dont une liste vous sera remise dès l’acceptation des présentes, étant précisé que les audits seront réalisés aux frais de la société YYY et sur une durée maximum de 15 jours ouvrés.
7 – Garanties
Lors de la cession des titres de la société, une garantie d’actif et de passif portant sur toutes les opérations antérieures à la cession et qui auraient pour conséquence de révéler un supplément de passif, non provisionné ou insuffisamment provisionné dans les comptes arrêtés à la date de cession, postérieurement à la cession ou une diminution des actifs tels qu’ils figuraient dans ces mêmes comptes, sera souscrite par le vendeur.
Il est entendu que la garantie d’actif et de passif prévoira notamment :
a) une durée de mise en œuvre fixée jusqu’au (3 ans + 1 mois),
b) une garantie à première demande délivrée par une banque d’un montant de 625 000 €,
c) une gestion en bon père de famille depuis le 1er janvier 2004

6 – Terms of payment of the price

The price will adjusted subsequently according to the indebtedness/cash reserves position on the balance sheet serving as reference for the transfer.
7 – Acceptance
As soon as you have accepted the terms of the present letter of intent, YYY will instruct a consultant of its choice to undertake a legal, accounting and financial audit, on the basis of a list of information which you will be asked to provide.
This audit will be specifically intended to validate :
- the limits of the acquired turnover and its stability during the financial year 2005
- the level of the pro forma operating profit after the restructuring plan
- the extent of recapitalisation necessary to achieve the conditional operating profit after the tangible and intagible assets have been written-off.
- the customary accounting, corporate, legal and fiscal controls.
If these audits reveal any serious anomalies or unknown risks in the balance sheets and accounts of the Company and/or with regard to the price determination criteria, two hypotheses may be envisaged, as follows :
• a reduction of the offer price, which may lead to the sellers relinquishing the planned operation,
• or relinquishment of the planned operation by YYY.
The consultants and auditors appointed by YYY to undertake the above audits will have access to all the documents of which a list will be provided to you as soon as the present offer has been accepted, it being understood that the audits will be undertaken for a maximum of 15 working days and will be payable by YYY.
7 – Guarantees
When the Company's shares are transferred, the seller will underwrite a guarantee of the assets and liabilities applying to all the operations prior to the transfer which may have the effect of revealing additional liabilities, either not provisionned for or inadequately provisionned in the accounts closed at the date of the transfer, subsequent to the transfer or a reduction of assets as shown in these accounts.
In particular, it is agreed that the guarantee of assets and liabilities will make provision for :
a) a period of implementation lasting until (3 years + 1 month),
b) an independent banking guarantee upon simple demand, issued by a bank, to a value of 625 000 €,
c) prudent and sensible management since 1st January 2004
The present offer is global and indivisible. It is made for a period of two weeks, and expires on :

Youenn et Xavier calfatent actuellement le grand canot. Leurs outils sont les suivants : maillet à calfat, fer à calfat et fil de coton.
La mise à l'eau est donc prévue le samedi 30 juin.
La guibre
L’ensemble des pièces constituant la guibre est maintenant boulonné. Pas moins de dix tiges filetées en inox de 3cm de diamètre, sont nécessaires pour fixer la guibre à la proue du navire.
Fin du bordage du grand canot
La mise à l’eau du grand canot prévue le 30 juin prochain approche. Les charpentiers posent actuellement le dernier rang de bordés : « le clore ».
Ces dernières pièces en chêne sont rentrées légèrement en forme afin de resserrer au maximum les bordés entre eux.
Chouquet de mât
Les Chouquets de mâts sont des blocs de bois rectangulaires (ici au premier plan sur la photo). Ils servent à l’assemblage des différentes parties des mâts (chaque mât est composé de trois parties).
Ici il s’agit du chouquet assemblant le mât de perruche et le mât de perroquet de fougue, qui sont les deux parties supérieures du mât d’artimon.

The knee of the head
All the parts making up the knee of the head have been assembled and bolted together. Ten stainless steel threaded rods 3 cm in diameter (1¼ inches) are necessary to bolt the knee to the bows of the ship.
Completion of the longboat planking
The launching of the longboat planned for June 30th is getting close. The shipwrights are now fixing the last line of planks in place - the "shutter plank".
The last oak planks are curved inwards slightly in order to tighten the planks together as much as possible.
Mast cap
The mast caps are rectangular wooden blocks (in the foreground in the photo). They are used to join the various parts of the masts (each mast is composed of three parts).
Shown here is the block which joins the mizen topgallant mast and the mizen topmast, which are the two upper parts of the mizen mast.

Chaque bateau est couvert par un contrat d'assurance multirisques garantissant la responsabilité civile du locataire, les avaries causées au bateau (et aux tiers) à la suite d'un sinistre, d'un vol avec effraction, d'une collision. Les locataires restent cependant responsables de leur sécurité à bord et de leurs effets personnels. Chaque contrat d'assurance est assorti d'une franchise, qu'il vous est possible de racheter partiellement (coût : nous consulter).
CAUTION :
Déposée uniquement par chèque libellé à notre ordre, elle est demandée pour toute location. La caution couvre la franchise d'assurance et ce que l'assurance ne couvre pas (dégradation volontaire, abandon du bateau,….)

30% à la réservation, 50% un mois avant le départ, le solde à l'embarquement.

ANNULATION :

Si l'annulation intervient moins d'un mois avant la date de début de la location, la totalité de la location est due. Une assurance annulation peut être souscrite (formulaire sur demande).

Toute location est consentie TTC. La croisière étant projetée partiellement hors des eaux territoriales, les taxes applicables sont calculées selon un forfait déterminé par l’administration, en fonction de la catégorie de navigation du bateau.

DEPARTURE : yacht charters begin on the Saturday morning at 10 a.m. (following the starting inventory check) and conclude on the following Friday at 4 p.m. (followed by the returning inventory check). Failure to use the vessel for all or part of the charter period will not entitle the hirer to any compensation or refund.

• familiarization with the vessel and navigation briefing

RETURNING THE YACHT : Following the charter, the boat must be returned at 4 p.m. with full fuel tank(s), cleaned and with the tender inflated.
INSURANCE :
Each boat is covered by a multi-risk insurance policy which guarantees the hirer's civil liability and damage caused to the boat (and to third parties) due to accidents, burglary or collisions. The hirer is nevertheless responsible for his own safety on board and for his personal effects. Each insurance policy comes with an excess clause, which you may buy back in part (cost : available on demand).
DEPOSIT :
Required for each charter, it must be made by cheque payable to the charter company. The deposit covers the insurance excess and everything the insurance policy does not cover (wilful damage, abandoning the boat, etc).
TERMS OF PAYMENT :
30% on booking, 50 % one month prior to departure, and the balance when going on board.
If the booking is made less than 30 days before departure : 50% on booking, and the balance when going on board.
CANCELLATION :
Any cancellation must be made in writing ; it does not entitle the hirer to the refund of any sums already paid. Any instalments already paid remain the property of the charter company.
If the cancellation is made less than one month before the start of the charter, all the charter fee must be paid. A cancellation insurance policy may be taken out (form available on request).
REGATTAS :
Subject to prior agreement and payment of an extra charge (doubling of excess charge and deposit - details available on request).
All charter fees and charges include V.A.T. When the planned cruise includes sailing outside French territorial waters, the applicable taxes are calculated according to a fixed rate established by the French tax services, depending on the boat's sailing category.

P jette une rose sur le cercueil de son père. Il ne manifeste aucune émotion, essuie une larme de politesse et laisse les amis et la famille le saluer dans la plus profonde indifférence. En sortant du cimetière, il met ses lunettes de soleil et sourit.
Des femmes discutent dans un parc de la ville. Parmi elles, S, pas très grand, pas très galbé, il a la cinquantaine bien sonnée et l’air plutôt doux. Il gagne sa vie comme nourrice depuis qu’il a été licencié de son emploi d’aide hospitalier. Il fait maintenant partie du groupe de nounous du parc, et prend cette situation inédite avec humour. En écoutant ce jour-là l’émission radio : Tante M vous parle, il apprend l’existence d’un bar en vogue chez les femmes célibataires, et des soirées spéciales : « notre amour, notre sexualité et moi », où tout un chacun partage avec les autres ses expériences et déboires personnels. Il trouve ça drôle et propose à E, sa voisine de banc, pourvue d’un nourrisson de quelques mois, de l’y accompagner un de ces soirs. Tous les deux semblent fort bons amis.
Chez le notaire, A, P écoute distraitement. La vieille et laide B le considère avec le plus grand dégoût. Par contre, elle sourit largement au notaire, vieil ami de la famille de P. Lassé par le jargon juridique, P s’absorbe dans la contemplation d’une photographie du bureau du notaire datant du début du 20 ème siècle. Il voit alors apparaître une sublime forme de femme derrière le bureau. Il y a ainsi collision entre les deux bureaux – le réel et celui d’autrefois et la femme lui sourit. Il lui sourit en retour. Elle lui fait un signe de la main et semble dire quelque chose, mais il n’entend pas. Le notaire et B considèrent avec consternation P, absorbé, souriant aux anges, les lèvres remuant comme s’il se parlait à lui-même. Il est dans la photo, la femme lui sourit magnifiquement, il va lui prendre la main, elle ouvre la bouche pour parler et Peffaré entend une voix d’homme prononcer : « et un bébé. »
Secoué, il revient dans la réalité et demande au notaire de répéter, - c’est atterré qu’il l’entend redire gravement : « Et un bébé. ». Il apprend alors les conditions dans lesquelles il pourra entrer en possession de l’héritage de son père et poursuivre sa vie d’oisif romantique et vaguement intellectuel qui refuse de travailler pour l’argent, refuse de se marier sans amour, bref, refuse d’entrer dans les codes de la société, dit-il. Il n’aura l’argent nécessaire que s’il se présente l’année suivante chez le notaire avec son épouse et leur bébé. En attendant, une pension lui sera attribuée et il pourra garder la jouissance de la maison familiale.
Décomposé, il entend les leçons morales du notaire, qui s’applique à lui expliquer le but de son père : faire de lui un homme, un vrai, responsable et sérieux. Il considère avec dégoût l’hilarité de la vieille B, qui voit déjà tout l’argent lui tomber entre les mains. Il sort de la pièce, raide, assommé, avise la secrétaire du notaire, lui demande de l’épouser. Elle le regarde comme s’il était fou, il lui redemande très sérieusement en lui expliquant sa situation et se fait envoyer voir ailleurs.

Effondré, il va annoncer cela à ses meilleurs amis : il s’agit d’un vieux couple d’homosexuels, très popotes chez eux : S et M. S est la nounou vue au parc. L’autre, G, la cinquantaine large aussi, plutôt râblé, musclé mais légèrement enveloppé, se nomme professionnellement M – c’est lui qui gagne sa vie grâce à l’émission "Tante M et vous" diffusée à la radio et sur le net, où il donne tous les conseils possibles et imaginables aux jeunes gens, de la sexualité à la recette de la tarte aux pommes, en passant par la distinction entre le point mousse et le point jersey. Il n’éprouve aucun attrait particulier pour la féminité, mais d’un point de vue professionnel, les chroniques de M ont mieux marché que celles de G, ce qui lui a permis de prendre ses aises et d’aborder tous les sujets dont il avait envie, aidé par S et ses relations féminines. Il se sent cent fois plus libre dans ce métier-là que dans celui de comptable qu’il exerçait auparavant. Il a une passion farouche pour la pêche à la mouche, et au gros quand il peut. Lui et S y passent leurs week-end, soit dans une bicoque coincée entre les montagnes et un grand lac, soit en mer. Quant à S, il est un chineur endiablé, et passe son temps à ramener et à restaurer mille et une trouvailles dites antiques. Tout cela encombre passablement leur appartement.
S et G échangent un regard consterné en entendant la nouvelle, et disent ce qu’ils pensent de l’idée du père – il s’est moqué de son fils, de toute façon ces deux-là ne se supportaient pas. Il va falloir apprendre à travailler, commente S, - finies les recherches pour la thèse sur l’Histoire de l’Idée de l’Amour à travers les civilisations humaines, finies les heures à caresser son saxophone en croyant être un grand joueur de jazz, adieu aux soirées romantiques et aux belles blondes aux yeux angéliques – la vraie vie est devant lui. Voyant la tête décomposée de P, G-M entreprend de positiver l’affaire – déjà il s’agit de mettre les choses à plat et d’effectuer un décompte du temps qu’il a : 9 mois pour faire le bébé, un bon mois pour le créer, reste deux mois pour trouver la femme de sa vie et l’épouser. Pse sent d’autant plus écrasé que les deux se mettent à pinailler sur le temps qu’il faut pour concevoir un bébé, compter sur un mois ce n’est pas raisonnable, prétend S qui raconte toutes les histoires de femmes qu’il entend depuis qu’il travaille comme nurse. Au final, l’idéal serait qu’il se marie dans le mois. Et qu’il ‘y aille’ plusieurs fois par jour.
A la façon dont ils le regardent, il est évident que le problème de la sexualité est plus fort pour Pque pour d’autres. G-M se lance dans de maladroites tentatives pour le soutenir, lui trouver des trucs pour quand il aime une fille, P lui lance un regard furieux, l’ambiance se plombe d’un coup et P sort, hyper raide. Il se débrouillera très bien sans eux.
Pendant que G-M et S se disputent au sujet de P, et où il apparaît que P ne parvient à ses fins – et encore ? - qu’avec des filles qui ne lui plaisent pas du tout, et que c’est à cause de ce problème-là qu’ils avaient fini par faire connaissance avec lui, intéressés qu’ils étaient par ce beau cas-là, Pse rend au supermarché et fait sombrement ses courses du soir. Au rayon fruits et légumes, il tombe en arrêt devant une cliente, et croit avoir rencontré la femme de sa vie : elle a tout ce qu’il faut, en larges proportions où il faut, un sourire à faire tomber raide, l’œil coquin, et les mains affriolantes sur son filet d’oranges. Il s’emploie alors sérieusement à conquérir une femme. Il essaie d’abord la technique sauvage, dès qu’il en voit une qui lui plait, il l’aborde – ne se prend que des bides.
Quand S et M le rejoignent quelque temps plus tard, il est trop déprimé pour refuser encore leur aide et c’est à trois qu’ils se lancent en quête de La femme. Pcommence à revoir ses idées sur les femmes : il croyait qu’elles ne voulaient que se marier et se protéger derrière un gros paquet d’argent, et voilà que non.

In the office of A, the notary, P listens without paying attention. Next to him, B, old and ugly, looks at him with disgust, but she smiles warmly at the notary, who is an old friend of P's family. Bored by the legal jargon, P is lost in contemplation of an early 20th century photograph on the notary's desk when he sees a sublimely beautiful woman appear behind the desk. Distraught, he goes to tell his best friends : they are an old home-loving gay couple : S and M. S is the nanny we saw in the public gardens. G, the other, is also well over fifty, fairly stocky and muscular but somewhat overweight. His professional name is M – he earns a living with the "Aunt M and you" programme broadcast over the radio and on the Net, where he advises young people about just about everything, from sexuality to the recipe for apple tart, including in passing the difference between the garter stitch and the stocking stitch. He feels no special attraction for femininity, but professionally M's programme was more successful than G's, which allowed him to take it easy and discuss all the topics he felt like, helped by S and his women friends. He feels infinitely freer in this profession than in the accounting job he previously held. He is mad about fly-fishing, and also game fishing when he is able to. He and S spend their weekends fishing, either in a little house wedged between the mountains and a large lake, or at sea. S is a furious bargain-hunter, and spends his time bringing home and restoring the countless so-called antiques he finds, which rather clutter up their apartment.
On hearing the news, S and G exchange a worried look and say what they think of the father's idea – he is making a fool of his son, and anyway they never got along together. "It's time to learn to work" observes S : no more research for the thesis on "The History of the Idea of Love across Human Civilisations", no more time spent caressing a saxophone, fantasising about being a great jazz player, goodbye to romantic evenings and beautiful blonds with eyes like angels - real life is ahead. Seeing P's discomfiture, G-M sets about being positive – first of all the situation has to be reviewed and a timetable established : 9 months to produce the baby, at least a month to start it, which leaves two months to find a wife and marry her.
It doesn't help P to feel more cheerful when the two of them start to squabble about the time needed to conceive a baby : S, claiming that a month is not realistic, begins to tell all the womens' tales he's heard since he began working as a nanny. Finally, the best idea would be for him to marry within the month, and "go for it" several times a day.
Judging by the way they look at the question, it is obvious that sexuality is a bigger problem for P than for others. G-M launches into clumsy attempts to support him, suggesting some dodges for when he is with a girl, P glares at him, the atmosphere suddenly goes cold and P leaves woodenly. He will manage very well without them.
While G-M and S argue about P, during which it appears that P only gets what he wants (if that ?) with girls who don't appeal to him at all, which is why they made his acquaintance, interested by his fascinating problem, P goes to the supermarket and gloomily does his evening shopping. Then he begins to apply himself to win over a woman. He tries the primitive approach at first - as soon as he sees a woman he likes, he approaches her - and fails each time.
When S and M meet him some time later, he is too depressed to refuse their help again, and together the three of them set off in search of The Woman. 2006 Reseller Agreement
With the signing of this Agreement by the Authorized Owner and/or Operator of named Reseller; the XXXX Sales Representative, and the XXXX President; the Reseller is hereby qualified as a Master Dealer for XXXX in 2006 and agrees to the following terms and conditions:
1. Authorized Resellers agree to the standard XXXX sales policies as stated on the XXXX Master Dealer Policy and Terms sheet;
2. The Authorized Reseller agrees to have web representation and/or professional representation which initiates and engages consumer prospects in the sale of XXXX laser systems;
3. The Authorized Reseller agrees to have an established retail location for sale and display of XXXX products to consumers, regular hours of business, and that provide full sales and service support for XXXX products and have a state or local resale tax number or permit where applicable;
4. The Authorized Reseller agrees to engage in the sales of XXXX products for profit, and agrees not to engage in sales that involve non-Authorized Distributors and/or non-qualifying retailers to purchase at cost;
5. Annual opening order of twenty (20) laser sights. Split shipments are allowed; however, the minimum re-order is five (5) laser sights. Ten (10) unit orders are awarded free shipping by UPS Ground.
6. The Reseller agrees to maintain current XXXX product specifications, graphics and logos in all advertising;
7. The Reseller agrees to refer all matters of warranty, usage, or installation assistance directly to XXXX customer service.
8. This Agreement is not assignable or transferable in whole or in part;
9. This Agreement is effective upon the last date written below and continues until December 31, 2006 unless terminated in accordance with stated policies and terms;
10. This Agreement may be terminated by either party upon 30 days notice in writing to the other party. Upon termination the Company shall have the option to buy back from the customer XXXX product at the price actually paid by the customer.
11. Dealers selling directly to Law Enforcement agencies will be required to complete the Dealer of Record for Law Enforcement Sale form to verify agency participation.

2. Le Revendeur Autorisé accepte de se faire représenter par l'Internet et/ou par des représentants professionnels dans le but d'initier et d'engager des consommateurs potentiels pour la vente des systèmes laser XXXX ;
3. Le Revendeur Autorisé s'engage à disposer d'un point de vente au détail pour la commercialisation et l'exposition des produits XXXX auprès des consommateurs, avec des horaires d'ouverture régulières, d'assurer un service commercial et après-vente complet pour les produits XXXX, et d'avoir un numéro de TVA ou une license d'exploitation conforme à la règlementation en vigueur.
4. Le Revendeur Autorisé accepte de se livrer à la vente des produits XXXX pour réaliser des bénéfices, et s'engage à ne pas faire de ventes à prix coûtant à des Distributeurs non-autorisés et/ou à des revendeurs non-qualifiés;
5. Commande annuelle d'ouverture de vingt (20) viseurs laser. Les expéditions partielles sont acceptées; cependant, la quantité minimale pour un réapprovisionnement est de cinq (5) viseurs laser. Les commandes pour dix (10) unités bénéficient d'un acheminement gratuit par UPS Ground.
6. Le revendeur accepte de présenter les spécifications, graphismes et logos actuels des produits XXXX dans toute publicité.

8. Cet accord n'est ni assignable ni transmissible, en entier ou en partie.

Refinery Sludge Processing
Refinery sludge is residue from the process of either cleaning or destruction and decontamination of refinery TEL (tetraethyl lead) blending and storage systems. XXX carries out this service on a world-wide basis. Sludge is packed in nominal 5t transport tanks. There can be up to three phases of waste in each container, namely, solids, liquid organic and liquid aqueous. Liquid phases can be removed and any compound in the container can be recovered. Solids are treated by Ultra High Pressure (UHP) water before being processed through the Lead Manufacturing Plant.
XXX is authorized by the UK Environmental Agency to receive and treat refinery sludge at the YYY Works.
The process for treatment comprises three independant operations. The sludge from each container is treated separately so that it is possible to audit the contents of any one container from start to finish during the treatment process.
1. The container is prepared by purging the container head space with notrogen to remove any inflammable gases. Water is then added to ensure that any solids in the container are covered and that the walls of the container are wetted.
2. The tank contents are then UHP cut/washed. The slurry sludge arising is pumped from the container into an empty 5 t container positioned alongside. The water transferred contains dibromoethane, dichloroethane and water soluble organic lead. This washing process may be repeated a number of times depending on the quantities of organic compounds originally contained in the refinery sludge container. The water from this washing activity is recycled into distillation units where any TEL is recovered.
3. When the refinery sludge container has been washed sufficiently, any wet solid residue is transferred to a lead pit where it combines with process lead sludge. The wet solids are dried and are finally treated in a furnace. Drier and furnace gases are scrubbed and any fine solid particles are removed via an electrostatic precipitator before discharging to a three hundred foot high chimney.
Empty containers are decontaminated and returned for washing.
The amount of recycled material in relation to the residual wastes is in the order of 90% by weight. Residual wastes are emissions to air and water which are treated and licensed under the Environmental Protection Act Part 1 1990 . The total estimated value of the recycled material is approximatively one thousand five hundred pounds sterling (£1 500).

Les boues de raffinerie sont des résidus du processus de nettoyage ou de destruction et de décontamination de systèmes de mixage et de stockage de TEL (plomb tétraéthyle). La société XXX entreprend ce service dans le monde entier. Les boues sont conditionnées dans des fûts de transport de 5t. Chaque conteneur peut renfermer jusqu'à trois phases de déchets, à savoir, solides, liquides organiques et aqueuses. Les phases liquides peuvent être enlevées, et tout composé se trouvant dans le conteneur peut être valorisé. Les solides sont lavés à l'eau à Ultra Haute Pression (UHP) avant d'être traités dans l'Usine de Production de Plomb.
XXX est autorisé par l'Agence pour l'Environnement du Royaume Uni à recevoir et à traiter les boues de raffinerie à l'Usine de YYY.
Le processus de traitement comprend trois opérations distinctes. Les boues de chaque conteneur sont traitées séparément. Il est ainsi possible d'auditer le contenu d'un conteneur du début jusqu'à la fin du processus de traitement.
1. Le conteneur est préparé par une vidange de l'espace libre avec de l'azote pour éliminer d'éventuelles poches de gaz inflammables. Ensuite, une quantité d'eau est introduite afin de couvrir d'éventuels solides et d'assurer que les parois du conteneur sont mouillés.
2. Le contenu est ensuite lavé et dilué à l'eau UHP, et la boue qui en résulte est pompée du conteneur vers un fût vide de 5t positionné à côté. L'eau transférée contient de la dibromoéthane, de la dichloroéthane et du plomb organique soluble dans l'eau. Ce processus de lavage peut être répété plusieurs fois, selon la quantité de composés organiques contenus à l'origine dans le conteneur de boues de raffinerie. L'eau utilisée pendant le lavage est recyclée dans des unités de distillation où toute trace de TEL est récupérée.
3. Quand le conteneur de boues de raffinerie a été suffisamment nettoyé, les éventuels résidus solides humides sont transférés vers une fosse où ils sont mélangés avec des boues de plomb non-traitées. Les solides sont sechés et traités dans un fourneau. Les gaz du sécheur et du fourneau sont épurés et toute particule fine est enlevée au moyen d'un précipitateur électrostatique avant d'être renvoyée vers une cheminée de 90 m.
Les conteneurs vides sont décontaminés et renvoyés pour être lavés.
La quantité de matériel recyclé représente environ 90% par poids des déchets résiduels. Les déchets résiduels sont des émissions à l'air et à l'eau qui sont traitées et licencées selon la Loi sur la protection de l'environnement, 1° partie, 1990. La valeur totale du matériel recyclé est estimée à mille cinq cents livres sterling (£1 500).

Special cups with support
Designed and manufactured for the purpose of handling stamped or drawn plates, these cups are used predominately in the motor field. They have a ground lip, which permits an immediate grip of the load to be lifted as soon as contact is made and assures a perfect vacuum seal.
These cups are produced in a special compound called BENZ, able to withstand the chlorine usually contained in the oils for the stamping and drawing of plates.
The support is zinc-plated steel and is vulcanized on the cup.
They are available in the three series of compounds.
Bellows cups
The particular shape of the bellows cup makes them collapse rapidly when they are in contact with the surface of the load to be handled, lifting the load some centimetres, independently of the machine movement; this quick movement prevents the load below from remaining stuck to the surfaces or load underneath.
Due to this feature, bellows cups are recommended in all the cases where it is necessary to lift and handle paper sheets, cardboard sheets, thin plates, wooden panels, glass slabs, etc.
Due to their high flexibility, they can also be used to compensate flatness errors or for the grip on inclined surfaces.
These cups are available in all the series of compounds.
Cups with ball valve and high self-locking support
These cups represent a real movable stirrup system too, and they distinguish from the cups previously described for their exceptional height. They consist of:
• A sturdy support in anodized aluminium with a wide surface at the base, delimited by a packing which has the purpose to fasten it to the bearing surface.
• A special plastic anti-skid mat, particularly fit for securing of glass and smooth marble, covers the grip surface.
• A standard flat cup, cold assembled on the upper part of the support, for the grip of the load to be clamped.
• A ball valve having the feature to open, and therefore to produce vacuum inside the cup, only when the load to be kept actuates the sealing ball.
• Two rapid fittings for the connection to vacuum.
The vacuum interception for the grip and detachment of the support from the bearing surface and for the grip and the release of the load, can be done by means of vacuum valves or three-way solenoid valves.
All the cups with self-locking support of this series and of the other series have the grip surface situated at the same height and therefore can be used together regardless of their shape or size.

Approval of Civil Aircraft Maintenance Organizations
Chapter 1 : General
145.1 Bases and Purposes
This Regulation is made in accordance with Articles 16 and 19 of "The People's Republic of XXXX Regulations for Airworthiness of Civil Aircraft". It is for the standardisation of maintenance management and monitoring of civil aircraft maintenance and to ensure the continued airworthiness and flight safety of aircraft.
145.2 Applicability
This Regulation is applicable to the approval of maintenance organizations that provide civil aircraft maintenance or civil aircraft component maintenance for air operators registered in XXXX (hereinafter referred to as "maintenance organizations"). It is also the requirement for monitoring the maintenance vorganizations that have been granted with Maintenance Organization Certificates.
The aforementionned maintenance organizations include independant maintenance organizations and the maintenance organizations of the air operators and manufacturers. Independant maintenance organizations include maintenance organizations located within Mainland XXXX, at foreign country and in the Regions.
Except where specifically approved by the General administration of Civil Aviation of XXXX (hereinafter referred to as the YYYY) or Regional Administration of Civil Aviation of XXXX, (hereinafter referred to as the YYYY Regional Office) a maintenance organization shall not maintain an aircraft of an air operator registered in XXXX or advertise the same unless the maintenance organization has been granted with a Maintenance Organization Certificate.
145.3 Definition
For the purposes of this Regulation the following terms are defined as :
(1) "Civil aircraft" means aircraft other than those used by the government departments such as military, customs and police, etc.
(2) "Aircraft component" means any aircraft component installed or ready to be installed on an aircraft other than a complete airframe, including up to a complete powerplant or propellor and/or any operational/emergency equipment.
(3) "Maintenance" means any inspection, repair, defect rectification, scheduled maintenance, overhaul and modification of civil aircraft (hereinafter referred to as aircraft) or civil aircraft component (hereinafter referred to as aircraft component). Maintenance provided by aircraft/aircraft component manufacturers or repairs on warranty claim on design/manufacturing faults fall outside the scope of this Regulation regarding maintenance.
(4) "Principal Inspector" means the inspector, assigned by the YYYY or a YYYY Regional Office, responsible for monitoring one particular or several maintenance organization(s).
(5) "Independant maintenance organization" means a maintenance organization that is independant from an air operator or aircraft/aircraft component manufacturer and provides aircraft/aircraft component maintenance to air operators.
(6) "Air operator's maintenance organization" means a maintenance organization established by an air operator to provide aircraft/aircraft component maintenance primarily for the air operator. The maintenance organization when providing maintenance services for another air operator shall be treated as an independant maintenance organization.
(7) "Manufacturer's maintenance organization" means a maintenance organization established by an aircraft/aircraft component manufacturer the maintenance activities of which are primarily associated with the production line of the manufacturer. When the primary maintenance activities become dissociated from the production line the organization shall then be treated as an independant maintenance organization.
(8) "Domestic maintenance organization" means a maintenance organization holding corporate right and registered with Mainland XXXX other than ZZZZ.
(9) "Foreign maintenance organization" means a maintenance organization holding corporate right registered in another country.
(10) "Special Administrative Region maintenance organization" means a maintenance organization holding corporate right registered in ZZZZ.
(11) "Approved standards" means the airworthiness information, technical documents, management standards and working procedures either approved or accepted by the YYYY or the YYYY Regional Office.
(12) "Approved by the YYYY" means approved directly by the YYYY or approved by an organization or an individual so authorized by the YYYY.
(13) "Accountable Manager" means the person in a maintenance organization who can be held responsible for the organization in satisfying this Regulation. The person also has corporate authority to deploy human, financial and equipment resources of the organization to satisfy the standards as required by this Regulation.
(14) "Quality Manager" means the person in a maintenance organization authorised by the Accountable Manager to administer and monitor the the quality system of the organization. The person shall report directly to the Accountable Manager.
(15) "Production Manager" means the person in a maintenance organization held responsible for the overall planning and carry out maintenance work.
(16) "An Authorised staff" means the person in a maintenance organization who ensures aircraft/aircraft components are to the satisfaction of the approved standards and certifies the release of the aircraft or the return to service of the aircraft components.
145.4 Management Department
Centralisation of issue of aircraft Maintenance Organization Certificates is managed by the YYYY.
The department in the YYYY that manages aircraft maintenance shall be responsible for the approval and monitoring of civil aircraft/aircraft component maintenance organizations. The department shall also be responsible for the issuance of Maintenance Organization Certificates for the maintenance organizations located at overseas or in Regions.
The YYYY Regional Offices shall be responsible for the issuance of Maintenance Organization Certificates and administration of the maintenance organizations located in their regions so authorised by the department in the YYYY that manages aircraft maintenance. The YYYY Regional Offices shall also carry out approval and monitoring of other maintenance organizations where authorised by the department in the YYYY that manages aircraft maintenance.
145.5 Audits monitoring
The YYYY and YYYY Regional Offices shall carry out audits and monitoring on the maintenance work of maintenance organizations, in accordance with their responsabilities and authorisations. Auditing and monitoring may be in terms of the following :
(1) Audits to maintenance organizations when applying for the issue of a Maintenance Organization Certificate or variation to such certificate ;
(2) Annual audits on the maintenance organizations in XXXX, and audits on the maintenance organizations located at overseas and in the Regions for renewing the validity of their Maintenance Organization Certificate ;
(3) Scheduled and unscheduled audits performed by the principal inspectors or sampling audits;
(4) Joint audits carried out by the YYYY and YYYY Regional Offices ;
(5) Due investigation on maintenance organizations regarding the quality of maintenance work performed ;
(6) Other monitoring, inspections or due investigations when considered necessary by the YYYY or YYYY Regional Offices.

Sauf accord spécial de l'Administration Générale de l'Aviation Civile de XXXX (appelée ci-après "YYYY") ou de l'Administration Régionale de l'Aviation Civile de XXXX (appelée ci-après "Bureau Régional de YYYY"), une entreprise de maintenance ne doit pas entretenir l'aéronef d'une compagnie aérienne enregistrée en XXXX ni faire de la publicité sans avoir obtenu un Certificat d'Entreprise de Maintenance.
145.3 Définition
Pour les besoins de cette Règlementation les définitions suivantes sont utilisées :
(1) "Aéronef civil" signifie tout aéronef autre que ceux utilisés par les services du gouvernement tels que l'armée, la police et les douanes, etc.
(2) "Pièce d'aéronef" signifie toute pièce ou composant déjà installé ou prêt à être installé sur un aéronef, sauf une cellule d'aéronef, y compris un moteur d'aéronef complet ou une hélice et/ou tout matériel opérationnel ou de sécurité.
(3) "Maintenance" signifie tout(e) inspection, réparation, rectification de défaut, entretien programmé, révision et modification d'un aéronef civil (appelé ci-après "aéronef") ou d'une pièce d'aéronef civil (appelée ci-après "pièce d'aéronef"). La maintenance fournie par des fabricants d'aéronefs ou de pièces d'aéronef, ou des réparations sous garantie suite à des défauts de conception ou de fabrication, sortent du champ d'application de cette Règlementation en ce qui concerne la maintenance.
(4) "Inspecteur Principal" signifie l'inspecteur, délégué par YYYY ou par le Bureau Régional de YYYY, qui est responsable pour le contrôle d'une ou de plusieurs entreprises de maintenance.
(5) "Entreprise de maintenance indépendante" signifie une entreprise de maintenance qui est indépendante d'une compagnie aérienne ou d'un fabricant d'aéronefs ou de pièces d'aéronef, et assure la maintenance d'aéronefs ou de pièces d'aéronef auprès des compagnies aériennes.
(6) "Entreprise de maintenance d'une compagnie aérienne" signifie une entreprise de maintenance établie par une compagnie aérienne pour assurer la maintenance d'aéronefs ou de pièces d'aéronef essentiellement pour la compagnie aérienne. Quand l'entreprise de maintenance assure des services de maintenance pour une autre compagnie aérienne elle sera traitée comme une organisation de maintenance indépendante.
(7) "Entreprise de maintenance d'un fabricant" signifie une entreprise de maintenance créée par un fabricant d'aéronefs ou de pièces d'aéronef, et dont les activités de maintenance sont essentiellement associées aux unités de production du fabricant. Quand les principales activités de maintenance se dissocient des unités de production, l'entreprise sera alors traitée comme une organisation de maintenance indépendante.
(8) "Entreprise de maintenance nationale" signifie une entreprise de maintenance constituée en société et enregistrée en XXXX autrement qu'à ZZZZ.
(9) "Entreprise de maintenance étrangère" signifie une entreprise de maintenance constituée en société et enregistrée dans un autre pays.
(10) "Entreprise de maintenance d'une Région Administrative Spéciale" signifie une organisation de maintenance constituée en société et enregistrée à ZZZZ.
(11) "Normes homologuées" signifie les documents techniques, les standards de gestion, les procédures de travail, et les informations relatives à la navigabilité, qui ont été homologués ou acceptés par YYYY ou par le Bureau Régional de YYYY.
(12) "Homologué par YYYY" signifie l'homologation directement par YYYY ou par une organisation ou un individu ainsi autorisé par l'AGACC.
(13) "Directeur Responsable" signifie la personne au sein d'une entreprise de maintenance qui peut être tenu comme responsable au nom de l'entreprise pour la satisfaction de cette Règlementation. Cette personne a l'autorité de déployer les ressources humaines, matérielles et financières de l'entreprise pour satisfaire les normes établies par cette Règlementation.
(14) "Directeur de la Qualité" signifie la personne au sein d'une entreprise de maintenance que le Directeur Responsable a autorisé à administrer et à surveiller le système de qualité de l'entreprise.Cette personne répondra directement au Directeur Responsable.
(15) "Directeur de la Production" signifie la personne au sein d'une entreprise de maintenance qui est responsable de la planification de l'ensemble du travail de maintenance et de son exécution.
(16) "Personne autorisée" signifie la personne au sein d'une entreprise de maintenance qui assure que les aéronefs ou les pièces d'aéronef satisfont aux normes homologuées, et certifie la mise à disposition de l'aéronef ou des pièces d'aéronef.
145.4 Service de Gestion
La délivrance des Certificats d'Entreprises de Maintenance est centralisée par YYYY.
Le service de YYYY chargé de gérer la maintenance des aéronefs sera responsable pour l'homologation et le contrôle des entreprises de maintenance des aéronefs et des pièces pour aéronefs. Le service sera également responsable pour la délivrance des Certificats d'Entreprises de Maintenance pour les entreprises de maintenances à l'étranger ou dans les Régions.
Les Bureaux Régionaux de YYYY seront responsables pour la délivrance des Certificats d'Entreprises de Maintenance et de l'administration des entreprises de maintenances situées dans leurs régions qui ont été ainsi autorisées par le service de YYYY chargé de la maintenance des aéronefs. Les Bureaux Régionaux de YYYY se chargeront aussi de l'homologation et du contrôle d'autres entreprises de maintenance quand ils seront autorisés à ce faire par le service de YYYYchargé de la maintenance des aéronefs.
145.5 Audits et contrôles
YYYY et les Bureaux Régionaux de YYYY entreprendront des audits et des contrôles des travaux de maintenance des entreprises de maintenance, conformément à leurs responsabilités et à leurs autorisations. Les audits et les contrôles se feront dans les domaines suivants :
(1) Audits d'entreprises de maintenance qui demandent la délivrance d'un Certificat d'Entreprise de Maintenance, ou pour la modification d'un tel certificat ;
(2) Audits annuels des entreprises de maintenance en XXXX, et audits préalables au renouvellement des Certificats des Entreprises de Maintenance délivrés aux entreprises de maintenance situées à l'étranger et dans les Régions;
(3) Audits programmés et non-programmés, effectués par les inspecteurs principaux, ou audits d'échantillonnage ;
(4) Audits communs, entrepris par YYYY et les Bureaux Régionaux de YYYY.
(5) Des enquêtes sur les entreprises de maintenance concernant la qualité du travail de maintenance effectué ;
(6) Tout autre contrôle, inspection ou enquête qui sera jugé nécessaire par YYYY ou par les Bureaux Régionaux de YYYY.

LE NOTIFIER The notifier will, in accordance with Articles 25 and 26(2), take the waste back if the shipment has not been completed as planned or if it has been effected in violation of Council Regulation n° 259/93.
LE CONSIGNEE The consignee will provide, in the case of retransfer of the waste for recovery to another Member State or to a third country, the notification of the initial country of despatch.
LE CONSIGNEE The consignee will provide, as soon as possible and not later than 180 days following the receipt of the waste, a certificate to the notifier that the waste has been recovered in an environmentally sound manner.

Ce contrat est complémentaire à tout autre contrat établi entre les parties à la notification ci-dessus.
Par la présente, il est convenu entre les parties que les obligations et les devoirs ci-après imposés par la législation et exigés par le Règlement (CEE) No 259/93 du Conseil, seront respectés à l'égard de la Notification n° GB007111.
LE NOTIFIANT En conformité avec les Articles 25 et 26(2), le notifiant doit reprendre les déchets si la livraison n'a pas été menée à terme comme prévue ou si elle a été effectuée en violation du Règlement n° 259/93 du Conseil.
LE DESTINATAIRE Dans le cas du transfert des déchets pour valorisation dans un autre Etat Membre ou vers un pays tiers, le destinataire doit fournir la notification du pays d'origine.
LE DESTINATAIRE Dès que possible et au plus tard cent quatre-vingt jours après la réception des déchets, le destinataire doit transmettre au notifiant un certificat de valorisation des déchets par des méthodes écologiquement saines.

3. Fees
3.1 In consideration of the Sub-Licence, the Licencee shall, throughout the term of this Agreement, after the end of each quarter pay to the Licensor (in the manner as provided in Clause 3.2) a fee of 0,5% (a half percent) of the Net Sales in that quarter (the "quarterly fee").
3.2 The quarterly fee shall be due and payable (together with VAT thereon, if any) on the 20th of each January, April, July and October (the "due date"), in respect of the preceding quarter. If this date is not a business day, the due date will be the first business day thereafter.
3.3 Any quarterly fee payment not actually received by the Licensor on the due date shall be deemed overdue. If any quarterly fee payment is wholly or partially overdue, the Licencee shall pay to the Licensor, in addition to the overdue amount, interest on such amount from the due date until paid, such interest to accrue daily at the annual rate of 3% over the then prevailing rate for inter-company loans in the currency of the territory within the X Group.
3.4.1 The Licencee shall maintain its accounts and records in accordance with generally accepted accounting principles and practices consistently applied. The Licensor shall during the term of this Agreement and 18 months thereafter have access, upon reasonable notice, to the Licencee's accounts and records during business hours toi the extent required to verify the Net Sales in any year. If any inspection should reveal that payments due to the Licensor under this agreement have been understated by the Licencee, then the Licencee shall pay to the Licensor the amount understated (together with VAT thereon, if any) upon demand, in addition to the interest thereon from the date such amount was due until paid at the rate referred to in Clause 3.3.

3. Redevance
3.1 En contrepartie de la Sous Licence, le Concessionnaire doit, pendant la durée de ce Contrat, après la fin de chaque trimestre, payer au Concédant (selon la procédure stipulée à la Clause 3.2) une redevance de 0,5% (un demi pourcent) des Ventes Nettes de ce trimestre (la "redevance trimestrielle").
3.2 La redevance trimestrielle sera due et payable (avec toute TVA qui s'applique) le 20 de chaque janvier, avril, juillet et octobre ("l'échéance"), pour ce qui est du trimestre précédant. Si cette date n'est pas un jour ouvrable, l'échéance sera le premier jour ouvrable suivant.
3.3 Toute redevance trimestrielle qui n'est pas reçue par le Concédant à la date d'échéance sera considérée comme impayée. Si le règlement d'une redevance trimestrielle est totalement ou partiellement impayé, le Concessionnaire doit payer au Concédant, en plus de la somme impayée, des intérêts sur ladite somme à compter de l'échéance jusqu'au règlement, lesdits intérêts courant quotidiennement au taux annuel de 3% au-dessus du taux en vigueur pour les prêts entre sociétés dans la monnaie du territoire au sein du Groupe X.
3.4.1 Le Concessionnaire doit tenir ses comptes et ses livres conformément aux principes et aux pratiques comptables généralement admis et appliqués systématiquement. Le Concédant doit, pendant la durée de ce Contrat et pendant 18 mois après sa résiliation, avoir le droit d'accéder, avec un préavis raisonnable, aux comptes et aux livres du Concessionnaire pendant les heures de bureau pour autant que cela soit nécessaire pour la vérification des Ventes Nettes d'une année donnée. Si une inspection devait révéler que des paiements dus au Concédant selon ce Contrat ont été minimisés par le Concessionnaire, dans ce cas le Concessionnaire doit payer au concédant la somme minimisée (avec toute TVA qui s'applique) sur demande, en plus des intérêts dus sur celle-ci à compter de l'échéance de ladite somme jusqu'au règlement au taux cité à la Clause 3.3.
