En este sentido, queremos llamar vuestra atención sobre las consecuencias, que desde el punto de vista de la legislación mercantil española se podrían derivar:
Cierre de la hoja registral: transcurrido un año desde la fecha del cierre del ejercicio social sin que se haya practicado en el Registro Mercantil el depósito de las cuentas anuales debidamente aprobadas, el Registrador Mercantil no inscribirá ningún documento presentado con posterioridad a aquella fecha, hasta que, con carácter previo, se practique el depósito.
Debido a que no se han presentado a depósito las cuentas anuales de los ejercicios 2007 y 2008, la hoja registral se encuentra actualmente cerrada, por lo que no es posible presentar a inscripción título que deba inscribirse en el mismo (se exceptúan los títulos relativos al cese o dimisión de administradores, gerentes, directores generales o liquidadores, y a la revocación o renuncia de poderes, así como a la disolución de la sociedad, al nombramiento de liquidadores).

In this respect, we would like to warn about the consequences which may result from the point of view of Spanish mercantile legislation:
Closure of the company file:If 12 months elapse after the year-end without submitting the annual accounts, duly approved, to the Mercantile Register, the Mercantile Registrar will not register any document presented at that date, until the filing is made before.
Since the annual accounts for 2007 and 2008 have not been filed yet, the company file is currently closed, therefore it is not possible to register legal documents which need to be registered therein (except legal documents related to the removal or resignation of directors, managers, chief executive officers or liquidators, to the revocation or relinquishment of powers, as well as the winding-up of the company, the appointment of liquidators).

Durante el ejercicio, los Directores ha establecido el siguiente plan de viabilidad para la Sociedad que se fundamenta en:
1) Separación desde el punto de vista financiero de las operaciones continuadas de las operaciones no continuadas.
2) Fortalecimiento de los niveles operativos y de servicio con los grupos de interés de cada división, a través de una toma de decisiones rápida, flexible y autónoma.
3) Re-estructuración y reducción de costes: eliminar actividades no esenciales con la correspondiente reducción de personal y eliminación de costos fijos.
4) Apoyo bancario a la reducción de deuda y re-estructuración. Participación de los dueños en la dirección de la empresa.
5) Por último, apoyo de clientes clave en cada una de las cuatro divisiones, que han sido informadas de forma oportuna y transparente sobre nuestra evolución.
