AGREEMENT FOR RESEARCH AND DEVELOPMENT SERVICES.
PARTIES
(1) XXXXXX, a company organized and existing under the laws of the XXX and having its office at XXX (hereinafter called the company).
(2) A.A of ________________________________________, Moscow, Russia ("AA") (which shall include AA s' personal representatives and successors in title)
Together the "Parties".
INTRODUCTION
(A) All the confidential information, know-how and Patents in areas of research set out in Schedule 1 of this agreement that AA owns and possesses and/or that would arise out of any future research program are agreed to be part of this agreement (research) . AA confirms that products emanating from the Research would have significant commercial value. The Company wishes to fund the research and development of the inventions to produce products suitable for worldwide manufacture and sale. AA confirms that neither himself nor any of his present or past employers, contractors or any scientific intuitions, organizations or Universities to which he was part of have ever disclosed or divulged any secrets relating thereto to any person and/or any related research or development at any time prior to the signing of this Agreement and that no confidential information or know how has ever been passed over, patented or any application thereof is pending by any third person/entity with AA’s involvement, prior to the signing of this Agreement.
(B) The Parties have agreed that the research to be conducted in accordance hereof will be the subject of patent applications and that additional intellectual property rights may be created during the development or research. Such intellectual property rights shall be the property of YYYYY, a joint venture company, to be established with the shareholding of ______% by ________________ and % by AA. YYYYY may commercialize a Product on its own or may license the IP to any external party. It has been agreed that should YYYYY determine at any point of time not to commercially exploit any intellectual property right for any reason whatsoever, YYYYY shall license such a right of commercial exploitation to AA, who on his own or with the joint efforts of any third party of his choice use the intellectual property for commercial gains. This permission to AA shall however be subject to payment of a reasonable royalty/license fee by either AA or his third party collaborator. The amount of royalty/license fee shall be determined by YYYYY and under no circumstances be lower than the total cost of research incurred by YYYYY under this agreement. These and other matters pertinent to the inter se relationship of the shareholders of YYYYY are the subject matter of a separate shareholders agreement executed between the shareholders of YYYYY.
(C) AA confirms that there he foresees no impediments of whatsoever nature in signing this agreement and fulfilling any of the obligations hereunder.
AGREED TERMS
1. Definitions
1.1 In this Agreement the following terms shall have the following meanings:
"Background Intellectual Property" means all Intellectual Property, including, without limitation, those relating to the Research, which AA owns or in which he otherwise has a right or interest.
"Confidential Information" means material or information proprietary or confidential to either party or designated as “Confidential Information” by either party. Confidential Information includes, but is not limited to, the following types of information and other information of a similar nature: this Agreement; discoveries; ideas; concepts; marketing and development plans and procedures; financial information; research; know-how; any and all technical information, data, materials and other know-how relating to the business of either of the Parties, which one parties (the "Disclosing Party") provides to the other party (the "Receiving Party") orally, in writing or in any other form, but shall not include any portion thereof which:
(a) is known to the Receiving Party, as evidenced by the Receiving Party's written records, before receipt thereof under this Agreement;
(b) is disclosed to the Receiving Party by a third party without a duty of confidentiality;
(c) is or becomes part of the public domain through no fault of the Receiving Party;
(d) is required to be disclosed by a court order or operation of law. Receiving Party shall provide the Disclosing Party immediate notice and the opportunity to object to or limit such disclosure; or
(e) is independently developed by or on behalf of the Receiving Party, as evidenced by the Receiving Party's written records, without recourse to such Confidential Information disclosed under this Agreement.
"Intellectual Property" means the following that is conceived, developed, generated, reduced to practice, or otherwise comes into existence during this Agreement:
(a) patents and patent applications (including, without limitation, any continuing applications, provisional applications, divisional applications or continuation in part applications relating to such patent applications and any national or international patent applications claiming priority from such patent applications anywhere in the world and any reissue or renewals or re-examinations of such patents and any extensions of the exclusivity granted in connection with such patents)
(b) utility models, trade and service marks, registered designs, trade and business names (and all goodwill in the same), copyright, design rights, database rights, trade secrets, Confidential Information;
(c) all other intellectual property rights and analogous rights as may arise or subsist anywhere in the world (including rights in the nature of unfair competition and the right to sue for passing off) whether created or vesting now or at any time in the future and whether they are registered or unregistered, including applications for any such rights;
(d) all know-how, data and other information in the possession of AA, in whatever form held, whether patentable or not, which is useful and/or necessary in or to the manufacture, use, application or exploitation of the inventions on Research which is not published or publicly known and any improvement to the same or in respect of which a patent has not been applied for or granted; and,
(e) any inventions (patentable or not), formulae, products, processes, techniques, discoveries, improvements, inventions, concepts, ideas, information, data and knowledge and any other results in connection with the inventions and Research.
"Intellectual Property Assignment" means the assignment of rights in and relating to Intellectual Property, including, without limitation, relating to the Research in accordance herewith.
"Termination Event" means any adverse event or result at any time during the term of this Agreement, as determined by XXXXXX, including without limitation any of the following:
(a) failure by AA effectively to disclose all Know-How to XXXXXX or YYYYY's agents to enable YYYYY or YYYYY's agent to prepare a patent application, the claims of which would be fully supported by the specification;
(b) any other material patent prosecution problems;
(c) inconclusive or unfavourable results after carrying on the research for a reasonable period as determined by YYYYY;
(d) failure of the Results to be commercially successful through no fault of either Party.

ДОГОВОР О ПРЕДОСТАВЛЕНИИ ИССЛЕДОВАТЕЛЬСКИХ УСЛУГ И УСЛУГ ПО РАЗРАБОТКЕ.
СТОРОНЫ
(1) XXXXX, компания, организованная и существующая согласно законам XXX и имеющая офис по адресу: XXX (здесь и далее именуемая Компанией).
(2) A.A, представляющий_______________________________, Москва, Россия (Далее именуемый "AA") (включая личных представителей или правопреемников AA)
Совместно "Стороны".
ВВЕДЕНИЕ
(A) Вся конфиденциальная информация, ноу-хау и патенты в областях исследования, определенных в пункте 1 данного Договора, которыми АА владеет и располагает и/или те, которые могут возникнуть в ходе любой будущей исследовательской программы, оговариваются как часть данного Договора (исследование). АА подтверждает, что результаты исследования обладают значительным коммерческим потенциалом. Компания изъявляет желание финансировать исследования и разработку изобретений до (стадии) производства продукции, пригодной для изготовления и продажи во всем мире. АА подтверждает, что ни он сам, ни один из его настоящих или бывших работодателей, контрагентов или каких бы то ни было научно-исследовательских институтов, организаций или университетов, с которыми он сотрудничал, никогда не разглашали кому бы то ни было и не публиковали никаких секретов, касающихся исследования и/или связанных с ним исследований или разработок когда бы то ни было до подписания данного Договора, а также что никакая конфиденциальная информация или ноу-хау никогда не передавались, не патентировались и никакие заявки на патент от третьих лиц/сторон с участием АА не находятся в стадии рассмотрения на момент подписания данного Договора.
(B) Стороны договорились, что исследования, проводимые в соответствии с данным Договором, будут предметом заявок на выдачу патента и что дополнительные права на интеллектуальную собственность могут возникнуть в ходе разработок или исследований. Такие права будут являться собственностью MMM, совместного предприятия, которое будет образовано с участием в акционерном капитале ______ %, принадлежащим _________, и ______ %, принадлежащим АА. MMM может извлекать прибыль из продукции самостоятельно или может выдать лицензию на интеллектуальную собственность третьим лицам. Стороны договорились, что в случае, если MMM решит в какой-либо момент отказаться от коммерческого использования каких бы то ни было прав интеллектуальной собственности по какой бы то ни было причине, MMM должна выдать лицензию на использование таких прав в коммерческих целях АА, который самостоятельно или совместно с любой выбранной им третьей стороной будет использовать эту интеллектуальную собственность в коммерческих целях. Однако это разрешение, выданное АА, должно подлежать оплате в виде соответствующего гонорара или лицензионной оплаты со стороны АА или его партнера, представителя третьей стороны. Размер гонорара/ лицензионной оплаты определяется MMM и ни в коем случае не может быть ниже, чем общая стоимость исследований, инициируемых MMM в рамках данного Договора. Эти и другие вопросы, регулирующие внутренние взаимоотношения акционеров MMM, являются предметом отдельного договора, заключенного между акционерами MMM.
(C) АА подтверждает, что он не видит каких бы то ни было препятствий к подписанию данного Договора и исполнения обязательств согласно ему.
УСЛОВИЯ ДОГОВОРА
1. Определения
1.1 В данном Договоре следующие термины имеют следующее значение:
Под «Фоновой интеллектуальной собственностью» подразумевается вся интеллектуальная собственность, включая без ограничений собственность, имеющую отношение к исследованию, которой АА владеет непосредственно, либо на правах долевого или иного участия.
Под «Конфиденциальной информацией» подразумеваются материалы или информация, запатентованные одной стороной или являющиеся конфиденциальными для одной из сторон или обозначенные как «Конфиденциальная информация» одной из сторон. Конфиденциальная информация включает в себя, однако не ограничивается ими, следующие типы информации и другую информацию подобного характера: данный Договор; открытия; идеи; концепции; планы и процедуры по маркетингу и разработке; финансовую информацию; исследования; ноу-хау; любую и всю техническую информацию, данные, материалы и другое ноу-хау, относящиеся к деятельности любой из сторон, которые одна из сторон (Передающая сторона) передает в распоряжение второй стороне (Принимающая сторона) устно, в письменном или каком-либо другом виде, однако не включает в себя ничего, что содержит следующее:
(a) информацию, известную Принимающей стороне, что подтверждается письменными свидетельствами Принимающей стороны, до получения таковой в соответствии с данным Договором;
(b) информацию, предоставленную Принимающей стороне третьей стороной без требования соблюдения конфиденциальности;
(c) информацию, обнародованную или подлежащую обнародованию не по вине Принимающей стороны;
(d) информацию, подлежащую разглашению по решению суда или в силу действия закона. Принимающая сторона должна немедленно известить об этом Передающую сторону и предоставить ей возможность опротестовать или ограничить такое обнародование; или
(e) информацию, которая получена Принимающей стороной самостоятельно или от ее имени, что подтверждается письменными документами Принимающей стороны, не прибегая к Конфиденциальной информации, разглашенной в рамках этого Договора.
Под «Интеллектуальной собственностью» подразумевается все, что задумано, разработано, произведено, внедрено на практике или каким-либо другим способом осуществлено во время действия этого Договора:
(a) патенты и заявки на патент (включая все без ограничений заявки на продолжение экспертизы, предварительные заявки, частичные или дополнительные заявки, касающиеся таких заявок, а также любые национальные и международные заявки на выдачу патента, претендующие на приоритет в отношении таких заявок в любой точке мира и, кроме этого, любые повторные выдачи или обновления или повторные экспертизы таких патентов и любые расширения исключительного права, предоставленные в связи с такими патентами)
(b) полезные модели, товарные знаки и знаки обслуживания, зарегистрированные промышленные образцы, торговые марки и фирменные названия (и все нематериальные активы в целом), авторские права, промышленные права, авторские права на базы данных, коммерческие тайны, конфиденциальная информация;
(c) все иные права на интеллектуальную собственность и аналогичные права, которые могут возникнуть в или относиться к любой точке мира (включая права в случае недобросовестной конкуренции и права возбуждения иска в случае подделки), уже созданные или создаваемые в данный или в любой другой момент в будущем и независимо от того, зарегистрированы они или нет, включая заявки на любые такие права;
(d) все ноу-хау, все данные и другая информация в распоряжении АА, в какой бы то ни было форме, патентоспособная или нет, которая является полезной и/или необходимой в или для производства, использования, применения или эксплуатации открытий в исследованиях, которые не опубликованы или публично неизвестны и любое улучшение к вышеозначенным или относительно которых не была сделана заявка на выдачу патента и патент не был выдан.; и
(e) любые изобретения (патентоспособные или нет), формулы, препараты, процессы, методики, открытия, улучшения, изобретения, концепции, идеи, информация, данные и знания и любые другие результаты в связи с открытиями и исследованиями.
Под «Наделением правами интеллектуальной собственности» подразумевается наделение правами интеллектуальной собственности или в отношении таковой, включая без ограничений все, относящееся к исследованиям в соответствии с данным договором.
Под «Основанием для расторжения» подразумевается любое неблагоприятное событие или результат в любой момент действия этого Договора, как определено NNNN, включая без каких-либо ограничений любое из следующего:
(a) неспособность АА эффективно раскрыть все ноу-хау представителям NNNN или представителям MMM с тем, чтобы стала возможной подготовка заявки на выдачу патента компанией MMM или представителем MMM, при этом заявка должна быть полностью подкреплена спецификацией;
(b) любые проблемы, связанные с процедурой выдачи патента;
(c) неубедительные или неблагоприятные результаты после проведения исследований в течение разумного периода времени, определяемого MMM;
(d) отсутствие получения коммерческой выгоды от результатов без вины какой-либо из сторон.

I studied pulp and paper technology in St Petersburg (then Leningrad) for three years. Since then I have known how to read technical drawings and what a chemical formula represents.
I lived in Finland for nearly ten years, where I completed a BA degree in translation and passed the exam for authorised translators by Translators' Examination Board of the Research Institute for the Languages of Finland.
My last full-time job was working as a terminologist on the Customs Terminology Project at the Savonlinna Institute for Regional Development and Research, University of Joensuu, Finland. I was a member of the team of terminologists and was responsible for Russian terms in the Finnish-Russian-English Online Glossary of Customs Terms.
While in Finland I did both translating and interpreting for a number of clients, the most interesting of whom are stated in my CV. I am fully devoted to the profession and do realise that the quality of each completed translation builds up my reputation as a translator. Consequently I will not risk doing a job carelessly.
I am a member of the Finnish Association of Translators and Interpreters.
In September 2009 I have completed an MA in Conference Interpreting and Translation Studies at the University of Leeds.
