General duties of the Members
Each Member shall:
· diligently and faithfully employ himself in the Business and use his best endeavours to carry on the Business for the utmost benefit of the XXX;
· being an individual, unless otherwise agreed by Special Resolution devote the whole of his time and attention to the Business;
· at all times duly and punctually pay and discharge his separate and private debts and engagements (whether present or future) and keep the XXX and the property of the XXX indemnified against them and from all actions, proceedings, costs, claims and demands in respect of them;
· unless otherwise agreed by Special Resolution, account for and pay over to the XXX all profits made by him in carrying on any business of the same nature as and competing with the XXX;
· account to the XXX for any benefit derived by him (without the consent of the other Members by Special Resolution) from any transaction concerning the XXX, or from any use by him of the property of the XXX, the XXX Name or business connection; and
· advise the XXX of any change in his address or other personal details which the Designated Members are obliged to notify to Companies House.
