The Certificate of Incorporation of the Corporation is amended to effect the following amendments authorized by the Business Corporation Law :
To amend article Fourth of the Certificate of Incorporation to increase the number of shares which the Corporation may issue from 50,000,000 shares of Common Stock having a par value of 50 cents to 82,500,000 shares of these shares, 75,000,000 are classified as Common Stock, par value 50 cents, and 7,500,000 are classified as Preferred Stock, par value 1$ per share.
