Các phát hiện liên quan trực tiếp đến vấn đề môi trường
1. Qua việc nghiên cứu các báo cáo Kiểm tra môi trường ban đầu (IEE) và đi thực địa tại hiện trường cho thấy tất cả các tiểu dự án ở tỉnh Phú Yên là các đề xuất làm mới và không phải là khắc phục hay nâng cấp các công trình hư hỏng do bão lũ năm 2005.
2. Theo Hướng dẫn đánh giá môi trường của ADB, báo cáo Kiểm tra môi trường ban đầu cần bao gồm các thông tin về tiểu dự án, môi trường xung quanh, các ảnh hưởng tiềm tàng, kế hoạch quản lý môi trường, và tham vấn cộng đồng và công khai thông tin. Tuy nhiên, báo cáo IEE của các tiểu dự án ở Phú Yên thiếu thông tin về phần tham vấn cộng đồng và công bố thông tin. Đề nghị Ban quản lý dự án tỉnh kiểm tra lại và bổ sung.
3. Các báo cáo IEE gần như giống nhau, chỉ phân tích chung chung và thiếu thông tin tài liệu cụ thể. Các báo cáo môi trường không có thông tin tài liệu về (i) lượng nước và rác dự tính thải ra từ các hoạt động/lán trại của công nhân xây lắp, cũng như biện pháp xử lý nước và rác thải; (ii) khối lượng đất đắp và đào sử dụng cho công tác xây dựng công trình; (iii) giải pháp bảo vệ xói lở đất ở các khu vực sẽ được khai thác. Mỗi báo cáo IEE đều có Kế hoạch quản lý môi trường, tuy nhiên các kế hoạch này đều không có kế hoạch về mặt kinh phí để hoạt động. Vấn đề này có thể cải thiện bằng cách yêu cầu nhà thầu chuẩn bị một bản Kế hoạch quản lý môi trường chi tiết với đầy đủ các thông tin số liệu kèm theo trong hồ sơ đấu thầu.
4. Khi nghiên cứu một bản mẫu Hồ sơ mời thầu của Ban quản lý tỉnh, tư vấn nhận thấy rằng một số yêu cầu về vệ sinh môi trường và và an toàn lao động được đề cập ở điểm a.3 “tiêu chuẩn về mặt kỹ thuật”. Tuy nhiên, không có một điều khoản nào về yêu cầu bảo vệ môi trường dưới phần IV – Các điều khoản hợp đồng.
5. Ở phần nghi chú cuối Hồ sơ mời thầu chỉ ra rằng “Nhà thầu tự nghiên cứu nơi đổ đất đào với yêu cầu đảm bảo vệ sinh môi trường và không ảnh hưởng đến các công trình xung quanh” và “...địa điểm mua, mượn, khai thác, biện pháp khai thác, vận chuyển, đền bù đất cho phép nhà thầu phải tự điều tra tính đủ vào giá dự thầu...”. Trên quan điểm bảo vệ môi trường, những đề cập này khá chung chung và không cụ thể. Đề nghị Ban quản lý dự án tỉnh quản lý chặt chẽ vấn đề này vì các nhà thầu thường muốn giảm tới mức tối thiểu các chi phí, điều này dễ dẫn đến việc thiếu quan tâm thích đáng đến các vấn đề bảo vệ môi trường và xã hội.
6. Theo điều 93 trong Hướng dẫn đánh giá môi trường của ADB, các giao kèo với nhà thầu về hoạt động xây dựng an toàn và hiệu quả nên được qui định rõ trong hợp đồng xây lắp với các khoản phạt phù hợp nếu không tuân thủ nhằm hạn chế tối đa các ảnh hưởng xấu đến môi trường. Ngoài ra, hợp đồng xây lắp nên bao gồm các điều khoản về nhân sự, thiết bị, và tổ chức đạt yêu cầu để đảm bảo rằng nhà thầu sẽ thực hiện tốt công tác xây lắp và sử dụng các sản phẩm thân thiện với môi trường. Các yêu cầu về đánh giá và tuân thủ môi trường trong Hướng dẫn hồ sơ mời thầu của Ban quản lý dự án tỉnh thiếu tính cụ thể và rõ ràng. Miêu tả và qui định chi tiết hơn về các vấn đề môi trường cần được đưa vào trong tài liệu hợp đồng.
7. Ở Ban quản lý dự án tỉnh cần có ít nhất một cán bộ môi trường được giao nhiệm vụ để đảm bảo các biện pháp giảm thiểu ảnh hưởng môi trường và chương trình giám sát tuân thủ kế hoạch quản lý môi trường được thực hiện phù hợp với luật pháp Việt Nam và hướng dẫn của ADB. Trách nhiệm chính của cán bộ này là giám sát tuân thủ môi trường thông qua việc xác định các vấn đề và đưa ra các giải pháp hành động để khắc phục. Nên cử những cán bộ có khả năng tốt phụ trách các nhiệm vụ cần thiết để có thể hoàn thành các yêu cầu của công việc.

Findings directly related to environmental issues
1. It can be seen from IEE reports and from site visit that all subprojects in Phu Yen province are new constructed proposals but rehabilitation or upgrading of already existing works which were damaged by 2005 storms and floods.
2. According to the ADB’s Environmental Assessment Guidelines, IEE report should cover subproject’s description, its surrounding environment, potential impacts, environmental management plan, as well as public consultation and disclosure. However, all IEE reports for subprojects in Phu Yen province are lacking of public consultation and disclosure information. This should be rechecked and supplemented.
3. All the IEE reports are similar, very general analyzed and lacking of specific data and/or information. There is no data/information about (i) quantity of wastewater and solid waste generated by construction workers, as well as location for waste treatment; (ii) volume of earth-fill/excavated land will be used for construction; (iii) solution for soil erosion protection in/around exploited areas. An EMP is proposed in each IEE report, however, no budget is planned for EMP operation. These issues can be improved by requesting contractor to prepare a detail EMP with sufficient data/information to enclose in the tender document.
4. By reviewing through a sample of Bidding Document the consultant find out that some general environmental protection and working safety requirements are mentioned under point a.3 “standards/requirements on technical aspects”. However, no environmental requirement is mentioned under part IV – Conditions of contract.
5. In the Note part of the Bidding Document shows that ‘Contractor will themselves study where to discharge excavated land with the condition that environmental sanitation is ensured and no effect to surrounding works...’ and “..contractor is allowed to survey and consulate the cost of buying, renting, and exploiting, transporting as well as compensating of land for construction to add in the total bidding price...”. It is proposed that this issue should be carefully managed by PPMU as contractors always want to reduce to the lowest cost which may lead to inadequate environmental and social considerations.
6. According to the Article 93 in the ADB’s Environmental Assessment Guidelines, contractor’s covenants for good construction practices should be clearly stipulated in the construction contracts to minimize environmental impacts, with appropriate penalties for non-compliance. In addition, construction contracts should include clauses on adequately qualified personnel, equipment, and organization to ensure that the contractors implement good engineering practices and use environment-friendly products. Contract documentations show ambiguous statements related to environmental assessment and compliance. Further detailed descriptions and stipulations on environmental issues should have been included in the contract documentations.
7. At least one environment management officer at the executing agency should have been assigned to ensure the mitigation measure and monitoring program in accordance with the Institutional Arrangements in ADB Guidelines. The officer is mainly responsible for the successful environmental supervision through identification of problems and development of consequent remedial action. It is recommended that highly qualified staffs be in charge of the necessary tasks for fulfillment of the requirement.

2. To execute the Bill of Sale, sign the relevant protocol of delivery and acceptance, release payment of the purchase price and all other monies payable under the terms of the MOA.
3. To open and operate all and any account or accounts in the joint names of the Company and the Sellers with Hill Dickinson LLP, Singapore. USD account No.: 0170148971., Swift code: SCBLSGSG or any accounts in the name of the Company and in particular (but without prejudice to the generality of the foregoing) to release any monies standing to the credit thereof in such manner as the Attorneys may think fit in accordance with the M.O.A solely for the purpose of completing the purchase of the Vessel by the Company.
4. To appear before and sign, execute and deliver any applications to Registrars, Consuls, Consular Officers and Agents, Commissioners, Deputy Commissioners, Harbor Masters, Port Officers, Maritime Administration Authorities, Notaries, Custom Excise or other authorities for the purpose of transferring the Vessel from the Sellers and deleting the Vessel from the Korea flag and to sign any documents which may be necessary for and in connection with such purchase and deletion and to take all necessary steps in connection with this matter, including relevant applications, declarations etc. and to take all necessary steps in connection with this matter.
5. To appear before the Director of the Department of Merchant Shipping or before any Maritime Attaché or Consular Officer of the Republic of Korea or anywhere abroad or with any Maritime Attaché or Consular Officer of the Republic of Korea anywhere abroad,
6. To agree on behalf of the Company with Sellers’ representative on the price and quantity of bunkers and lubricants remaining onboard the Vessel,
7. To effect the physical delivery of the Vessel from the Sellers,
8. To make, sign and execute and to do any such instruments acts and things as the Attorney-in-Fact shall in his absolute discretion deem desirable or expedient for carrying out any other purposes or acts hereby authorised.
The Company hereby ratifies and confirms all that the Attorney-in-Fact or any substitute appointed by them shall lawfully do or cause to be done by virtue hereof.
AND the Company hereby undertakes to keep the Attorneys-in-Fact indemnified and to hold them harmless against all actions, proceedings, claims, demands or liabilities whatsoever which may be brought against them or incurred by them in relation to any and everything done or caused to be done by them under this Power of Attorney and against all costs, damages expense which the Attorney-in-Fact may suffer or incur in defending and settling the same.

8. Để thực hiện, ký và làm bất cứ hành vi và những việc mà Người được ủy quyền sẽ toàn quyền quyết định của mình cho là hợp lý và phù hợp để thực hiện các mục đích và hành vi trong thẩm quyền.
Công ty thông qua và phê chuẩn rằng Người được ủy quyền hay các thành viên thay thế được chỉ định có quyền hợp pháp thực hiện và hoàn thành các công việc nêu ra ở đây.
