THIS SHAREHOLDERS AGREEMENT (hereinafter referred to as the "Agreement") is entered into on , by and among:
1) AAA LIMITED, a company duly organized and existing under the laws of , having its registered office at (hereinafter referred to as the "Company");
2) BBB LIMITED, a company limited by shares duly organized under the laws of the , having its principal place of business at (hereinafter referred to as the "BBB");
3) CCC LIMITED, a company duly registered and organized under the laws of the , having its registered office at (hereinafter referred to as the "CCC");
4) DDD LLC, a corporation organized and existing under the laws of , under registration no. , having its registered office at (hereinafter referred to as the "Investor").
BBB and CCC are hereinafter referred to as the "Original Shareholders" and together with the Investor and each additional party to this Agreement from time to time (other than the Company), are hereinafter sometimes referred to individually as a "Shareholder" and collectively as the "Shareholders". The Company and the Shareholders are hereinafter referred to individually as a "Party" and together as the "Parties".
RECITALS
WHEREAS, pursuant to a share subscription agreement between the Company and the Investor dated (hereinafter referred to as the "Subscription Agreement), the Investor has agreed to subscribe for 1,111 newly issued Shares and the Company has agreed to issue such Shares in favor of the Investor; and following completion of the transactions contemplated by the Subscription Agreement the Investor shall own 1,111 Shares of the Company, which will constitute twenty and 25 hundreds (20.25) per cent of all of the then issued and outstanding Shares of the Company on a fully diluted basis;
WHEREAS, it is a condition precedent to the completion of the transaction contemplated by the Subscription Agreement that the Parties enter into this Agreement;
WHEREAS, the Parties are entering into this Agreement to set out the terms which shall govern the relationship of the Shareholders in the Company and to regulate the affairs of the Company following the Completion Date (as defined below);
NOW, THEREFORE, in consideration of the mutual covenants herein set forth, the Parties hereto agree as follows:

НАСТОЯЩЕЕ СОГЛАШЕНИЕ МЕЖДУ АКЦИОНЕРАМИ (в дальнейшем именуемое «Соглашение») заключено года между:
1) AAA LIMITED – компанией, в надлежащем порядке учрежденной и осуществляющей свою деятельность в соответствии с законодательством , адрес регистрации: (в дальнейшем именуемой «Компания»);
2) BBB LIMITED – компанией с ограниченной ответственностью участников в пределах принадлежащих им акций, в надлежащем порядке учрежденной в соответствии с законодательством , местонахождение основного коммерческого предприятия: (в дальнейшем именуемой «BBB»);
3) CCC LIMITED – компанией, в надлежащем порядке учрежденной и зарегистрированной в соответствии с законодательством , адрес регистрации: (в дальнейшем именуемой «CCC»);
4) DDD LLC – корпорацией, учрежденной и осуществляющей свою деятельность в соответствии с законодательством , адрес регистрации: (в дальнейшем именуемой «Инвестор»);
BBB и CCC в дальнейшем именуются «Учредители», а вместе с Инвестором и каждой дополнительной стороной по настоящему Соглашению в тот или иной момент времени (отличной от Компании) в дальнейшем именуются по отдельности «Акционер», а вместе – «Акционеры». Компания и Акционеры в дальнейшем именуются по отдельности «Сторона», а вместе – «Стороны».
ПРЕАМБУЛА
ПРИНИМАЯ ВО ВНИМАНИЕ, ЧТО в соответствии с соглашением о подписке на акции между Компанией и Инвестором от года (в дальнейшем именуемым «Соглашение о подписке»), Инвестор обязался оформить подписку на Акции нового выпуска в количестве 1 111 штук, а Компания обязалась выпустить указанные Акции для Инвестора; при этом по завершении сделок, предусмотренных Соглашением о подписке, Инвестор будет иметь в собственности 1 111 Акций Компании, составляющих 20,25 (двадцать целых двадцать пять сотых) процента от всех выпущенных и находящихся в обращении к этому времени Акций Компании с учетом их максимально возможного количества при разводнении капитала;
ПРИНИМАЯ ВО ВНИМАНИЕ, ЧТО заключение настоящего Соглашения Сторонами является одним из предварительных условий завершения сделки, предусмотренной Соглашением о подписке;
ПРИНИМАЯ ВО ВНИМАНИЕ, ЧТО Стороны заключают настоящее Соглашение для установления условий, которые будут определять отношения Акционеров Компании, и регулирования дел Компании после Даты завершения сделки (согласно приведенному ниже определению);
С УЧЕТОМ ВЫШЕИЗЛОЖЕННОГО и обоюдных обязательств, содержащихся в настоящем Соглашении, Стороны договариваются о нижеследующем:
