Source text - English GENERAL MEETINGS
1. No business shall be transacted at any general meeting unless a quorum of members is present at the time when the meeting proceeds to business and remain throughout the meeting. For the purpose of this article, any members present personally or by proxy (and to that effect the proxy of any institution being member of the Company, shall be considered as a member) and holding more than 50% of the shares and entitled to vote, shall be a quorum at any general meeting.
2. If within half an hour from the time appointed for the meeting a quorum is not present, the meeting, if convened upon the requisition of members, shall be dissolved. In any other case it shall stand adjourned to the same day in the next week, at the same time place or to such other day and at such other time and place, as the directors may determine, and if at the adjourned meeting a quorum is not present within half an hour from the time appointed for the meeting, the members present shall be a quorum.
3. The regulation below shall be added to the regulation 61 of the Table A.
61(a) Subject to the provisions of the Law, a written resolution, signed by all the members which at the material time are entitled to receive notice, present and vote at General Meetings (or if are companies by their duly authorised representatives), shall be valid and effectual as if it has been passed at a meeting duly summoned and taken place.
4. Subject to any rights or restrictions for the time being attached to any class or classes of shares, on a show of hands every member present in person or by proxy shall have one vote for each possessed share. In case of a poll every member shall have one vote for each possessed share.
5. A general meeting may consist of a conference between the shareholders of the Company, either some or all of whom are in different places, provided that each shareholder who participates is able:
(a) to hear each of the other participating shareholders addressing the meetings; and
(b) if he so wishes, to address each of the other participating -shareholders simultaneously, whether directly, by conference, telephone or by any other form of communications equipment or by a combination of such methods. A quorum shall be deemed to be present if at least those conditions are satisfied in respect of the number of shareholders required to form a quorum. A meeting held in this way shall be deemed to take place where the largest group of shareholders is assembled or if no such group is readily definable at the place from where the chairman of the meeting participates. Any shareholder may, by prior notice to the Secretary indicate that he wishes to participate in the meeting in such manner in which event, the Directors shall procure that an appropriate facility is arranged.
Translation - Russian ОБЩИЕ СОБРАНИЯ
1. Общие собрания не могут рассматривать никакие вопросы, если на момент начала работы общего собрания не присутствует кворум и если он не присутствует в течение всего собрания. Для целей настоящего пункта любые участники, присутствующие лично или через представителя (и для этой цели представитель любой организации, которая является участником Компании, считается участником), владеющие более чем 50% акций и имеющие право голоса, составляют кворум на любом общем собрании.
2. Если в течение получаса с момента, на который было назначено собрание, кворум не собрался, собрание, если оно было созвано по требованию участников, распускается. В любом другом случае оно переносится на тот же день следующей недели, на то же время и в то же место или на такой день и на такое время и в такое место, которое определено директорами, и если на перенесенном собрании кворум не соберется в течение получаса с момента, на который было назначено начало собрания, присутствующие участники будут составлять кворум.
3. Следующий далее пункт добавляется в положение 61 Таблицы А.
61(a) С учетом положений Закона, письменное решение, подписанное всеми участникам, которые в соответствующий момент времени имеют право на получение уведомления, которые присутствуют и голосуют на Общих собраниях (или если они являются компаниями, то через своих надлежащим образом уполномоченных представителей), является действительным и имеющим силу, как если бы оно было принято на должным образом созванном и проведенном собрании.
4. С учетом любых прав или ограничений, которые на тот или иной момент действуют в отношении любой категории или категорий акций, при голосовании поднятием рук каждый участник, присутствующий лично или через представителя, имеет один голос по каждой принадлежащей ему акции. В случае письменного голосования каждый участник имеет один голос по каждой принадлежащей ему акции.
5. Общее собрание может представлять собой конференцию, проводимую среди акционеров Компании, в случае если некоторые из них или все находятся в разных местах, при условии что каждый акционер, участвующий в конференции может:
(а) слышать каждого участвующего акционера, обращающегося к собранию; и
(б) по собственному желанию обратиться к каждому участвующему акционеру одновременно, напрямую, посредством телефона либо посредством любого другого коммуникационного оборудования или любой комбинации этих методов. Кворум считается собранным, если как минимум эти условия удовлетворены в отношении количества акционеров, необходимых для составления кворума. Собрание, проведенное таким образом, считается проведенным в том месте, где собралось наибольшее количество акционеров, а если ни одна группа четко не выделяется, то в том месте, где находится председатель собрания. Source text - English TERM AND TERMINATION
1. This Agreement shall become effective on the first day of October 2012 and shall continue to be in effect for a period of two (2) years (the "Initial Period"). Thereafter, the Agreement shall be automatically extended for successive one (1) year periods, unless terminated by either Party by a written notice three (3) months prior to the expiry of the Initial Period or each consecutive contractual year.
2. Any Individual Local Contract in place with the Employer or any Employer Affiliate may be terminated by the Employer respectively Employer Affiliate upon one (1) month prior written notice to Contractor or Contractor Affiliate. In such cases the Contractor/Contractor Affiliate shall be entitled to full payment in respect of that part of the Technical Services performed under the terms and conditions of the Individual Local Contract up to the date of such termination. This compensation shall include the documented cost of engineering and overhead cost but exclude any profit.
3. The right to terminate this Agreement or any Individual Local Contract for substantial cause shall remain unaffected. Termination for substantial cause is particularly justified if:
a. the other Party has stopped payments or becomes unable to pay its due debts or applies for insolvency proceedings. The termination has to be declared prior to the opening of insolvency proceedings; or
b. the other Party is guilty of severe breach of its obligations under this Agreement or any Individual Local Contract and does not seek to rectify any breach within a reasonable period of time; or
c. Employer and/or Employer Affiliate may also terminate this Agreement and/or the Individual Local Contract in the event that the Contractor and/or Contractor Affiliate enters into a transaction that includes a sale of a substantial portion of its assets used for the supply of Technical Services for Employer and/or Employer Affiliate or a merger, sale or exchange of stock or other equity interests that would result in a change of control of Contractor. Contractor will notify Employer within ten (10) days after entering into any negotiations that could lead to such change in control, provided that Employer will enter into an appropriate nondisclosure agreement related to information disclosed to Employer in relation to such transaction.
4. Termination of this Agreement in accordance with §§ 4.2, 16 and 17 of this Agreement shall not automatically terminate Individual Local Contracts concluded between Employer and/or Employer Affiliate and Contractor and/or Contractor Affiliate during the duration of this Agreement. The provisions of this Agreement shall continue to be valid for such Individual Local Contracts.
Translation - Russian СРОК ДЕЙСТВИЯ И УСЛОВИЯ РАСТОРЖЕНИЯ СОГЛАШЕНИЯ
1. Настоящее Соглашение вступает в силу первого октября 2012 года и остается в силе в течение 2 (двух) лет («Первоначальный период»). По истечении этого времени Соглашение автоматически продлевается на последующий 1 (один) год до тех пор, пока оно не будет расторгнуто любой из Сторон путем представления другой Стороне письменного уведомления за 3 (три) месяца до истечения Первоначального периода или каждого последующего договорного года.
2. Любой Индивидуальный локальный договор с Заказчиком или любым Аффилированным лицом Заказчика может быть расторгнут Заказчиком или Аффилированным лицом Заказчика соответственно путем представления письменного уведомления Подрядчику или Аффилированному лицу Подрядчика за 1 (один) месяц до расторжения договора. В таких случаях Подрядчик/Аффилированное лицо Подрядчика имеет право на полную выплату в отношении Технических работ, выполненных в соответствии с условиями Индивидуального локального договора на момент такого расторжения. Такая компенсация должна включать подтвержденные документами расходы на инженерно-технические работы и накладные расходы, исключая любую прибыль
3. Право на расторжение настоящего Соглашения или любого Индивидуального локального договора по существенной причине остается в силе без изменений. Расторжение Соглашения или договора по существенной причине особенно оправдано в случаях, если:
а. другая Сторона прекратила осуществление платежей или оказалась не в состоянии выплатить свои долги или ходатайствует о производстве по несостоятельности. О расторжении Соглашения или договора должно быть объявлено до начала производства по несостоятельности; или
б. другая Сторона является виновной в серьезных нарушениях своих обязательств по настоящему Соглашению или любому Индивидуальному локальному договору и не стремится исправить нарушения в течение разумного периода времени; или
в. Заказчик и/или Аффилированное лицо Заказчика также может расторгнуть настоящее Соглашение и/или Индивидуальный локальный договор в том случае, если Подрядчик и/или Аффилированное лицо Подрядчика заключает сделку, которая предусматривает продажу значительной части его активов, используемых для выполнения Технических работ для Заказчика и/или Аффилированного лица Заказчика, или поглощение, продажу или обмен акциями или иными долями участия, что может привести к изменению контроля Подрядчика. Подрядчик должен в течение 10 (десяти) дней после вступления в любые переговоры, которые могут привести к таким изменениям контроля, уведомить об этом Заказчика, при условии, что Заказчик заключит соответствующее соглашение о неразглашении информации, раскрытой Заказчику в связи с такой сделкой.
4. Расторжение настоящего Соглашения в соответствии с §§ 4.2, 16 и 17 настоящего Соглашения не должно автоматически прекращать действие Индивидуальных локальных договоров, заключенных между Заказчиком и/или Аффилированным лицом Заказчика и Подрядчиком и/или Аффилированным лицом Подрядчика в течение срока действия настоящего Соглашения. Положения настоящего Соглашения продолжают оставаться в силе для таких Индивидуальных локальных договоров.
