English to Arabic: Sample from Distribution Agreement
Source text - English 4. ORDERS AND DELIVERY
4.1 Placement
Distributor will place firm orders (which once given and accepted by X shall be irrevocable) for the Licensed Products directly with X, in accordance with X's established lead times, unless otherwise agreed by X on a case-by-case basis. All orders will be placed in writing and in the English language. Each order shall be made in a form acceptable to X, and shall specify (i) the type and quantity of Licensed Products ordered; and (ii) the requested shipment date(s), and shall comply with all of the standards, policies, procedures and other administrative requirements of X from time to time. Nothing in this Agreement shall impose on X the obligation to manufacture the Licensed Products or prevent X from making such changes in the Licensed Products as X in its sole judgment may decide; the parties acknowledge that each shall keep the other informed of developments in changing technology for the Licensed Products and the market within the Territory.
4.2 Acceptance
A. X may accept or reject any order from Distributor at its absolute discretion, subject to any binding commitment that X has made to Distributor, and X shall not be liable for any loss or damage caused by its non-acceptance of orders.
B. No order will be deemed accepted from Distributor unless X confirms its acceptance in writing; all sales to Distributor shall be subject to X’s then-current standard terms and conditions of sale which shall govern over any conflicting terms in or on Distributor's order or other documents.
C. X will use its reasonable endeavours to respond to each order within ten (10) calendar days of its receipt from Distributor. Any order accepted by X will be subject to the terms and conditions of this Agreement, unless otherwise agreed in writing by X on a case-by-case basis.
D. Once an order is accepted by X, Distributor may not cancel it without the written consent of X.
E. Only orders for Licensed Products accepted and shipped by X shall be included in any calculation of any Minimum Purchase Requirements (as hereinafter defined in Section 11.1) for that Agreement Year. X may allocate available inventory among its customers in any manner that X deems fair and reasonable.

4-1 تقديم الطلبات
يقدم الموزع طلباته المؤكدة (والتي لا يجوز إلغاؤها بمجرد تقديمها وموافقة شركة X عليها) للمنتجات المرخص بها مباشرة إلى شركة X، بما يتماشى مع المهل الزمنية لتنفيذ الطلبات التي تتبعها شركة X، وذلك ما لم توافق شركة X على خلاف ذلك لكل حالة على حدة. وتُقدم جميع الطلبات كتابةَ وباللغة الإنجليزية. ويُقدم كل طلبٍ بصيغة تقبلها شركة X توضح (1) نوع المنتجات المرخص بها المطلوبة وكميتها، و(2) تاريخ (أو تواريخ) الشحن المطلوبة، كما تلتزم جميع الطلبات بجميع معايير شركة X وسياساتها والإجراءات المتبعة فيها وغيرها من المتطلبات الإدارية الأخرى المعمول بها وقت تقديم الطلب. إلا أنه لا يوجد في هذا العقد ما يفرض على شركة X التزامًا بتصنيع المنتجات المرخص بها أو يمنعها من إجراء أي تغييرات في المنتجات المرخص بها تقرر تطبيقها وفقًا لتقديرها وحدها، ويقرّ الطرفان بأنه يجب على كل منهما أن يطلع الآخر بآخر التطورات فيما يتعلق بالتغير في تكنولوجيا المنتجات المرخص بها والسوق في الإقليم.
4-2 قبول الطلبات
أ. يجوز لشركة X أن تقبل أو ترفض أي طلب من الموزع، حسب تقديرها المطلق، ولكن مع مراعاة أي التزام التزمت به شركة X تجاه الموزع، ولا تتحمل شركة X مسؤولية أي خسارة أو ضرر تحدث بسبب عدم قبولها للطلبات.
ب. لن يُعد أي طلب مقبولاً من الموزع ما لم تؤكد شركة X موافقتها عليه كتابةً؛ وتخضع جميع المبيعات للموزع لشروط وأحكام X القياسية للبيع السارية في ذلك الوقت والتي لها الأولوية على أي شروط متعارضة في طلب الموزع أو غيره من المستندات.
ج. تبذل شركة X جهودًا معقولة للاستجابة لكل طلب خلال عشرة (10) أيام من استلامه من الموزع، ويخضع أي طلبِ توافق عليه شركة X إلى شروط وأحكام هذا العقد، ما لم توافق شركة X على خلاف ذلك كتابةً وذلك في كل حالة على حدة.
د. بمجرد موافقة شركة X على طلب، لا يجوز للموزع إلغاؤه بدون موافقة مكتوبة من الشركة.
هـ. لا يُدخل في حساب الحد الأدنى للمشتريات للعام التعاقدي (وفقًا للتعريف الموضح في المادة 11-1) إلا طلبات المنتجات المرخصة التي وافقت عليها شركة X وشحنتها. ويجوز لشركة X توزيع المخزون المتوفر لديها بين عملائها على أي نحوٍ تراه الشركة عادلاً ومقبولاً.
