Production Sharing Contract (PSC) is one of the type of petroleum agreements that is being utilized in many parts of the world in enabling exploration, development and production of the finite oil and gas resources at the respective locations. It was first introduced in Indonesia in 1966, and followed by other countries in this region such as Malaysia, Vietnam, Thailand, and Brunei. One of interesting aspects of PSC management is the handling of operatorship change when a PSC is nearing its expiry. When a PSC is nearing its expiry, the current PSC contractor as operator has the option to relinquish it to the host authority to be handed over to other operator, farm it out to other PSC contractor to reduce the risk exposure or continue operating the same contract area under a new PSC. The most challenging will be to relinquish the operatorship to another operator whereby several complexities will need to be adequately addressed to ensure benefit preservation to the host authority, incoming operator and outgoing operator. This study will attempt to suggest a general guideline to manage the intricacies of a PSC operatorship transfer, propose the required control and governance of the whole exercise and will propose the identified key enablers for a successful PSC operatorship transfer exercise. With this proposed guideline, it is hoped that any PSC operatorship transfer will be able to be managed smoothly and will ensure benefits to all parties concerned within the operatorship transfer.

Kontrak Perkongsian Pengeluaran (KPP) adalah salah satu jenis perjanjian petroleum yang digunapakai di kebanyakan negara untuk membolehkan kerja-kerja carigali, pembangunan dan pengeluaran hasil minyak dan gas daripada perut bumi masing-masing. Ianya mula diperkenalkan di Indonesia pada tahun 1966, dan seterusnya lain-lain negara mula menggunapakai jenis kontrak yang sama di rantau sebelah sini seperti Malaysia, Vietnam, Thailand dan Brunei. Salah satu aspek yang menarik untuk diterokai dalam pengurusan KPP adalah pengurusan pertukaran operator apabila sesuatu KPP itu menghampiri tarikh luputnya. Apabila sesuatu KPP tersebut menghampiri tarikh luputnya, operator sedia ada mempunyai beberapa pilihan, antaranya melepaskan pegangan KPP tersebut kepada pihak berkuasa petroleum untuk diberikan kepada operator yang baru, melepaskan sebahagian pegangannya kepada lain-lain syarikat minyak untuk mengurangkan dedahan kepada risiko ataupun menyambung pegangannya di bawah KPP yang baru. Di antara tiga pilihan ini, pilihan yang pertama adalah yang paling rumit dan memerlukan pertimbangan pengurusan daripada segenap sudut bagi membolehkan semua pihak mendapat faedah yang sama. Bertepatan dengan itu, kajian ini akan cuba mencadangkan satu panduan am pertukaran operator KPP yang bertujuan mengurus kerumitan yang mungkin timbul daripada aktiviti ini, memperkenalkan kawalan dan tadbir urus untuk seluruh aktiviti berkaitan dan juga mengenalpasti faktor-faktor penyumbang utama ke arah pertukaran operator KPP yang berkesan dan mampan. Dengan cadangan panduan ini, adalah diharapkan pengurusan pertukaran operator KPP dapat dijalankan dengan lebih lancar lagi.
