6.1 Aderentul cesioneaza integral si cu titlu definitiv Factorului Creantele ce vor face obiectul finantarii acordate prin prezentul Contract, in conformitate cu prevederile art.1391-1404 Cod civil.
6.2 Factorul va inregistra cu promptitudine la Arhiva Electronica de Garantii Reale Mobiliare (“Arhiva”), in conformitate cu prevederile art.2 lit a) din Titlul VI al Legii nr. 99/1999, in favoarea sa, un aviz de garantie care sa confere rang prim de prioritate asupra cesiunii Creantelor conform prezentului Contract.
6.3 In numele Factorului, Aderentul ii va notifica pe Debitorii Eligibili cu privire la cesiunea Creantelor in temeiul prezentului Contract si necesitatea efectuarii platilor in contul prevazut la articolul 5.2 al acestui Contract intr-o forma similara in esenta celei atasate prezentului ca Anexa 2. | Translation - English
6.1 The Adherent fully and finally assigns to the Factor the Receivables which make the object of the financing granted hereunder, according to the provisions of art. 1391 – 1404 of the Civil Code.
6.2 The Factor shall promptly register with the Electronic Archive of Secured Transactions, according to art. 2 letter a) of Title VI of the Law 99/1999, in its favor, a notice of guarantee which grants it first priority rights over the assignment of the Receivables in this Agreement.
6.3 On behalf of the Factor, the Adherent shall notify the Eligible Debtors on the assignment of the Receivables according to this Agreement and on the obligation to make all payments into the account specified in article 5.2 of this Agreement. The notification will be similar in essence to the form attached to this Agreement as Schedule 2. |
