Source text - English The Intellectual Property. Seller represents that he personally has created and owns [XYZ], a pivot grid extension to [W Software] with client and server side components [XYZ]. All software included in [XYZ] and not created by Seller, including open source software, is identified on Exhibit A, attached hereto. Seller will cooperate with Buyer to smoothly transition [XYZ] to [Company], including all associated sales and marketing. Until such time as [XYZ] is fully transitioned, Seller will display appropriate references on Seller’s website, replace the purchase feature with a Buyer directed feature (Paypal Buy Now), and update the License Agreement as directed by Buyer. Following the transition, Seller shall redirect pages and/or content on Seller’s website to appropriate pages on Buyer’s website. Buyer will honor current support contracts through the term thereof (first level support) and offer renewal support direct to such customers. For this purpose, Seller shall provide contact, license and associated information for all its customers. Seller expressly acknowledges and agrees that all worldwide know-how, ideas, concept, trade secrets, computer code, proprietary information, research, developments, registered and unregistered copyrights, copyrightable materials, derivatives, registered and unregistered service and trademarks, trade dress, trade names, mask works, moral rights, design rights, industrial property rights, rights in and to inventions, improvements, patent rights, patents applications, patents and any other intellectual property rights in any jurisdiction in the world (including improvements, and modifications to the foregoing) relating to [XYZ] which were created, developed, conceived, discovered, collected or prepared by Seller (collectively, the [XYZ] Intellectual Property), are and shall be the property of Buyer, and Seller herein agrees to assign any and all rights he may have in the [XYZ] intellectual property to Buyer.
