5. Haftung
5.1 Der Kooperationspartner gewährleistet, dass alle seine in Verkehr gebrachten Produkte ohne jede Beanstandung (verkehrsfähig) sind. Für mögliche Folgeschäden beim Verbraucher, bei sachgemäßer Verwendung von Produkten des Kooperationspartner, haftet der Kooperationspartner alleine. Der Kooperationspartner hat außerdem sicherzustellen, dass sämtliche von ihm zur Verfügung gestellten Werbematerialien den gesetzlichen Bestimmungen entsprechen und stellt den Verein von sämtlichen Ansprüchen Dritter sowie den angemessenen Kosten der Rechtsverteidigung frei. Der Verein verpflichtet sich in solchen Fällen
(a) den Kooperationspartner unverzüglich von den geltend gemachten Ansprüchen zu unterrichten,
(b) dem Kooperationspartner die Kontrolle über alle Abwehrmaßnahmen und Vergleichsverhandlungen gegen die geltend gemachten Ansprüche einzuräumen und
(c) dem Kooperationspartner bei der Abwehr oder Beilegung der Ansprüche angemessen zu unterstützen.
Weitergehende gesetzliche oder vertragliche Ansprüche aus Schutzrechtsverletzungen bleiben von den vorstehenden Freistellungsregelungen unberührt.
5.2 Unbeschadet nach diesem Vertrag übernommener Garantien haften die Parteien bei leichter Fahrlässigkeit nur bei Verletzung vertragswesentlicher Pflichten (Kardinalpflichten) sowie bei Personenschäden und nach Maßgabe des Produkthaftungsgesetzes. Im Übrigen ist die vorvertragliche, vertragliche und außervertragliche Haftung der Parteien auf Vorsatz und grobe Fahrlässigkeit beschränkt, wobei die Haftungsbegrenzung auch im Falle des Verschuldens eines Erfüllungsgehilfen der Parteien gilt.
5.3 Die Parteien haften nicht für Verzug oder Mängel, die nicht von ihr zu vertreten sind (Höhere Gewalt). In diesem Fall ist der jeweilige Vertragspartner berechtigt, die Leistungserbringung für einen angemessenen Zeitraum auszusetzen.
6. Geheimhaltung
6.1 Die Parteien sind verpflichtet, sämtliche Informationen, die sie aufgrund der Durchführung dieses Vertrages erhalten und die finanzieller oder sonst geschäftlicher Natur sind und die Dienstleistungen oder Produkte, den Vertrieb, den Service und die Kunden dieser Produkte oder sonstige Einzelheiten des Geschäftsbetriebes der Parteien (im folgenden "Informationen") betreffen, streng geheim zuhalten und nicht an unbeteiligte Dritte weiterzugeben. Ferner ist es den Parteien untersagt, die Informationen zur anderen als denjenigen Zwecken zu verwenden, die in diesem Vertrag ausdrücklich genannt sind. Die in diesem Absatz enthaltene Vertraulichkeitsvereinbarung ist nicht auf solche Informationen anwendbar, die die Parteien in gesetzlich zulässiger Weise von dritter Seite erhalten haben oder die offenkundig sind.
6.2 Die Parteien werden dafür sorgen, dass ihre Mitarbeiter, Vertreter oder sonstige Personen, die Zugang zu den Informationen haben, derselben Vertraulichkeitsverpflichtung unterfallen wie sie im vorstehender Ziffer 6.1 niedergelegt ist.
6.3 Die Vertraulichkeitsverpflichtungen bleiben für beide Parteien auch nach Beendigung dieses Vertrages ohne zeitliche Begrenzung wirksam.

5. Liability
5.1 The Cooperation Partner shall ensure that all of its products issued for sale are without cause for complaint (marketable). The Cooperation Partner shall be solely liable for any consequential losses suffered by the consumer when utilizing the Cooperation Partner’s products properly. Additionally, the Cooperation Partner shall ensure that all advertising materials that it provides comply with statutory provisions, and shall indemnify and hold harmless the Association from any and all claims by third parties as well as for reasonable expenses for legal defense. The Association shall be obligated in such cases to
(a) inform the Cooperation Partner immediately of claims made,
(b) grant the Cooperation Partner control over all defense measures against and settlement negotiations in response to the claims made, and
(c) assist the Cooperation Partner with the defense against or settlement of claims to a reasonable degree.
Statutory or contractual claims above and beyond these resulting from infringements of intellectual property rights shall remain unaffected by the foregoing release and indemnification.
5.2 Warranties afforded pursuant to this contract notwithstanding, the parties shall be liable for ordinary negligence only for breach of duties material to the contract (“cardinal duties”), as well as for bodily injury and in accordance with the stipulations of the Product Liability Act. In all other respects, the pre-contractual, contractual, and extra-contractual liability of the parties shall be limited to deliberate acts and gross negligence, whereby the limitation of liability shall also apply in the event that an agent assisting in performance of the contract on behalf of the parties is at fault.
5.3 The parties shall not be liable for default or defects over which they have no control (force majeure). In such case, the respective party shall be entitled to suspend the services it renders for an appropriate period of time.
6. Confidentiality
6.1 The parties shall be obligated to maintain strict confidentiality with regard to all information that they obtain due to performance of this contract and which is of a financial or other business nature and concerns the services or other products, sales, service and the customers for these products, or other details of the business operations of the parties (hereinafter referred to as “information”), and shall not disclose this to uninvolved third parties. Furthermore, the parties shall be prohibited from using the information for purposes other than those expressly specified in this contract. The confidentiality agreement contained in this clause shall not be applicable to information obtained by the parties from a third party in a manner permitted by law, or to information that is a matter of public record.
6.2 The parties shall ensure that their employees, representatives or other persons who have access to the information are subject to the same duty of confidentiality as set down in item 6.1 above.
6.3 The duty to maintain confidentiality shall continue to apply to both parties with no time limit even after this contract has been terminated.

Erst nach der Zusammenlegung der Aktien ist die Kapitalherabsetzung im rechtlichen Sinne durchgeführt, was gemäß § 227 AktG gesondert zur Eintragung ins Handelsregister anzumelden ist. Naturgemäß ist der Betrag der Barabfindung pro Aktie nach der Zusammenlegung von fünf Aktien zu einer einzigen ein fünffach höherer, als vor der Zusammenlegung. Im konkreten Fall beträgt die Abfindung vor der Zusammenlegung von fünf Aktien zu einer Aktie EUR 1,50 pro Aktie und nach der Zusammenlegung EUR 7,50 pro Aktie. Bei der Formulierung des Beschlusses gemäß § 327a AktG ist genau diesen Umständen Rechnung getragen worden. Auch der Prüfungsbericht ist aus diesem Grunde nicht zu beanstanden, da er von der zutreffenden Aktienzahl ausgegangen ist.
Soweit die Antragsgegner zu 3. und zu 4. den Übertragungsbeschluß wegen der Verwendung des Begriffs "Neue Stückaktie" für inhaltlich falsch und in Konsequenz dessen den Übertragungsbeschluß für nichtig halten, ist dem ebenfalls entgegenzutreten. Die Terminologie ist unmittelbar dem einschlägigen § 226 AktG entnommen. In § 226 Abs. 1 AktG heißt es:
"Sollen zur Durchführung der Herabsetzung des Grundkapitals Aktien durch Umtausch, Abstempelung oder durch ein ähnliches Verfahren zusammengelegt werden, so kann die Gesellschaft die Aktien für kraftlos erklären, die trotz Aufforderung nicht bei ihr eingereicht worden sind. Gleiches gilt für eingereichte Aktien, welche die zum Ersatz durch *neue* Aktien nötige Zahl nicht erreichen und der Gesellschaft nicht zur Verwertung für Rechnung der Beteiligten zur Verfügung gestellt sind."
§ 226 Abs. 3 S. 1 AktG formuliert wie folgt:

In the pursuit of this objective, our efforts are focused on a balanced relationship between the criteria of security of capital, income in line with the market, and long-term, attractive asset growth.
In accordance with the principle of risk diversification, at least 30% of the net asset value of the Hi-Balance Asset Fund is always invested in shares of other open-end investment companies (mutual fund shares) that were established in a member state of the European Union, Switzerland, the USA, Canada, Hong Kong, or Japan, and which are subject to functional investment oversight as well as diversification regulations in their home country comparable to the provisions of the Luxembourg Investment Act of March 30, 1998. In particular, these include shares in money market funds, securities funds, funds that hold both securities and stakes in unlisted companies (“holding funds”), real estate funds, as well as mixed securities and real estate funds. Shares in futures funds, venture capital funds, “funds of funds” or special funds may not be purchased for the Fund.
The Fund’s management may also invest all of the Fund’s assets in mutual fund shares, provided that the management company believes that doing so is in the interests of the shareholders. In particular, such interests are presumed if cost benefits, diversification advantages, or economies of scale arise within the scope of the investment policy due to a higher weighting of mutual fund shares.

Pursuant to the objectives set for the Fund, the respective percentages of stock, bond, and liquid asset positions in the total portfolio are flexibly adjusted to market expectations according to the assessment by the Fund’s management.
