Il 2007 è stato un anno record dal punto di vista della raccolta per i fondi di fondi hedge a livello globale, che in dodici mesi hanno visto incrementare i propri asset di 59 miliardi di dollari (fonte Hfr). L’Europa, e in particolare la Francia, non hanno fatto eccezione. A documentare questo trend sono state la European Fund and Asset Management Association (Efama) nel Quarterly Statistical Release e Asterias. Mentre la prima ha monitorato i Paesi del Vecchio Continente, la società di consulenza indipendente nella sua annuale survey ha posto l’attenzione sul mercato francese degli hedge fund. Da quest’ultima è emerso che nel corso del 2007 gli asset gestiti dai fondi Opcvm de Fonds Alternatifs d’oltralpe hanno ottenuto una crescita del 32%. Andando nel dettaglio gli asset gestiti dai 221 Opcvm de Fonds Alternatifs sono passati da 21,52 miliardi di euro a fine 2006 a 28,42 miliardi di euro a dicembre 2007. “Il mercato francese”, ha confermato Sophie Van Straelen, managing director di Asterias, “ha visto un forte afflusso di capitali nel corso del 2007 nei fondi di fondi hedge registrati, i cosiddetti Aria III o Opcvm de Fonds Alternatifs”.
Il settore francese dei fondi di fondi alternativi si caratterizza però anche per un elevato grado di concentrazione. Il fondo Phenix da solo rappresenta, infatti, il 6,9% degli asset dell’universo dei multimanager monitorati da Asterias. I cinque prodotti più grandi invece controlla il 20,7% del patrimonio del segmento, mentre metà della massa amministrata è in mano ai 24 principali fondi di fondi. Il breakdown delle strategie degli Opcvm de Fonds Alternatifs vede il prevalere dei Diversified multistrategy (investiti nelle strategie Directional, Relative value ed Event driven) con una quota di mercato del 65,7%. I Sector fund, (che investono più del 40% del proprio portafoglio in un’unica strategia) contano per il 17,8%, mentre gli Enhanced cash (fondi con più del 40% degli asset in cash con dei rendimenti addizionali generati dagli investimenti in hedge fund) si sono fermati all’11,9%. Infine, il restante 4,6%, è rappresentato dai fondi che ricorrono sia ai fondi comuni che a quelli alternativi, ovvero i cosiddetti fondi di fondi ibridi.

The year just ended was a record period in term of global inflows for funds of hedge funds, whose assets rose by USD 59 billion in 2007 (source Hfr). Europe, and especially France, shared in the bonanza. This trend was described by the European Fund and Asset Management Association (EFAMA) in its Quarterly Statistical Release and Asterias. Whilst the former monitored European countries, the independent consultant devoted its annual survey to the French market for hedge funds. The study showed that in 2007 total assets managed by alternative UCITS rose by 32%. Specifically, assets managed by the 221 alternative UCITS increased from €21.52 billion at the end of 2006 to €28.42 billion at the end of December 2007. “In 2007 the French market witnessed a significant capital inflow into registered hedge funds, the so-called Aria III or OPCVM de Fonds Alternatifs”, said Sophie Van Straelen, managing director of Asterias.
The French alternative fund sector is also characterised by a high degree of concentration. In fact, the Phenix fund alone accounts for 6.9% of all assets in the universe monitored by Asterias. The largest five products represent instead 20.7% of total assets in the segment, while the 24 largest funds manage 50% of total assets. A review of the strategies adopted by the Opcvm de Fonds Alternatifs shows the predominance of Diversified multistrategy (invested in Directional, Relative Value and Event driven strategies), with a market share of 65.7%. Sector funds (which invest more than 40% of their portfolio in a single strategy) account for 17.8%, while Enhanced cash funds (funds with over 40% of their portfolio invested in cash with additional returns generated by investments in hedge funds) had 11.9%. Lastly, the remaining 4.6% was managed by funds that invest in both mutual and alternative funds, i.e. the so-called hybrid funds of funds.

PRINCIPI DI CONSOLIDAMENTO
Tutte le Società appartenenti al Gruppo sono controllate in misura superiore al 50% e la quasi totalità di esse è stata consolidata con il metodo integrale che consiste, in sintesi, nell'assunzione degli elementi dell'attivo e del passivo, nonché dei proventi ed oneri della singola impresa controllata.
Le uniche eccezioni al principio sopra esposto sono rappresentate da:
- PIPPO Gmbh, costituita nel corso del 2002, di cui la HHSS LL S.p.A. detiene il 100% delle quote;
- TTTT Srl , società che opera nel settore immobiliare acquisita nel corso del 2007 dalla XYZ la quale ne detiene il 100% delle quote;
le quali sono state consolidate secondo il metodo del costo.
Tale metodo è stato scelto in alternativa a quello di consolidamento integrale, in quanto l’inclusione delle Società controllate in oggetto sarebbe non significativa ai fini richiesti dal 2° comma dell’art. 29 del D. Lgs. 127/91. A titolo informativo si segnala che il consolidamento della PIPPO Gmbh e della TTTT Srl con il metodo del consolidamento integrale avrebbe determinato un effetto non significativo sul totale dell’attivo consolidato e sui ricavi di vendita consolidati.
L’area di consolidamento al 31 dicembre 2007, come già ampiamente trattato nella Relazione sulla Gestione a cui si rimanda per i dettagli, è variata rispetto al 31 dicembre 2006 in seguito all’acquisizione della partecipazione nella XYZ S.p.A. acquisita al 100%.
Le principali rettifiche di consolidamento sono le seguenti:
1. Eliminazione delle partecipazioni nelle imprese controllate incluse nel consolidamento contro i corrispondenti patrimoni netti.
Il valore contabile delle partecipazioni nelle Società comprese nell’area di consolidamento è stato eliso in contropartita al relativo patrimonio netto, in applicazione del metodo dell’integrazione globale. Gli adeguamenti del valore di carico delle partecipazioni valutate con il metodo del patrimonio netto nel bilancio della Capogruppo sono stati eliminati nel bilancio consolidato.
Il maggior valore della quota di patrimonio netto delle partecipate alla data di acquisto della partecipazione, rispetto al costo di acquisizione, viene imputato direttamente al patrimonio netto consolidato. L’eccedenza, alla data di acquisizione, del costo di acquisto rispetto al valore del patrimonio netto non attribuibile agli elementi dell’attivo e del passivo, è iscritta nell’attivo dello Stato Patrimoniale consolidato alla voce “Differenza di consolidamento”, rappresenta i valori dell’avviamento emergenti da tali acquisizioni e viene ammortizzata in 10 anni, ad eccezione delll’avviamento emergente dall’acquisizione della XYZ il quale viene ammortizzato in 5 anni.
La quota di patrimonio netto e del risultato d’esercizio delle partecipate di competenza di azionisti di minoranza è stata esposta separatamente nel patrimonio netto consolidato in apposita voce.
Nel Conto Economico viene evidenziata la quota del risultato netto di esercizio di competenza dei Terzi.
5. Contabilizzazione delle operazioni di leasing finalizzate all’acquisizione di immobili ed altri cespiti, secondo quanto previsto dalla metodologia finanziaria. I beni strumentali oggetto di leasing finanziario sono riflessi in bilancio consolidato secondo la metodologia finanziaria, che prevede la loro iscrizione nell’attivo e l’ammortamento in relazione alla loro residua possibilità di utilizzo con la contemporanea iscrizione del debito finanziario nel passivo.

CONSOLIDATION PROCEDURE
All Group companies are majority-owned and nearly all of them were consolidated on a line-by-line basis. Basically, this entails the addition of like items of assets, liabilities, income and expenses of the individual subsidiaries.
The only exceptions to the above treatment were:
- PIPPO Gmbh, a wholly-owned subsidiary of HHSS LL S.p.A., established in 2002;
- TTTT Srl , a real estate company wholly owned by XYZ since its acquisition in 2007.
These companies were consolidated with the cost method.
The cost method was adopted because the full consolidation of these companies would not have been meaningful for the purposes under paragraph 2, article 29 of Legislative Decree 127/91. At any rate, full consolidation of PIPPO Gmbh and TTTT Srl would not have determined a significant change in total consolidated assets and revenues.
Compared with the previous year, the scope of consolidation as at 31 December 2007 changed following the acquisition of 100% of XYA S.p.A., as discussed extensively in the Report on Operations, reference to which should be made for additional details.
The main consolidation adjustments were as follows:
1. Elimination of equity investments in consolidated subsidiaries against the corresponding portion of such subsidiaries’ equity.
The carrying value of the equity investments in the consolidated subsidiaries was eliminated against the corresponding portion of such subsidiaries’ equity, in keeping with the line-by-line consolidation method. The adjustments to the carrying value of the equity investments accounted for with the equity method were eliminated from the consolidated financial statements.
Any excess value of the equity investment over the cost of such investment as at the acquisition date is recognized in equity. On the other hand, any excess acquisition cost over the value of the equity investment as at the acquisition date, which cannot be allocated over any assets or liabilities, is entered on the asset side of the consolidated balance sheet as “Goodwill arising on consolidation”. Goodwill arising on consolidation is amortized over a ten-year period, the only exception being that attributable to XYZ, which is amortized in five years.
Minority interests and their share of net profits are shown in a separate consolidated equity item.
Net profits attributable to minority interests are shown as a separate item in the income statement.
5. Recognition of finance lease arrangements entered into to acquire property and other assets. Capital goods obtained under a finance lease agreement are recorded in the consolidated balance sheet both as assets - and are depreciated over their remaining useful lives – and as liabilities, to reflect the amount of debt incurred to finance the transaction.
