5. Term and Termination.
The initial term of this Agreement will be for x {months, days, years} from the effective date of this Agreement. This Agreement will automatically renew for successive x {month, day, year} terms thereafter until terminated by either party. Either party may terminate this Agreement at any time before its initial term (or any renewal term) is completed, for any reason or for no reason at all, provided that at least x days’ advance written notice of termination is given to the non-terminating party by the terminating party.
6. Applicable Law; Construction.
This Agreement will be governed by and construed in accordance with the laws of the State of X, without regard to any conflict of laws rule or principle that might refer the governance or construction of this Agreement to the laws of another jurisdiction. This Agreement will at all times and in all events be construed as a whole, according to its fair meaning, and not strictly for or against any party.
7. Counterparts.
This Agreement may be executed in counterparts, with the same effect as if both parties had signed the same document. All such counterparts will be deemed an original, will be construed together and will constitute one and the same instrument. | Translation - Romanian
5. Termenul şi denunţarea unilaterală
Termenul iniţial al prezentului contract este de x {luni, zile, ani} de la data intrării în vigoare a prezentului contract. Prezentul contract va fi ulterior supus tacitei reconducţiuni pentru termene succesive de x {luni, zile, ani} până la denunţarea unilaterală de către una dintre părţi. Oricare dintre părţi poate denunţa prezentul contract în orice moment anterior împlinirii termenului iniţial (sau oricărui termen ulterior), pentru orice motiv sau chiar fără motiv, cu condiţia notificării scrise prealabile cu x zile înainte de către partea denunţătoare către cocontractant.
6. Legea aplicabilă şi interpretarea contractului
Prezentul contract va fi guvernat şi interpretat în conformitate cu legea Statului X, fără aplicarea normelor şi principiilor privind conflictul de legi, care ar putea duce la aplicarea altei legi prezentului contract sau la interpretarea acestuia în conformitate cu altă lege. Prezentul contract va fi interpretat în totalitatea sa şi în conformitate cu sensul său şi nu în favoarea sau în defavoarea uneia dintre părţi.
7. Exemplarele contractului
Prezentul contract poate fi semnat pe două exemplare, cu acelaşi efect ca atunci când ambele părţi ar fi semnat acelaşi exemplar. Ambele exemplare vor fi considerate originale, vor fi interpretate împreună şi vor constitui unul şi acelaşi contract. |
