III. Ambas partes manifiestan que reconociéndose mutuamente la personalidad y capacidad legal para obligarse, celebran el presente convenio al tenor de las siguientes:

PRIMERA. SEGUNDA. Manifiesta el representante de [name], Ingeniero [name], que en su carácter de responsable solidario de las obligaciones laborales contraídas por la diversa empresa extranjera denominada [name], quien era la patrona directa, que conviene en pagar al señor [name], a la firma del presente convenio, la cantidad de $112,715.37 (CIENTO DOCE MIL SETECIENTOS QUINCE MIL 37/100 DOLARES MONEDA DE CURSO LEGAL DE LOS ESTADOS UNIDOS DE AMERICA).
TERCERA. Manifiesta el señor [name], que recibe de conformidad la cantidad mencionada en la cláusula que antecede, y con el pago realizado las empresas [name] y [name] quedan totalmente liberadas de cualquier obligación o responsabilidad de pago de prestación que se derive de la relación de trabajo en su modalidad de patrón directo o de responsable solidario por beneficiarse de mis actividades,.

III. Both parties state that, mutually recognizing the [legal] personality and legal capacity to undertake obligations, they enter into this agreement in accordance with the following:
C L A U S E S
FIRST. Mr. [name], voluntarily and because it is in his own interest, terminates his employment relationship with [name], and [he asserts] that, pursuant to the agreement existing in the Cross-border plant Contract entered into by the legal entities described, he had been working as Materials Planner at the affiliated company [name], located in the City of Reynosa, Tamaulipas, Mexico, which received the benefit of the activities performed by Mr. [name], and he does not reserve any action or the right to file [any claim] against the two aforementioned legal entities, inasmuch as the employment obligations with respect to him were always fulfilled by his direct employer, [name].
SECOND. The representative of [name], Engineer [name], states that, in his capacity as a party jointly and severally liable for the employment obligations undertaken by the diverse foreign company known as [name], which was the direct employer, he agrees to pay Mr. [name], upon the signing of this agreement, $112,715.37 (ONE HUNDRED TWELVE THOUSAND SEVEN HUNDRED FIFTEEN THOUSAND [sic] 37/100 U.S. DOLLARS).
THIRD. Mr. [name] states that he accepts, with satisfaction, the amount mentioned in the preceding clause, and with the payment made, the companies [name] and [name] are fully released from any obligation or responsibility for payment derived from the employment relationship in their capacity as direct employer or party jointly and severally liable as a result of benefiting from my activities.
